Section 00 21 16 - Instructions to Proposers

INSTRUCTIONS TO OFFERORS

A. General.

(1) This solicitation is restricted to small businesses. The Government intends to award a single, firm-fixed-price construction contract to the responsible offeror whose proposal represents the best value after evaluation in accordance with the evaluation factors in the solicitation. Offerors shall submit a technical proposal and a price proposal. The evaluation results of the non-price and price proposals will determine an awardee. All non-price factors are approximately equal in importance. All evaluation factors other than price, when combined, are approximately equal to price.

The Government intends to make an award without discussions but reserves the right to conduct discussions should discussions prove to be (2) necessary or advantageous to the Government. Because the Government does not intend to hold discussions, offerors are encouraged to include their best pricing in their initial proposal. The Government reserves the right to accept other than the lowest-priced offer or to reject all offers.

In the context of this proposal, the "offeror" refers to the proposed prime contractor.(3) The evaluation board will not consider any information or data incorporated by reference or otherwise referred to in the proposal.(4) Joint Ventures (JV). A joint venture is defined as follows: a legal business entity formed between two or more companies (parties) to undertake (5) the performance activities of a contract together. This does not include other arrangements such as "teaming agreements" or "strategic alliance" which are not recognized as bona fide joint ventures for the purposes of this solicitation. A company that is part of a joint venture shall submit a legally binding joint venture agreement. Joint ventures shall include a copy of the legal joint venture agreement signed by an authorized officer from each of the firms comprising the joint venture with the chief executive of each entity identified. If submitting a proposal as a joint venture, the past performance of each of the joint venture partners can be submitted for the joint venture entity. The past performance for each joint venture partner will be considered the past performance of the joint venture entity. Page and project form limits apply to the joint venture. Prospective offerors that submit proposals may not change their firm (including Letters of Commitment (LOC) and proposed subcontractors) or their Joint Venture firms, if selected to submit Final Proposal Revisions (FPR).

The successful offeror will be selected solely based on the evaluation factors set forth below. Accordingly, proposals submitted in response to this (6) solicitation should provide clear, complete, concise, and straightforward responses to the evaluation factors. Elaborate proposals, color brochures, and other excesses are discouraged. The offeror's technical proposal will be incorporated into the awarded contract.

***Proprietary information must be clearly marked. ***

B. Content of Proposals: All proposals must be prepared in two volumes: A technical proposal (Volume I), and a price proposal (Volume II). Proposal contains a significant weakness or combination of weaknesses which may have a moderate potential to cause disruption of schedule, increased cost, or degradation of performance. Special contractor emphasis and close Government monitoring will likely be able to overcome any difficulties.

High Proposal contains a significant weakness or combination of weaknesses which is likely to have high potential to cause significant disruption of schedule, increased cost, or degradation of performance. Special contractor emphasis and close Government monitoring will unlikely be able to overcome any difficulties.

Unacce ptable

Proposal contains a deficiency or a combination of significant weaknesses that causes an unacceptable level of risk of unsuccessful performance.

FACTOR 2 (TAB 2) - Past Performance

Submission Requirements:

Submit the information described below for up to projects that best demonstrate the offeror's performance of projects that are similar in THREE (3) size, scope, and complexity to this project. A recent project is defined as a project completed within years of the issuance of the solicitation.FIVE (5)

Submit projects that are 100% complete within the last five (5) years.

A will be evaluated. If an offeror disregards these instructions and submits more than three projects, only the first maximum of three (3) projects three projects will be evaluated. Offerors should describe each project with enough detail to ensure that the Government can meaningfully assess the projects against the evaluation criteria described in the RFP.

Instructions on the use of subcontractor past performance: If subcontractor experience is submitted for consideration as part of the proposal, the offeror should include a commitment signed by offeror and subcontractor certifying that if a contract is awarded resulting from the proposal, the parties commit to joint performance as proposed. If the signed commitment is not fully executed by both parties and provided with the Past Performance Proposal, subcontractor references will not be evaluated or considered.

Affiliate companies, sister companies, teaming arrangements, joint venture agreement, etc., will be considered provided that sufficient documentation is included in the proposal. The primary offering entity must demonstrate that the affiliate will perform significant and critical aspects of the contract if awarded. Documentation includes a copy of the signed arrangement such as documented affiliation, a copy of the teaming agreement, or a copy of the joint venture agreement.

For each project, submit the following information:

Detailed Project information o Name of Offeror o Project title o Contract Number o Award Date o Geographic location o Contract Award Amount o Final Contract Amount o Contract Completion Date o Contract Duration

Description of the project's scope and magnitude o The description should provide sufficient detail to demonstrate the similarities with the proposed project.

Details of Offeror's involvement of the project o Include whether your firm participated as a prime, subcontractor, or joint-venture, and state percentage performed and whether performed as subcontractor or prime. Specifically describe your roles and responsibilities in the design/construction portion of the project and specific tasks accomplished that are similar to the solicitation requirement.

If a completed Contractor Performance Assessment Reporting System (CPARS) evaluation is available, the offeror shall submit it with the proposal.

If there is not a completed CPARS evaluation, the offeror shall submit a Past Performance Questionnaire (PPQ) for the project. See Attachment B. Do not submit a PPQ when a completed CPARS is available. If both a completed CPARS evaluation and a PPQ are submitted in contravention of these instructions, only the CPARS evaluation will be considered.

o If the offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the offeror shall complete and submit with the proposal the first page of the PPQ, which will provide contract and client information for the respective project(s).

o Offerors should follow up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government's point of contact, Cory Pfenning, via email at cory.r.pfenning@usace.army.mil prior to proposal closing date.

The offerors shall instruct the clients to refer to the solicitation number in the subject line.

o The Government reserves the right, but is not obligated, to contact clients listed on submitted PPQs.

o PPQs are source selection materials. All successfully submitted PPQs will receive an email confirmation upon receipt. If the offeror does not receive the confirmation, it is the offeror's responsibility to follow up to ensure the government has received the information.

Offerors shall not incorporate by reference into their proposal PPQs or CPARS previously submitted for other procurements. However, this does not preclude the Government from utilizing previously submitted past performance information in the past performance evaluation.

Offerors may provide explanation on problems encountered on past projects and the corrective actions taken by the offeror.

In addition to the above, the Government may review other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the PPIRS (Past Performance Information Retrieval System) including CPARS, using all CAGE/DUNS (Commercial and Government Entity Code/Data Universal Numbering System) numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror's proposal, inquiries of owner representative(s), FAPIIS (Federal Awardee Performance and Integrity Information System), Electronic Subcontract Reporting System (eSRS), or other databases, telephone interviews with organizations familiar with the offeror's performance, Governmentpersonnel with personal knowledge of the offeror's performance capability, and any other known sources not provided by the offeror.

Past performance information retrieved through PPIRS, CPARS, or other sources are not subject to the same evaluation criteria but will instead be reviewed for recent negative performance, trends of negative performance, and any other performance information that may negatively impact the offeror's Confidence rating.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate, and complete past performance information rests with the offeror.

Evaluation Method:

The past performance evaluation results in an assessment of the offeror's probability of meeting the solicitation requirements. The recency and relevancy of the information, source of the information, context of the data, and general trends in the contractor's performance shall be considered.

These are combined to establish one performance confidence assessment rating for each offeror.

There are three aspects to the past performance evaluation: recency, relevancy (including text of data), and quality (including general trends in contractor performance and source of information).

The first aspect is to evaluate the recency of the offeror's past performance. For this solicitation, recent projects are those completed (as defined above) within five (5) years of the date of solicitation issuance.

The second aspect is to determine how relevant a recent effort accomplished by the offeror is to the work required by the solicitation. There are four levels of relevancy as shown in the table below.

PAST PERFORMANCE RELEVANCY

RATING DESCRIPTION

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant

Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

In assessing the relevancy of the offeror's past performance, the Government will consider the extent to which the submitted projects are relevant and similar in type, size, scope, and complexity to the solicited requirements particular emphasis on the following:

- Relevancy of transformer refurbishment work. The following aspects of transformer refurbishment are relevant to the solicited project.

o Refurbishment performed on Class II oil-filled power transformers rated greater than or equal to 230kV and 100 MVA, three-phase rating.

o Removal and installation of high-voltage and low-voltage bushings.

o Removal and installation of transformer mounted devices.

o Replacement of gaskets.

- Replacement or repair of transformer conductors internal to the transformer tank.

- Transformer internal inspections. The following aspects of transformer internal inspections are relevant to the solicited project.

o Analyzing evidence of burns, discoloration or deposits on the windings, connections, and bushing terminals.

- Transformer Oil-handling, Vacuum Processing, and Oil-filling. The following aspects of transformer oil handling operations are relevant to the solicited project.

o Transformer vacuum processing and hot-oil filling.

o Transformer oil draining and temporary storage, including the provision of oil containment.

- Power Transformer Testing. The following aspects of power transformer testing are relevant to the solicited project.

o Transformer electrical tests including at minimum but not limited to winding insulation resistance and power factor, winding resistance, turns ratio, and bushing power factor.

o Leakage reactance tests.

o Sweep Frequency Response Analysis tests.

More relevant past performance will typically be a stronger predictor of future success and have more influence on the past performance confidence assessment than past performance of lesser relevance.

The third aspect of the past performance is to determine how well the offeror performed on its past performance projects. If any performance issues are identified, the Government will consider the number, type, and severity of the problems and effectiveness of any corrective actions taken.

Based on a consideration of those three aspects for each project, the Government will assign a final Performance Confidence Assessment Rating for this factor. The Government will review the past performance information and determine the quality and usefulness as it applies to performance confidence assessment. In conducting a performance confidence assessment, each offeror shall be assigned one of the ratings using the table below.

PERFORMANCE CONFIDENCE ASSESSMENT

RATIN

G

DESCRIPTION

Substant ial Confi dence

Based on the offeror's recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfact ory Conf idence

Based on the offeror's recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Neutral Confide nce

No recent/relevant performance record is available, or the offeror's performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confide nce

Based on the offeror's recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Conf idence

Based on the offeror's recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

In the case of an offeror without a record of relevant past performance or for which information on past performance is not available, the offeror will not be evaluated favorably or unfavorably on past performance, and therefore may receive a "Neutral Confidence" rating.

Volume II - Price.

Price Evaluation

The Price Proposal will be evaluated using price analysis techniques to determine price reasonableness. The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the PCO determines that the lack of balance poses an unacceptable risk to the Government.

Section 00 40 00 - Procurement Forms and Supplements

UAI 5152.232-9001 Continuing Contracts - Special Continuing Contracts for Civil Works Projects Managed by the United States Army Corps of Engineers (Deviation)

As prescribed in 5132.705(a), insert the following clause:

CONTINUING CONTRACTS - SPECIAL CONTINUING CONTRACTS FOR CIVIL WORKS PROJECTS MANAGED BY THE

UNITED STATES ARMY CORPS OF ENGINEERS (DEVIATION) (SEP 2009)

(a) Funds are not available at the inception of this contract to cover the entire contract price. The liability of the Government is limited by this clause notwithstanding any contrary provision of the "Payments to Contractor"' clause or any other clause of this contract, except the Termination for Convenience clause. The sum of $336,000.00 has been reserved for this contract and is available for payment to the Contractor during the current FY.

It is expected that Congress will make appropriations for future FY from which additional funds, together with funds provided by one or more non-federal project sponsors, will be reserved for this contract.

(b) Failure to make payments in excess of the amount currently reserved, or that may be reserved from time to time, shall not be considered a breach of contract and shall not entitle the Contractor to a price adjustment under the terms of this contract.

(c) The Government may at any time reserve additional funds for payments under the contract if there are funds available for such purpose. The Contracting Officer will promptly notify the Contractor of any additional funds reserved for the contract by issuing an administrative modification to the contract.

(d) If earnings will be such that funds reserved for the contract will be exhausted before the end of any FY, the Contractor shall give written notice to the Contracting Officer of the estimated date of exhaustion and the amount of additional funds which will be needed to meet payments due or to become due under the contract during that FY. This notice shall be given not less than 120 days prior to the estimated date of exhaustion. Unless informed in writing by the Contracting Officer that additional funds have been reserved for payments under the contract, the Contractor shall stop work upon the exhaustion of funds.

(e) No payments will be made after exhaustion of funds except to the extent that additional funds are reserved for the contract.

(f) Any suspension, delay, or interruption of work arising from exhaustion or anticipated exhaustion of funds shall not constitute a breach of this contract and shall not entitle the Contractor to any price adjustment under the "Suspension of Work" clause or in any other manner under this contract.

(g) An equitable adjustment in performance time shall be made for any increase in the time required for performance of any part of the work arising from exhaustion of funds or the reasonable anticipation of exhaustion of funds.

(h) If, upon the expiration of 100 days after the beginning of the FY following an exhaustion of funds, the Government has failed to reserve additional funds for this contract sufficient to cover the Government's estimate of funding required for the first quarter of that FY, the Contractor, by written notice delivered to the Contracting Officer at any time before such additional funds are reserved, may elect to treat his right to proceed with the work as having been terminated. Such a termination shall be considered a termination for the convenience of the Government.

(i) If at any time it becomes apparent that the funds reserved for any FY are in excess of the funds required to meet all payments due or to become due the Contractor because of work performed and to be performed under the contract during the FY, the Government reserves the right, after notice to the Contractor, to reduce said reservation by the amount of such excess.

(j) The term "Reservation" means monies that have been set aside and made available for payments under this contract.
