(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $10,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor -

(1) Any order for a single item in excess of $4,000,000; for CLINs 0001 through 0004; any order for a single item in excess of $17,000,000 for CLINs 0005 through 0006;

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 2 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

SECTION L

1. Proposal Submittal. Proposals shall be submitted prior to the closing date and time identified on the Request for Proposals (RFP). The Technical, Past Performance, Cost/Price, Small Business Participation volume, and General volumes will constitute the offeror’s complete

“proposal” for the subject services and shall be submitted not later than 3:30 P.M. Central

Daylight Time (CDT) on July 9 , 2018. All volumes in the offeror’s proposal shall be sent via email to the procuring contract specialist at salameya.paulouskaya2.civ@mail.mil with copy furnished to the procuring contracting officer at gary.l.stevens.civ@mail.mil. Do not submit compact disks or digital video discs; the email transmittal with attachments shall comprise your official, complete submittal. The Government will provide confirmation of receipt and that all documents/attachments can be opened, read, and appear to be legible and uncorrupted. Receipt of the readable proposal shall constitute the official receipt of the proposal. Offerors should review the provisions of FAR Subparts 15.207 and 15.208 regarding electronic commerce.

a. Subcontractors may provide requisite information to the Prime for transmittal, or may transmit directly to the addresses listed above. Suspense for receipt at this office is the same as that for the Prime's proposal.

b. The email subject line must contain the organization name (short title), the solicitation number and name (18R0001 BRAC PM LSIA), and the words "Initial Proposal."

When submitting your proposal, pay special attention to the naming of the attachments, as the

Government firewall will remove any suspicious attachments from the email. Highly suggest the files be named with the short version of the organization name plus the volume identification

(i.e. Technical, Cost, etc.) and the words "Initial Proposal". Do not use special characters such as parentheses, periods, asterisks, etc. in the file name except the period prior to the type document identifier (.doc or .docx or .pdf or .xls or .xlsx, etc.).

c. Be sure you follow all instructions in Section L of the RFP and the various clauses and provisions.

d. The point of contact responsible for additional information and answering all inquiries is the Contracting Officer via the Contract Specialist. Address all questions or concerns you may have to the Contract Specialist, Ms. Salameya Paulouskaya at salameya.paulouskaya2.civ@mail.mil and the Contracting Officer, Mr. Gary L. Stevens at gary.l.stevens.civ@mail.mil. All questions regarding this solicitation shall be submitted in writing via email. Offerors are requested to review the solicitation and its amendments and submit only written questions and/or comments with the subject line:

Questions/Comments/Exceptions for 18R0001 BRAC PM LSIA. The deadline for the submittal of all questions, comments, or exceptions is 3:30 p.m. CDT, June 18, 2018.

2. General Instructions. The selection of a source for award purposes will be conducted utilizing formal source selection procedures as delineated in FAR Part 15.3. Offers will be evaluated using the criteria under Section M, Evaluation Factors for Award. Noncompliance with the RFP requirements may hamper the Government's ability to properly evaluate the proposal and may result in elimination of the proposal from further consideration for contract award. The expected date for initiation of contract performance (phase-in) is December 1, 2018.

Full performance is expected to begin no later than January 1, 2019.

a. The Offer. The submission of the documentation specified below will constitute the offeror's acceptance of the terms and conditions of the RFP, concurrence with the PWS, and the contract type.

b. It is the Government’s intention to award without discussions. Offerors are encouraged to present their best mission capability (technical) proposal and prices in their initial proposal submission. However, should discussions become necessary, the Government reserves the right to conduct them.

c. Offerors are cautioned that “parroting” of the Technical requirements of the PWS with a statement of intent to perform does not reflect an understanding of the requirement or capability to perform. Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Proprietary information shall be clearly marked. Files shall not contain classified data. The use of hyperlinks is prohibited.

d. Instructions outlined in paragraph 3 prescribe the format for the proposal and describe the approach for the development and presentation of proposal data. These instructions are designed to ensure the submission of all necessary information to provide for the understanding and comprehensive evaluation of proposals.

e. If the offeror believes that the requirements in these instructions contain an error, ambiguity, omission, or are otherwise unsound, the offeror shall immediately notify the

Contracting Officer in writing with supporting rationale. Offerors are reminded that the

Government reserves the right to award this effort based on the initial proposal, as received, without discussion.

f. All referenced documents for this solicitation are available on the Federal Business

Opportunities (FedBizOpps) web site at http://www.fedbizopps.gov. If the offeror is unable to access the referenced documents, contact the point(s) of contact listed in paragraph 1.d.

g. In accordance with FAR Subpart 4.8, the Government will retain one copy of all unsuccessful proposals. The Government will destroy extra copies of such unsuccessful proposals.

h. Pursuant to FAR 9.505, two principles that Organizational Conflict of Interest (OCI) mitigation is meant to address include: (1) Preventing the existence of conflicting roles that might bias a contractor's judgment and (2) Preventing an unfair competitive advantage.

http://www.fedbizopps.gov/

i. Offerors shall disclose any potential OCI situations to the Contracting Officer as soon as identified and prior to any proposal submission. The disclosure shall include the facts and an analysis of the actual or perceived conflict and a recommended approach to neutralize or mitigate the potential conflict(s). Please note, the winning offeror will not be able to participate in other

U.S. Army BRAC support-type contracts, in particular caretaker operations or environmental remediation.

j. The preferred approach to potential conflicts is to negate/obviate the conflict.

Mitigation is considered only if it is not practical to negate/obviate the conflict. The Contracting

Officer will promptly respond to resolve any potential conflicts.

3. Proposal Preparation Instructions. The offeror’s proposal shall consist of five volumes:

Volume I - Technical

Volume II - Past Performance

Volume III - Cost/Price

Volume IV – Small Business Participation

Volume V -General

a. Proposal Format.

(1) Submittal. Offerors shall submit one complete electronic copy of all volumes.

Hardcopy (paper) volumes shall not be submitted.

(2) Exceptions. Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements in addition to those identified as evaluation factors. Award will be made on an “all or none” basis and offerors must propose to perform all aspects of the PWS and meet all threshold (minimum) requirements of the RFP to be eligible for award. Failure to meet a requirement may result in an offer being ineligible for award. Any assumptions, exceptions or deviations must be addressed and communicated to the Contracting Officer by 3:30 P.M. CDT, June 22, 2018, which is prior to the closing of this solicitation. If the offeror finds it necessary to take exception to any of the requirements specified in this solicitation, the offeror shall clearly identify the applicable

Volume and exceptions with a complete explanation of why the exception was taken, what benefit accrues to the Government, and its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. Each exception shall be specifically related to each paragraph or specific part of the solicitation to which the exception is taken. Offerors are cautioned that taking an exception may render the offer ineligible for award. This information shall be provided in the format below.

3) The small business subcontracting plan and the past performance questionnaire POC list are excluded from the page limitations.

(5) Page Description. A page shall be an 8 ½” x 11” “sheet” of paper. 11” x 17” pages are acceptable for tables/graphic representations; however, each 11” x 17” page counts as two pages. Margins shall be at least 1 inch on the top and bottom and 3/4 inch on the side. The offeror shall number each page in order to eliminate any confusion. Electronic copies that are not searchable will not be accepted and the proposal may be rejected as non-responsive. All price breakdown information to aid in the cost/price evaluation shall be submitted in MS Office Excel format and viewable in MS Excel 2013. Offerors shall ensure electronic copies are virus-free. Sound or video (e.g. wav, mpeg, etc.) files shall not be embedded into the proposal files. The use of hyperlinks is prohibited. The file name shall be

“Company Name, Volume Name, Initial Proposal”. Proprietary information shall be clearly marked. Files shall not contain classified data.

(9) The Government will not accept any changes to the contractor’s proposal after the closing date of the solicitation. See FAR 15.208 for further information regarding late proposals.

If discussions become necessary, page limitations may be placed on responses to Evaluation

Notices (ENs). The specified page limits for EN responses will be identified in the documentation forwarding the EN(s) to the offeror.

(10) Unacceptable Content. Failure to follow the proposal preparation instructions may cause the proposal to be deemed unacceptable by the Government.

b. VOLUME I - TECHNICAL.

(1) The Technical Volume shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims in the offeror’s proposal.

This volume shall not exceed 30 pages. Legibility, clarity, and coherence are very important.

Responses will be evaluated against the Mission Capability (Technical) factor/subfactors defined in Section M, Evaluation Factors for Award. The proposal shall not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Statements that the offeror understands, can, or will comply with the PWS (including referenced publications, technical data, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.);

and phrases such as “standard procedures will be employed” or “well-known techniques will be used,” etc. will be considered unacceptable. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the offeror's proposal. Elaborate brochures or documentation, detailed art work, or other embellishments are unnecessary and are not desired.

(2) The Technical Volume shall, at a minimum, be prepared in a form consistent with the PWS and the evaluation criteria for award set forth in Section M of the RFP. The volume shall be prepared in an orderly format and in sufficient detail to enable the Government to make a thorough evaluation of the offeror’s technical competence and ability to comply with the contract task requirements specified in the PWS. The offeror shall address as specifically as possible the actual methodology that would be used for accomplishing the PWS tasks. This volume must fully address the subfactors that will be evaluated (the Management/Technical

Approach, Staffing Approach/Key Personnel and Qualifications, Transition Plan, and Small

Business Participation).

(3) Section 1 - Management/Technical Approach/ Risk Mitigation, The offeror shall provide a detailed discussion describing their Management approach for the basic contract period and all option years. This must delineate the offeror’s technical expertise, the experience and expertise of any proposed team members or subcontractors, and their ability to perform and satisfy all contractual requirements in all functional areas and geographical locations. The narrative must clearly describe the offeror’s approach as well as demonstrate an understanding of all areas of the PWS. The narrative shall address potential risk areas and what steps will be taken to mitigate risks.

(4) Section 2 - Staffing Approach/Key Personnel and Qualifications. The offeror shall provide analysis and their best staffing plan to meet the requirements. The performance locations for this PWS are in the contiguous United States; the labor may be performed at a combination of Government and Contractor sites. Not all installations require full-time support.

The specific location of positions or personnel is dependent upon the offeror’s management/technical approach. This section must demonstrate adequate coverage of all functional areas and all installations/locations; the experience and qualifications of the personnel;

and the offeror’s personnel recruitment and retention program. It must specifically address the

Key Personnel identified in PWS paragraph 1.6.28. The offeror shall provide a resume for all

Key Personnel (Program Manager, Alternate Program Manager, Task Leads, and Explosive

Safety Expert) and a commitment letter signed by the individual for key personnel not currently employed by the offeror. Resumes shall contain the assigned specific duties/responsibilities and the necessary background, qualifications, and credentials to successfully accomplish the tasks within the PWS. Resumes shall demonstrate relevant experience associated with the position being fulfilled. The resumes and commitment letters are exempt from the 30-page limitation.

(5) Section 3 - Transition Plan. This area must detail the offeror’s Phase-In plan in accordance with PWS paragraph 1.6.32 and demonstrate the offeror’s ability to successfully transition into full contract performance within the designated periods.

c. VOLUME II – PAST PERFORMANCE. This volume shall address the offeror’s relevant past and present experience from a qualitative aspect. The Government will perform a

Confidence Assessment of the offeror’s past performance to arrive at a confidence rating. The

Confidence Assessment represents the evaluation of an offeror's past work record to assess the

Government's confidence in the offeror's probability of successfully performing as proposed.

Offerors shall submit the following information for no more than ten recent (within the past three years) and relevant contracts. This volume shall not exceed 25 pages. Offerors shall submit information regarding Government contracts for the prime offeror, teaming or joint-venture partner, or major subcontractor currently in performance or which were awarded during the past three years (from the issue date of this RFP) which are relevant to the efforts required by this solicitation. Relevant efforts are defined as services/efforts that are the same or similar in size, scope, and complexity to the effort (as compared to NAICS code 541618) required by the RFP.

Note that relevant BRAC experience needs to be at the program management, environmental coordinator, or munitions and explosives of concern policy and implementation level with senior level staffing and coordination, not performing BRAC site-specific or installation support or general environmental clean-up efforts or database/spreadsheet design or records keeping.

(1) Data concerning the offeror shall be provided first, followed by the proposed teaming or joint-venture partners or major subcontractor, in alphabetical order. The offeror shall also submit the written consent of its teaming or joint-venture partners or major subcontractors to allow the disclosure of their past performance information to the offeror. In order for their past performance to be considered, the proposal shall include letters of commitment for each teaming partner and major subcontractor (in Section 3, Volume V - General). The Past Performance

Information Retrieval System and other sources may be used to help determine if the relevant experience is the same or similar in nature, size, and complexity to the work specified by this solicitation. This volume shall be organized into four sections.

(2) Section 1 – Contract Descriptions. This section shall include the following information:

Contract Number and if applicable, Task or Delivery Order Number(s).

Contract Type (specific type such as Fixed-Price, Cost-Reimbursement, Time &

Materials, etc.). For Indefinite-Delivery contracts, indicate the specific type (Requirements, Definite-Quantity, or Indefinite-Quantity) and secondary contract type (Fixed-Price, Cost-

Reimbursement, Time & Materials, etc.)).

Contractor/Subcontractor place of performance, Commercial and Government Entity

(CAGE) Code and Data Universal Number System (DUNS) Number. If the work was performed as a subcontractor, also provide the name of the prime contractor and Point of Contact

Government’s technical representative/Contracting Officer’s Representative name, current email address, and telephone numbers.

(3) Section 2 - Narrative. Offerors shall provide a specific narrative explanation of each contract listed in Section 1, Contract Descriptions, describing the objectives achieved and detailing how the effort is relevant to the requirements of this solicitation.

(a) Information must be for the specific offeror, teaming or joint-venture partners, or subcontractor only, information for parent, sister, or affiliated firms will not be considered unless that firm will be significantly participating in contract performance. The relevant consideration is whether the resources of an affiliated company -- its workforce, management, facilities, or other resources -- will be provided or relied upon for contract performance, such that the parent or affiliate will have meaningful involvement in contract performance.

(b) New corporate entities may submit data on prior contracts involving officers and Key Employees that will directly work on this requirement. In addition to the Contract

Description and Performance information, the offeror shall discuss in detail the role performed by such persons in the prior contracts cited.

(c) For any contracts that do not or did not meet original schedule or technical performance requirements, provide a brief explanation of the reason(s) for the shortcomings and any corrective action(s) taken to avoid recurrence. The offerors shall list each time the delivery schedule was revised and provide an explanation of why the revision was necessary. All

Requests for Deviation and Requests for Waiver shall be addressed with respect to causes and corrective actions. The offerors shall also provide a copy of any Cure Notices or Show Cause

Letters received on each contract listed and a description of any corrective action implemented by the offeror or proposed subcontractor. The offerors shall indicate if any of the contracts listed were terminated and the type and reasons for the termination.

(4) Section 3 - Past Performance Questionnaire. For the contracts identified in

Section 1, Contract Descriptions, a Past Performance Questionnaire must be initiated
