The Following Clauses and Provisions are Incorporated by Full Text

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (OCT 2018)

(a) Definitions. As used in this provision—

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means—

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror □ has □ does not have current active Federal contracts and grants with total value greater than $10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in–

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management, which can be accessed via https://www.sam.gov (see 52.204-7).

(End of provision)

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (MAR 2020)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code for this acquisition is 541512; the small business size standard for this NAICS is $30M. The small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show—

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) “Remit to” address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Multiple offers will not be considered for this acquisition.

(f) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)

(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and-

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation.

The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

4.2. Volume II – Technical Approach (Factor 1)

4.2.1. The Technical Approach Volume shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims. Legibility, clarity, and coherence are very important. The offeror’s responses will be evaluated against the criteria identified within FAR 52.212-2 “Evaluation – Commercial Items”. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Statements that the Offeror understands, can, or will comply with the PWS (including referenced publications, technical data, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., will be considered unacceptable. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the Offeror's proposal. Elaborate brochures or documentation, detailed artwork, or other embellishments are unnecessary and are not desired.

4.2.2. At a minimum, the Technical Volume shall be prepared in a form consistent with the PWS and the evaluation criteria. This volume shall be prepared in an orderly format and with sufficient detail to enable the Government to make a thorough evaluation of the Offeror’s approach and ability to comply with the contract task requirements specified in the PWS. The Offeror shall address, as specifically as possible, the actual methodology that will be used.

4.2.3 The Offeror shall provide a proposal which demonstrates how it intends to provide a Technical Approach which addresses the following Factors and Subfactors:

Factor 1: Technical Approach:

Subfactor 1: This sub-factor evaluates the offeror’s ability to perform and satisfy all contractual requirements of this solicitation. The proposal must demonstrate a high level of understanding of the tasks outlined in the PWS. At a minimum, the proposal must clearly describe, demonstrate and address each of the following specified requirements:

1. The proposal must provide a plan that outlines how the Offeror intends to accomplish contract tasks per PWS paragraphs; 5.6, 5.8, 5.12, 6.1.3, and complete high quality deliverables as noted in the PWS Technical Exhibit 1. The plan must also highlight innovative ideas to improve system usefulness and efficiencies related to system design, current reports, processes, and data quality that would increase the usefulness of the system for users at all Army levels;

2. The proposal must quantify the offeror’s current technical and functional knowledge related to the ASIP and all official Army databases used to update the ASIP as listed in Appendix A. The offeror’s must describe specific experience using these databases as required per PWS paragraph 1.6.19.2.and section 1.

1.6.20. In addition, the offeror must include thoughts on the use of other data sources to improve data quality and generate more accurate population data for all Army Installations; and

3. The proposal must describe in detail the corporate knowledge and understanding of the ASIP process used to update the ASIP database it aligns with, The Army Force Structure, and Installations and other official Army databases. The Offeror must explain the process of extracting data from source systems and updating Contractor population reported through the ASIP Contractor module. The proposal must explain how to generate a Contractor’s specific unit and how to link a Contractor unit to the supported unit. The proposal shall also include recommendations for streamlining and improving ASIP processes.

Subfactor 2: Data Integration and Extraction. This sub-factor will evaluate the Offeror’s capability to operate and maintain the existing web service architecture between ASIP and its feeder systems (PWS Section 5). An acceptable approach must be able to describe the holistic requirements associated with ASIP web service management. The Offeror’s proposal must address in detail the following:

1. Propose innovative and efficient methods for consolidating existing interfaces into a flexible data architecture, while maintaining compliance with Business Enterprise Architecture requirements;

2. Identify potential challenges in constructing/maintaining a data integration pipeline for inbound Army Unit data - propose innovative and efficient methods to overcome the challenges;

3. Propose innovative and efficient methods to ensure consistency between web services and the Extract Transfer and Load processes with specific regard to ASIP data sources; and

4. Propose innovative and efficient methods to produce a large number of data extracts in alignment with

Army business requirements that maintain a consistent reporting result across all platforms (e.g., standard deliverables, web application, outbound web services, etc.).

Subfactor 3: Staffing Plan / Key Personnel Qualifications and Experience. This sub-factor evaluates documented evidence of the offeror’s ability to provide personnel who satisfy all contract qualifications and requirements outlined in the PWS paragraphs 1.6.19.2. and 1.6.20. At a minimum, the proposal must address, in detail, each of the following specified minimum requirements:

1. The proposal shall include a staffing plan which identifies the offeror’s proposed staffing solution to meeting the requirements of the PWS. This staffing plan, including the structure, quantity, and/or identification of minimum education, years of experience, and skill set will become incorporated into the contract upon award and the contractor will be held to this plan. Deviations from this plan must be mutually agreed to between the Government and the contractor. This staffing plan shall include details such as:

a. Which labor categories will be assigned to specific PWS task areas;

b. The proposed quantity of hours for each labor category;

c. An identification of the quantity of personnel occupying each labor category;

d. The minimum education level of each proposed labor category which the offeror will accept when hiring a person to fill the labor category;

e. The minimum quantity of years of experience for each labor category which the offeror will accept when hiring a person to fill the labor category; and

f. An identification of the skill set the offeror finds relevant to each specific labor category.

2. The offeror must provide a resume for each of the four Key Personnel identified in PWS Section 1.6.19.2.

The evaluation assumes that the key personnel identified will perform these contract duties after award. If the key personnel identified in the proposal do not materialize upon contract award, the Contractor must submit a nomination for replacement via resume to the KO and COR for approval/disapproval. The Contractor shall only be approved to cross utilize key personnel in the instance of the “Assistant Program Manager” role. All other Key Personnel must be 100% dedicated to their assigned role.

3. The expectation is that each Key Personnel position is filled by one Full-Time Equivalent (FTE). If the offeror is unable to provide one FTE who will perform all of the duties of that Key Personnel position, the offeror shall provide clear rationale which justifies its use of partial FTEs to fulfill a role. The rationale shall be thorough and complete and demonstrate how each of the tasks to be performed by the Key Personnel will be accomplished on a day-to-day basis. The rationale shall also explain leadership reporting procedures and protocols (who reports to whom).

4. The proposal must identify any proposed sub-contractor arrangements (if one exists) in its proposed approach to accomplish the tasks in the PWS. The Contractor must identify the sub-contractors (if any) and the associated responsibilities and skill sets for each in accomplishment of the PWS tasks.

Subfactor 4: ASIP Data Quality Metrics. As the Army’s population planning system, ASIP maintains data connections with a growing number of partner systems and organizations that have a specific need for data transformation requirements. It is critical that the Offeror possess the ability to streamline data processing and data transformation capabilities in order to support this potential growth without an increase in long-term costs to the government. This sub-factor will evaluate the Offeror’s ability to address data quality and throughput challenges while making efficient use of government resources. At a minimum, the proposal must clearly describe the following:

1. Demonstrate detailed technical and corporate knowledge of not just Army population reporting requirements and analysis capability, but the broader use of ASIP data within DCS G9 business systems/processes and how ASIP plays a crucial role (e.g., Army Facility Requirements, MILCON, Installation Protection, etc.); and

2. Identify areas where poor data quality data is most likely to be encountered in the Army population database and data sources, describe potential root causes and propose innovative methods to improve data quality with specific regard to Army Installations stationing and planning business processes. Propose quality metrics that would provide best visualization (without regard to specific software platform) at the Army installation and HQDA levels.

4.3 Volume III – Past Performance (Factor 2)

4.3.1 The Government intends to evaluate Past Performance by reviewing reports submitted to the Contractor Performance Assessment Reporting System (CPARS) database. The offeror shall provide the Government with up to three (3) contract references that included a CPARS report. Offerors shall provide:

1. Contract number (and task/delivery order number as applicable);

2. Indicate whether performance was as a Prime Contractor or a major Subcontractor. If a subcontractor, please indicate the percentage of the total contract dollar value your company performed; and

3. The Period of Performance in which your company was performing this contract (Note: this date may be different than the contract Period of Performance, but should not exceed the end date of the current

POP).

4.3.2. The offeror shall provide up to three contract references which are recent and relevant.

Recent is defined as work having occurred within the three years immediately preceding the issue date of this solicitation.

Relevant is defined as an effort similar in nature of work, size, and complexity and closely connected to the work specified by the PWS included within this solicitation.

4.3.3. The Contracting Officer will research the referenced contract number in the CPARS database and evaluate the reports for recency. If determined to be recent, the contract will be evaluated for relevancy.

Once determined to be both recent and relevant, the Contracting Officer will evaluate the two CPARS report ratings for Quality and Schedule. No other performance ratings will be evaluated.

4.3.4 The Government does not require the offeror to provide a detailed analysis of its CPARS rating.

4.3.5 If the offeror provides a contract reference which has a rating below Satisfactory, the Contracting Officer may contact the respective point of contact for that contract to obtain further information about the circumstances surrounding the situation. The Contracting Officer may consider the context of the performance problems, any mitigating circumstances, the number and severity of the problems, the demonstrated effectiveness of corrective actions taken, and the overall work record. If there is past performance information that adversely impacts an offeror’s proposal assessment, the Contracting Officer may provide the offeror an opportunity to address any such information on which it has not had a previous opportunity to comment.

4.3.6 The Contracting Officer will search the CPARS database for all contracts performed by the offeror within the last three years. If additional contracts are determined to be recent and relevant to the current requirement, the CPARS reports for those additional contracts will be evaluated as defined in paragraph 4.3.3. above and in FAR 52.212-2 below.

4.3.7. If the offeror has no recent, relevant CPARS reports to reference, the offeror’s Past Performance will be evaluated as defined in FAR 52.212-2, Evaluation – Commercial Items, below.

4.4 Volume IV – Price (Factor 3)

4.4.1. The Offeror shall submit prices for each Contract Line Item Number (CLIN), with the exception of CLINs 0002, 1002, 2002, 3002 and 4002. The offeror shall provide for all other CLINs:

1. The monthly Firm Fixed Price (FFP) amount.

2. The extended FFP amount, obtained by multiplying the monthly price by the quantity of months specified in the CLIN schedule.

3. CLINs 0002, 1002, 2002, 3002 and 4002 are travel CLINs that will be reimbursed at actual cost. Offerors shall leave these five travel CLINs blank at this time.
