Statements such as “the offeror understands, can, or will comply with the PWS,” (including referenced publications, technical data, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., will be considered unacceptable and will negatively impact the offeror’s rating. The offeror shall address as specifically as possible the actual methodology to be used for accomplishing the PWS tasks.
Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the offeror's proposal. L.3.2.5.2. TAB E.2: Subfactor 2: Staffing. The Offeror shall submit a staffing plan that identifies the proposed staff required to fulfill tasks outlined in this requirement.
The Staffing Approach must demonstrate a complete understanding of the solicitation requirements. The following items shall also be included in the Staffing Approach.

All formulas, lookup tables, and links shall be intact, and no links shall exist to files not included with the submission.
Spreadsheets shall not contain hidden worksheets. PDF or flat files will not be considered adequate. Other Than Certified Cost or Pricing Data is necessary to support a determination of reasonableness and balanced pricing, and all of the following must be provided in the Volume III price proposal to satisfy this requirement.
The Price Breakdown shall be included as identified below.
L.3.3.1. Compliance. Failure to comply with the solicitation requirements for Cost information may result in an adverse assessment of an offeror’s proposal and reduce or eliminate its chance of being selected for award. Offerors shall ensure that the information presented in this volume is consistent and correlates with the information contained in the other proposal volumes. Also, the Offeror shall ensure that the information submitted in this volume is consistent with and fully supports the amounts set forth in the SF33 and continuation sheets.
L.3.3.2. General Instructions. In accordance with Federal Acquisition Regulation (FAR) 15.402 and 15.403-1, certified cost or pricing data are not required based on the fact that adequate competition is expected for this procurement. Information other than certified cost or pricing data may be provided in contractor format providing that sufficient information is made available. Information submitted shall be prepared following the instruction in FAR 15.403-5. If after receipt of proposals the Contracting Officer determines that there is insufficient information available to determine price reasonableness and none of the exceptions at FAR 15.403-1 apply, the Offeror may be required to submit additional cost or pricing data. Additionally, in the event that adequate competition is not obtained, the Contracting Officer may incorporate FAR 52.215-20 entitled, “Requirements for Cost or Pricing Data or Information Other Than Cost or Pricing Data,” into the solicitation and request a Certificate of Current Cost or Pricing Data. There are no page limitations for this volume. Proposal information included in this volume which is not directly related to Cost will be disregarded.

L.3.3.3.2. Schedule. The Pricing Schedule (see below chart) shall be submitted fully completed. The Offeror shall indicate the price to be charged for each CLIN. Insert proposed unit price, and extended prices for the appropriate CLIN in the Pricing.
Offerors shall fill in the proposed prices (base year plus all option years) for the unit prices on the pricing schedule provided in Section B of the solicitation for the services requested. The Offeror shall ensure the units prices are represented in two decimal positions only (example: $0.27, not $0.27458) NOTE, the proposed unit price, must calculate out to the extended unit price; that is, using the above example of $0.27/unit, $0.27 x 3 equals $0.81, whereas $0.27458 x 3 equals $0.82374, when rounded is $0.82. Extended price shall equal two decimal unit price, times the number of units.
The offer shall complete all CLINS including the total amount for each period and the total amount for total contract price. The Offeror shall include spreadsheet showing a roll up of these calculations (is CLIN, Option years and Total Contract Price).
The schedule shall include:
FLSA
Exemption/ Non-Exempt status
Area Wage Determination Code (if applicable)
Labor Category
Number of FTEs
Labor Hours
Total Labor Hours (all FTEs)
Fringe Benefits
G&A Overhead Profit
Additional columns should be added to include any additional indirect rates that establish fully burdened labor rates and total price, to include inflation.
L.3.3.3.4. Area Wage Determinations. Pursuant to the Service Contract Act of 1965, the determination by the Secretary of Labor as to the applicable minimum monetary wage and fringe benefits will be made part of any resulting contract. For evaluation purposes only, the Government has incorporated the applicable Area Wage Determinations as Attachment 3 of this RFP. The offeror shall provide a crosswalk of the proposed labor categories against the Area Wage Determinations.
L.3.3.3.5. Subcontractor Costs. The offeror shall submit a complete breakdown of costs by major subcontractor. A major subcontractor is defined as a member of the offeror’s overall team who is expected to perform 25% or more of the proposed effort.
Additionally, Offerors shall provide a statement that shall address the total percentage of labor dollars to be performed by the prime and each teaming partner (even those proposed to perform less 25% of the proposed effort), in order to validate compliance with FAR 52.219-14, Limitations on Subcontracting. Breakdown of costs is not required for subcontractors proposed to perform less than 25%.
L.3.3.3.6. Other Information. The offeror shall provide background information, other than the pricing data that is required, concerning its pricing methodology.
This information shall include details of the methodology applicable to the offer.
The data will be used by the government to better understand the pricing.
L.3.4. VOLUME IV: PAST PERFORMANCE: This volume shall contain past performance information regarding similar contracts. Past performance information described herein is required on the offeror and all major subcontractors, teaming partners, and/or joint venture partners performing work that constitutes more than 25% of the total proposed cost of the contract. This volume shall not exceed 25 pages plus five pages for each major subcontractor, excluding Past Performance Questionnaire Forms. Offerors shall submit all Government and/or commercial contracts for the prime offeror and each major subcontractor in performance or awarded during the past three years, from the issue date of this RFP, which are relevant to the efforts required by this solicitation. Relevant efforts are defined as services/efforts that are the same as or similar to the effort required by the RFP.
Data concerning the offeror shall be provided first, followed by each proposed major subcontractor, in alphabetical order.
This volume shall be organized into the following sections:
L.3.4.1. TAB A: Table of Contents.
L.3.4.2. TAB B: Letters. The offeror shall submit a consent letter, executed by each major subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For each identified effort for a commercial customer, the offeror shall also submit a client authorization letter, authorizing release to the Government of requested information on the offeror's performance. The Offeror shall also submit the written consent of its major subcontractors to allow the disclosure of its subcontractor’s past performance information to the Offeror. In addition, letters of commitment shall be included for all major subcontractors for their past performance to be considered.
L.3.4.3. TAB C: Organization Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
L.3.4.4. TAB D: Specific Relevant Contracts Format. The offeror shall include documentation regarding their relevant past performance as it directly relates to the work being procured under this solicitation. The offeror SHALL NOT go back any farther than 3 years for services for the submitted data. The past performance data shall document a successful history of past contract performance. Sheets shall be in accordance with attached specific relevant contract sheets and are limited to 3 pages per reference. Offeror shall use Attachment 5 Specific Relevant Contract Sheet as Section 2 to provide this information.
L.3.4.4.1. Section 1 – Contract Descriptions. This section shall be a table or chart with an overview of the past performance data being provided and shall include the following information.

All Requests for Deviation and Requests for Waiver shall be addressed with respect to causes and corrective actions. The offerors shall also provide copy of any Cure Notices or Show Cause Letters received on each contract listed and a description of any corrective action implemented by the offeror or proposed subcontractor. The offerors shall indicate if any of the contracts listed were terminated and the type and reasons for the termination.
ii. For all contracts, the offeror shall provide data on all manufacturing warranty returns. Data shall delineate total number of warranty returns, number of Could Not Duplicate (CND), number of failures attributable to GFE component failures, and number and nature of failures attributable to the offeror’s delivered product.
L.3.4.4.3. Section 3 – Subcontracts. Offerors shall provide an outline of how the effort required by the RFP will be assigned for performance within the offeror’s corporate entity and among the proposed subcontractors. The information provided for the prime offeror and each proposed major subcontractor must include the entire company name, company address, CAGE Code, UEI Number and type of work to be performed by citing the applicable Government PWS subparagraph number. This includes all subcontractors who will be providing critical hardware/services or whose subcontract is for more than 25% of the total proposed cost/price. Written consent of major subcontractors to allow the disclosure of their subcontractor’s past performance information to the Offeror and letters of commitment for all major subcontractors shall be included in TAB B as instructed above.
L.3.4.4.4. Section 4 – New Corporate Entities. New corporate entities may submit data on prior contracts involving its offices and employees. However, in addition to the other requirements in this section, the offeror shall discuss in detail the role performed by such persons in the prior contracts cited. Information should be included in the files described in the sections above. Letters of Commitment shall be included in the proposal for these employees in order to be considered.
L.3.4.4.5. Section 5 – Past Performance Questionnaire. For all contracts identified in Section 1, Contract Descriptions, offerors shall provide Contract Performance Assessment Reports (CPAR), if available, for any contracts referenced in Attachment
5. In the event a CPAR is not available, offerors shall complete sections A & B of Attachment 6 (Past Performance Questionnaire) and e-mail the questionnaire to both the Government contracting activity and technical representative responsible for the past/current contract. The POCs shall be instructed to e-mail the entire questionnaire to the Contracting Office, NOT to the Offeror, no later than the proposal due date, to richard.j.buelow.civ@army.mil and cheryl.m.todd.civ@army.mil. The offeror shall e-mail to the Contracting Officer a list of all the POCs who were sent a questionnaire.
The Government must receive this list no later than 5 business days prior to the proposal due date. The POC List shall be submitted in Word for Windows Table Format to include the following fields: Solicitation Number; Company Name; Contract Number; Government Agency; POC Last Name, First Name; POC Title; POC
Telephone Number; POC E-mail Address; and Date E-Mail to POC (month/day).
L.3.4.4.6. Submissions. Offerors are discouraged from providing points of contact with another contractors’ facility, i.e., in case an offeror (or one of his/her team members) is in a subcontract with another contractor who has submitted a proposal on the same requirement. Offerors shall provide and submit the prime contract number and all Governmental agency POCs in lieu of subcontract numbers or prime contract POCs in situations as described above.
L.3.4.4.7. Small Business Participation Past Performance. All Offerors shall submit information substantiating the Offerors’ past performance in complying with FAR 52.219-8, Utilization of Small Business Concerns, maximizing opportunities for U.S. small business subcontractors. Offerors shall also provide a statement indicating whether any negative information has been reported in the past six years concerning the Offerors’ past compliance with FAR 52.219-8. If any such negative information has been reported, the Offeror may submit explanations or comments responding to such negative information. Offerors with no prior contracts containing FAR 52.219-8 shall certify the same.
In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the offeror’s Past Performance Volume and information obtained from other sources, such as the Past Performance Information Retrieval System (PPIRS) or similar systems, Defense Contract Management Agency (DCMA) and commercial sources. Offerors are reminded that both independent data and data provided by offerors in their proposals may be used by the Government to evaluate offeror past performance. However, the burden of providing thorough, complete, and current past performance information as requested in this paragraph remains with the offerors. Proposals that do not contain the information requested by this paragraph risk rejection or a less than acceptable performance rating by the Government. All past performance comments received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a) (2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”
L.3.5. Additional Information:
L.3.5.1 Multiple offers. Offeror shall submit only one offer presenting the terms and conditions for satisfying the requirements of this solicitation.
L.3.5.2. Multiple awards. The Government will award one contract on an “all or none” basis.
SECTION M - EVALUATION FACTORS FOR AWARD
EVALUATION FACTORS FOR AWARD
SECTION M – EVALUATION FACTORS FOR AWARD
M.1 BASIS FOR AWARD. The award will be made based on the best overall (i.e., best value) proposal that is determined to be the most beneficial to the Government, with appropriate consideration given to the three (3) evaluation factors: Technical, Price, and Past Performance.
M.1.1. Trade-Off Assessment. A trade-off assessment will be made between the cost and non-cost factors in order to determine the Offeror whose proposal is the best value to the Government with appropriate consideration given to the factor order of importance.
M.1.2. Factor Relative Order of Importance. With regard to factor order of importance, the Technical factor is more important than the Past Performance factor, which is more important than the Price factor. When combined, the Technical factor and Past Performance factors are significantly more important than Price. NOTE: ALL
NON-PRICED FACTORS, WHEN COMBINED, ARE SIGNIFICANTLY MORE
IMPORTANT THAN PRICE.
M.1.3. Consideration for Award. To receive consideration for award, a rating of no less than “Acceptable” must be achieved for both the Technical factor to include all subfactors. Additonally, a rating of neutral confidence or better must be achieved for the Past Performance factor. Offerors are cautioned that the award may not necessarily be made to the lowest priced offer.
M.1.4. Discussions. Offerors are cautioned that as set forth in FAR 52.215-1(f)(4), the Government intends to evaluate proposals and award a contract without discussions (except clarifications as described in FAR 15.306(a), clarifications and award without discussions). Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. In the event that discussions are held, a competitive range determination will be made. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated technically acceptable proposals.
M.2. FACTORS AND SUBFACTORS TO BE EVALUATED
The following evaluation factors and subfactors will be used to evaluate each proposal:
Award will be made to the offeror whose proposal is most advantageous to the Government based upon an integrated assessment of the evaluation factors and subfactors described below. The Government reserves the right to make award based upon the Price factor in the event that the Technical and Past Performance evaluation results of all the offerors’ proposals are substantially the same.
M.2.1. Factor 1: Technical. The Technical factor is further divided into the following subfactors:
Subfactor 1. Management Subfactor 2. Staffing
Subfactor 1 is weighted relatively equal to that of Subfactor 2.
Evaluation of the offeror’s proposal shall address each Technical subfactor as it applies to the Performance Work Statement (PWS). A detailed explanation of the criteria for the evaluation is set forth in the “Evaluation Approach”, Paragraph M.3.2 of this section.
During evaluation of each proposal, the Government will assign each Technical subfactor an adjectival rating and write a narrative evaluation reflecting the identified findings. Offerors are cautioned that any rating less than “Acceptable” in either subfactor will result in a less than “Acceptable” rating for the overall Technical factor.
M.2.2. Factor 2: Price: The resulting award will be a Firm Fixed Price contract.
Unreasonably high, unbalanced, inaccurate or incomplete price proposals may be the grounds for eliminating a proposal from competition.
M.2.3. Factor 3: Past Performance: Each offeror’s past performance will be reviewed to determine relevancy and provide a confidence assessment. This includes review of contractor provided past performance information regarding similar contracts and the Government review of Contractor Performance Assessment Reporting System (CPARS) reports.
M.3. EVALUATION APPROACH
All proposals shall be evaluated by a Source Selection Team (SST).
M.3.1. The overarching evaluation approach for all factors and subfactors is as follows:
M.3.1.1. Adequacy of Response. The proposal will be evaluated to determine whether the offeror’s methods and approach have adequately and completely considered, defined, and satisfied the requirements specified in the RFP. The proposal will be evaluated to determine the extent to which each requirement has been addressed in the proposal in accordance with the proposal submission section of the
RFP.
M.3.1.2. Feasibility of Approach. The proposal will be evaluated to determine the extent to which the proposed approach is workable and the end results achievable. The proposal will be evaluated to determine the extent to which successful performance is contingent upon proven devices and techniques. The proposal will be evaluated to determine the extent to which the offeror is expected to be able to successfully complete the proposed tasks and technical requirements within the required schedule.
M.3.2. Factor 1 – Technical. The Technical factor is divided into the following subfactors:
M.3.2.1. Subfactor 1: Management. This subfactor evaluates the offeror’s proposed Management Approach for the basic contract period and all option years. Marginal levels of overall Management Approach could indicate a lack of understanding concerning mission requirements and may result in the entire proposal receiving an unfavorable rating and/or being eliminated from the competitive range, if one is established. The evaluation will focus on the offerors’:
i. Management structure of key personnel and their roles and responsibilities in fulfilling the tasks outlined in the PWS.
ii. Approach to the management of personnel and capability to ensure the ability of proposed staff to perform work assignments accurately and in a timely manner
iii. Approach to their proposed inspection system, including frequency and methods of identifying and preventing deficiencies for contract functions, to determine effectiveness and thoroughness of quality control procedures.
iv. Approach to development and implementation of an effective quality control plan that adheres to requirements specified in the Quality Assurance Surveillance Plan.
M.3.2.2. Subfactor 2: Staffing. This subfactor evaluates the offeror’s proposed Staffing approach for the basic contract period and all option years. Marginal levels of overall Staffing could indicate a lack of understanding concerning mission requirements and may result in the entire proposal receiving an unfavorable rating and/or being eliminated from the competitive range, if one is established. The evaluation will focus on how well Offerors’:
i. Have demonstrated how personnel will fit into the overall organization, adequately described the responsibilities of each position, and adequately demonstrated sufficient experience to manage and execute all operating systems of the EST II platform.
ii. Demonstrated how they will ensure personnel’s efficiency in the utilization of the TS-MATS platform in regards to schedule maintenance and monitoring of usage date for simulators.
iii. Demonstrated how they will ensure the quality of instruction and approach to maintaining proficiency on the most current version of EST II.
iv. Demonstrated their understanding and ability to comply with all Federal, State, Local, and safety regulations to include COVID-19 guidance.
M.3.2.3. Combined Technical/Risk Ratings. In accordance with the Army Source Selection Supplement (AS3), Section 3.1, the Army methodology for evaluating Technical Approach and Related Risk is the Combined Technical/Risk Rating, (see Table M.3.2.3 below). This methodology considers risk, in conjunction with the strengths, weaknesses, significant weaknesses, uncertainties, and deficiencies in determining technical ratings.
TABLE M.3.2.3 - Combined Technical/Risk Ratings Adjectival Rating Definition
Outstanding Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is very low.
Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low.
Acceptable
Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.
Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful contract performance is high.
Unacceptable Proposal does not meet requirements of the solicitation, and thus contains one or more deficiencies, and/or risk of unsuccessful performance is unnacceptable. Proposal is unawardable.
M.3.3. Price Factor. The Price Submission will not be scored or rated and adjectival ratings shall not be used for offerors’ Price proposals. The Government will fully evaluate all priced Contract Line Item Numbers (CLINs) for award. For award purposes, the total proposed price for all CLINs will be added together into a total sum (contract value). The evaluation of all option CLINs will not obligate the Government to exercise any option. The Offeror’s Price proposal will be evaluated as follows:
Evaluation of price will be performed using one or more of the price analysis techniques in FAR 15.404-1(b). Through these techniques, the Government will determine whether prices are reasonable, complete, and balanced. If adequate price competition is not obtained or if price reasonableness cannot be determined using price analysis of Government-obtained information, additional information IAW FAR 15.4 may be required to support the proposed price.
M.3.3.1. FFP Evaluation: For a price to be fair and reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business. The Offeror’s proposed fixed-price CLINs may be evaluated, using one or more of the techniques described in FAR 15.404-1 in order to determine if they are fair and reasonable.
M.3.3.2. Overall Cost/Price Proposal Evaluation: The overall Price proposal will be evaluated for the following:
i) Compliance: The Cost/Price proposal submitted by the Offeror will be evaluated for compliance based upon the submission requirements contained in Section L.3.3 Price instructions.
ii) Unbalanced Pricing: The Offeror’s overall Price proposal will be evaluated for unbalanced pricing as defined in FAR 15.404-1(g). An offer may be rejected if the contracting officer determines that the lack of balance poses an unacceptable risk to the Government (see FAR 15.404-1(g)(1) through FAR 15.404-1(g)(3)).
iii) Errors: The Offeror’s Price proposal will be reviewed for errors. The Offeror may be given an opportunity to clarify certain aspects of their proposal at the sole discretion of the Contracting Officer.
iv) Business Systems: The Government will verify the adequacy of the Offeror’s business systems.
