The following have been modified:
INSTRUCTIONS TO OFFERORS
GENERAL
This is a competitive negotiated procurement for Vessel Repair and Maintenance Services in Norfolk, Virginia. The Government intends to make an award to each and all qualifying offerors. A qualifying offeror is defined as an offeror that is determined to be a responsible source; submits a technically acceptable proposal that conforms to the requirements of the solicitation; and the Contracting Officer has no reasons to believe would likely offer other than fair and reasonable pricing ( FAR 2.101). In accordance with FAR 15.304(c)(1)(ii)(A), the Government will not include price as an evaluation factor in the source selection process. At the task order selection level, the Government will include price as an evaluation criterion.
The Government intends to award contracts based on Pools. Pool A will consist of offerors with the capability of conducting all anticipated repairs and maintenance (including drydocking) to the three largest vessels in the District’s floating plant inventory, the Derrick Boat (DB) Elizabeth, the Crane Barge ND-6, and the Survey Vessel (S/V) Ewell. Pool B will consist of offerors with the capability of conducting all anticipated repairs and maintenance to the remainder of the vessels in the District’s floating plant inventory, the S/V Adams II, Motor Vessel (M/V) Harrell, S/V Fentress, S/V Weyss and various skiffs. Both Pool A and Pool B vendors will be considered for performance of pier side maintenance and repair services on all vessels within the District’s floating plant inventory.
Vessel characteristics are listed in PWS section 1.3.
Offerors will be required to submit their interest and capability to perform work in one of three categories:
1) Pool A only, 2) Pool B only, 3) Both Pools A and B. The Government reserves the right of competing task orders in any of the three categories, based upon scope, technical requirements, and timeline requirements of the task order.
Page limitations are identified for each volume/section of the proposal as indicated in the solicitation and will be treated as maximums. If exceeded, excess pages will not be read or considered in proposal evaluation. When both sides of a sheet display printed material, it shall be counted as two pages. Page counts shall be single sided, not to exceed 12-Font.
Volume Volume I – Technical Capabilities and Experience
Volume II – Past Performance
Volume III– Contract Documentation
VOLUME I

For each submitted project, the Offeror should provide a concise narrative describing the work. The narrative should indicate the corresponding PWS section numbers which the submitted project demonstrates. The project narrative should indicate whether the project is submitted for Pool A, Pool B, or both. The narrative should indicate for which of the five tasks defined below the project is submitted. The narrative should also describe the facilities (as defined in PWS Section 3.27) it will utilize to perform the requirements, if applicable.

SECTION M - EVALUATION FACTORS FOR AWARD
The following have been modified:
EVALUATION FACTORS FOR AWARD
EVALUATION FACTORS FOR AWARD
Basis of Award
The Government intends to conduct a source selection in accordance with FAR 15.304(c)(1)(ii)(A), and intends to make an award to each and all qualifying offerors. A qualifying offeror, as defined in FAR 2.101, is an offeror that is determined to be a responsible source; submits a technically acceptable proposal that conforms to the requirements of the solicitation; and the contracting officer does not have a reason to believe would likely offer other than a fair and reasonable price. The Government will not include price as an evaluation factor in this source selection process. At the task order selection level, the Government will include price as one of the factors in the selection decision for each order placed under the contract..
Application of Factors General The Government will evaluate each Offeror's proposal in accordance with the factors contained in Section L and listed below to determine whether an offeror is a qualifying offeror. The evaluation factors represent areas of importance to be considered in the source selection decision. The factors and associated elements have been chosen to support meaningful discrimination among competing proposals. A prospective Offeror will be evaluated on its ability to meet or exceed the program’s requirements stated in the PWS, as demonstrated in its proposal. Each proposal will be evaluated in accordance with the factors described in this section (M) and listed in the Factors below. Offerors are required to provide data addressing all stated factors in a clear and understandable format. If an Offeror does not have data relating to a specific factor, it shall be clearly stated in the proposal. Proposals that do not clearly address all factors may be considered unacceptable and may not receive further consideration.
Risk assessments will be performed as to the risk of unsuccessful performance within each factor. Proposals found to be unacceptable in any factor will result in the entire proposal being deemed Unacceptable and ineligible for award.
Factors I. Technical Capabilities and Experience
II. Past Performance
Factor I: Technical Capabilities and Experience.
The Government will evaluate the offeror’s submitted experience to determine if it demonstrates specific knowledge, capability, and experience at the corporate level (not individual employees) in performing the specific tasks defined in Paragraph 3.22 of Section L.
The Government’s evaluation of experience will include an assessment of whether the Offeror demonstrates the ability to accomplish the work specified under the RFP. Offerors will be assigned an acceptable/unacceptable rating based on the evaluation of the Offeror’s proposal in accordance with the requirements of the solicitation :
Ratings Description
Acceptable Proposal meets requirements of the solicitation.
Unacceptable Proposal does not meet the requirements of the Solicitation, and contains one or more deficiency.
The Government’s evaluation of experience will include an assessment of whether the Offeror demonstrates the ability to accomplish the work specified under the RFP. Offerors will be assigned an acceptable/unacceptable rating based on the evaluation of the Offeror’s proposal in accordance with the requirements of the solicitation. To be considered acceptable, for both Pool A and/or Pool B, the Offeror must demonstrate it has recent and relevant experience in all five following tasks (Refer to PWS Section 3.22.1 through 3.22.5):
1. Quick Response Support (PWS 3.22.1 )– The contractor shall provide support for meeting emergent, quick response requests to support the needs of designated customers to remove vessels from the water or transport them to their facility, to place in safe condition, to troubleshoot/repair of designated problems and provide reports of findings after investigation of reported system problems. Assist in troubleshooting designated customer’s emergent problems and provide proposed solutions. The contractor shall provide the required skills and trades to accomplish emergent repairs of hull, mechanical, electrical and electronic systems.
2. Marine Support (PWS 3.22.2) – The contractor shall provide boatyard support relating to operation, repair, and alterations of vessels. The boatyard shall have access to a crane, marine travel lift, synchro-lift or drydock to allow support services to be accomplished. The contractor shall provide equipment, labor, and general support to accomplish modernization or repairs. The contractor shall provide support services such as water, sewage, compressed air, and electrical power to sustain operation of vessel internal systems. The contractor shall be responsible for all the costs associated with the movement of vessels, equipment, or material within the contractors’ facility.
3. Alteration Installation (PWS 3.22.3) – The contractor shall provide the necessary facilities, equipment, tools, and trade personnel to accomplish hull, mechanical, electrical, and electronic alterations. These installations shall include, but are not limited to, all systems, equipment, and components or other items as identified.
Verification and completion of an alteration installation shall be accomplished in accordance with EM 385-1- 1 and applicable industry standards.
4. Repair (PWS 3.22.4) – The contractor shall accomplish hull, mechanical, electrical, or electronic or associated systems (i.e., hull, mechanical, electrical, and electronic systems; trailers; transporters;

The contractor shall repair existing equipment or systems including putting the equipment or system back into the original configuration or condition, as shown on existing drawings, technical manuals, technical direction documents, manufacturer’s literature, or other official information.

This support may be required 24 hours a day, seven days a week on an as needed basis. This support is required to be provided at the location requested by the user activity, which could be anywhere in their operational area.
Factor II: Past Performance.
The Government’s past performance evaluation will include an assessment of past performance on relevant contracts (as defined under Factor I) The evaluators will assess whether the Offeror has obtained an overall satisfactory past performance rating on relevant contracts, to demonstrate the ability of the Offeror to accomplish the work specified under the RFP. This assessment will be based on consideration of all relevant facts and circumstances, including any trends in past performance.
The Government will evaluate the Offeror’s past performance record, including the projects submitted under Factor I: Technical Capabilities & Experience, and other projects for performance information that is available to the Government.
Recency will be assessed based on whether the performance record documentation clearly demonstrates that the project was completed and turned over no longer than five (5) years preceding the date of this Solicitation.
For purposes of the Past Performance factor, relevancy for projects submitted in Factor I: Technical Capabilities & Experience will be based on the criteria shown in paragraph 5.3.2. For other matters reasonably available to the Government in the Offeror’s past performance record (e.g., CPARS reports), the Government will assess the performance record for overall trends.
In addition, the Government will collect and review any record of performance generated by and in the possession of the Government for the projects submitted under Factor I: Technical Capabilities & Experience. Any rating an Offeror has in CPARS, PPIRS, and FAPIIS related to the projects submitted will count toward this requirement.
Federal government project past performance will not be rated inherently more important than non-federal government project past performance.
The Government reserves the right to review other recent projects rated in Contractor Performance Appraisal Reporting System (CPARS) or other agency performance databases, review and/or contact Offeror furnished references, or to review personal knowledge. Should the evaluation team collect this type of performance information, it will review the overall quality of the performance, general trends, and usefulness of the information and incorporate these into the overall rating.
The Government also reserves the right to conduct telephone interviews, using Attachment C, Telephone Interview Questionnaire Form, with points of contact identified in the proposal. Owners/references may be asked to comment on items such as quality of construction, timeliness, management of the work subcontractor management, including timely payment to subcontractors or suppliers, safetylevel of support for such things as as-built documentation, O&M manuals, training, correcting design or construction errors, warranty work, etc. (See the Telephone Interview Questionnaire Attachment C).
The Government will target areas covered in the requirements of this solicitation including records of conforming to quality, schedule, price control, customer satisfaction, level of support for such things as as-built documentation, O&M manuals, training, warranty work, and safety. The Government will not release the Telephone Interview Questionnaire Forms to the Offeror at any time, in order for the Government to solicit candid, unbiased interview comments. The Government also places a higher value on projects, which document successful outcomes and are supported by outside source confirmation, for example, but not limited to telephone interviews with points of contact identified in the proposal, Contractor Performance Appraisal Reporting System (CPARS) or other agency performance databases, Offeror furnished references, or personal knowledge.
To the extent that an Offeror submits contract experience performed by a proposed subcontractor and there is no performance record for the subcontractor for that effort, that specific submission may be limited in terms of its ability to inform the Government’s confidence assessment.
The Government will determine the quality of each Offeror’s performance, including general trends, based on information collected from customers, and assign an adjectival rating as follows:
Ratings Description Acceptable Based on the offeror' s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror' s performance record is unknown. (See note below)
Unacceptable Based on the offeror' s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.
NOTE: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown (or "neutral") past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered "acceptable."
EVALUATION PROCEDURES:
A Source Selection Evaluation Board (SSEB) will be established to conduct the evaluation of proposals received in response to this Solicitation. The evaluation will be based on the content of the proposal, proposal revisions (if applicable), and any information obtained from other sources, e.g. past performance information. The SSEB will not consider any proposal incorporated by reference, except as expressly allowed by this solicitation. The SSEB will not compare proposals against each other. Once the SSEB finalizes its evaluation of the factors for each Offeror, the Source Selection Authority (SSA) will review the findings of the SSEB to ensure accuracy, consistency, and supportability in accordance with the evaluation factors.
a) The SSA, independently exercising prudent business judgment, will determine the Offeror that proposed the best offer to the Government.
b) Discussions (if Necessary). The Government intends to award without discussions. Offerors are responsible for including sufficient detail in their proposals, in a concise manner, to permit a completeand accurate evaluation.
Offerors should not assume that they will have an opportunity to clarify or correct anything in their proposal after submitting it. The Government may evaluate proposals as submitted, without further exchanges. However, the Government reserves the right to conduct discussions with Offerors if determined to be necessary and in the best interest of the Government. If discussions are held, the Government may engage in a broad give and take with each Offeror in the competitive range, in accordance with FAR 15.306 (d).
c) Failure to submit all the data in the format indicated in this Section may be cause for determining a proposal incomplete and, therefore, not considered for evaluation, and for subsequent award. Exceptions to the contractual terms and conditions of the solicitation (e.g., standard terms and conditions) may result in a determination to reject a proposal.
