SPECIFICATIONS
STATEMENT OF WORK
1. PURPOSE: To outline requirement for conversion of microfilm cartridges to CD’s/DVD’s.
2. SCOPE: This process will enable Detroit District Regulatory Office to complete upgrading their electronic permit file records management.
3. OBJECTIVE: The goal of this system would be to provide efficient document retrieval, minimize searches and frustration in locating files, as well as to, expand access to electronic permit files District wide.
4. DESCRIPTION OF REQUIREMENTS: Microfilm cartridges contain single images of document pages, each registered with blips and corresponding to frame numbers. There are also many continuous strip images of mailing lists, and each strip is associated with a single blip or frame number.
The Contractor must be able to return any requested source microfilm cartridges within twenty-four (24) hours of a telephone call with the exception of weekends.
Contractor shall ensure that each frame number on each cartridge shall correspond with its image number in a searchable pdf-a file format.
Contractor shall delete long mailing list address strip images and substitute a blank page for the strip so as to retain the frame number and image number correspondence.
Contractor shall automatically crop each image to remove black borders.
Contractor shall insure complete image is captured and only one image per page.
Contractor shall insure digital image quality is consistent with film image quality.
Contractor shall provide readable CD’s/DVD's after conversion from microfilm.
Contractor will convert the source microfilm cartridge into a one (1) multi page Searchable PDF- A file on a disk.
Contractor shall label each disk with the cartridge information appearing on the microfilm casing, Example:

Should the cartridge exceed the capacity of one CD/DVD, contractor shall label in succession - A, B. Etc. subsequent disks while retaining the numerical continuity and correspondence between frame numbers and image numbers. For example, if disk A ends with image 1400, disk B shall begin with image 1401.
5. SOURCE MATERIAL: It is estimated that 1,121 +/- cartridges will need to be converted to disk from microfilm.
6. PERIOD OF PERFORMANCE: It is requested that no more than 100 cartridges out of 1121 cartridges be released to the contractor for conversion at any given time. When 100 cartridges are released to the contractor, those 100 cartridges must be completed and returned to the Regulatory Office before 100 more (or any number of) cartridges can be released to the contractor again. It is required that at least 100 cartridges be completed and returned to the Regulatory Office per month or by every 30 days until all 1121 cartridges have be converted. It is required that the Regulatory Office checks and confirms that every set of 100 cartridges have been completed to the needed specifications before the Regulatory Office will release the next set of 100 cartridges to the contractor for all conversion completion.
7. PICK-UP/DELIVERY: The contract shall include pick up and delivery fees.
Contractor shall pick-up microfilm for conversions on a pre-determined schedule/date and return disks within a mutually agreed upon time frame.
8. DISPOSAL: All source microfilm cartridges will be returned to the U.S. Army Corps of Engineers.
9. QUALITY ASSURANCE/QUALITY CONTROL (QA/QC): The Corps’ Regulatory Office will perform the Quality Assurance/Quality Control (QA/QC). The Corps’ Regulatory Office will have one (1) year (starting from date completed conversion disks are delivered) to perform the QA/QC. The contractor shall fix the contractor’s errors at no cost to the Corps.

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Past Performance experience is approximately equal to price. Offeror must provide at least 3 references with the similar type of service within the past 2 years.
(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.211-18 VARIATION IN ESTIMATED QUANTITY (APR 1984)
If the quantity of a unit-priced item in this contract is an estimated quantity and the actual quantity of the unit-priced item varies more than 15 percent above or below the estimated quantity, an equitable adjustment in the contract price shall be made upon demand of either party. The equitable adjustment shall be based upon any increase or decrease in costs due solely to the variation above 115 percent or below 85 percent of the estimated quantity. If the quantity variation is such as to cause an increase in the time necessary for completion, the Contractor may request, in writing, an extension of time, to be received by the Contracting Officer within 10 days from the beginning of the delay, or within such further period as may be granted by the Contracting Officer before the date of final settlement of the contract. Upon the receipt of a written request for an extension, the Contracting Officer shall ascertain the facts and make an adjustment for extending the completion date as, in the judgement of the Contracting Officer, is justified.
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (JUN 2009)
An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at http://orca.bpn.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (c) through (m) of this provision.
(a) Definitions. As used in this provision --
"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
Manufactured end product means any end product in Federal Supply Classes (FSC) 1000-9999, except--
(1) FSC 5510, Lumber and Related Basic Wood Materials;
(2) Federal Supply Group (FSG) 87, Agricultural Supplies;
(3) FSG 88, Live Animals;
(4) FSG 89, Food and Related Consumables;
(5) FSC 9410, Crude Grades of Plant Materials;
(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
Service-disabled veteran-owned small business concern--
(1) Means a small business concern--
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
