2.11 The Offeror is not authorized to include in its TOP citations for, or linkages to, websites.
3. Special Notes:
3.1 Limitation of Pass through Charges:
FAR 52.215-22, Limitation on Pass-Through Charges-Identification of Subcontract Effort and 52.215-23 Limitation on Pass-Through Charges: FAR 52.215-22, Limitation on Pass-Through Charges- Identification of Subcontract Effort and 52.215-23, Limitation on Pass-Through Charges are applicable to this requirement. If subcontractor costs proposed exceed 70% of the total costs to be performed, the Contractor must comply with the subject clauses by providing sufficient information for the Contracting Officer to determine the added value along with assessment of fee and indirect costs. This information will be used as part of the best value decision and evaluation of all elements of costs.
3.2 Time and Materials Subcontracts:
Please be reminded that pursuant to Federal Acquisition Regulation, T&M and Labor Contracts are the least preferred contract vehicles. It has been specifically mandated that all T&M vehicles be converted to either Cost Reimbursement or Firm Fixed Price to the maximum extent practical. This policy is also being considered at the subcontract level. Therefore, all proposed T&M subcontracts must be supported by a written determination and finding that clearly supports that it is not possible at the time of placing the contract to estimate accurately the extend or duration of the work or to anticipate costs with any reasonable degree of confidence and that no other contract type is suitable. Be advised that the rationale provided will be challenged and the Prime Contractor's justifications when using T&M subcontracts highly scrutinized. In addition, all Prime Contractors are required to strongly consider conversion of follow-on subcontracts to CR or FFP to the maximum extent practicable.
3.3 Fixed Fee:
Fee will be negotiated at the task order level. The offeror will be allowed to apply a nominal fixed fee percentage on subcontract costs, excluding equipment and travel costs. This rate shall be commensurate with the approved rate established/ negotiated with the Defense Contracting Audit Agency of the Defense Contract Management Agency. No fee will be allowed on equipment or travel costs proposed by the prime offeror.
3.4 Organization Conflict of Interest:
a. The term “Organizational Conflicts of Interest” (OCI) is defined in FAR 2.101; also see FAR 9.502 (c). For this TOR, “OCI” exists when a Contractor would face an actual or potential conflict of interest if it worked on the planned Task Order, due either to its other business interests or to the nature of the effort to be performed. However, organizational conflicts of interest are more likely to occur in contracts involving:
■ Management support services;
■ Consultant or other professional services;
■ Contractor performance of or assistance in technical evaluations; or Systems engineering and technical direction work performed by a Contractor that does not have overall contractual responsibility for development or production.
The Contracting Officer has reviewed and analyzed the PWS under TOR 03 and has not identified any OCI issue, potential or otherwise. However, the AWARDEE is encouraged to make a preliminary disclosure to the Contracting Officer, prior to the due date for receipt of TOPs, of any OCI issues the Contractor has identified. Such preliminary disclosure will allow the Contracting Officer more time to assess both the potential OCI and the AWARDEE proposed strategy to negate or mitigate the OCI. This assessment may be crucial since, per
FAR 9.504(e), the Contracting Officer may not award the task order/delivery order to a Contractor with an OCI that cannot be negated or mitigated. If the Contractor demonstrates to the Contracting Officer that there may be a possible conflict of interest arising out of an existing contract, the Contracting Officer shall take the necessary action to delete that requirement from this TOR and/or mitigate any conflict of interest that may be present. The Contractor agrees that the Government or an authorized representative may, up to three years after acceptance of all programmatic documentation to be delivered under this TO, restrict the Contractor’s future participation in any resulting program managed system acquisition action(s).
b. Title 10, US Code Section 2399 prohibits the involvement of a Defense Contractor in the operational test and evaluation of its own systems and equipment. Consequently, all parties must be particularly sensitive to potential, actual, or perceived organizational conflicts of interest where System Contractors are or appear to be involved in the operational testing and evaluation of their own equipment or systems, including involvement as a Test Support Contractor. Such involvement is strictly prohibited. The Contractor acknowledges that it is familiar with Title 10 U.S.C. Section 2399 and FAR subpart 9.5 and agrees that it will avoid conflicts of interest and, to the maximum possible extent, the appearance of conflict of interest, in accordance with the principles set forth in the Statute and FAR. The Contractor also acknowledges that statutory operational testing and evaluation conflicts of interest arising under 10 U.S.C. 2399 and Army.
Regulation 73-1, paragraph 5-6, may not be mitigated or "firewalled" using the FAR subpart 9.5 procedures.
3.5 Submittal of Subcontractor Fully Disclosed Proposal:
Please keep in mind that costs associated with the prime and "subcontractor" partnership must be evaluated for its fair and reasonableness. "Undisclosed" or "loaded" cost does not allow a proper cost analysis. Therefore, the following is provided as a reminder of contractor responsibilities regarding the use of subcontractors.
As confirmation of Contracting Officer’s continuous request for additional information when evaluating cost proposals, the following must be adhered to:
1) FAR 52.215-12, "Subcontractor Certified Cost or Pricing Data" must be adhered to and required information SHALL BE provided as part of the prime contractors proposal submissions by the TOR due date.
2) The Prime contractor is responsible for ensuring that fully disclosed rates are provided for evaluation of proposals in response to TOR.
a. Subcontract proposals <700K. The Prime Contractor must provide a cost analysis that fully supports the reasonableness of subcontractor costs to include an analysis of costs and fee/profit.
b. Subcontract proposals >$700K. Prime Contractor must provide a cost analysis that fully supports the reasonableness of subcontractor costs to include an analysis of costs and fee/profit. In addition, Prime contractors must either provide along with prime proposals or ensure that subcontractors provide a complete breakdown of costs to include subcontractor cost and fee/profit proposed to the KO by the closing date. See format in Table 15-2 of FAR 15.408 for guidance. Primes shall require subcontractors TO submit fully disclosed rates to the contracting officer by the closing date of the TOR.
3) Use of Subcontracts.
Provide rationale for the use of the proposed subcontractor(s)
Failure to provide this information by the TOR closing date may result in delays in the evaluation and award process.

c. Contractor employees shall initially identify themselves by name and company affiliation when answering the telephone, presenting briefings, conducting or attending meetings/seminars or any other situations where their contractor status is not obvious.
d. All contractor correspondence (written, facsimile, and email display) shall include their company name and any other documents or reports produced by contractors are identified as contractor products or contractor participation is disclosed.
H.2 Government-Contractor Relationships
a. The Government and the contractor understand and agree that the services to be delivered under this contract by the contractor to the Government are non-personal services and the parties recognize and agree that no employer-employee or master-servant relationships exist or will exist under the contract between the Government and the contractor and/or between the Government and the contractor's employees. It is therefore in the best interest of the Government to afford the parties a full and complete understanding of their respective obligations.
b. Contractor personnel under this contract shall not:
(1) Be placed in a position where they are appointed or employed by a Federal Officer, or are under the supervision, direction, or evaluation of a Federal Officer, Military or Civilian.
(2) Be placed in a staff or policy making position.
(3) Be placed in a position of command, supervision, administration or control over DA Military or Civilian personnel, or personnel of other contractors, or become a part of the Government organization.
(4) Be used for the purpose of avoiding manpower ceilings or other personnel rules and regulations of DA or the Civil Service Commission.
(5) Be used in administration or supervision of military procurement activities.
c. Employee Relationships:
(1) The services to be performed under this contract do not require the contractor or its employees to exercise personal judgment and discretion on behalf of the Government, but rather the contractor's employees will act and exercise personal judgment and discretion on behalf of the contractor.
(2) Rules, regulations, directions, and requirements which are issued by command authorities under their responsibility for good order, administration, and security are applicable to all personnel who enter the installation, or who travel on Government transportation. This is not to be construed or interpreted to establish any degree of Government control which is inconsistent with a non-personal services contract.
H.3 Contractor’s Organization and Key Personnel
a. The contractor's organization shall be established with authority to effectively accomplish the objectives of the PWS. This organization shall become effective upon award of the contract and its integrity shall be maintained for the duration of the contract effort.
b. The key personnel listed in paragraph c. below are considered to be critical to the successful performance of this contract. Prior to replacing these key personnel, the contractor shall obtain the written consent of the Contracting Officer. In order to obtain such consent, the contractor shall provide advance notice of the proposed changes and shall demonstrate that the qualifications of the proposed substitute personnel are generally equivalent to or better than the qualifications of the personnel being replaced.
c. Key Personnel List (TO BE UPDATED AT TASK ORDER AWARD)
d. Prior to permanently reassigning any of the specified individuals to other contracts, the contractor shall provide the Contracting Officer not less than thirty (30) days advance notice and shall submit justification (including proposed substitutions) in sufficient detail to permit evaluation of the impact on the program. No reassignment shall be made by the Contractor without written consent of the Contracting Officer. The "Key Personnel" list may be amended from time to time during the course of the contract to either add or delete personnel, as appropriate.
11. Tailored Clauses for this Task Order:
FAR 52.215-20 - Requirements for Certified Cost or Pricing Data and Data Other Than Certified Cost or Pricing Data FAR 52.217-5 - Evaluation of Options FAR 52.227-14 - Rights in Data-General FAR 52.239-1 - Privacy or Security Safeguards DFARS 252.215-7008 - Only One Offer
DFARS 252.225-7993 – Prohibition on Contracting with the Enemy (Deviation 2014-O0020) (Sep 2014)
(a) The Contractor shall exercise due diligence to ensure that none of the funds received under this contract are provided directly or indirectly to a person or entity who is actively opposing United States or Coalition forces involved in a contingency operation in which members of the armed forces are actively engaged in hostilities.
(b) The Contractor shall exercise due diligence to ensure that none of their subcontracts are associated with a person or entities listed as a prohibited/restricted source in the System for Award Management at www.sam.gov.
(c) The Head of the Contracting Activity (HCA) has the authority to—
(1) Terminate this contract for default, in whole or in part, if the HCA determines in writing that the contractor failed to exercise due diligence as required by paragraph (a) and (b) of this clause; or
(2) Void this contract, in whole or in part, if the HCA determines in writing that any funds received under this contract have been provided directly or indirectly to a person or entity who is actively opposing or Coalition forces involved in a contingency operation in which members of the armed forces are actively engaged in hostilities.
(d) The substance of this clause, including this paragraph (d), is required to be included in subcontracts under this contract that have an estimated value over $50,000.
(End of clause)
12. Contractor Verification System (CVS): The contractor is responsible for processing applications for Common Access Cards (CAC) for every contractor employee who deploys with the military force OR who has need to access any government computer network in accordance with http://www.sam.gov/
FAR 52.204-9, “Personal Identity Verification of Contractor Personnel.”
The Contractor is responsible for managing requests for new or renewal CAC cards in sufficient time to ensure that all contractor employees have them when needed to perform work under this contract. The norm is at least ten calendar days’ advance notice to the Trusted Agent* (TA), unless there are extenuating circumstances approved by the Contracting Officer’s Representative (COR) or Contracting Officer. *The COR will be the TA for this contract.
The contractor shall obtain an Army Knowledge Online (AKO) email address for each applicant, including subcontractors, who may be deployed or require logical access to a government computer network. This can be done by going to: http://www.us.army.mil and register as an “Army Guest,” with the sponsor being the COR. Note: If a contractor employee loses the privilege to access AKO, they lose the ability to renew their CAC. Therefore it is critical that contractor employees maintain their AKO accounts.
Recommend a “Corporate Facility Security Officer" (FSO) be established to serve as your firm’s single point of contact for CVS. If a FSO is not established, each contractor employee requiring a CAC will be required to process their own applications.
CAC applications shall be processed through the DoD’s Contractor Verification System (CVS).
The contractor’s FSO or contractor employee shall submit requests for a CAC via email to the CVS Trusted Agent (TA) at -1- before accessing the CVS website.
The government will establish a CVS application account for each CAC request and will provide each contractor employee a USER ID and Password, via email, to the FSO. The FSO or contractor employee shall access the CVS account and complete the CAC application (entering/editing contractor information as applicable) at: https://www.dmdc.osd.mil/appj/cvs/index.jsp.
The FSO or contractor employee will submit completed applications in CVS and will follow up to ensure that the TA is processing the request.
The government will inform the contractor’s applicant, via email, of one of the following:
a. Approved.* Upon approval, the information is transferred to the Defense Enrollment
Eligibility Reporting System (DEERS) database and an email notification is sent to the contractor with instructions on obtaining their CAC. The contractor proceeds to a Real-Time Automated Personnel Identification System (RAPIDS) station.
b. Rejected.* The Government, in separate correspondence, will provide reason(s) for rejection.
c. Returned. Additional information or correction to the application required by the contractor employee.
*The contractor will maintain records of all approved and rejected applications.

At the RAPIDS station, the RAPIDS Verification Officer will verify the contractor by SSN and two forms of identification; one of which shall be a picture ID. The Verification Officer will capture primary and alternate fingerprints, picture, and updates to DEERS and will then issue a CAC.
Issued CACs shall be for a period of performance not longer than three (3) years or the individual’s contract end date (inclusive of any options), whichever is earlier.
The contractor shall return issued CAC’s to the DEERS office upon return from deployment, departure, or dismissal of each contractor employee. Obtain a receipt for each card and provide to the TA/COR. A CAC cannot be issued without evidence that the FSO has initiated a National Agency Check with Written Inquires (NACI). CVS will be linked to the Joint Personnel Adjudication System (JPAS) in the near future. The TA will have to verify, via JPAS, that the FSO has initiated the NACI before he/she can approve a contractor request for a CAC.
