PROVISIONS / LOCAL NARRATIVE
PROVISION# 1: IMPORTANT: IT IS YOUR RESPONSIBILITY TO ENSURE YOUR BID/OFFER/PROPOSAL
HAS BEEN RECEIVED BY THE CLOSING DATE AND TIME AS SPECIFIED
IN THE SOLICITATION: Offer must be submitted. As of 23 August 2018, Army Contracting Command – Warren (ACC-WRN) has decommissioned use of the Army Single Face to Industry for the publication of ACC-WRN contracting opportunities. Federal Business Opportunities, FedBizOpps or FBO, will be the replacement system to provide and facilitate eCommerce capability for ACC-WRN contracting community and industry partners. Please go to FedBizOpps, www.fbo.gov, to view this solicitation and any related attachments in its entirety. Unless directed to do otherwise in Section L of the solicitation, vendors are required to submit offers, bids, or quotes electronically for this solicitation via the Federal Business Opportunities (FBO) system. Vendors who continue to submit offers, bids, or quotes electronically via the ASFI Bid Response System on solicitations issued after 23 August 2018, may be deemed non-responsive. For additional information on FBO Electronic Bid Submissions reference the FBO Vendor Guide - Section 4.3.1 Submitting an Electronic Response. You may contact the contract specialist listed on the face of this solicitation prior to the offer due date to ensure your bid/proposal has been received.

PROVISION # 3: REQUIREMENTS CONTRACT. This is a funded contract for a base year.
PROVISION # 4: AUTHORIZED BUYERS: Any warranted contracting officer at the Anniston Army Depot whose warrant authorizes purchases of this type and dollar magnitude is authorized to purchase under this Contract.
PROVISION # 5: ORDER LIMITATIONS. The order limitations that the Contractor is obligated to deliver under this contract are defined by FAR Clause 52.216-19, “Order Limitations” contained herein.
PROVISION # 6: The contractor shall comply with Resource Conservation and Recovery Act (RCRA) affirmative procurement (or 'buying recycled') requirements by giving preference in their purchasing process to products and practices that promote recycling and other environmentally friendly practices.
The contractor is also responsible for insuring that all sub-contractors comply with Affirmative Procurement (AP) requirements. Except as specifically waived in writing, for reasons of price, performance or availability, any products in the attached EPA guideline items list provided by the contractor as part of the performance of this contract must meet the minimum percentage levels of recovered materials as specified to these standard contract terms and conditions. Please refer to the attached EPA list of designated recovered materials content products (attached). On completion of work, contractor shall submit to the COR or Contract Specialist a completed “affirmative procurement reporting form” (attached) for actions taken under that specific order.
The contractor shall submit the attached "Contractor Request for Waiver for Non-EPA Comprehensive Guideline Items" (attached) as written documentation to support the decision not to acquire items meeting the minimum content levels, based on one of the three justifications below:
a. The product is not available from a sufficient number of sources to maintain a sufficient level of competition (i. e., available from two or more sources) or is not available at a reasonable price.
b. The product is not available within a reasonable period of time.
c. The product does not meet the performance standards in applicable specifications or fails to meet reasonable performance standards of the agency.
See FAR clauses 52.223-4 and 52.223-9 for further guidance.
PROVISION # 10. Contractors must be registered in the System for Award Management (SAM) database before an award will be issued. After award, companies must ensure that their SAM registration remains valid and current to avoid problems with invoicing and payment.

WAWF PROCEDURES
If your order WILL BE PAID BY DFAS (not by credit card) and contains DFARS Clause 252.232-7003, Electronic Submission of Payment Requests, you must submit your invoice through Wide Area Workflow (WAWF). This clause requires invoices for supplies and services purchased by the DoD be submitted via electronic means. The Wide Area Workflow system satisfies this mandatory requirement. WAWF can be accessed on the internet at https://wawf.eb.mil/ Ensure the Electronic Business POCs listed in the System for Award Management (SAM) for your company are the same individuals that will submit invoices through WAWF before using WAWF. The previous ‘Central Contractor Registration (CCR)’ system has been migrated to the System for Award Management (SAM) and accessible at www.sam.gov. For SAM access and navigation issues, follow the instruction provided at “User Guides and Helpful Hints” on SAM Home page.
If your Electronic Business (EB) POCs are correct, contact the WAWF helpdesk at 1-866-618-5988 or by e-mail at cscassig@ogden.disa.mil and ask them to establish a group for your CAGE code. The group administrator will also have to call the WAWF helpdesk to request account activation. Once the group is established and the account is activated, you will be able to create a Combination Invoice/Receiving report (SUPPLIES/MATERIALS) or a 2 in 1 Invoice (SERVICES/EQUIPMENT) using the codes below and instructions available from our contract administrator/buyer.
Questions concerning payment should be directed to the responsible Defense Finance Accounting Services (DFAS). Please have the order number and invoice number ready when calling about payment status.
The accounts payable mailing address can be located in Block 18a of your order. You can easily access payment information using the DFAS web site at http://www.dfas.mil/http://www.dfas.mil. Your purchase order/contract number or invoice will be required to inquire status of your payment. Go to DFAS on the web at:
www/dfas.mil/money/vendor.

52.0000-4702 AMC-LEVEL PROTEST PROGRAM
If you have complaints about this procurement, it is preferable that you first attempt to resolve those concerns with the responsible contracting officer. However, you can also protest to Headquarters, AMC.
The HQ, AMC-Level Protest Program is intended to encourage interested parties to seek resolution of their concerns within AMC as an Alternative Dispute Resolution forum, rather than filing a protest with the General Accounting Office or other external forum. Contract award or performance is suspended during the protest to the same extent, and within the same time periods, as if filed at the GAO. The AMC protest decision goal is to resolve protests within 20 working days from filing. To be timely, protests must be filed within the periods specified in FAR 33.103.
Complete AMC Protest Procedures can be found at: http://www.amc.army.mil/amc/commandcounsel.html An agency protest may be filed with either the contracting officer or to HQAMC but not both following the procedures listed on the website above.
(End of provision) Updated January 2015
52.000-4408 INSTALLATION SECURITY
The Anniston Army Depot is currently operating on a heightened state of security awareness and enforcement due to possible terrorist threats. Due to this heightened state of security, it is imperative that no unauthorized materials of any type be brought onto or left unattended on the installation. For this reason the Contractor is hereby advised that all construction materials, equipment, and miscellaneous items to be used on this contract must be identified by the Contractor and their storage locations identified and provided to the Contracting Officer in advance of their entry onto the installation.
This restriction applies to the Contractor, its subcontractors, and its material suppliers. All such material must be appropriately marked by the Contractor with the Contractor’s name, contract number, the date the material/ equipment was brought on the installation, the date when such items are to be removed, a brief description of what the material or equipment is unless such is obvious from initial physical examination, and a listing of the Contractor’s point of contact (POC) for such material identification and the POC’s locally accessible cell phone number.
Further, all Contractor, subcontractor, and material supplier employees are prohibited from bringing personal belongings of any nature onto the installation if such items are to be left unattended at any time.
The Contractor is further required to prepare a plan of action for implementing these contractual restrictions and must submit such to the Contracting Officer for advance approval. This plan of action must include a provision for briefing all of its subcontractors and material suppliers, and the employees of same, as well as its own employees, on the mandatory nature of these restrictions. The plan of action must also identify the specific monitoring and enforcement procedures that the Contractor agrees to place in effect to ensure strict compliance with this contractual provision.
Should the Contractor fail to comply with this mandatory contractual provision, the Contractor may be held responsible for all direct and indirect cost incurred by the Government in identifying, securing, segregating, removing, and otherwise properly disposing of such improperly identified or abandoned materials/equipment.

CLAUSES INCORPORATED BY FULL TEXT
52.212-4 CONTRACT TERMS AND CONDITIONS-- COMMERCIAL ITEMS (JAN 2017)
(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights (1) within a reasonable time after the defect was discovered or should have been discovered; and
(2) before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.
(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.
(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes'', as amended (41 U.S.C. 601-613).
Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.
(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.
(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement or any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.
(g) Invoice.
(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include--
(i) Name and address of the Contractor;
(ii) Invoice date and number;
(iii) Contract number, line item number and, if applicable, the order number;
(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;
(vi) Terms of any discount for prompt payment offered;
(vii) Name and address of official to whom payment is to be sent;
(viii) Name, title, and phone number of person to notify in event of defective invoice; and
(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract.
(x) Electronic funds transfer (EFT) banking information.
(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.
(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer—System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer--Other Than System for Award Management), or applicable agency procedures.
(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.
(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.
(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.
(i) Payment.--
(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.
(2) Prompt payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C.
3903) and prompt payment regulations at 5 CFR part 1315.
(3) Electronic Funds Transfer (EFT). If the Government makes payment by EFT, see 52.212-5(b) for the appropriate EFT clause.
(4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.
(5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall--
(i) Remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment including the--
(A) Circumstances of the overpayment (e.g., duplicate payment, erroneous payment, liquidation errors, date(s) of overpayment);
(B) Affected contract number and delivery order number, if applicable;
(C) Affected line item or subline item, if applicable; and
(D) Contractor point of contact.
(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.
(6) Interest.
(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C.
7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period as fixed by the Secretary until the amount is paid.
(ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract.
(iii) Final decisions. The Contracting Officer will issue a final decision as required by 33.211 if--
