Combined Synopsis/Solicitation W91151-25-Q-0018
Material Handling Equipment Services
This is a combined synopsis/solicitation for commercial services prepared in accordance with the format in FAR Subpart 12.6 and 13.5, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested, and a written solicitation will not be issued. The solicitation number is W91151-25-Q-0018. This combined synopsis/solicitation document incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2025-03, effective 17 January 2025 and DFARS Defense Publication Notice Current to DPN: 17 January 2025.
MICC Fort Cavazos intends to award a Firm-Fixed-Price Contract for Material Handling Equipment (MHE) Services. The North American Industrial Classification System (NAICS) code for this procurement is 532490 – Other Commercial and Industrial Machinery and Equipment Rental and Leasing, Business Size Standard $40M.
This requirement is a 100% Total Small Business Set-Aside acquisition. See the attached Statement of Work (SOW) for full requirement details.

This solicitation will close at 2:00 PM Central Time on February 27, 2025. Quotations received after this date and time will be considered late in accordance with FAR 52.212-1(f) and will not be evaluated. The Contracting Officer intends to make an award without discussions; however, that does not prevent the Contracting Officer from holding discussions if it is in the best interests of the government. All quotes must reference and acknowledge all amendments posted to this solicitation, if applicable.
All questions must be submitted no later than 11:00 AM Central Time on February 25, 2024, to both the Contract Specialist and the Contracting Officer at the above email addresses. E-mail is the preferred method for questions.
Requests shall be marked with solicitation number W91151-25-Q-0018.
Period of Performance: 11-19 March 2025 and 03-15 April 2025. (This will account for 16 days of work, with a brief break between the first and second equipment deliveries.)

Fuel shall be included to support operations throughout the duration of the period of performance. The 200T Crane provided shall be in sound mechanical condition. Contractor shall provide all applicable safety equipment, and shall meet all applicable safety laws, and regulations (Federal, State, local, and DoD regulations where services are being provided). The 200T Crane shall be suitable for its intended use and shall be operated with due care and within all operating safety limits.

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(i) Technical capability of the service to meet the Government requirement
(ii) Price
(ii) Mobilization Timeline
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 5 days of end of contract.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 15 Days provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

52.219-14 LIMITATIONS ON SUBCONTRACTING (DEVIATION 2021-O0008) (FEB 2023)
(a) This clause does not apply to the unrestricted portion of a partial set-aside.
(b) Definition. “Similarly situated entity,” as used in this clause, means a first-tier subcontractor, including an independent contractor, that—
(1) Has the same small business program status as that which qualified the prime contractor for the award (e.g., for a small business set-aside contract, any small business concern, without regard to its socioeconomic status); and
(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.
(c) Applicability. This clause applies only to—
(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);
(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);
(3) Contracts that have been awarded on a sole-source basis in accordance with subparts 19.8, 19.13, 19.14, and 19.15;

(d) Independent contractors. An independent contractor shall be considered a subcontractor.
(e) Limitations on subcontracting. By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for—
(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding certain other direct costs and certain work performed outside the United States (see paragraph (e)(1)(i)), to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract. The following services may be excluded from the 50 percent limitation:
(i) Other direct costs, to the extent they are not the principal purpose of the acquisition and small business concerns do not provide the service. Examples include airline travel, work performed by a transportation or disposal entity under a contract assigned the environmental remediation NAICS code 562910), cloud computing services, or mass media purchases.
(ii) Work performed outside the United States on awards made pursuant to the Foreign Assistance Act of 1961, or work performed outside the United States required to be performed by a local contractor.
(2) Supplies (other than procurement from a nonmanufacturer of such supplies), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 50 percent subcontract amount that cannot be exceeded. When a contract includes both supplies and services, the 50 percent limitation shall apply only to the supply portion of the contract;
(3) General construction, it will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 85 percent subcontract amount that cannot be exceeded; or
(4) Construction by special trade contractors, it will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 75 percent subcontract amount that cannot be exceeded.
(f) The Contractor shall comply with the limitations on subcontracting as follows:
(1) For contracts, in accordance with paragraphs (c)(1), (2), (3) and (6) of this clause – XX By the end of the base term of the contract and then by the end of each subsequent option period; or ___ By the end of the performance period for each order issued under the contract.
(2) For orders, in accordance with paragraphs (c)(4) and (5) of this clause, by the end of the performance period for the order.
(g) A joint venture agrees that, in the performance of the contract, the applicable percentage specified in paragraph
(e) of this clause will be performed by the aggregate of the joint venture participants.
(1) In a joint venture comprised of a small business protege and its mentor approved by the Small Business Administration, the small business protege shall perform at least 40 percent of the work performed by the joint venture. Work performed by the small business protege in the joint venture must be more than administrative functions.
(2) In an 8(a) joint venture, the 8(a) participant(s) shall perform at least 40 percent of the work performed by the joint venture. Work performed by the 8(a) participants in the joint venture must be more than administrative functions.

ELECTRONIC SUBMISSION OF PAYMENT REQUESTS
AND RECEIVING REPORTS (DEVIATION 2016-AOOOl) (NOV 2015)
(a) Definitions. As used in this clause-
(1) "Electronic form" means any automated system that transmits information electronically from the initiating system to all affected systems. Facsimile, e-mail, and scanned documents are not acceptable electronic forms for submission of payment requests. However, scanned documents are acceptable when they are part of a submission of a payment request made using Wide Area WorkFlow (WAWF) or another electronic form authorized by the Contracting Officer.
(2) "Invoice payment" has the meaning given in section 32.001 of the Federal Acquisition Regulation.
(3) "Payment request" means any request for invoice payment submitted by the Contractor under this contract.
(4) "Receiving report" means the data required by the clause at 252.246- 7000, Material Inspection and Receiving Report.
(b) Except as provided in paragraph (c) of this clause the Contractor shall submit payment requests and receiving reports using WAWF, in one of the following electronic formats that WAWF accepts: Electronic Data Interchange, Secure File Transfer Protocol, or World Wide Web input.

(c) The Contractor may submit a payment request and receiving report using other than WAWF only when-
(1) The Contracting Officer administering the contract for payment has determined, in writing, that electronic submission would be unduly burdensome to the Contractor. In such cases, the Contractor shall include a copy of the Contracting Officer's determination with each request for payment;
(2) DoD makes payment for commercial transportation services provided under a Government rate tender or a contract for transportation services using a DoD-approved electronic third party payment system or other exempted vendor payment/invoicing system (e.g., PowerTrack, Transportation Financial Management System, and Cargo and Billing System);
(3) DoD makes payment for rendered health care services using the TRICARE Encounter Data System (TEDS) as the electronic format;

(a) Definitions. As used in this clause—
“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.
“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.
“Payment request” and “receiving report” are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232- 7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall—
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.
(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:
(1) Document type. The Contractor shall submit payment requests using the following document type(s):
(i) For cost-type line items, including labor-hour or time-and-materials, submit a cost voucher.

Statement Of Work (SOW)
Material Handling Equipment (MHE) Support 1st Armored Brigade Combat Team, 1st Cavalry Division (1CD), Fort Cavazos, TX (Includes associated Performance Requirements Summary (PRS)

Part 1 General Information
1. General: This is a non-personal service contract under which the personnel rendering the services are not subject, either by the contract’s terms or by the manner of its administration, to the supervision and control usually prevailing in relationships between the Government and its employees. The United States (U.S.) Government shall not exercise supervision or control over the Contractor’s employees performing the tasks herein. Such contract employees shall be accountable solely to the Contractor who, in turn shall be responsible to the U.S. Government.
1.1 Description of Services/Introduction: The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform Material Handling Equipment as defined in this SOW except for those items specified as government furnished property (GFP) and government furnished services (GFS). The contractor shall perform to the standards in this contract. The contractor shall supply six (6) 35K Forklift w/ operators, twelve (12) flatbed trucks w/ operators, one (1) 200T crane w/ operator, and four (4) removable gooseneck trailers (RGNs) on Mondays through Fridays during the hours of 0730 to 1700. If work on weekends is required, prior coordination will be accomplished with the Contracting Officer Representative (COR) and contractor to be approved by the Contracting Officer (KO). This is a fixed price type contract.
1.2 Background: This requirement is a redeployment Material Handling Equipment (MHE). A redeployment MHE requires specific equipment in order to move military specific material that is being brought back from a redeployment from one institution/place to another (A potential example: From the railheads to a military installation.) 1st Armored Brigade Combat Team requires a MHE contract to support Redeployment. The period of performance shall be from 11-19 March 2025 and 03-15 April 2025 and excludes weekends.
1.3 Scope: Contractor shall provide non-personal services related to MHE operations to include loading, unloading, and transporting both containerized and non-containerized military equipment as specified in the contract. This includes the use of forklifts, crane, RGNs and flatbed trucks to safely move equipment weighing up to 100 tons, as well as handling containerized equipment in various configurations, such as quadcons and twenty-foot equivalent units (TEUs) and non-containerized military vehicles.
1.4 Objectives: The basic service objectives for this military contract are as follows:
1. Equipment Handling: The contractor shall provide Material Handling Equipment (MHE) capable of safely and efficiently loading and unloading containerized and non-containerized equipment. This includes equipment weighing less than 10,000 lbs. and up to 100 tons. The MHE must be capable of handling containerized equipment, ranging from quadcons to twenty-foot equivalent units (TEUs), and non- containerized equipment, such as armored military vehicles.
2. Operational Capacity: The contractor shall ensure the capability to simultaneously upload and download containerized equipment from railyards, and line-halls to designated locations consisting of battalion motorpools on Fort Cavazos. Non-containerized equipment will only require upload services at the railhead.
3. MHE Fleet Management: The contractor may select the appropriate MHE from their fleet to meet the specified requirements, with a recommendation to use 35,000-pound forklifts, flatbed trucks, crane and RGN for the 1st Armored Brigade Combat Team (1ABCT), 1st Cavalry Division redeployment.
These objectives ensure that the contractor delivers the necessary resources, personnel, and equipment to meet the loading and unloading requirements in a timely and efficient manner, supporting military operations and logistics at Fort Cavazos.
1.5 General Information: The contractor shall ensure that all assets are following all safety and environmental regulations and all 35k forklifts should be equipped with an operational internal weight scale. The scales shall be accurately calibrated for use. The Contractor shall be responsible for all maintenance the equipment might need that is not considered damage due to negligence. In the event of an emergency maintenance requirement lasting more than eight (8) hours to repair, the Contractor shall exchange the non-operating equipment with operating equipment. The government will NOT provide fuel for the vehicles at any point throughout the period of performance. The contractor shall have the contract manager on call to respond to equipment operability issues with full telephone coverage and authority to make decisions on behalf of the company. The time starts for a required maintenance call when the Government calls or texts the company contract manager.
The contractor shall have a functioning voicemail. Lack of telephonic capabilities by the Contractor does not relieve the Contractor of liability for the required time-frame to make the equipment operational.
1.5.1 Quality Control Plan (QCP): The Contractor shall develop, implement, and maintain a QCP and program to ensure all work described in this contract is performed at or above the standard defined in the Performance Requirements Summary (PRS). The QCP is developed by the contractor for its internal use to ensure that it performs and delivers high-quality service.
The contractor’s QCP is how the contractor ensures all work complies with the requirements of the contract. The QCP identifies and corrects potential and actual problem areas throughout the entire scope of the contract.
The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services.
The QCP shall be submitted within fifteen (15) days of contract award. After acceptance of the QCP, the contractor shall receive the contracting officer’s (KO) acceptance in writing of proposed changes to the QC procedures. The contractor shall submit QCP changes within five (5) days to the KO and Contracting Officer’s Representative (COR) for review and approval prior to implementation.
The Government will review and either notify the Contractor in writing of acceptance of the plan or return their comments to the Contractor within 10 days. If the Government has provided comments, the Contractor shall then have 10 days to submit a Final QCP. After receipt of the Final QCP, the Contractor may receive the Contracting Officer’s acceptance in writing. Any proposed changes to the accepted QCP are required to be resubmitted for acceptance by the Contracting Officer no later than 10 days prior to the anticipated change and before implementation by the Contractor. The timeline noted above will apply for review and acceptance for proposed changes.
