Addendum to 52.212-1, Instructions to Offerors – Commercial Items (May 2014)
1. The Army Contracting Command – Rock Island (ACC-RI) hereby issues the solicitation W9098S-16-T-0037 for the supply of various types of tools in support of the Mobile Systems program at the Rock Island Arsenal, Joint Manufacturing and Technology Center (RIA- JMTC). The solicitation is issued in accordance with FAR Part 12 (Acquisition of Commercial Items), and FAR Subpart 13.5 (Test Program for Cretain Commercial Items). The result of this solicitation will be a Firm Fixed Price 5-year Indefinite Delivery/Indefinite Quantity (IDIQ) contract (see FAR 16.504) with the following ordering periods:
Ordering Period 1 – date of award to 365 days Ordering Period 2 – 366 days to 730 days Ordering Period 3 – 731 days to 1,095 days Ordering Period 4 – 1,096 days – 1,460 days Ordering Period 5 – 1,461 days – 1,825 days
2. The actual dates will be clarified at the time of award. The total minimum and maximum quantities for CLIN 0001 is 40 each, and maximum quantity is 50 each. The minimum quantity is the only guaranteed quantity to be awarded under this solicitation. The Government is under no further obligation to order additional quantities on any CLIN.
Except for the minimum guaranteed quantity, all quantities are estimates and do not bind the Government in any way.
3. All tools under this solicitation are “Brand Name or Equal”.
4. Offerors shall state what manufacturer and part number is being offered. Vendors may be requested to submmit technical data for review. Standard commercial warranty is required for all parts. For parts with a warranty, offeror shall complete the warranty information on attachment 2.
5. All components supplied with this tool load shall be industrial quality. For the purposes of this procurement, the term “industrial quality tools” versus household-use tools or general purpose tools are defined as tools commercially marketed and manufactured for constant, rigorous, industrial or professional environment use, and that have demonstrated market acceptance. Industrial quality tools are used primarily by skilled professionals and technicians in such areas as machine shops, automotive maintenance and repair facilities, aircraft maintenance and repair facilities, industrial automotive assembly plants, fleet maintenance facilities, and airline service facilities. The tools will be used for specialized applications in an environment of virtual constant use, (i.e. around-the-clock 8 hour shifts), with applications requiring high torque, low slippage, and strict tolerances.
6. Upon award, Delivery Order 0001 will be placed for the guaranteed minimum quantity. Delivery shall begin within 90 days of issuance of a delivery order. Each delivery order will include firm delivery dates or periods of performance. Delivery ammounts / quantities will be determined on each individual delivery order.
7. The price applicable to an individual delivery order is the price for the contract year and quantity range in which the delivery is issued. The delivery date does not determine the ordering period. All delivery orders will be issued unilaterally by the government.
8. Delivery Address is as follows:
TRANSPORTATION OFFICER, W52H1C TRANSPORTATION OFFICER
BLDG 299, EAST END RECG DOOR 16A
ROCK ISLAND IL 61299-5000
9. Your attention is directed to FAR 52.212-1 Instructions to Offerors – Commercial Items (July 2013) and FAR
52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999).
10. Quotes shall remain valid for 75 days after solicitation closing date.
11. On time delivery is very critical. Therefore, the contractor must adhere to the delivery requirements indicated above. Failure to comply with the contractual delivery schedule after award may result in termination of the order or require consideration if the government elects to extend delivery.
12. The government is not required to extend your delivery schedule should you encounter delays. the non-availability of raw materials, subcontractor issues, scheduling conflicts, etc. are not acceptable excuses for failing to meet the delivery schedules.
13. Ensuring that you can provide quality products that conform to the contract is just as important as meeting the delivery schedule. Delivery of non-conforming products results in delivery delays and increase costs to the government.
14. Please note that if you receive this award, your performance under this contract (including timeliness of deliveries and the quality of supplies and services delivered) will be monitored and recorded by this contrcating office.
15. This information will be used to determine a record of past performance for future contract awards. Offerors that are concernend about their record of past performance may contact this office if they wish to view and discuss their records.
16. Only ACC-RI (CCRC-IJ) is authorized to issue delivery orders under this IDIQ contract.
END OF ADDENDUM TO 52.212-1, INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS (May 2014)
INSTRUCTIONS TO OFFERORS
Addendum to FAR 52.212-1 Instructions to Offerors- Commercial Items (OCT 2015)
i. Price:
a. The offeror will enter unit prices for all quantities for all ordering periods on the Price Evaluation Sheet. All unit prices will be binding.
b. The Government reserves the right to require the submission of any data necessary to validate the reasonableness of an offer.
ii. The offeror will submit prices in accordance with the Price Matrix at Attachment 0001 of the executed solicitation. The offeror must provide information as follows:
a. Offerors shall provide their proposed unit prices for the quantities solicited in the Price Matrix, Attachment 0001 of the solicitation. Proposed unit prices are limited to two decimal places. The proposed unit prices shall be the prices used by the Government to calculate the Total Evaluated Price. Offerors must propose unit prices for all quantity ranges in each Ordering Period for all CLINs identified in the Pricing Matrix. Failure to do so may result in the offer being rejected.
b. All prices for this acquisition shall be stated in current U.S. dollars.
c. Instructions for completion of the Pricing Matrix:
(1) All information to be filled in by the offeror is highlighted on the Pricing Matrix in blue.
(2) The offeror shall enter its full name in the space provided.
(3) Offerors are required to state binding prices. The offeror shall enter unit prices for each range in the spaces provided for contractor fill-in.
(4) No other information is to be added to the Pricing Matrix, nor shall offerors make any changes to the Pricing Matrix.
d. With respect to pricing, the proposal response is presumed to represent the offeror’s best effort to respond to the solicitation. Any significant inconsistency between promised performance and price should be explained in the offer.
For example, if the use of new and innovative techniques has an impact on unit price, the impact on price should be explained by the offeror. If a management decision has been made to absorb a portion of the program costs that have not been included in the proposed pricing, that decision should be stated and quantified in the proposal. Any significant inconsistency, if not explained, raises a fundamental issue of the offeror’s understanding of the nature and scope of the work required, and may be grounds for rejection of the proposal. The burden of proof as to price credibility rests with the offeror.

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent
Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. 52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
PRICE:
1. The Government will evaluate offers based on prices proposed for all quantities for all ordering periods and any other price related factors required by the solicitation.
2. For each proposal, the Government will calculate a weighted evaluation price by multiplying the proposed unit prices for each range by their respective weight and maximum quantity, and summing their totals. The weight associated with each range represents the likelihood that an order, if placed, would be placed within that range.
3. The Total Evaluated CLIN Price is the sum of the weighted evaluation prices for all ordering periods.
4. If an offeror fails to submit unit prices for all quantity ranges and ordering periods, its proposal may be considered unacceptable and the Government may reject the proposal.
5. Price Analysis shall be used to determine price reasonableness. Additional analysis techniques may be used as determined necessary by the procuring contracting officer. These methods of evaluation may include the use of information/input from sources such as (but not limited to) other Government agencies and personnel.
6. As part of the evaluation, proposals may be reviewed to identify any significant unbalanced pricing found between quantity ranges. In accordance with FAR 15.404-1(g), i.e., Unbalanced Pricing, a proposal may be rejected if the contracting officer determines the lack of balance poses an unacceptable risk to the Government.
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
