Section H - Special Contract Requirements

OCI

H.1 ORGANIZATIONAL CONFLICT OF INTEREST

H.1.a. It is recognized by the parties hereto that the effort to be performed by the contractor under this contract is of such a nature that a significant potential for Organizational Conflict of Interest (OCI) exists as contemplated by Subpart 9.5 of the Federal Acquisition Regulation (FAR). It is the intention of the parties that the contractor shall not engage in any activity that could cause an OCI with the contractor's position under this contract, impair the contractor's ability to render unbiased advice and recommendations, or place the contractor in the position of having an unfair competitive advantage as a result of the knowledge, information, and experience gained during the performance of this contract.

H.1.b. An impaired objectivity OCI is created when a contractor's judgment and objectivity in performing a contract's requirements may be impaired due to the fact that the substance of the contractor's performance has the potential to affect other interests of the contractor. An impaired objectivity OCI may arise anytime the same contractor performs or would perform both (at the same time) the Close Combat Tactical Trainer (CCTT) Manned Module Modernization (M3) contract and the CCTT the Post Deployment Software Support (PDSS) contract. The PDSS effort includes the integration of software from the M3 contract, operational support relative to software releases, system performance analysis, and hardware analysis for the CCTT programs including CCTT, and the Reconfigurable Vehicle Tactical Trainer (RVTT). By supporting contracts at the same time, a contractor may have to analyze or evaluate said contractor's work. The same contractor is, therefore, precluded from performing under both the CCTT M3 contract, as a Prime or Subcontractor, and as the prime for the CCTT PDSS contract, unless an OCI Mitigation Plan has been approved by the Contracting Officer. The Government does not consider a contractor performing as a subcontractor on both the M3 contract and PDSS contract as an impaired objectivity OCI.

H.1.c. The contractor agrees to comply with the requirements in the Defense Federal Regulation Supplement (DFARS) Subpart 227.7103-7 and execute an Use and Non-Disclosure Agreement. The contractor agrees that any data furnished by the Government to the contractor not generally available to other contractors shall be used only for performance under this contract, and all copies of such data shall be returned to the Government upon completion of the effort.

Any data furnished by the Government containing trade secrets or commercial or financial data of other contractors shall be treated as proprietary data of the other contractor. Additionally, the contractor shall not disclose outside the Government any test data, test results, or recommendations generated in the performance of this contract. The contractor shall hold the Government harmless and will freely indemnify the Government as to any cost/loss resulting from the unauthorized use or disclosure of any third-party proprietary information by its employees, the employees of subcontractors, or by its agents.

H.1.d. During the period of performance of this contract, the contractor shall be required to participate in, at a…
