L.3 All or None

Offers in response to this solicitation must be submitted for all the requirements identified in the solicitation. Offers submitted for less than all the requirements called for by this solicitation may be rejected or ineligible for award.

L.4 Evaluation Factors

7 16

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

Offeror proposals shall address the following four Factors:

a. Technical Maturity

b. Cost/Price

c. Past Performance

d. Small Business Participation

L.4.1 Volume I Technical Maturity Factor

The offeror's Technical Maturity Factor Volume shall include the following:

L.4.1.1 Technical Maturity Self-Assessment. The offeror shall self-assess the extent of maturity of its proposed technical approach against each level and characteristic of maturity described in the Technical Maturity Rubric, Attachment 0020. The offeror shall indicate whether its proposed technical approach meets the requirement for each level and characteristic. The offeror shall indicate by file name which data (submitted in response to L.4.1.2) substantiates its self-assessment for each level and characteristic.

L.4.1.2 Substantiating Data. The self-assessment described in L.4.1.1 shall be accompanied by substantiating data supporting the offeror's asserted extent of maturity. The offeror shall provide substantiating data for each characteristic achieved within each level identified in the Technical Maturity Rubric, Attachment 0020. The resulting technical information, documentation, test data, rationale, or other data shall be complete, specific, and relevant to the specific characteristics of the offeror's self-assessment assertions. If the substantiating data is from a design created for a vessel other than the LCU 2000, the offeror shall discuss the extent of the variance and the impact such variance has on the credibility of the substantiating data.

L.4.2 Volume II: Cost/Price Factor

The offeror's Cost/Price Factor shall include the following:

L.4.2.1 General. Consistent with the prices or costs and fees identified in the Cost/Price Factor of the solicitation, the offeror's

Cost/Price Factor Volume shall include substantiating information: either pricing, sales, or cost information as described below, supporting the reasonableness of the proposed prices (Firm Fixed Price (FFP) CLINs), and reasonableness and realism of costs and fees

(Cost Plus Fixed Fee (CPFF) CLINs) in sufficient detail for the Government to evaluate the Cost/Price Factor Volume per the applicable criteria in Section M.4.2.

L.4.2.1.1 As this is a competitive acquisition, the documentation requested is not considered cost or pricing data and shall not be certified. However, in the event that adequate price competition does not exist after receipt of proposals, the Procuring Contracting

Officer (PCO) may obtain certified cost or pricing data pursuant to FAR 15.403-4.

L.4.2.1.2 After proposal submission, the Government reserves the right to request more detailed price or cost information, and may consult with the Defense Contract Management Agency (DCMA) or the Defense Contract Audit Agency (DCAA) as required. These instructions are not intended to exclude other data. Offerors are encouraged to submit any financial information they believe would be helpful to the evaluation of their proposal.

L.4.2.2 Accounting System Capability. The offeror shall provide evidence that their accounting system is capable of tracing and segregating cost data in sufficient detail to administer a cost reimbursement-type contract. This evidence may include a letter from

DCMA or DCAA stating that the offeror has an acceptable accounting system for this type of contract. In those cases where the offeror does not currently have a DCMA or DCAA approved accounting system, the offeror shall describe what action is needed to obtain a DCMA or

DCAA approval of their accounting system prior to contract award.

L.4.2.3 Presentation of Cost/Price Factor Volume. All price, cost, and fee information are to be stated in United States (U.S.) dollars only, for both prime contractor and any potential subcontractors. The offeror shall state the exchange rate (if applicable) being used to convert any currency to U.S. dollars. The offeror shall submit supporting data in Microsoft excel spreadsheet for all CLINs in

Section B consistent with instructions in L.2.2. Files should be read-only and must contain formulas used in calculation. Files should not contain hidden rows or columns and no links to other excel files.

L.4.2.4 The offeror shall complete the Pricing Spreadsheet, Attachment 0021, with all the original formulas still embedded in the file in accordance with the instructions in the attachment. Print image is not acceptable. The offeror shall fill in proposed prices for each item and each ordering year for all of the items in the solicitation. The total proposed price is automatically calculated by the formulas in the Pricing Spreadsheet, Attachment 0021. The workbook will round all proposed unit prices to the nearest penny ($0.01).

L.4.2.5 The Cost/Price Factor Volume must reflect the understanding and ability to perform according to the SOW of the contract. Any apparent inconsistency between the promised performance and Price must be explained. The offeror's Cost/Price Factor Volume shall identify:

a) Any business judgments applied and the mathematical or other methods used in the estimate.

8 16

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

b) The nature and amount of any adjustments included in the proposed cost amounts.

L.4.2.6 Reserved

L.4.2.7 Firm Fixed Price (FFP) CLINS. For all FFP CLINs (as identified in Pricing Spreadsheet, Attachment 0021) the offeror shall provide in the Cost/Price Factor Volume the following information to establish that the proposed CLIN price is reasonable and realistic:

a. Describe and support the basis for establishing the proposed prices, including: identify any relevant commercial catalog, price list, other verifiable and established record that is regularly maintained by the vendor and is published or otherwise available for customer inspection, its date, prices and related discounts. Provide, in contractor format (e.g., sales invoices), information on prices at which the same item or similar items have recently (generally, from three months to a year) been sold that is adequate for determining price reasonableness. Also explain any differences between the offered price, the established catalog/price list price, and price of recent sales in quantities similar to the proposed quantities. The above information is intended to establish the reasonableness of the offerors proposed price.

b. In the event that the information described in the previous paragraph is not available or does not establish the reasonableness of the proposed prices, provide the following non-certified cost information on a per unit basis, as applicable:

1) A unit price cost element schedule showing the build-up of the unit price by cost elements: Direct Material (include detail of purchased items costing over $100 per unit); Material Overhead: Direct Labor; Labor Overhead; Other Direct Costs such as non-recurring tooling, setup, testing, packaging, freight, etc.; General & Administrative Overhead; Profit; and

L.4.2.14 The offeror and each major subcontractor (greater than $750,000) shall provide the address, email, and telephone number of the cognizant DCAA Field Audit Office and DCMA office.

L.4.2.15 Technical Data Package (TDP) Data Rights. It is the Government's objective to acquire rights in technical data of a sufficient level to permit the Government to use, modify, reproduce, release, perform, display, or disclose technical data to support future full and open competitive acquisitions of the LCU 2000 SLEP and all its components.

L.4.2.15.1 The offeror shall complete the TDP and Software Rights, Attachment 0022, for its proposed Technical Data Package and submit it in Microsoft Excel format as described in Section L.4.2.15.1.2 and L.4.2.15.1.3 below. The offeror shall list all deliverable technical data and software items for which they are asserting restrictions in the Government's rights. While submission of this table is necessary for the evaluation of this factor, it also represents the response required by DFARS 252.227-7017 for all deliverables, including CDRL data items A006 (SLEP Repower TDP) and A051 (SLEP ECP TDP).

L.4.2.15.1.1. Definitions. The following definitions will be used for offeror's proposed data rights and the Government's evaluation:

(a) Commercially Available A component which is available for public sale and has a published list price.

(b) Competitive Rights - A component which is proposed to be delivered and released into the Government TDP with Unlimited or Government Purpose Rights as defined in DFARS 252.227-7013, 252.227-7014, and 252.227-7015, which can be openly and competitively procured by the Government for Government purposes without restriction (except that a proper Non-Disclosure

Agreement will be executed before Government Purpose Rights material is distributed to a non-Government party).

L.4.2.15.1.2 The offeror shall provide a listing of each data item in the TDP and each software deliverable in which they are asserting restrictions. (Reference DFARS 252.227-7017), Instructions are as follows:

(a) DATA ITEM NUMBER: The contractor shall enter the data item number for each TDP data and software element, as defined in MIL-STD-31000A 4.4, to be delivered. If multiple TDP elements will be delivered for the same item, component, process, or non-commercial computer software the contractor shall use one Data Item Number and one line of entry unless the responses to the columns differ by TDP element.

(b) NOMENCLATURE: The contractor shall enter the nomenclature of each data item.

(c) DESCRIPTION: The offeror shall provide a description of the part which conveys the usage, function, and location of the part. For example, in the case of pressure relief valve, a description would be Pressure relief safety valve mounted to the hydraulic reservoir.

(g) BASIS FOR ASSERTION: For each item identified with other than Unlimited Rights, the offeror shall specify the Basis for the Asserted Restriction. Generally, development at private expense, either exclusively or partially, is the only basis for asserting restrictions. For each item identified with Government Purpose Rights, the offeror shall also provide the expiration date of the Government Purpose Rights restriction. For technical data, other than non-commercial computer software documentation, development refers to development of the item, component, or process to which the data pertains.

The Governments right in non-commercial computer software documentation generally may not be restricted. DFARS 252.227-

7014(b)(1)(ii). For computer software, development refers to the software, not to the development of the software documentation. Indicate whether development was accomplished exclusively or partially at private expense. If development was not accomplished exclusively or partially at private expense, or for computer software documentation, enter the specific basis for asserting restrictions.

(h) NAME OF PERSON ASSERTING RESTRICTION: For each data item identified with other than Unlimited Rights, the offeror shall insert the name of the corporation, individual, or other person, as appropriate.

L.4.2.15.1.3 Signature. As the TDP and Software Rights, Attachment 0022, is an Assertion of Restrictions listing, it shall be dated and signed by an official authorized to contractually obligate the offeror. See DFARS 252.227-7017(d).

In this regard, the Government may utilize the Contract Performance and Rating System (CPARS), the Past Performance Information Retrieval System (PPIRS) and any other available internal Government sources to search for recent and relevant offeror performance and ratings. While the Government may elect to consider data obtained from external sources other than the proposal, the burden on providing thorough and complete past performance information rests with the offeror.
