L-1 ADDED 52.219-4005 SUBMISSION OF SUBCONTRACTING PLAN MAY/2012
(a) Please refer to FAR 52.219-9, SMALL BUSINESS AND SMALL DISADVANTAGED BUSINESS SUBCONTRACTING PLAN, which is incorporated by reference in Section I of this solicitation. The clause requires offerors that are other than small business to submit a subcontracting plan for small and small disadvantaged business concerns. Such plans are not required from offerors that are small businesses.
(b) The offeror may submit a copy of their plans (i) as an attachment to their offer in response to this solicitation; or (ii) after the bid opening/proposal closing date, in response to the Government's telephonic request, the copy shall be submitted to the buyer email address listed on the face page of the solicitation within five (5) workdays of the date of the request.
(c) As the offeror, you need to mark each page of your subcontracting plan with the solicitation number and date. If this is a negotiated acquisition, we reserve the right to negotiate any and all elements of the proposed plan during negotiation of cost, technical, and/or managerial features of the proposal. We also reserve the right in negotiated acquisitions to discuss the subcontracting plan after receipt of any best and final offer, in which case such discussion shall not constitute a re-opening of negotiations.
(d) Failure to submit and, if applicable, negotiate an acceptable subcontracting plan which, in the judgment of the Contracting Officer, provides the maximum practicable opportunity for small business and small disadvantaged business concerns to participate in the awarded contract shall render the offeror ineligible for award. In this connection, offerors should be aware of the statutory goal that has been placed on the Department of Defense to award five percent of its total planned subcontracting dollars to small disadvantaged businesses at the prime contract and subcontract levels. In view of this Congressional mandate, large businesses shall provide specific explanation as a part of any written subcontracting plan furnished in response to this solicitation/contract that identifies a goal for subcontracting to small disadvantaged business concerns that, in the aggregate, amounts to less than five percent of the bid or proposal's total subcontracting dollars.

a. Describe and support the basis for establishing the proposed prices, including: identify any relevant commercial catalog, price list, other verifiable and established record that is regularly maintained by the vendor and is published or otherwise available for customer inspection, its date, prices and related discounts. Provide, in contractor format (e.g., sales invoices), information on prices at which the same item or similar items have recently (generally, from three months to a year) been sold that is adequate for determining price reasonableness. Also explain any differences between the offered price, the established catalog/price list price, and price of recent sales in quantities similar to the proposed quantities. The above information is intended to establish the reasonableness of the offerors proposed price.
b. In the event that the information described in the previous paragraph is not available or does not establish the reasonableness of the proposed prices, provide the following non-certified cost information on a per unit basis, as applicable:
1) A unit price cost element schedule showing the build-up of the unit price by cost elements: Direct Material (include detail of purchased items costing over $100 per unit); Material Overhead: Direct Labor; Labor Overhead; Other Direct Costs such as non-recurring tooling, setup, testing, packaging, freight, etc.; General & Administrative Overhead; Profit; and

L.4.2.15.1.1. Definitions. The following definitions will be used for offeror's proposed data rights and the Government's evaluation:
(a) Commercially Available A component which is available for public sale and has a published list price.
(b) Competitive Rights - A component which is proposed to be delivered and released into the Government TDP with Unlimited or Government Purpose Rights as defined in DFARS 252.227-7013, 252.227-7014, and 252.227-7015, which can be openly and competitively procured by the Government for Government purposes without restriction (except that a proper Non-Disclosure
Agreement will be executed before Government Purpose Rights material is distributed to a non-Government party).
L.4.2.15.1.2 The offeror shall provide a listing of each data item in the TDP and each software deliverable in which they are asserting restrictions. (Reference DFARS 252.227-7017), Instructions are as follows:
(a) DATA ITEM NUMBER: The contractor shall enter the data item number for each TDP data and software element, as defined in MIL-STD-31000A 4.4, to be delivered. If multiple TDP elements will be delivered for the same item, component, process, or non-commercial computer software the contractor shall use one Data Item Number and one line of entry unless the responses to the columns differ by TDP element.
(b) NOMENCLATURE: The contractor shall enter the nomenclature of each data item.
(c) DESCRIPTION: The offeror shall provide a description of the part which conveys the usage, function, and location of the part. For example, in the case of pressure relief valve, a description would be Pressure relief safety valve mounted to the hydraulic reservoir.

(e) COMMERCIALLY AVAILABLE/NOT COMMERCIALLY AVAILABLE: For each item identified, indicate whether it is commercially available or not. Note that even if a data item is commercially available, it is to be listed on the Assertion of
Restrictions listing, if it is to be delivered with less than Unlimited Rights.
(f) ASSERTED RESTRICTIONS IN GOVERNMENT RIGHTS: The offeror shall describe the restrictions in Government rights they are asserting on each data or software item.
(g) BASIS FOR ASSERTION: For each item identified with other than Unlimited Rights, the offeror shall specify the Basis for the Asserted Restriction. Generally, development at private expense, either exclusively or partially, is the only basis for asserting restrictions. For each item identified with Government Purpose Rights, the offeror shall also provide the expiration date of the Government Purpose Rights restriction. For technical data, other than non-commercial computer software documentation, development refers to development of the item, component, or process to which the data pertains.
The Governments right in non-commercial computer software documentation generally may not be restricted. DFARS 252.227-
7014(b)(1)(ii). For computer software, development refers to the software, not to the development of the software documentation.
