The following have been modified:

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

BASIS FOR AWARD (52.212-2)

The Government will award one contract from this solicitation to the responsible offeror whose proposal is determined to be the lowest priced technically acceptable proposal. Proposals will be evaluated for technical acceptability (including past performance), but will not be ranked using the non-price Factors (and Subfactors). In order for an Offeror to be considered for award, the proposal must receive an “Acceptable” rating in every non-price Factor. A proposal receiving a rating of “Unacceptable” in any non-price Factor will not be eligible for award.

A. EVALUATION APPROACH

Award will be made to the offeror whose proposal is the lowest priced technically acceptable proposal. For purposes of evaluating proposals, the term “Offeror” includes both the vendor submitting a proposal and any affiliates (as defined in FAR 2.101) identified in the proposal. The following evaluation factors will be used to evaluate each proposal:

1. TECHNICAL FACTOR

In order to be considered for award, the proposal must receive an Acceptable rating for the Technical Factor in accordance with FAR 15.101-2. Proposals rated as Unacceptable for the Technical Factor will be eliminated from further consideration for award. Acceptable and Unacceptable ratings are defined in the table below.

TECHNICAL RATINGS

Rating Definition Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal clearly does not meet the minimum requirements of the solicitation.

Failure to satisfy the requirements specified in the RFP may cause the entire proposal to be found to be unacceptable. Each subfactor will be evaluated based on:

Subfactor 1: Experience: To be deemed acceptable, the proposal must clearly demonstrate that the Offeror has the required experience providing Drayage and Distribution Services within Europe within the past five years that meets the size and scope requirements specified in the Addendum to FAR 52.212-1. Experience must be for contract performance within Europe. Contracts performed outside of Europe will not count toward experience. Contracts may be with the U.S. Government, the Host Nation Governments (to include state and local governments), or with commercial customers. Contracts with performance within the past five years, to include currently active contracts, will be considered regardless of the performance start date or completion date. Contracts indicating relevant experience greater than five years from the date in Block 8 of the solicitation will not be considered. Relevant scope means contracts for commercial fixed-line circuits. Relevant size means individual contracts with an estimated total value of at least $250,000. The Government will not consider the aggregate annual value of multiple contracts to determine relevant size. For contracts in non-U.S. Dollar currencies, the estimated total value will be converted to U.S. Dollars by using the Fiscal Year 2022 Department of Defense Foreign Currency Rate for Budget Execution effective on the solicitation date. Proposals that do not demonstrate the required experience will be rated as unacceptable.

Subfactor 2: Warehouse Augmentation Services Staffing To be deemed Acceptable, the Offeror must complete and submit the Attachment titled “Certification of Capability to Provide Adequate Staffing in Support of Warehouse Augmentation Services” to attest to its capabilities to meet the standards of PWS 5.2.2.1, PWS 5.2.2.2, PWS 5.2.2.3, PWS 5.2.2.4, and PWS 5.2.2.5 by answering “Yes” for every location.

Submissions that include a completed copy of the “Certification of Capability to Provide Adequate Staffing in Support of Warehouse Augmentation Services” and attest that the vendor is capable of meeting the PWS standards will be determined acceptable.

Submissions that do not include a completed copy of the “Certification of Capability to Provide Adequate Staffing in Support of Warehouse Augmentation Services” and attest that the vendor is capable of meeting the PWS standards will be determined to be unacceptable.

2. PRICE FACTOR.

a. The Government will review the pricing submissions for completeness and compliance with the instructions provided in 52.212-1. Incomplete price submissions will not be evaluated and the proposal may be eliminated from the competition. Price will not be scored or rated. Adequate competition normally establishes a price as fair and reasonable. If adequate competition is not achieved, the solicitation may be cancelled and resolicited in accordance with DFARS 252.215-7007 or the contracting officer may request pricing data in accordance with DFARS 252.215- 7008 so that analytical techniques and procedures described in FAR 15.404-1 may be used, singly or in combination with others, to ensure that the final price is fair and reasonable.

b. The Total Evaluated Price (TEP) will be the sum of the Base Period total, the 12-month Option Period total, and by calculating a total for the 6-month Option to Extend Services (as described in the next paragraph).

c. Options. The Government will evaluate offers for award purposes by adding the total price for the option period to the total price for the base period. To account for the option period possible under 52.217-8, Option to Extend Services, the Government will pro-rate the proposed pricing for the Option Period to calculate a six-month value, and add that to the total proposed price for the Base Period and Option Period. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

d. The resulting award will be a Firm-Fixed Price contract. The Government will evaluate for unbalanced pricing and price reasonableness for this Firm-Fixed Price effort. The evaluation of price will be based on a proposed price submitted by the offeror(s). All offeror’s pricing shall be evaluated by the Source Selection Team (SST) to determine the price being provided and that the pricing received is a fair and reasonable price. The price will be evaluated after determination of the technical acceptability of the offerors non-price factors. The realism of proposed prices will NOT be evaluated.

3. PAST PERFORMANCE FACTOR

The Government will evaluate the offeror’s record of past and current performance to ascertain the probability of successfully performing the required efforts of the PWS. The Government will focus its inquiries on the offeror’s record of performance as it relates to all solicitation requirements, including cost, schedule, performance and management of subcontractors. A significant achievement, problem, or lack of relevant data in any element of the work can become an important consideration in the evaluation process. Therefore, offerors will be reminded to include the most recent and relevant efforts (within the past five years) in their proposal. The Government may use data provided by the offeror in its proposal and data obtained from other sources, including data in Government files or data obtained through interviews with personnel familiar with the contractor and their current and past performance under Federal or commercial contracts for same or similar services as compared to the NAICS (517311) or the PSC (DG11).

In accordance with the instructions in the addendum to FAR 52.212-1, offerors shall submit Government and/or commercial contracts with performance within the past five years, from the issue date of this RFP, which are relevant to the efforts required by this RFP. The Government may consider a wide array of information from a variety of sources, but is not compelled to rely on all of the information available.

The past performance factor considers each offeror’s demonstrated recent and relevant record of performance in supplying products and services that meet the contract requirements. The definitions for Acceptable and Unacceptable are provided in the table below.

Past Performance Evaluation Ratings Rating Definition Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance is unknown.

Unacceptable Based on the offeror’s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
