ADDENDUM TO 52.212-1

Addendum to 52.212-1, Instructions to Offerors

PROPOSAL SUBMISSION

1. Introduction

This solicitation for European Theater Telecommunication Services – Commercial Circuits will utilize the procedures of FAR Part 12, Acquisition of Commercial Items, and FAR Part 15, Contracting by Negotiation. The Government intends to award a Firm-Fixed-Price (FFP) contract. The contract will include a one-year Base Period (2 months of phase-in plus 10 months of performance) and four one-year Option Periods. These instructions prescribe the format to submit an offer. Offerors are advised to follow these instructions carefully and to familiarize themselves with FAR 52.212-1, Instructions to Offerors, and this Addendum. Offerors that fail to comply with these instructions may have their offers eliminated from consideration for award.

2. Submission Requirements

The Offeror’s proposal shall be submitted in digital format, via email, as set forth below. Offers must be received before the deadline located in Block 8 of the RFP. If any solicitation amendments are issued that extend the submssion deadline, then the new time and date will be specified in the solicitation amendment. In accordance with FAR 52.214-34, all offers must be submitted in ENGLISH. Those submitted in a language other than English shall be determined “Unacceptable” and eliminated from competition. All proposals must demonstrate that the Offeror has the capability to provide telecommunication services that meet the requirements. Simple reiteration of the requirement or standard reference material is inadequate. It is the Offeror’s responsibility to present information of sufficient detail and quality to be meaningfully evaluated without discussions. The Offeror shall ensure that the proposal adheres to the limitation on the maximum number of pages as provided in the Proposal Preparation Instructions below. The Offeror’s proposal shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims. Clarity and readability are very important. The Government will not infer meanings from vague or ambiguous language.

Offers shall be submitted on or before the date set for receipt of offers, located in Block 8 on the first page of this solicitation (or as specified in any solicitation amendment that extends the date for receipt of offers), and submitted to the Contract Specialist, Mr. Warren Stropes, warren.l.stropes.civ@army.mil and the Contracting Officer, Mr.

Gary Weir, gary.r.weir.civ@army.mil. The subject line for these emails shall be “W564KV-22-R-0005 – Proposal.”

Proposals shall include separate volumes for the Solicitation, Technical Factor, Past Performance Factor, and Price Factor sections. Proposals may be submitted in MS Word or MS Excel (2003 or higher) or PDF. The attachment size limit for U.S. Government email addresses is 5MB. If attachments exceed that size, an Offeror may submit its proposal via separate emails. When submitting via separate emails, the Offeror shall number the emails (e.g. 1 of 4, 2 of 4, etc.) to confirm that all parts are submitted and received. Alternatively, an Offeror may email the Contract Specialist to request a “Drop Off” via DoD Safe. With all submissions, there must be acceptable evidence to establish that the entire proposal was received and was under the Government’s control prior to the time set for receipt of offers. It is the Offeror’s responsibility to ensure the Government receives all emails with appropriate attachments. A complete proposal received after the exact time stated above will be considered late in accordance with FAR 52.212-1(f).

Submissions shall be in Arial or Times New Roman font type of at least size 12. Graphics, photos, and charts may use color, though Offerors are cautioned to use colors that are legible if printed in black and white. Font size in tables, graphs, and charts is at the discretion of the Offeror; however, information must be legible. The use of hyperlinks is prohibited.

Submissions shall be clearly indexed and logically assembled. Each volume shall be clearly identified and shall begin at the top of a page. All pages of each volume shall be appropriately numbered and identified by the complete Offeror (or company) name, date and Request for Proposal (RFP) number in the header and/or footer. A Table of Contents should be created using the Table of Content feature in MS Word. MS Word (doc) files shall use the following page setup parameters:

Margins – Top, Bottom, Left, Right – 1” Gutter – 0” From Edge – Header, Footer 0.5” Page Size, Width – 8.5” Page Size, Height – 11”

3. Proposal Preparation Instructions

All Offerors must complete the following provisions/clauses before submission of their proposals. For provisions completed by the offeror electronically as part of its annual representations and certifications, the contracting officer will consider that information instead of requiring the offeror to complete and submit those provisions. For those provisions and clauses that have not been completed electronically, the offeror must submit them with the offer, or in the specific case of FAR 52.222-56, with the offer or prior to award.

[It is not required to complete 52.204-24 if the offeror has answered *does not* for the representations in provision 52.204-26 of its annual Representations and Certifications at SAM.gov or has answered *does not* in the representations found at paragraph (v) of 52.212-3 Alt I.]

Volume II: Technical Factor

The Offeror shall submit a concise and detailed approach for effective valuation and for substantiating the validity of stated claims. Legibility, clarity and coherence are very important. Responses will be evaluated against the factors defined in 52.212-2 – Evaluation – Commercial Items.

Subfactor 1: Experience The Offeror shall provide evidence that it currently provides telecommunications services of one or more of the types outlined in PWS 5.2.1, PWS 5.2.2, or PWS 5.2.3 within one or more of the following countries: Germany, Italy, Belgium, or the Netherlands. The Offeror shall also provide evidence that it has experience performing some or all of those services in terms of relevant size, scope, and complexity, on at least one contract, and up to a maximum of three contracts, currently in performance. Experience must be for contract performance within Germany, Italy, Belgium, or the Netherlands. Contracts performed outside of those countries will be considered.

Contracts may be with the U.S. Government, the Host Nation Governments (to include state and local governments), or with commercial customers. Contracts not currently in service as of the solicitation issue date in Block 6, will not be considered.

Relevant scope means contracts for commercial fixed-line circuits. Relevant size means individual contracts with an estimated value of at least $250,000 (or €217,575) for any consecutive 12 month period. The Government will not consider the aggregate annual value of multiple contracts to determine relevant size. Relevant complexity means contracts for any or all of the telecommunication services described in PWS 5.2.1, PWS 5.2.2, or PWS 5.2.3 of this requirement.

Proposals shall include:

1) A description of each contract/project furnished as evidence that the offeror currently provides telecommunications services;

2) The US Dollar or foreign currency value of each contract/project listed;

3) The location of performance;

4) The customer of the contract/project;

5) Dates or Period of Performance of contract/project;

6) An explanation as to how each contract/project meets the relevant size, scope, and complexity standards of this solicitation.

Subfactor 2: Telecommunications Portfolio Management The Offeror shall complete Attachment 02 Certification of Capability to Provide Telecommunications Portfolio Management to attest to its capabilities to meet the Standards of PWS 5.2.4.1, PWS 5.2.4.2, and PWS 5.2.4.3.

Volume III: Past Performance Factor

Past Performance information will be used to determine the likelihood of acceptable performance for the services proposed. Only past performance information associated with the projects submitted under the Experience subfactor will be considered for evaluation under this factor. The Offeror shall submit a Past Performance Questionnaire (Attachment 01) or DD Form 2626 (Contractor Performance Assessment Report - CPAR) for each project submitted under the Experience subfactor. Only Past Performance Questionnaires and CPARs will be considered for this evaluation, the Offeror should not submit additional past performance information (such as certificates or other awards), as they will not be evaluated. The Government reserves the right to authenticate any past performance information submitted by the Offeror.

For each Past Performance Questionnaire, the Offeror shall complete Part I of the questionnaire and then email a copy to the relevant POC for the identified contract/project. The Offeror shall instruct the POC to electronically complete Part II of the questionnaire and then email the completed questionnaire to the Contracting Officer and Contract Specialist no later than the proposal due date. The Offeror shall also email a copy of each questionnaire, with Part I completed, to both the Contracting Officer (gary.r.weir.civ@army.mil) and the Contract Specialist (warren.l.stropes.civ@army.mil). The Past Performance Questionnaire (Attachment 01) does not count against the page limitation for this volume.

Volume IV: Price

The Offeror shall, in its pricing proposal, include all resources required to accomplish all requirements of the PWS and shall coincide with information presented in the technical proposal. For this volume, the Offeror shall enter its proposed price for the phase-in period on the SF 1449 CLIN 0001. For all other CLINs, the Offeror shall complete the Exhibit C Price List included in the solicitation. It is important that the Offeror fill in the pricing sheet completely. Any proposals that do not provide complete pricing may be removed from consideration. On each Tab of the Exhibit, the CLIN amounts will be automatically totaled at the bottom of each column in Green. Transpose those totals in the correct CLIN identified (i.e. CLIN 0002 total on the Exhibit C Price List will be written/typed on the SF 1449 CLIN 0002 on page 3 and so forth). Any proposals that do not provide complete pricing may be removed from consideration for award. The Exhibit C Price List consists of 2 tabs: Tab 1 is for current NETCOM circuits and Tab 2 is for current Customer Funded circuits.

The Offeror’s price proposal will be based upon the pricing submitted on the provided Exhibit C Price List.

Offerors shall fill in the CLIN prices on the solicitation document based on the totals from the Exhibit C Price List.

In case of discrepancy in pricing between the solicitation form and the Exhibit C Price List, the evaluators will use the Exhibit C Price List to determine the total evaluated price. The total evaluated price will be the sum total of each of these tabs for the Base Period (Phase-in plus 10 months of performance) and for all Option Periods (12 months of performance), to include the Option to Extend Services in clause 52.217-8 (6 months of performance). The price for 52.217-8 will be calculated using the proposed prices of the fourth Option Period pro-rated to six months.

4. Solicitation Questions

Offerors may submit questions regarding this solicitation. All questions regarding this solicitation shall be submitted to the Contract Specialist, Mr. Warren Stropes, warren.l.stropes.civ@army.mil and the Contracting Officer, Mr. Gary Weir, gary.r.weir.civ@army.mil, no later than fifteen (15) days before the date for receipt of proposals, located in Block 8 on the first page of this solicitation. The subject line for these emails shall be “W564KV-22-R-0005 – Questions.” The Government will post its response(s) to appropriate questions and comments, without Offeror identification, to the Government Point of Entry where the solicitation was posted. If the Government determines that a question or concern warrants a change to the solicitation, the change will be published through the issuance of a solicitation amendment prior to the date for receipt of proposals. In the event that an amendment to the solicitation is issued, the Government may elect to extend the time and date for receipt of proposals. The Government may not answer questions received after the stated deadline.

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES

(NOV 2021)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code(s) and small business size standard(s) for this acquisition appear elsewhere in the solicitation. However, the small business size standard for a concern that submits an offer, other than on a construction or service acquisition, but proposes to furnish an end item that it did not itself manufacture, process, or produce is 500 employees if the acquisition--

(1) Is set aside for small business and has a value above the simplified acquisition threshold;

(2) Uses the HUBZone price evaluation preference regardless of dollar value, unless the offeror waives the price evaluation preference; or

(3) Is an 8(a), HUBZone, service-disabled veteran-owned, economically disadvantaged women-owned, or women-owned small business set-aside or sole-source award regardless of dollar value.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at Federal Acquisition Regulation (FAR) 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 150 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with FAR subpart 4.10), or alternative commercial products or commercial services for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation.

(1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation "Unique Entity Identifier" followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see FAR subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.
