SECTION H - SPECIAL CONTRACT REQUIREMENTS

I. ORDERING REQUIREMENTS________________________

1. A minimum guarentee of $100,000.00 will be inclided in each contract that is be awarded, with a contract celing of $25,000,000.00.

$25,000,000.00 is also the total programatic ceiling shared by all of the awarded contracts. In other words, if more than one contract is awarded, at no time will the combined order value of all awarded contracts exceed the total program value of $25,000,000.00.

2. Orders shall be placed on a Firm-Fixed Price (FFP) and/or a Cost Plus Fixed Fee (CPFF) basis, depending on the nature of the requirement. All orders will be competed and negotiated on an order by order basis.

3. Proposals for orders shall use the FFP loaded labor rates table or CPFF loaded labor rates table established in the schedule. For all orders, indirect rates proposed at each order, applicable to material and travel, shall be used when determining the total proposed price for each order issued against this contract. The offeror may elect to discount their loaded labor rates (FFP only) as established in the schedule for order competition. However, proposed loaded labor rates shall not be higher than that established in the contract.

CPFF proposals will be subject to a cost realism analysis.

a. On all future delivery/task orders, the contractor shall utilize the applicable FFP or CPFF fully loaded labor rates for the

OP during which the orders are issued, regardless of when performance takes place. For instance, if an FFP order is issued on the first day of OP2, then the applicable FFP loaded labor rates for OP2 will apply. If an FFP order is placed on the last day of OP2, then the applicable FFP fully loaded labor rates for OP2 will also apply.

4. If multiple awards are made, the Government expects to compete all orders in accordance with FAR 16.505(b)(1). However, the

Government also reserves the right to place orders to one awardee if:

a. The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays;

b. Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized; or

c. The order must be issued on a sole source basis in the interest of the economy and efficiency because it is a logical follow-on to an order already issued under the contract;

d. The contract's minimum guaranteed value can be reached.

5. Orders may be evaluated on the basis of technical, price/cost, past performance and small business, which may depend on the type of order placed. These orders will be awarded on technically acceptable, lowest price or best value tradeoff approach as appropriate for each Statement of Work. The criteria will be established on an order-by-order basis.

6. Information Regarding Updating Rates for Ordering Periods 2, 3, 4, and 5:

a. Firm Fixed Price Rates: Firm Fixed Price (FFP) rates contained in Attachment 0006 of Section J will be incorporated into the resultant contract(s) for all ordering periods. Contractors will have the opportunity to propose lower fully loaded FFP labor rates for task order competition, but may not exceed the rates incorporated into the resultant contract. FFP fully loaded labor rates will not be updated for Ordering Periods 2, 3, 4 and 5.

b. Cost Plus Fixed Fee Rates: Cost Plus Fixed Fee (CPFF) fully loaded labor rates contained in Attachment 0006 of Section J will be incorporated into the resultant contract(s). For CPFF orders issued during Ordering Period 1, contractors shall utilize the CPFF fully loaded labor rates reflected in Attachment 0006. For ordering periods 2 through 5, 90 days prior to the end of Ordering

Periods 1, 2, 3 and 4, contractors and/or subcontractors shall update their CPFF rates for the forthcoming ordering periods, so that contractual rates more accurately reflect the contractor and subcontractor's current rates, or attest that the rates remain unchanged.

The out-year rates, whether the same or not, will be evaluated and negotiated, if necessary, before being incorporated into the contract via modification. When submitting updated fully loaded labor rates, the contractor and/or subcontractor(s) shall utilize the same fee dollars contained in the CPFF fully loaded labor rates incorporated into the basic contract. The following is required, whether the rates are being updated or not, in order to evaluate the rates for Ordering Periods 2, 3, 4 and 5:

i. The contractor and any subcontractor shall provide a breakdown of the cost elements for each proposed fully loaded labor rate, whether they changed from what is included in the resultant contract or not. Provide a schedule which contains the proposed wages, applicable indirect rates and fee. If the contractor's and/or subcontractor's rates are blended, weighted or composite rates, a detailed schedule and breakout by element of cost which demonstrates how the blended, weighted or composite rates are calculated shall be provided. The contractor shall identify the basis for the proposed rates (i.e. Forward Pricing Rate Agreement (FPRA), Approved

Provisional Billing Rates, budgetary rates, etc.). The contractor shall provide documentation supporting their proposed direct and indirect rates. The contractor shall provide copies of their current (within the last twelve months) Forward Pricing Rate Agreement or

3 17

Name of Offeror or Contractor:

Forward Pricing Rate Proposal submission for direct and/or indirect rates, and/or Provisional Billing Rates approval letter for indirect rates. For rates based on budgetary data or if none of the listed DCAA/DCMA documents are available, in order to perform an evaluation, the offeror shall provide current payroll records to support their hourly labor rates and details on formulation of indirect rates

(including pool of expenses and allocation bases with associated dollars). The same level of detail required for the offerors proposal shall be submitted for all subcontracts. Escalation: The source of the proposed escalation shall be identified along with supporting documentation verifying the proposed escalation. The rationale for the indices used and the method of rate application shall be explained. An explanation shall be provided by the offeror if the offeror proposed a different amount than that quoted by the subcontractor, including a detailed breakout of any prime markups.

ii. Any CPFF fully burdened labor rates that have changed shall be incorporated into the contract via modification. Contractors shall use the rates on contract to price task order proposals, which will remain for the period of performance of the Task Order.

iii. Material and Travel: The indirect rates applicable to Material and Travel contained in Attachment 0006 will be incorporated into the resultant contract(s). For orders containing Material and Travel issued during Ordering Period 1, contractors shall utilize the contract rates in their proposal. For the follow-on ordering periods, 90 days prior to the end of Ordering Periods 1, 2, 3 and 4, contractors shall update their Material and Travel indirect rates for the forthcoming ordering periods, so that contractual rates more accurately reflect the contractor's indirect rates, or attest that the rates remain unchanged. The outyear indirect rates, whether the same or not, will be evaluated and negotiated, if necessary, before being incorporated into the contract via modification.

The following is required, whether the rates are being updated or not, in order to evaluate the rates for Ordering Periods 2, 3, 4 and

5:

iv. The offeror shall identify the basis for the proposed indirect rates (i.e. Forward Pricing Rate Agreement (FPRA), Approved

Provisional Billing Rates, budgetary rates, etc.) and provide documentation supporting their proposed indirect rates. The offerors shall provide their current (within the last twelve months) Forward Pricing Rate Agreement or Forward Pricing Rate Proposal submission for indirect rates, and/or Provisional Billing Rates approval letter for indirect rates. For rates based on budgetary data or if none of the listed DCAA/DCMA documents are available, in order to evaluate the rates, the offeror shall provide details on formulation of indirect rates (including pool of expenses and allocation bases and forecasted data). If the offerors rates are weighted or blended from year to year, the offeror shall provide a detailed breakout which demonstrates how the weighted or blended indirect rates are calculated.

v. Any Material and/or Travel indirect rates that have changed shall be incorporated into the contract via modification.

Contractors shall use the indirect rates on contract to price task order proposals, which will remain for the period of performance of the Task Order.

7. If an Offeror proposes the use of Government property in its possession for any future delivery/task order, the total evaluated price will be adjusted to include a rental equivalent factor for each item of such property calculated in accordance with FAR 52.245-9. This adjustment will apply for the use of Government property by the Offeror as well as any subcontractor. The value of the proposed

Government property will be evaluated for cost realism.

8. Past performance of orders performed under this IDIQ contract will be an evaluation factor in considering award of subsequent orders.

The Government expects to compete future orders in accordance with FAR 16.505(b)(1) unless an exemption applies in accordance with FAR

16.505(b)(2). The Government shall consider the offerors performance on all prior orders awarded under this contract. Should the offeror demonstrate poor performance, such asdeficiencies in cost, schedule, and performance, the Government reserves the right to award to the next qualified offeror who has demonstrated sufficient prior performance.

9. Orders will be placed utilizing email. Oral orders will not be accepted.

10. The only person authorized to solicit offerors for orders is the Contracting Officer located at the U.S. Army, Army Contracting
