SECTION 1 – EXECUTIVE SUMMARY:

1.1 Purpose and Authority [footnoteRef:2] [2: For additional information please refer to the Department of Defense (DoD), Other Transactions Guide, Version 1.0, dated November 2018 https://www.dau.mil/guidebooks/Shared%20Documents%20HTML/Other%20Transactions%20(OT)%20Guide.aspx

The purpose of this Prototype Project Opportunity Notice (PPON) is to award up to two prototype Other Transaction Agreements (OTAs) pursuant to 10 U.S.C. § 2371b, with the goal of delivering three CROWS Ruggedized Display (CRD) systems within 120 days after OTA award.

1.2 Background

United States military operations take place worldwide and in all types of terrains as well as under various environmental conditions. The use of Remote Weapon Stations (RWS) provides both lethality and survivability to the warfighter who can remain under armor in a safe environment while operating the RWS. The Remote Weapon Station M153 CRD system provides pertinent data to the safe operation of the RWS. The CRD system allows the user to operate the RWS and fully utilize the thermal and day camera by being able to view the video on the display. RWS diagnostic functions and system settings will be accessible via the CRD system as well.

1.3 Acquisition Approach

The Government intends to award up to two independent fixed amount OTAs for a total of six CRD systems, three per OTA, for prototyping. The Government intends to evaluate and award, based on the best overall approach; up to two fixed amount, stand-alone OTAs. Based on the evaluation criteria in the OTA for production award, the Government intends to conduct an evaluation of successfully completed prototype OTAs and, pursuant to 10 U.S.C. 2371b(f), select one prototype OTA awardee for award of a follow-on Production Other Transaction Agreement (P-OTA) or contract for a known quantity of 300 CRD systems. The maximum quantity of the follow-on Agreement or contact will be 3,000 CRD systems. The follow-on production Agreement or contract will be for five years and will have Line Item Number (LIN) Range Pricing. The structure of this effort is a single Prototype with a two-step evaluation approach to get to production.

Prototype Other Transaction Agreement Award(s) Offerors will be required to submit a proposal up to 20 pages. This proposal includes; the Go/No-Go criteria contained in Attachment 1 – CRD Proposal Form. Offerors are also required to complete the Pricing tab in Attachment 1 – CRD Proposal Form. The PPON Notice will be posted for 30 days. Once proposals are received the technical evaluation will take approximately 15 days from receipt of proposals. Award(s) to be made in the 1st Quarter of Fiscal Year 2020.

Prototype Testing & Follow on Production Award The Government will verify the three CRD systems per Offeror have been evaluated in accordance with each factor through Government analysis, demonstration, examination, and/or testing. At the conclusion of the Government’s verification, Prototype OTA Awardees may be asked to provide updated proposals, which will include updated pricing for production CRD systems, and provide details on the Awardee’s Schedule, Production Capability, and Warranty. It is the Government’s intention to conduct an integrated assessment of Prototype Testing, updated Pricing for Production CRD systems, (downward adjustment only), Schedule, Production Capability, and Warranty. As a result of that assessment the Government intends to select one Prototype OTA Awardee for award of a follow-on P-OTA or contract for a known quantity of 300 CRD systems with a maximum quantity of 3,000 CRD systems. Once OTAs have been awarded the awardees have up to 120 days to deliver the CRDs. The Government will then request proposals from the awardees due 30 days from the Governments request. The technical evaluation will take approximately 120 days from receipt of the CRDs and proposals. Award(s) are to be made in the 1st Quarter of Fiscal Year 2022.

3.3 OTA Basis of Evaluation: ACC-NJ, with the assistance of subject matter experts, will review and evaluate proposals submitted in response to the PPON to ensure the Offeror meets all Government requirements. Proposal(s) will be evaluated in a careful, full and impartial manner pursuant to the stated criteria of the PPON. Awards may be made to the Offeror(s) who meet all the Go / No-Go Requirements and are of the lowest evaluated price. The Government reserves the right to conduct a Pre-Award Survey or similar, in order to determine Contractor responsibility.

The below Evaluation Criteria will be used in the selection of up to two OTA awards. The basis for award of OTA(s) resulting from this PPON will be the result of the evaluation of the Factors specified below.

3.4 OTA Evaluation Factors:

Factor 1: Go/No Go Factor 2: Price

3.5 Factor 1 – Go or No-Go Criteria Evaluation:

The evaluation team will determine if the offered solution, in the written proposal, meets the Go or No-Go criteria listed in Attachment 1 – CRD Proposal Form.

If a solution receives at least one “No” under Factor 1, the proposal will be removed from the competition. No further evaluation will be conducted on that proposal.

3.6 OTA Factor 2 – Price Evaluation:

All pricing shall be Fixed Amount. All calculations are rounded to the nearest dollar. The Government will conduct a price analysis of the overall prices submitted to determine price reasonableness for OTA agreement(s). It is anticipated that price reasonableness will be established based on competitive offers received in response to the PPON and against the Government estimate. A price evaluation will be conducted by summing the evaluated prices for Total OTA Price and Total Follow-on Production Price to arrive at a Total Evaluated Price. All prices shall be proposed on Fixed Price basis. Pricing will be for the item manufactured using the contractor’s usual quality assurance and design verification practices.

Prototype OTA Line Items: The Total price per line item is calculated by multiplying the Quantity by the Unit Price. The Total Prototype OTA Price is calculated by summing the Total prices for all line items.

Follow-on Production Line Items: Prices proposed in the CRD Proposal Form Attachment 1 to the PPON will be utilized to compute a total evaluated price. A weighted evaluated price will be calculated for each quantity range. The evaluated quantity for each quantity range will be the maximum quantity in the respective quantity range. The evaluated quantity in each range will be multiplied by the proposed unit price for that quantity range to derive the evaluated amount for each quantity range. The evaluated amount for each quantity range will be multiplied by the assigned weighted percentage to derive the weighted evaluated price for each quantity range. The weighted evaluated price will be rounded to the nearest dollar. A price reasonableness determination will be made on the total evaluated price. The total evaluated price will be computed by summing the weighted evaluated prices computed from the unit prices proposed in the CRD Proposal Form Attachment 1.

Unbalanced Pricing: The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced. Unbalanced pricing exists when, despite an acceptable total evaluated price, one or more line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. The Agreement Officer may reject a proposal where the lack of balance poses an unacceptable risk to the Government.

SECTION 4 – FOLLOW-ON PRODUCTION AWARD:

Companies are advised that any Prototype Other Transaction Agreement awarded in response to this PPON shall include the following statement relative to the potential for follow-on production:

“In accordance with 10 U.S.C. 2371b(f), and upon a determination that the prototype project was successfully completed under this competitively awarded OTA, a follow-on production contract or OTA may be awarded without the use of competitive procedures.”

Successful completion means the Company has delivered three CRD systems which meet Factor 1 – Prototype Testing Results; technical attributes 9-17 see (Section 4.3.2).

The follow-on production award, if the Government chooses to, may be awarded to one Company without further competition. The follow-on production award is planned to be an Indefinite Delivery / Indefinite Quantity contract with Firm Fixed Price Delivery Orders up to five years or a P-OTA. The production award may include up to 300 CRD systems. Initial production quantities of 50 CRDs are expected to be delivered within 6 months after award, with a minimum of 50 CRD systems maintained and delivered per month. The value of this follow - on production is estimated to be $1,302,000.00 for a quantity of 300 with a maximum value of $13,020,000 for up to 3,000 CRD systems.

4.1 Follow-on Production Proposal Submission & Instructions:

The Offeror’s proposal shall be signed and submitted by an individual having authority on behalf of the Offeror to enter into an Agreement based on the submitted proposal. The Offeror’s proposal shall be written in the English language and conform to the instructions below. Based on the Prototype Proposal Opportunity Notice (PPON) requirements, the Offeror shall submit a proposal in accordance with these Proposal Submission Instructions below.

The purpose of the Follow-on Production Proposal is to enable the Government to conduct an integrated assessment and select a single Company for award of a follow-on production Agreement or contract. If the Company meets the definition of successful completion, then the follow-on production proposal will be due 30 days after the Government’s request. If an Offeror does not successfully complete the Prototype project, no follow-on production proposal will be requested or accepted and they will be eliminated from consideration for a production award.

The costs of preparing and submitting the Follow-on Production Proposal are not considered an allowable direct charge to any contract or agreement.

Advertising brochures are not desired.

The Follow-on Production Proposals shall be valid for a period of 180 days.

Technical data with military application may require appropriate approval, authorization, or license for lawful exportation.

All Follow-on Production Proposals shall be unclassified and will be protected as competitive source selection information. This does not limit the Government's right to use information contained in the Follow-on Production Proposal if it is obtained and allowed from another source.

The schedule to deliver the updated proposals is 30 days after the Government’s notification to the contractor.

Questions regarding the objectives or preparation of the Proposal shall be addressed to Robert C. Phelan, Agreements Specialist, Army Contracting Command – New Jersey, Email: Robert.c.phelan4.civ@mail.mil.

4.3 Follow-on Production Basis of Evaluation:

The below Evaluation Criteria shall be used in the selection of the Follow-On Production Agreement or contract.

Follow-on Production Basis of Evaluation Factors:

Factor 1: Prototype Testing Results Factor 2: Price Factor 3: Delivery Capabilities Factor 4: Quality Program Factor 5: Warranty

Due to the existing technologies, limited quantities, and rapidly changing CRD system market, it is not advantageous for the Government to pursue data rights in order to facilitate competition for follow-on activities. Therefore, data rights is not a factor in the selection.

4.3.1 Follow-on Production Proposal Order of Importance:

Factor 1 is the most important Factor. Factor 2 is more important than Factor 3. Factor 3 is more important than Factor 4. Factor 4 is more important than Factor 5. When all evaluation Factors other than Price are combined, they are significantly more important than Price. However, price may become a more significant factor when ratings of acceptable proposals are closely grouped. Contractors will be cautioned, however, that the award may not necessarily be made to the lowest priced contractor or the contractor with the highest rating.

4.3.2 Follow on Production Factor 1 – Prototype Testing Results:

Prototype Testing consists of Technical Attributes Testing, items 1-26.

4.3.3 Follow on Production Factor 2 - Price Evaluation (Downward Adjustment Only):

(Does not count towards 20 pages)

Contractors may update the Price section in the CRD Proposal Form (Attachment 1, downward adjustment only). The Government will conduct a price analysis of the overall prices submitted to determine price reasonableness for the P-OTA or Contract. Price reasonableness will be based on competitive offers received in response to the PPON or updated pricing and against the Government estimate.

Follow-on Production Line Items: Prices proposed in the CRD Proposal Form Attachment 1 to the PPON or updated pricing will be utilized to compute a total evaluated price. A weighted evaluated price will be calculated for each quantity range. The evaluated quantity for each quantity range will be the maximum quantity in the respective quantity range.

4.3.4 Follow on Production Factor 3 – Delivery Capabilities
