Vacuum Parts & Accessories Master Agreement – State of Maine

This document is the Terms and Conditions for a Master Agreement between the State of Maine and a vendor for the supply of vacuum parts and accessories used throughout the state's psychiatric facilities. The contract period runs from February 1, 2023, through January 31, 2025, with an initial two-year term and the option for three additional one-year renewals at the state's discretion. The Chief Procurement Officer of the Division of Procurement Services may extend the contract period beyond the expiration date with contractor consent. No specific quantities are enumerated in this document; rather, the contract covers the actual quantities required by state agencies over the contract duration. The contract reserves the state's right to cancel with thirty days' written notice or immediately if the contractor fails to conform to the terms, conditions, and specifications outlined in the agreement.

Pricing is net and includes all transportation charges with delivery fully prepaid by the contractor on an FOB destination basis, with prices remaining firm throughout the contract duration. The vendor must accept the State of Maine Procurement Card as the sole payment method with no surcharges or additional compensation permitted; the pricing quoted to the state represents the final cost regardless of payment method. Delivery orders exceeding $5,000 are processed through AdvantageME, while orders under $5,000 may be placed using a P-Card. The contractor is responsible for thorough inspection of all items before shipment and must guarantee delivery of materials in first-class condition in accordance with good commercial practice, with any faulty items subject to repair or replacement at no additional cost to the state.
