About this file

This is an Amendment of Solicitation (Amendment 0002) for a Blanket Purchase Agreement (BPA) for online learning platforms issued by the Administrative Office of the United States Courts. The solicitation (USCA25Q0045) seeks to award up to three single-award BPAs for online learning platforms using a Lowest Price Technically Acceptable (LPTA) evaluation methodology. Key updates in this amendment include extending the proposal due date to 10/9/2025 at 10am ET and updating Attachments J.1, J.2, and J.3, as well as Sections G.1, L.1, and M.1.

The government estimates a total purchase volume of $3,150,000 and will evaluate proposals by grouping them by online learning platform. For each platform group, the Contracting Officer will select the lowest-priced, technically acceptable offer. Vendors must submit a two-volume proposal: a Price Proposal using the BPA Price Workbook (Attachment J.3) and a Technical Proposal limited to 10 pages. Technical acceptability requires meeting all requirements in the J.2 Requirements Questionnaire and providing an Authorized Re-Seller letter from the Original Equipment Manufacturer (OEM), unless the offeror is the OEM. Proposals will be evaluated on price and technical acceptability, with the government intending to award BPAs to the three platforms with the lowest selected prices.

L.1 General Instructions

GENERAL INFORMATION

Procurement within the federal judiciary is not subject to the Federal Acquisition Regulation (FAR), which applies to most Executive Branch agencies. Judiciary procurement policies are the responsibility of the Acqusition Mangement Office (AMO) within the Administrative Office of the U.S. Courts (AO), and are issued in the Guide to Judiciary Policy, Volume 14 (Procurement). Offerors or contractors wishing to find the full text of individual provisions or clauses incorporated by reference in judiciary solicitations and contracts are directed to Appendix 1B of Volume 14, reference section above, B-1.

L.1 General

Offerors are encouraged to read carefully the entire Section L - Instructions, Conditions and Notices to Offerors or Respondents.

Proposals that do not comply with the instructions and requirements in Section L may be deemed non-responsive and excluded from further consideration. An offeror may make multiple offers for different online learning platforms so long as each proposal meets all of the requirements in the solicitation.

L.2 SUBMISSION OF QUESTIONS

Questions regarding this solicitation must be electronically submitted no later than 11:00 AM ET on Sep 23rd, 2025. Questions shall be electronically submitted to the Contracting Specialist (magdalena_torres@ao.uscourts.gov) with a courtesy copy to Contracting Officer Andrew Bunk (andrew_bunk@ao.uscourts.gov). The prospective offeror must include the solicitation number (USCA25Q0045) in the subject line of the email and the email needs to be sent to both addresses listed above, otherwise the offeror's questions may not be answered. Questions should note the specific document/attachment and page number or tab the question relates to, so the AO can identify the answer. If the question is more general, just put "N/A" for the citation. Questions that are submitted late or that do not provide enough context for the AO to identify the answer may not be answered.

L.3 PROPOSALS SUBMISSION FORMAT

Proposals must be prepared and submitted using the following instructions:

Proposals are due no later than the time and date for offers as specified in SAM.gov. and shall be electronically submitted to both email addresses listed below. Please note that a proposal will be marked as late if the proposal is received in the email inbox after the time specified. Proposals may not be considered for award at the discretion of the CO, and in accordance with provision 3-100.

• Contracting Specialist: Magdalena_torres@ao.uscourts.gov

• Contracting Officer: Andrew_bunk@ao.uscourts.gov

USCA25Q0045 /0002 - Page 5 of 7

Proposal emails should also include in the subject line the solicitation number (USCA25Q0045) and mention that the email includes a proposal. Proposals must be valid at least 120 calendar days after the due date for the receipt of proposals.

• The electronic copies of the proposal shall be submitted in a format readable and usable by Microsoft Office 365 suite (MS Word, MS Excel, PowerPoint); or Adobe Acrobat PDF. The following file extensions are not allowable, and application materials/data submitted with these extensions cannot be considered: .bat, .cmd, .com, .exe, .pif, .rar, .scr, .vbs, .hta, .cpl, html, and mhtml files. The entire proposal submission, including all files, shall not exceed 10MBs.

L.4 VOLUMES

The proposal shall include the following two volumes:

Volume I: Price Proposal – BPA Price Workbook (Attachment J.3)

Volume II: Technical Proposal

L.4.1 Volume I: Price Proposal - BPA Price Workbook (Attachment J.3)

Offerors must submit a fully completed copy of the amended BPA Price Workbook. Specifically, the offeror must fill in Tab 1 and 2 of the spreadsheets, including the following:

• The AO requires the vendor to offer a single price for a license that shall meet all of the requirements noted in the solicitation. Offerors may bundle multiple licenses into a single offering to meet the requirements but the AO is requesting a single license offering per judiciary user to meet the requirements. The single license solution quoted may be comprised of a bundle of products that would otherwise be sold under separate, individual licenses. If the quoter's single license solution consists of such a bundle, the individual sub-licenses shall be described and broken out by price to show a price buildup in the Notes tab of the Price Workbook. Judiciary ordering activities may ultimately choose to purchase either the single license solution, or to individually purchase any of the separately licensed products at the price noted in the workbook.

• On Tab 2 - BPA First Call Order in the J.3, a CLIN 0002 has been provided for vendors to note any pricing related to one time fees or licenses around setup/establishment of the system for government use. This would be any one time licenses or costs required for setup and use of the system, and the CLIN is set up as a "LOT" and so should include all one time fees/licenses/costs the vendor believes the government will have to pay. This CLIN will be factored into the total evaluated price.

• The offeror is required to provide a price build up for this CLIN 0002 on the Notes tab and explain the pricing, what is included, and why the items are required.

• This CLIN shall not be used for any per user licensing or per user costs as that should be covered in CLIN 1 of that tab and the pricing in Tab 1 of the J.3.

• A Notes tab has been provided where offerors may describe their licensing structure and solution. They may show the license breakout on that tab, if applicable.

• The proposed discounted price must be fully burdened, the Government will not pay any other fees.

• Offerors shall not change any formula in the BPA Price Workbook (Attachment J.3). If such changes are made in the spreadsheet, the proposal will be considered nonresponsive and excluded from further consideration.

• Offeror shall identify the online learning platform being proposed.

• Offerors may propose additional items if they choose. Those items will not be part of the total evaluated price but will be evaluated for fair and reasonable pricing. These items and pricing should recorded in the Notes tab of the J.3 Price Workbook.

• Included with the Price Volume shall be a seperately attached information document. This document has no page limit, and may include a cover page, and table of contents. This document shall include the following information:

• Copies of the signed solicitation and amendments by a company official authorized to sign.

• Filled out certifications from Section K of the solicitation (provisions 3-130, 3-20, 3-30, 3-5).

• Contractor Representative information for clause 7-10 noted in Section G.

• A 1-page copy showing your organization's SAM registration and UEI information.

USCA25Q0045 /0002 - Page 6 of 7

By submitting a fully complete copy of the BPA Price Workbook, the offeror is confirming that all the items and services listed in the Workbook can be provided.

L.5.2 Volume II: Technical Proposal

The Technical Proposal must include the following:

• Cover Page: Includes a 1-page general information, such as offeror’s name, logo, address, and point of contact, including name, title, email address and phone number. Other general information may be included at the offeror’s discretion.

• Table of Contents: Offerors may include a 1-page Table of Contents.

• Technical Solution: Offerors may include a 6-page Technical Solution.

• Authorized Re-Seller Letter: Each offeror must submit a letter from the OEM confirming the offeror is a certified reseller to OEM direct customers. The letter may be no longer than 2-pages in total.

• If the Offeror is the OEM, this letter is not required.

• The Technical Proposal is limited to a total number of 10 pages including the requirements listed above.

• A filled out copy of the J.2 Requirements Questionnaire must be returned with the technical volume. This document is attached seperately to the rest of Volume II. The J.2 is a required document and for the proposed solution to be considered technically acceptable, it must meet all of the requirements listed in the J.2 Requirements Questionnaire. The offeror may supplement their responses in the J.2 with their written technical solution, that is noted above.

L.6 Offeror Responsibilities It is up to each offeror to make sure that their submitted proposal meets all of the requirements in the solicitation and attachments to the solicitation and that their proposal adequately explains how the requirements are met by the proposed solution. Simply reciting the requirements back to the AO without additional details, may result in your solution being considered technically unacceptable. If any item or document is missing from the proposal, the entire proposal may be determined nonresponsive and excluded from further consideration. The AO does not intend to hold negotiations with offerors as awards are expected without discussions. Offerors should submit their best offers initially.

M.1 Evaluation Criteria

M.1.1 BASIS FOR AWARD

The Government intends to award up to three single award Blanket Purchase Agreements (BPAs) to the responsible offeror whose proposal conforms to the requirements of the solicitationand represents the best value to the Government when best value is expected to result from selection of the technically acceptable proposal with the lowest evaluated price. The government recognizes there may be multiple re-sellers of a particular online learning platform but the AO will not make more than one BPA award for each online platform.

M.1.2 Lowest Price Technically Acceptable (LPTA)

The Contracting Officer (CO) will group all proposals by their proposed online platform solution. For each platform group, the CO will evaluate proposals to identify the lowest-priced, technically acceptable offer. Once that proposal is selected, no other proposals for the same platform will be considered. The CO will not select a higher-priced proposal over a lower-priced, technically acceptable proposal within the same platform group. After determining the lowest-priced, technically acceptable proposal in each platform group, the CO will rank each platform by price. The three platforms with the lowest selected prices will each receive one single award Blanket Purchase Agreement (BPA). Although the Government intends to award three BPAs, the CO may award fewer if doing so is in the Government’s best interest.

M.1.3 EVALUATION FACTORS

(i) Factor 1 – Price The Government will review the offeror’s BPA Price Workbook (Attachment J.3) to verify that all pricing is proposed in accordance with the instructions provided. The total evaluated price will be the total discounted price for all five ordering periods, as included in Cell I4 Grand Total, Tab 1 of the BPA Price Workbook. The Government will review the offeror’s proposed pricing for accuracy and completeness and to ensure no fomulas have been modified. Price analysis will be conducted to determine if the proposed prices are fair and reasonable. Offerors shall not change any formula in the BPA Price Workbook. If the offeror modifies a formula, the entire

USCA25Q0045 /0002 - Page 7 of 7 proposal will be determined nonresponsive and excluded from further consideration. Items offered in a proposal that are not evaluated as part of the total evaluated price will be evaluated for fair and reasonable pricing

(ii) Factor 2 - Technical Acceptability The Government will determine technical acceptability by reviewing the proposal for completeness and verifying that the proposed solution meets all of the technical requirements. The vendor shall include all items listed in L.5.2 Volume II: Technical Proposal.

The vendor shall explain how they meet the requirements noted in the solicitation; it is the responsibility of the vendor to provide sufficient information to show they meet the requirements. If the vendor is unable to meet the requirements in the solicitation their solution will be considered technically unacceptable. The offeror must be a certified authorized reseller that can provide all the items and product categories required under the BPA. This will be determined by evaluating the offeror's statement that they are an authorized reseller and reviewing the letter from the OEM confirming the offeror is a certified reseller who is able to provide warranty service to OEM direct customers. The Government reserves the right to contact the OEM to confirm information provided in a letter or proposal. If the letter is sent directly to the Contracting Officer by the OEM, the offeror must include a corresponding Note in Volume II Technical Proposal. It is an offeror’s responsibility to verify that the OEM letter is submitted. If the required OEM letter is not received, the proposal will be determined technically unacceptable.
