Yes, where appropriate and as determined by an architectural review of the application/user community.

38
Section 4.4
Most States and Government entities are exploring better ways to control the money that residents, customers and partners pay for transactions, for many reasons. More and more transactions are being done online and the Government should have ownership on the upside of the increase in transactions. Vendors should NOT be incentivized to only support the large departments that have big transaction fees. Besides better control and allocation, separating payment processing as an Enterprise component also allows the State to better audit and maintain compliance with reporting responsibilities. And with the many new payment processing options? We’ve seen many Government entities separate this commodity solution so they are not locked in with the rest of the portal technologies. With this, is it correct that while the contractor’s solution will design and implement the system to facilitate payment processing for transactions and provide IT and physical logistics, State staff will process case and payment methods and the contractor’s IT solution will not hold fund balances, nor will the contractor’s staff handle cash or other payment types? Rather, the vendor should focus on the integration and user experience within the portal and payment collection.

State personnel will be responsible for the processing of cash, check and money order transactions. For Contractor(s)-hosted applications the Contractor(s) must provide its own enterprise e-payment web services. The Contractor(s), when required, shall utilize and/or work with the State to enhance these web services for Contractor(s)-hosted applications or where application requirements demand more functionality.

Please reference Bid Solicitation Section: 4.12 - MERCHANT SERVICES for additional information.

39
Section 4.5
Will the State consider Software as a Service (SaaS) solutions which will NOT deliver any software source programs, programming object code, network configurations, etc. to the State or an escrow agent? That is, will the State consider proposals that do not agree to 4.5 SOFTWARE AND DOCUMENTATION ESCROW?

No, the Quotes submitted shall conform to the bid solicitation requirements as stated. ,

40
Section 5
The Contractor shall have sole responsibility for the complete effort specified in this Contract. Payment will be made only to the Contractor or to the authorized dealers/distributors, if applicable. Subject to the State complying with its responsibilities as mutually agreed between the parties in writing as set forth in the Contract, The Contractor is responsible for the professional quality, technical accuracy and timely completion and submission of all deliverables, services or commodities required to be provided under this Contract. The Contractor shall, without additional compensation, correct or revise any errors, omissions, or other deficiencies in its deliverables and other services in accordance with a mutually agreed warranty period as set forth in the Contract. The approval of deliverables furnished under this Contract shall not in any way relieve the Contractor of responsibility for the technical adequacy of its work. The review, approval, acceptance or payment for any of the deliverables, goods or services, shall not be construed as a waiver of any rights that the State may have arising out of the Contractor performance of this Contract. The State shall approve each deliverable that conforms in all material respects to the requirements therefor set forth in the Contract. Approval of a deliverable shall be deemed given by the State if the State has not delivered to Contractor a notice that such deliverable does not conform with the foregoing within fifteen days of delivery.

The State declines to revise Section 5 in this way. The State is bound to its responsibilities and reserves all rights as noted throughout the Bid Solicitation. The State declines to include an automatic Approval mechanism for Work performed under this Contract.

41
Section 5
Would the State agree to modify said section in order to clarify Contract responsibilities? (see above)

No, the State does not accept any proposed revision to the identified section.

42
Section 6.34
Would the State agree to delete Cybersecurity and replace with Network Security and Privacy Liability so as to align this insurance requirement with typical insurance policies of national service organizations?

The State accepts this proposed modification. Please see Revised Bid Solicitation Section 6.34, dated 11/17/2023.

43
Section 7.1
Would the State agree to modify said section in order to clarify Contractor indemnity obligations?

This question does not include any proposed revision to the identified section for the State to consider.

44
Section 7.21
Would the State agree to modify said section where such clarifications are intended to align the insurance requirements with typical insurance policies of national service organizations?

The State has agreed to revise this section. Please see Revised Bid Solicitation Sections 7.2.1, and 7.2.2, dated 11/17/2023.

45
Section 7.2.3
Would the State agree to modify said section in order to place a commercially reasonable limitation on damages for each scope of work (individual Quote) performed under the Contract?

The State cannot answer this question as posed, without additional information. However, please be advised that the Indemnification obligations of the Standard Terms and Conditions have been amended by Bid Solicitation Section 7.1, and the applicable Limitation of Liability is addressed in Section 7.2.3 of the Bid Solicitation.

46
Section 7.2.3
In the limitation of liability, RFP Section 7.2.3 Supplement to Section 4.0 of the SSTC Section 4.3, it is no longer industry standard for bidder to accept unlimited liability associated with indemnification and any unintentional, non-willful breach of its obligations of confidentiality. Bidder requests that a mutually agreeable limitation be incorporated for these claims. Will the State accept a modification to the limitation of liability for indemnification and confidentiality obligations to include a limitation of 300% of the fees paid to Contractor for the products or Services giving rise to such damages as included in the proposed language below or negotiate a mutually agreeable limitation of liability for these claims at the time of award? We propose the following: The Contractor’s liability to the State for actual, direct damages resulting from the Contractors performance or non-performance of, or in any manner related to this Contract, for any and all claims, shall be limited in the aggregate to 200% of the fees paid to Contractor for the products or Services giving rise to such damages; provided, however, the Contractors liability for claims arising under the following obligations shall be limited in the aggregate to 300% of the fees paid to the Contractor for the products or Services giving rise to such damages: A. The Contractors indemnification obligations as described in the SSTC Section 4.1; and B. The Contractors breach of its obligations of confidentiality described in this Bid Solicitation; and The Contractors indemnification obligation is not limited by but is in addition to the insurance obligations. The Contractor shall not be liable for special, consequential, or incidental damages.

The State accepts this proposed modification. Please see Revised Bid Solicitation Section 7.23, dated 11/17/2023.

47
Terms and Conditions 1.0
Exception: Terms do not incorporate license or use terms of [VENDOR] Products Replacement: Add a sentence that states, the terms and conditions of the [VENDOR] Master Subscription Agreement, which will be provided with the VENDOR? proposal, including any product-specific terms are incorporated into this Agreement by reference. Reason: The standard terms and conditions do not include any license rights to the state or any required license terms for use of specific products.
