About this file

This is a Special Terms and Conditions document for the Southwest Virginia Regional Jail Authority (SWVRJA) governing the procurement of 8 Pro-Straint restraint chairs, with 2 chairs allocated to each of the authority's 4 facilities. The document outlines the contractual framework and operational requirements for this purchase. Key procedural details include a 60-day bid validity period, with bids remaining in effect until award or solicitation cancellation. The contract is structured for an initial term with the option for renewal through two successive one-year periods, subject to written agreement by both parties and renegotiation approximately 60 days prior to expiration. Either party may terminate the contract without penalty after the initial 12-month period with 60 days written notice, though the contractor remains obligated to fulfill all outstanding orders issued prior to the cancellation effective date.

The pricing structure permits price adjustments only for changes in the contractor's material costs, using the Consumer Price Index Food Category as a reference guide, with no increases authorized within the first 365 calendar days of the contract. Any subsequent price increases require 30 days advance notice and verification that increases are general market changes applicable beyond the SWVRJA. Price decreases must be communicated immediately and implemented at any time. The contractor must provide complete product literature and specifications with the bid and may not substitute products, brands, or manufacturers without written approval from the Contract Officer. All contracted quantities are binding at bid prices regardless of actual orders placed. The contractor must maintain all contract-related records for five years after final payment and permit full audit access to the SWVRJA, its agents, and state auditors. Subcontracting is prohibited without prior written consent, and the contractor remains fully liable for all subcontractor work. The contract is extended to other local governments and public bodies in the region under cooperative procurement authority, with participating entities ordering directly from the contractor and administering their contracts independently.
