About this file

This document contains Special Terms and Conditions applicable to contracts issued by the Southwest Virginia Regional Jail Authority (SWVRJA). The solicitation concerns the purchase of clear backpacks for daily use by corrections staff. The document does not specify item quantities, response dates, due dates, site visits, bidder conferences, award dates, or contract term details related to this particular procurement; however, it establishes that any bid submitted in response to this solicitation shall remain valid for 60 days, after which it may be withdrawn at the bidder's written request, and if not withdrawn, it remains in effect until an award is made or the solicitation is canceled.

Pricing for awarded contracts is subject to specific escalation and de-escalation procedures, with no price increases authorized for 365 calendar days after the contract's effective date. After this initial period, price adjustments may be permitted only for documented changes in the contractor's cost of materials, verified against the Consumer Price Index for the Food Category, with a minimum 30-day advance notice required and increases effective only at the beginning of the calendar month following the notification period. The contractor must maintain all books, records, and documents relative to the contract for five years after final payment and is subject to audit by SWVRJA, its authorized agents, and state auditors. The SWVRJA reserves the right to cancel the contract, in whole or in part, without penalty upon 60 days written notice. Contracts may be renewed for two successive one-year periods under the terms of the current contract, subject to written agreement by both parties approximately 60 days prior to expiration. The contract permits cooperative purchasing under Virginia Code 2.2-4304, allowing other local governments, school boards, and regional agencies to access the contract at negotiated prices.
