About this file
The document contains suggested legal clauses for a Geographic Information System (GIS) On-Call Professional Services contract with the City of Palo Alto, California. The City seeks proposals from qualified vendors to provide on-call GIS project support services, with the goal of implementing and maintaining a new enterprise GIS system. The project aims to centralize GIS operations, transition from a hybrid model to a service-oriented architecture using the ArcGIS Enterprise platform, and enhance geospatial capabilities across city departments. The City may award contracts to multiple vendors and requires support for GIS infrastructure setup, database management, CAD-GIS integration, and application development.
The legal clauses outline key requirements for vendors, including maintaining high-quality consultant performance, protecting confidential information, and transferring intellectual property rights to the City of Palo Alto. Vendors must ensure their consultants are experienced, replace underperforming staff within ten days if necessary, and agree that all work products, software, programs, and technical information produced during the project will become the City's property. The contract emphasizes data confidentiality, requiring vendors to prevent disclosure of non-public information and comply with the City's Confidential Disclosure Agreement. The project focuses on creating tailored GIS solutions such as dashboards, mobile apps, and workflow automation to support various city operations including asset management, utility maintenance, and urban planning.
