About this file
The document is a set of legal clauses for a Geographic Information System (GIS) On-Call Professional Services contract with the City of Palo Alto, California. The City is seeking qualified vendors to provide on-call GIS project support services aimed at implementing and maintaining an enterprise GIS system. The project focuses on transitioning from a hybrid GIS model to a service-oriented architecture using the ArcGIS Enterprise platform, with goals of centralizing GIS operations, improving data integration, and enhancing geospatial capabilities across municipal departments. The City may award contracts to multiple vendors and seeks partners with expertise in Esri's ArcGIS suite, spatial analysis, and system integration.
The legal clauses outline critical terms including capability requirements, non-disclosure obligations, and intellectual property rights. Vendors must ensure their consultants are experienced and capable of meeting the City's quality standards, with provisions for replacing personnel who do not meet performance expectations. The contract emphasizes strict confidentiality protocols, requiring vendors to protect all non-public information and grant the City full rights to work products, software, and copyright materials developed during the project. Key technical requirements include supporting infrastructure setup, database management, CAD-GIS integration, and developing applications such as dashboards, mobile apps, and workflow automation tools to support various municipal operations including asset management, utility maintenance, and urban planning.
