About this file

This is a Special Terms and Conditions document for a Virginia Department of Forestry contract opportunity to furnish and deliver seedling bags to the Augusta Nursery. The solicitation will result in a single purchase order, and any submitted bid must remain valid for thirty days from submission. Delivery of all goods is required no later than December 31, 2026. Upon delivery, goods will be inspected for compliance with contract specifications, and any deficiencies must be corrected by the contractor at its own expense prior to final acceptance. Product substitutions after contract award are prohibited unless approved in writing by the Contact Officer, and the contractor must maintain clear title to all materials and supplies provided.

The bid price must be all-inclusive and delivered, incorporating all applicable freight and installation charges with no additional costs permitted. Award will be made to the lowest responsive and responsible bidder based on net prices, with unit prices governing in cases of clear bid errors. Cash discounts for prompt payment may be offered but will not be considered in award determinations. The State reserves the right to reject any or all bids in whole or in part and to delete items prior to award. No portion of the work may be subcontracted without prior written consent from the purchasing agency, and the contractor remains fully liable for all subcontracted work. Each eVA transaction will be assessed an applicable transaction fee.

SPECIAL TERMS AND CONDITIONS

A. AWARD OF CONTRACT: An award will be made to the lowest responsive and responsible bidder. Evaluation will be based on net prices. Pricing must be entered as an all-inclusive, total cost to furnish and install. In case of bid errors, where the intended bid is clearly evident, the unit price, if provided, will govern. If cash discount for prompt payment is offered, it must be clearly shown in the space provided. Discounts for prompt payment will not be considered in making awards. The State reserves the right to reject any and all bids in whole or in part, to waive any informality, and to delete items prior to making an award.

B. eVA ORDERS AND CONTRACTS: The solicitation/contract will result in 1 purchase order with the applicable eVA transaction fee assessed for each order.

C. BID ACCEPTANCE PERIOD: Any bid in response to this solicitation shall be valid for (30) days. At the end of the days the bid may be withdrawn at the written request of the bidder. If the bid is not withdrawn at that time it remains in effect until an award is made or the solicitation is canceled.

D. DELIVERY: Delivery of goods shall be made no later than December 31, 2026.

E. FINAL INSPECTION: Upon delivery, the goods will be evaluated to ensure compliance with contract specifications. Any deficiencies shall be promptly and permanently corrected by the contractor at the contractor’s sole expense prior to final acceptance.

F. PRODUCT AVAILABILITY/SUBSTITUTION: Substitution of a product, brand or manufacturer after the award of contract is expressly prohibited unless approved in writing by the Contact Officer. The Agency may, at its discretion, require the contractor to provide a substitute item of equivalent or better quality subject to the approval of the Contract Officer, for a price no greater than the contract price, if the product for which the contract was awarded becomes unavailable to the contractor.

G. CONTRACTOR’S TITLE TO MATERIALS: No materials or supplies for the work shall be purchased by the contractor or by any subcontractor subject to any chattel mortgage or under a conditional sales or other agreement by which an interest is retained by the seller. The contractor warrants that he has clear title to all materials and supplies for which he invoices for payment.

H. EXTRA CHARGES NOT ALLOWED: The bid price shall be a total cost delivered price and shall include all applicable freight and installation charges; extra charges will not be allowed.

I. SUBCONTRACTS: No portion of the work shall be subcontracted without prior written consent of the purchasing agency. In the event that the contractor desires to subcontract some part of the work specified herein, the contractor shall furnish the purchasing agency the names, qualifications and experience of their proposed subcontractors. The contractor shall, however, remain fully liable and responsible for the work to be done by its subcontractor(s) and shall assure compliance with all requirements of the contract.
