About this file
This is a Special Terms and Conditions document establishing procurement guidelines for the Virginia Department of Forestry's purchase of True North brand Exxtreme Super Fleece jackets. The solicitation requests a single lump-sum price for 46 men's Super Fleece jackets and 19 women's Super Fleece jackets in specified size distributions, as detailed in the accompanying Scope of Work document. Bids are valid for 30 days from submission, and bidders must specify their delivery timeline or default to the agency's desired delivery period of 10 calendar days after receipt of order. The State reserves the right to reject any and all bids in whole or in part and to waive any informality or delete items prior to award.
Award will be made to the lowest responsive and responsible bidder based on net prices submitted as all-inclusive, total costs to furnish and install. Pricing must be clearly stated, and while cash discounts for prompt payment may be offered, such discounts will not be considered in bid evaluation. All awarded vendors must participate in Virginia's eVA eProcurement Program and provide an electronic catalog or Punch-Out Catalog conforming to eVA specifications; failure to do so constitutes just cause for bid rejection or contract termination. Each purchase order resulting from this solicitation will incur an applicable eVA transaction fee. Upon delivery, goods will be evaluated for compliance with contract specifications, and any deficiencies must be corrected by the contractor at its sole expense. The purchasing agency reserves the right to cancel and terminate the contract, in part or in whole, without penalty upon 60 days written notice.

SPECIAL TERMS AND CONDITIONS
A. AWARD OF CONTRACT: An award will be made to the lowest responsive and responsible bidder. Evaluation will be based on net prices. Pricing must be entered as an all-inclusive, total cost to furnish and install. In case of bid errors, where the intended bid is clearly evident, the unit price, if provided, will govern. If cash discount for prompt payment is offered, it must be clearly shown in the space provided. Discounts for prompt payment will not be considered in making awards. The State reserves the right to reject any and all bids in whole or in part, to waive any informality, and to delete items prior to making an award.
B. CANCELLATION OF CONTRACT: The purchasing agency reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon 60 days written notice to the contractor. Any contract cancellation notice shall not relieve the contractor of the obligation to deliver and/or perform on all outstanding orders issued prior to the effective date of cancellation.
C. eVA ORDERS AND CONTRACTS: The solicitation/contract will result in 1 purchase order with the applicable eVA transaction fee assessed for each order.
Vendors desiring to provide goods and/or services to the Commonwealth shall participate in the eVA eProcurement Program and agree to comply with the following: If this solicitation is for a term contract, failure to provide an electronic catalog (price list) or Punch-Out Catalog for items awarded will be just cause for the Commonwealth to reject your bid/offer or terminate this contract for default. The format of this electronic catalog shall conform to the eVA Catalog and/or Punch-Out Catalog Specification. For further information and details please email eVA-catalog-manager@dgs.virginia.gov.
D. BID ACCEPTANCE PERIOD: Any bid in response to this solicitation shall be valid for (30) days. At the end of the days the bid may be withdrawn at the written request of the bidder. If the bid is not withdrawn at that time it remains in effect until an award is made or the solicitation is canceled.
E. DELIVERY: Delivery of goods or performance of services shall be within the number of calendar days stated below after receipt of order (ARO) by the bidder. The Agency requires the bidder to deliver within a reasonable time after ARO. If the bidder does not insert a stated delivery time in the blank below, the bidder will be deemed to offer delivery in accordance with the Agency’s desired delivery time as stated below:
Agency’s desired delivered time: 10 calendar days ARO
BIDDER’S STATED DELIVERY TIME: ____ CALENDAR DAYS ARO
F. FINAL INSPECTION: Upon delivery, the goods will be evaluated to ensure compliance with contract specifications. Any deficiencies shall be promptly and permanently corrected by the contractor at the contractor’s sole expense prior to final acceptance.
