CAUTION NOTICES
1. CONTRACTOR CODE OF BUSINESS ETHICS (FEB 2012)
FAR Part 3.1002(a) requires all government contractors to conduct themselves with the highest degree of integrity and honesty. Contractors should have a written code of business ethics and conduct within thirty days of award. To promote compliance with such code of business ethics and conduct, contractors should have an employee business ethics and compliance training program that facilitates timely discovery and disclosure of improper conduct in connection with government contracts and ensures corrective measures are promptly instituted and carried out. A contractor may be suspended and/or debarred for knowing failure by a principal to timely disclose to the government, in connection with the award, performance, or closeout of a government contract performed by the contractor or a subcontract awarded there under, credible evidence of a violation of federal criminal law involving fraud, conflict of interest, bribery, or gratuity violations found in title 18 of the United States Code or a violation of the False Claims Act. (31 U.S.C. 3729-3733).
The contractor shall comply with the terms of the clause at FAR 52.203-13 - CONTRACTOR CODE OF BUSINESS ETHICS AND CONDUCT and have a written code of business ethics and conduct; exercise due diligence to prevent and detect criminal conduct; promote ethical conduct and a commitment to compliance with the law within their organization; and timely report any violations of federal criminal law involving fraud, conflict of interest, bribery or gratuity violations found in title 18 of the United States Code or any violations of the False Claims Act. (31 U.S.C. 3729-3733).
Ethics Plan. Within 30 calendar days after contract award, the contractor shall provide its written code of business ethics and conduct to the Contracting Officer.See also FAR 52.203-13.
2. DLA Troop Support is a Major Subordinate Command of the Defense Logistics Agency and is a combat support activity whose objective is to continue and expand its use of unique and innovative approaches for providing focused logistics support for its military and federal customers, as well as other authorized customers, for material, repairs and operations requirements. Proposals are being solicited for tailored logistics packages that, to the maximum extent practicable, will employ the techniques, advantages and economies of commercial business practices to reduce the total logistics cost to DLA Troop Support and its customers, and to provide rapid response, direct vendor delivery, advanced distribution, material management, total asset/in-transit visibility, and information fusion, in response to, and to the satisfaction of, DLA Troop Support customers' demands, including surge requirements. Therefore, to the maximum extent practicable, the contract(s) resulting from this solicitation shall integrate the business practices of the commercial industry and military supply distribution systems.
3. Under the MRO TLS Program, instituted through the contemplated, single-award contract(s), the Contractor will be responsible for providing any or all of a wide range of items and/or product lines that fall within the scope of work set forth herein. The Government intends to make a single award for each Zone as described in the SOW. While the Price Evaluation List (PEL) provides a list of items that may be purchased, it is not an all-inclusive list, and awardees will be held responsible to deliver items not listed on the PEL if it is determined to be within the general scope of the contract. The Contractor will be required to arrange for distribution of such items within thirty days’ notice of the respective requirements. Each TLS contractor may be required to develop sources in any countries within the EUCOM or AFRICOM AORs that have the ability to provide products with quality comparable to U.S. standards and deliver them where required, within the required timeframe.
4. Mandatory Eligibility for Installation Access. An offeror/contractor acknowledges that submission of a bid, offer, or a proposal; acceptance of contract award of any type; or continuing effort under any resultant contract requires that the contractor, and all subcontractors, be initially eligible and remain eligible during the entire period of contract performance, to include any warranty period, for installation/base access to a U.S. and/or Coalition installation, regardless of whether the performance will take place on or off a U.S. or Coalition installation. Failure to obtain or maintain installation/base access eligibility for the contractor, or any subcontractor, may render a proposal unacceptable or be grounds for termination for cause. For further information on Mandatory Eligibility for Installation Access, reference Statement of Work (SOW) Section 15.0.
5. This acquisition will be conducted in accordance with FAR Part 12, Acquisition of Commercial Items and DFARS Part 212, Acquisition of Commercial Products and Commercial Services. All items supported through the MRO Program meet the definition of commercial items as defined in FAR 2.101. DLAD Subpart 17.95, Tailored Logistics Support Contracting, is applicable to this acquisition. The solicitation will be issued as a negotiated acquisition under full and open competition; offerors may submit proposals for all zones. The Government reserves the right to make no awards at all, or to award multiple zones to a single vendor if such is in the best interest of the Government. The Government intends to solicit and award a single IDIQ contract for each zone and will award Zone 1 Europe – North of the Alps first, Zone 3 – Africa second, and Zone 2 Europe
– South of the Alps/Mediterranean Countries last, ensuring that each award is independently competed among all viable vendors ( to the applicable Zone(s)), and the best value for the Government is chosen for each zone.
Any resultant contracts shall have a five-year ordering period and no options.
However, in order to maintain capabilities in the regions, and consequently reduce the risk of mission failure in response to a single vendor’s potential business failure, the awardee for Zone 1 is excluded from receiving an award for Zone 2 and Zone 3. Vendors who are not awarded the Zone 1 award, remain in a position to receive an award for Zone 2 and Zone 3. Vendors who receive an award for Zone 2, may also receive an Award for Zone 3.
6. Each awardee under this solicitation may be required to serve as the back-up contractor for the other two Zones awarded.
7. The Government guarantees that it will order a quantity of supplies having a minimum, aggregate dollar value of $2,600,000 under the Zone 1 – Europe North of the Alps Contract, $580,000 under the Zone 2 – Europe South of the Alps Contract, and $625,000 under the Zone 3 – Africa Contract, during the five year period of performance. The aggregate dollar value of the delivery orders issued during the five year period of performance will be applied to the minimum guarantee. At the time when the aggregate of delivery orders equals the guaranteed minimum, the guaranteed minimum will have been met, and the Government's obligations with regard to the guarantee will have been satisfied for that contract.
8. The maximum dollar value for the Zone 1 – Europe North of the Alps Contract is $524,000,000.00, the maximum dollar value for the Zone 2 - Europe South of the Alps Contract is $116,000,000, and the maximum dollar value for Zone 3 - Africa Contract is $125,000,000. The maximum dollar represents the Estimated Contract Value over five years along with an additional 100% of the total Estimated Contract Value to account for possible increased mission requirements along with unanticipated real-world events.
9. The resultant contracts will be Indefinite Delivery/Indefinite Quantity Contracts with an ordering period of five years, which includes a sixty (60) day ramp-up or implementation period. A ramp-up plan will be required from each awardee and is due 7 calendar days after award IAW paragraph 19.0 of the Statement of Work.
In the event that future awards are not made to the incumbent contractor, all awardees must ensure due diligence to ensure all transition actions are identified, negotiated, and completed during the transition term in accordance with a transition plan as discussed in paragraph 19.0 of the SOW.
10. In accordance with FAR 16.505 (b)(8), the following individual has been designated the delivery order ombudsman:
Maciej Okulicz-Kozaryn DLA Troop Support
Competition Advocate (BPA) Building 45-C1057

11. Offerors are advised that the Berry Amendment and Trade Agreements Act apply to this solicitation.
Depending on the item being solicited, the Berry Amendment or the Trade Agreements Act requirements may apply. Additionally, there are other procurement restrictions set forth in the regulations that may apply to specific products. Contractors must be aware of which provisions apply at the time that they submit their offer and comply with those provisions.
12. This solicitation is being issued as an unrestricted acquisition. Proposals will be evaluated using best value tradeoff procedures, and will not be limited to cost or price alone. The non-price and price evaluation factors are contained in the Addendum to FAR Clause 52.212-1, INSTRUCTIONS TO OFFERORS - COMMERCIAL ITEMS. Proposals will be evaluated in accordance with the Addendum to FAR Clause 52.212-2, EVALUATION - COMMERCIAL ITEMS. Non-price factors and subfactors will be evaluated using adjectival ratings, after which a Non-price and Price tradeoff evaluation will be conducted to determine the Best Value to the Government. Under Technical/Risk, all subfactors are of equal importance.
For purposes of this solicitation, when combined the non-price evaluation factors (Technical/Risk, Past Performance and Local Sourcing) are considered to be significantly more important than price. As the non-price ratings of offers become more equivalent, price will become more important. Technical/Risk and Past Performance are considered of equal importance. Local Sourcing is less important than Technical/Risk and Past Performance. The information provided in the Non-price and Price Proposals will be used for evaluation purposes. However, the Government reserves the right to make any portion of the proposal that exceeds requirements of the solicitation a contractual requirement at time of the award.
13. Price Evaluation List.
a. Proposal:
i. Price Evaluation List: The Price Evaluation List (PEL) contains 170 line items. The contractor shall provide annual ceiling prices for a minimum of 95% of the line items listed on the PEL. Alternate items to those found on the PEL may be offered at the time of Price Proposal, however, the contractor must provide a complete technical data package for each alternate item being offered, as well as the item on the PEL for comparison purposes. If the item is deemed equal in form, fit, and function to the item on the PEL it may be added to the resulting contract PEL. It is expected that each TLS contractor shall be as aggressive as possible in pursuing all discounts and rebates. TLS Contractors shall guarantee that DLA Troop Support and its customers will receive discounts and rebates equal to or better than the offerors’ most favored commercial customers with similar sales in type, volume, and dollar value.
ii. Transportation and Incidental Services: For evaluation purposes only, transportation costs and incidental services will be evaluated on a scenario basis per zone. The offeror's proposed transportation service cost will be evaluated for price reasonableness in accordance with Federal Acquisition Regulation (FAR) 15.404-1 and 15.403. The Government reserves the right to request information other than certified cost or pricing data to determine price reasonableness. Information supporting offered transportation and incidental service prices must include sufficient description explaining the price. The offeror shall submit transportation and incidental service pricing methodology, and the contracting officer may incorporate that methodology into the resulting contract’s Statement of Work.
See Addendum to FAR 52.212-1 section entitled: SPECIAL INSTRUCTIONS FOR THE SUBMISSION OF PROPOSAL INFORMATION for more tailored information.
b. Award: Upon award, the final proposed annual unit prices will become ceiling prices for the period of performance. TLS vendors may not provide a price quote (in post award competition of delivery orders) that exceeds the fixed ceiling prices during the specified periods. If the Government has a requirement for any non-PEL items during the course of the IDIQ contract, the awardee shall provide competitive purchase price quotes for the requested item IAW the Statement of Work.
14. Proposals are invited only on the basis of F.O.B. Destination, in accordance with FAR 47.303-6. Offers submitted on a basis other than F.O.B. Destination will not be considered for award. (Refer to Statement of Work Section 9.0 entitled “Delivery Requirements” for additional information).
Inspection & Acceptance Point - Point of Inspection and Acceptance shall be at Destination, defined as customer's OCONUS location. However, the Government reserves the right to inspect and test supplies called for by the contract, to the extent practicable, at all places and times, including the place of manufacture, both before and after acceptance.
15. Wide Area Work Flow (WAWF) - For purposes of receiving payment for material shipments (orders), the accepted electronic form for submission of payment requests and receiving reports is Wide Area WorkFlow (WAWF). TLS Contractors shall submit payment requests and receiving reports using WAWF, in one of the following electronic formats that WAWF accepts: Electronic Data Interchange, Secure File Transfer Protocol, or World Wide Web input. WAWF is available on the Internet at https://wawf.eb.mil/. In addition, WAWF guidance and assistance is available from our DLA Troop Support WAWF team personnel via email inquiry to DLA Troop Supportwawfteam@dla.mil.
Note: Submission of payment requests and receiving reports can be submitted via an 810 Invoice should WAWF not be available. After shipment, an 810 - Invoice is required to be forwarded. Invoicing for the MRO TLS Program will be at the line item level. There should be a corresponding invoice line for each line on the 850/855 once the line has been shipped. Therefore, it is critical to maintain the same line item number used from the 850/855 on the 810. For example, if the item was listed as line item number 1 on the 850/855 Purchase Order Transaction it must be listed as line item number 1 on the 810 Invoice. The government's processing system, known as DLA Enterprise Business System (EBS), will be matching price and quantity per line item, along with the customer's Material Receipt Acknowledgement (MRA) in order to make payment.
16. Payment Terms – Fast Pay will be utilized for delivery orders issued under the resulting contract for orders valued less than $150K. A quarterly audit will be conducted on a sample of Fast Pay orders to ensure that valid proof of delivery (POD) is being obtained during contract performance. Prompt Pay will be utilized for all delivery orders valued at or above $150K. DLA Troop Support anticipates using carrier data provided in the 856 Advance Shipping Notice EDI transaction set and/or PODs provided by the contractor to facilitate prompt payment.
Invoicing and Payment: Prompt Payment shall be utilized in accordance with FAR 32.9 for all delivery orders, regardless of dollar value.
17. Proposals MUST BE prepared and submitted in five (5) volumes in accordance with Addendum to FAR 52.212-1 section entitled: SPECIAL INSTRUCTIONS FOR THE SUBMISSION OF PROPOSAL INFORMATION. Volume I shall consist of the Technical proposal, which must be devoid of all reference to cost or price. Volume II shall consist of the Past Performance proposal, Volume III shall consist of the Local Sourcing proposal, Volume IV shall consist of the Price Proposal in the format provided on the PEL list, and Volume V shall consist of the offeror's signed copies of the SF 1449, Solicitation, and any Amendments issued, along with the offeror's completed fill-ins and offeror certifications required by the Solicitation, as referenced in FAR 52.212-3, Addendums to the above cited FAR 52.212-1 and 52.212-2 provisions provide instructions on the preparation and evaluation of proposals.
18. Electronic Data Interchange (EDI) requirements are listed in the Statement of Work. - see EDI Requirements. The 'ANSI X12 transaction sets' requirement (paragraph b) in the EDI clause should be given particular attention.
