SPE300-20-R-0001 PRE-PROPOSAL QUESTIONS

Below are the Pre-Proposal Questions submitted to the Contracting Officer for Solicitation SPE300-20-R-0001. The pages referenced in the responses in this document are referencing the associated pages in the Statement of Work.

1. INDUSTRY QUESTION: Without the ability to conduct in-country face-to-face vendor activities (for more than a year), the current one-month solicitation response deadline provides a clear, distinct and unfair advantage to the incumbent contractor and creates conditions that ensure a less than competitive procurement.

The need to provide flexibility during this pandemic and with this an inevitable need to increase remote working / engagement is understood. Whilst happy to operate under these conditions, there are associated impacts on the time required to complete the necessary tasks and close-out key relationships within the AOR to provide a best-value offer. For example, in Japan, the traditional approach towards business etiquette and formal negotiations require time, respect and in normal circumstances in-person meetings. Noting the issues laid out above and the importance of this strategic PV platform, it is strongly requested that DLA issue an extension of at least 90 days to the current due date of 20 August 2021 for Solicitation SPE300-20-R-0001.

DLA TROOP SUPPORT RESPONSE: Closing date was extended via Amendment 0004 to this Solicitation.

DLA TROOP SUPPORT RESPONSE: The Small Business Subcontracting Goals listed on page 5, number 7, of Attachment 1 of the Solicitation are correct. Please refer to FAR 52.219-9, as referenced on pages 5 and 19 of Attachment 1 of the Solicitation.

DLA TROOP SUPPORT RESPONSE: Please refer to page 86, Section III Note, page 109-110, Section V (L)(1-2), page 185-186, Section XVI (A)(8) fourth paragraph, and page 188, Section XVI(D), of the Statement of Work.

2. INDUSTRY QUESTION: Can DLA please confirm that the SBP Subcontracting Goals listed in Item 7 are correct? Are they minimum percentages that the PV must meet?

3. INDUSTRY QUESTION: Considering that demand during Talisman Sabre exercise increases over the 300% surge threshold, during operations what notice period will be provided by DLA regarding the timing of the upcoming exercise or similar exercises?

DLA TROOP SUPPORT RESPONSE: Please refer to page 96, Section (V)(B), and page 222, Addendum To FAR 52.212-1 – Instructions to Offerors – Commercial Items Section Volume III Element 2 Section, of the Statement of Work.

DLA TROOP SUPPORT RESPONSE: Please refer to Amendment 0004 regarding updated language on page 98, Section V (D)(1), of the Statement of Work.

DLA TROOP SUPPORT RESPONSE: Please refer to page 220, Addendum To FAR 52.212-1 General Note i, and page 225, Addendum To FAR 52.212-1 Element 4, of the Statement of Work.

DLA TROOP SUPPORT RESPONSE: Please refer to page 223, Addendum To FAR 52.212-1 Element 3 Section, of the Statement of Work.

DLA TROOP SUPPORT RESPONSE: Please refer to page 99, Section V (E), and page 223, Addendum To FAR 52.212-1 Element 3 of the Statement of Work.

4. INDUSTRY QUESTION: Please can DLA confirm if the intention is for one set of Distribution Category pricing to be provided for the whole AOR or will the Market Basket spreadsheet be reissued with separate Distribution Category pricing for Japan, Singapore/Diego Garcia, Philippines and Australia.

There is concern that the diversity and intricacies between AOR country requirements, for example, a high-volume region such as Japan vs a low-volume region such as Australia (but with long distance customer delivery points), will not provide value for money to the USG when combined within a single Distribution Category pricing approach.

5. INDUSTRY QUESTION: Distribution category for ESL milk calls for CONUS item, whereas the solicitation lists it under local market ready (LMR). Please clarify if ESL milk should be sourced locally or in CONUS?

6. INDUSTRY QUESTION: Are approved listed vendors obligated to provide market basket quotations to any requesting bidder?

7. INDUSTRY QUESTION: If the PV identifies a better priced product of same specification, can it be submitted as an alternative item or must the NSN brand specific item be quoted in all instances?

8. INDUSTRY QUESTION: Can DLA confirm that alternatives to brand specific items listed within the market basket by NSN will not be considered during the solicitation evaluation?

DLA TROOP SUPPORT RESPONSE: Please refer to page 223, Addendum To FAR 52.212-1 Element 3, of the Statement of Work.

DLA TROOP SUPPORT RESPONSE: Please refer to page 112-113, Section V (O) the

DLA TROOP SUPPORT RESPONSE: Please refer to page 93, Section V (A)(1)(b)(8), page 114, Section VI (A), 118-121, Section VI(B-D) and page 186, Section XVI (B) of the

DLA TROOP SUPPORT RESPONSE: Please refer to page 137, Section IX (A)(7), and page 128, Section VI (I), of the Statement of Work.

DLA TROOP SUPPORT RESPONSE: Please refer to page 137, Section IX (C) of the updated language on page 143, Section X (B)(3)(f) of the Statement of Work.

9. INDUSTRY QUESTION: As there are no FSOS items listed in the Market Basket spreadsheet (only hard coded figures within the Distribution Categories), can DLA please provide historical catalogue data on any FSOS items that have been ordered in the last 12 months?

10. INDUSTRY QUESTION: There are only 398 MLL direct match per NSN (Attachment 3 with Full Catalog). Can you please confirm that this is full Navy requirement?

11. INDUSTRY QUESTION: Can DLA detail the specific PV responsibilities, noting USTRANCOM is Point to Point movement from CONUS to OCONUS warehouse?

12. INDUSTRY QUESTION: Will DLA authorize the use of P2P stock movement between platforms within JSPDA AOR?

13. INDUSTRY QUESTION: Given the costs associated that need to be considered, can DLA specify which locations will have a COR situated permanently within the PV operations?

14. INDUSTRY QUESTION: Can DLA confirm which warehouse is being referred to in the CSR section on page 143 of the Statement of Work? Is it required to assign one (1) CSR to each OCONUS warehouse or one (1) CSR for the contract to oversee the OCONUS warehouses?

DLA TROOP SUPPORT RESPONSE: Please refer to pages 150-151, Section XI (A)(2), of the Statement of Work. The Shelf-life shall only be extended once for any specific lot of product that already was received in the OCONUS inventory and a shelf life extension was previously approved in accordance with the required shelf life extension procedure.

DLA TROOP SUPPORT RESPONSE: Please refer to page 85, Section II fourth paragraph, and page 151, Section XI (A)(2)(d), of the Statement of Work.

DLA TROOP SUPPORT RESPONSE: Please refer to page 187, Section XVI (C) (11) the Statement of Work.

15. INDUSTRY QUESTION: Can DLA confirm that by “Shelf-life shall only be extended once for any specific product.”, DLA is referring to the specific Lot/Batch/Expiry Date and not the actual product?

16. INDUSTRY QUESTION: Can DLA confirm the price discount is only applied to the product price, not the Distribution Price and separate catalogs will be maintained for each of the platforms at a minimum, to avoid the discount being applied across all locations?

17. INDUSTRY QUESTION: How frequent can an 832 be requested to return the pricing to the non-discounted price following the sale of the extended product?

18. INDUSTRY QUESTION: If the manufacturer, VETS and ultimately DLA approve the extension and an 832 is processed with the discounted price, as per the SOW the customer still retains final approval as to accept the shelf life extended item - “the Contractor must request customer approval prior to delivering any product that has extended shelf-life”.

Should the customer decline to accept the shelf-life extended item, is it feasible that the PV would be required to sell non-extended product at a discounted price at times during the contract.

• Can DLA confirm the grounds under which a customer can refuse to accept extended shelf-life product?

• Could DLA confirm that it will work with the customer to avoid this occurring?

• Could DLA confirm that in the situation where a customer declines to accept extended shelf-life product, that DLA will not allow the customer to order normal shelf-life product at the discounted rate?

• Can DLA confirm that an 832 discounted price can be applied to an individual catalog?

• Can DLA confirm that it will allow special catalog runs to occur outside of the planned monthly price changes?

DLA TROOP SUPPORT RESPONSE: Please refer to pages 150-151, Section XI A (2), and page 187, Section XVI (C)(11), of the Statement of Work.

DLA TROOP SUPPORT RESPONSE: Please refer to page 137, Section IX (A) (6-7), and page 153, Section XI (D)(5)(iii), of the Statement of Work.

updated language on page 208, Section XVII (G), of the Statement of Work.

19. INDUSTRY QUESTION: Can DLA advise why First In-First Out is relevant in this audit/operation, given the stipulated minimum shelf life expectations by customer group is based on manufacturer original shelf life?

20. INDUSTRY QUESTION: In regard to order placement for the locations within Australia and the Philippines can DLA advise if skip day orders or 7-day orders will be required for specific types of naval vessels going to a remote location?

21. INDUSTRY QUESTION: Can DLA provide an example of such an instance where this DO4 FRE is applied?

22. INDUSTRY QUESTION: Can DLA advise the difference between C02 and V04 which appear to be identical?

23. INDUSTRY QUESTION: Given the requirement to report SCFR for both NAVY ONLY and NON-NAVY, is it DLAs intention for the PV to maintain separate physical stock for these services?

25. INDUSTRY QUESTION: Will the FRE “Monthly Item Demand Exceeds Average Demand By >300% (OCONUS Only)” be calculated against the total demand or by use of the separate AMD between Land and Navy?

26. INDUSTRY QUESTION: How will FRE requests be validated if two separate SCFR are in use?

27. INDUSTRY QUESTION: Given the number of estimated catalogs (8), including multiples within each platform, can DLA provide a breakdown of the demand by each catalog?

28. INDUSTRY QUESTION: Is the “complete, fair, and reasonable” determination to be made at a Distribution Price individual line-item level?

29. INDUSTRY QUESTION: The SOW only lists delivery to a total of 167 customers and the catalogue within the MB spreadsheet only contains 1199 line items/SKUs.

Can DLA please confirm the evaluation criteria for all three items and why the number of customers and line items far exceed the solicitation requirements.

DLA TROOP SUPPORT RESPONSE: Please see Amendment 0004, Attachment 2, revised Market Basket.

30. INDUSTRY QUESTION: The “Totals” Tab indicates REGION as Japan but only catalog volumes for the Philippines are being totaled in annual volumes within the Distribution Worksheet tab. Please can DLA check this and reissues the MB spreadsheet as required.

31. INDUSTRY QUESTION: Can DLA confirm if there are additional/separate market basket files for other regions of the AOR as the name of the provided market basket file lists it as “Japan Market Basket”?

32. INDUSTRY QUESTION: Catalogue linked volume data has only been provided within the Distribution Worksheet for 10 of the 31 Distribution Category line items.

While it is understandable that this is an IDIQ that will change over time, provision of only partial catalogue data unfairly advantages the incumbent contractor who will be able to base its solution around DLA historic contract data that is not being shared with all parties.

Will DLA please provide more complete catalogue data to all bidders.

33. INDUSTRY QUESTION: Can DLA confirmed GFM storage will not be able to be charged on a monthly basis, based on each month it is held in the Contractor’s warehouse and it will only be invoiced once upon receipt of a STORES order?

57. INDUSTRY QUESTION: Attachment 1 - SOW: For a warehouse in Australia, can the purpose change or sublease a portion of it to accommodate for non-governmental use during non-exercise period? And if so, what are the limitations?

58. INDUSTRY QUESTION: Attachment 1 - SOW: When requested to supply navy vessels, how is vendor informed of the delivery location, arrival time, and all other necessary information about the vessels? What is the procedure for ordering for such instances?

59. INDUSTRY QUESTION: Attachment 1 - SOW: When sending to multiple warehouses in one country through a single port, is it required to load products in separate containers for each warehouse location? For instance if there are multiple warehouse locations in Japan but the shipment arrives combined through Yokohama or Sasebo. Is the vendor required to load (prepare & label) the products in different containers for each warehouse?

60. INDUSTRY QUESTION: Attachment 1 - SOW: In the solicitation, there seem to be only two port options in Japan, Sasebo and Yokohama. Is it required to use these ports, or can other options, such as Kobe, Sendai, or Hakodate, be used?

61. INDUSTRY QUESTION: Attachment 1 - SOW, Pg. 88: Please confirm eight (8) months' worth of stock amounts to $150,000,000 as the total annual estimated sales (not including Australia as estimated inventory does not include Australia) equals $81,679,330.87

63. INDUSTRY QUESTION: Attachment 1 - SOW, Pg. 155, 2.c.: Will once per contract tier audits be conducted in one location or at each warehouse location per contract tier?

64. INDUSTRY QUESTION: Attachment 1 - SOW, Pg. 213: Given the four locations and the details required in the solicitation for each location (MOUs, pictures, diagrams, MHE details, resumes etc.), can the page limit be expanded to 100 pages of narrative and 75 pages of supporting documentation?

65. INDUSTRY QUESTION: Attachment 2 - Market Basket, Tab Distribution Worksheet:

There is space for one (1) distribution price per Tier; however, given the four (4) different locations incorporated into this contract, should there be one (1) distribution price per Tier per location (Japan, Singapore/Diego Garcia, The Philippines, Australia)?

66. INDUSTRY QUESTION: Attachment 2 – Market Basket, Tab Distribution Worksheet: Should column E (Annual Quantity (Adjusted) - In Unit of Measure Listed in Column D) be the total of four (4) different locations? The formula refers to column AL of Tab Market Basket so it is just getting the Annual quantity of one location, Philippines.

67. INDUSTRY QUESTION: Attachment 2 - Market Basket, Tab Market Basket: For Local Market Ready items, are quotes required for each location (Japan, Singapore/Diego Garcia, The Philippines, Australia)? Will 4 quotes be provided for each LMR line item given that:

a. Items are categorized as OCONUS in the Distribution Price Category

b. The item’s annual quantity varies based on Historical Demand per location, and since there is a demand section in the quote that needs to be entered, multiple sets of quotes are needed.

68. INDUSTRY QUESTION: Truck delays occur frequently upon delivery to the pier for NAVY ships, would DLA entertain a category or fee to cover excessive wait time and delays that do often transpire?

69. INDUSTRY QUESTION: How many current cataloged items by each region are being required to be stocked that are not meeting the 10 case per month minimum demand as stated on page 137?

70. INDUSTRY QUESTION: Will categories 24-26 apply to the AMC flight delays/cancellations for handling of customer product since PLAB is the delivery location for these types of customer orders? How will the FF&V products that cannot withstand the timeline of the delay be handled (cost of disposal, product cost, initial cost of delivery/handling) be compensated to the Prime Vendor?

71. INDUSTRY QUESTION: How often are AMC flights currently delayed? How often are AMC flights currently cancelled? How much notification is currently provided (days/hours?) to the Prime Vendor prior to initial RDD of a cancellation or delay of the AMC flight?

DLA TROOP SUPPORT RESPONSE: Please refer to page 125, Section VI (H), of the

DLA TROOP SUPPORT RESPONSE: Please refer to page 185-186, Section XVI (A)(8) fourth paragraph, of the Statement of Work.

72. INDUSTRY QUESTION: Who will be responsible for maintaining the integrity of the product between original delivery and pick up when notified of a delay and/or cancellation? Is there a concern related to Force Protection and chain of custody (temperature integrity, etc.) with the product being delivered to the customer delivery point and then being required to be picked back up?

73. INDUSTRY QUESTION: Does the Diego Garcia 30 day order lead time include alignment with the barge schedule that transports the cargo out to the atoll?

74. INDUSTRY QUESTION: The solicitation lists the requirement for shelf life to be 15 days or more to the customer on products manufactured with 150 days or less. This means that 60 days of stock requirement + 15 days required minimum to the customer + 45 days (best case scenario) to the Philippines and Australia warehouse results in 120 day old product. This timeline means that the Prime Vendor will need to take possession and move the cargo on the date it is produced in order to meet the requirements to the customer. Can you please confirm the shelf life requirements are possible to be met with regular USTRANSCOM shipments to these outlying areas?

75. INDUSTRY QUESTION: How many items less than 150 day shelf life are currently required to be stocked in each region?

76. INDUSTRY QUESTION: On page 121, CUSTOMS, DLATS states USTRANSCOM will be responsible for all customs clearance from the point of debarkation through to the Prime Vendor’s OCONUS facility(s) for material shipped through DTS. The Prime Vendor is responsible for customs clearance from the OCONUS facility(s) to the final delivery point. Does USTRANSCOM currently handle this process for all regions as defined in the solicitation? This process can result in multiple days of detention when not handled properly resulting in excessive dead stock on short shelf life items and affecting timeliness of the Prime Vendor’s ability to fill large ship orders. How does the government intend to support the PV in ensuring USTRANSCOM fulfills this obligation?

DLA TROOP SUPPORT RESPONSE: Please refer to pages 108-109, Section V (K)(1), 109-110, Section V (L), and 185-186, Section XVI (A)(8) fourth paragraph, of the Statement

77. INDUSTRY QUESTION: Will there be a minimum order requirement for any of the outlying customer locations as to reach some of the already listed islands requires ferry, truck and air moves which would also require appropriate lead times to coordinate meeting customer RDDs?

78. INDUSTRY QUESTION: Currently, Subic Bay, Manila, Palawan and Cebu, in the Philippines, all have expenses for truck access to the pier (upwards of 15% of the cargo value) – will these costs be borne by the Prime Vendor?

79. INDUSTRY QUESTION: How are non-allowable commodities (i.e. pork) delivered to customers within certain regions?

80. INDUSTRY QUESTION: Since there are no US flag vessels to ship to the outer lying regions (ex: Zamboanga), will the US Flag Vessel requirement be waived for intra-country movement within the Philippines? Is it DLA’s intent that the Prime Vendor build these expenses (ocean and air) for movement into the distribution fees?

81. INDUSTRY QUESTION: Many times items will fall above surge levels (300%) when supporting a Carrier or Strike groups. Due to the long logistics inbound supply chain to some of the countries included in the solicitation – will the 30 day lead time requirement be reevaluated for these areas in order to better support the customers fill rate?

DLA TROOP SUPPORT RESPONSE: Please refer to page 92, Section (V)(A)(b)(5) , pages 108-109, Section V (K)(1), pages 189-190, Section XVI (E), and pages 185-186, Section XVI (A)(8) fourth paragraph, of the Statement of Work.

DLA TROOP SUPPORT RESPONSE: Please refer to pages 185-186, Section XVI (A)(8) fourth paragraph, of the Statement of Work.

82. INDUSTRY QUESTION: How often are LMR and FF&V items being cancelled with the 24 hour notice (non-DGAR customers)? What is the approximate expense related to these cancellations that the Prime Vendor is having to absorb due to the nature of doing business in the local markets?

83. INDUSTRY QUESTION: Due to long transit times in the AORs of the solicitation, many trucks are already in transit to customer destinations 24-36 hours prior to the RDD. Will the cancellation policy be adjusted to account for this, and in particular the noon timeline beginning in 2023 doesn’t even account for 24 hours due to most customers requiring early am deliveries? This timeline could result in higher distribution fees to account for the expenses incurred by the Prime Vendor.

5452.233-9001 DISPUTES – AGREEMENT TO USE ALTERNATIVE DISPUTE

RESOLUTION (JUN 2020)

(a) The parties agree to negotiate with each other to try to resolve any disputes that may arise. If unassisted negotiations are unsuccessful, the parties will use alternative dispute resolution (ADR) techniques to try to resolve the dispute. Litigation will only be considered as a last resort when ADR is unsuccessful or has been documented by the party rejecting ADR to be inappropriate for resolving the dispute.

(b) Before either party determines ADR inappropriate, that party must discuss the use of ADR with the other party. The documentation rejecting ADR must be signed by an official authorized to bind the contractor (see FAR 52.233-1), or, for the Agency, by the contracting officer, and approved at a level above the contracting officer after consultation with the ADR Specialist and legal counsel. Contractor personnel are also encouraged to include the ADR Specialist in their discussions with the contracting officer before determining ADR to be inappropriate.

(c) If you wish to opt out of this clause, check here [ ]. Alternate wording may be negotiated with the contracting officer.

Procurement Note: H14 Contractor Personnel Security Requirements (JAN 2021)

(a) Work to be performed under this contract or task order may, in full or in part, be performed at the Defense Logistics Agency (DLA) Headquarters (HQ), DLA field activity office(s), or other Federally-controlled facilities. Prior to beginning work on a contract, DLA requires all contractor personnel working on the Federally-controlled facility to have, at a minimum, an initiated National Agency Check with Written Inquiries (NACI) or NACI equivalent and favorable completion of a Federal Bureau of Investigation (FBI) fingerprint check.

(b) Additionally, in accordance with Department of Defense (DoD) Regulation 5200.2-R, Personnel Security Programs, and DLA Issuance 4314, Personnel Security Program, all DoD contractor personnel who have access to Federally-controlled information systems must be assigned to positions which are designated at one of three information technology (IT) levels, each requiring a certain level of investigation and clearance, as follows:

(1) IT-I for an IT position requiring a single scope background investigation (SSBI) or SSBI equivalent;

(2) IT-II for an IT position requiring a National Agency check with Law and Credit (NACLC) or NACLC equivalent; and

(3) IT-III for an IT position requiring a NACI or equivalent.

Note: IT levels will be designated according to the criteria in DoD 5200.2-R.

(c) Previously completed security investigations may be accepted by the Government in lieu of new investigations if determined by the DLA Intelligence Personnel Security Office to be essentially equivalent in scope to the contract requirements. The length of time elapsed since the previous investigation will also be considered in determining whether a new investigation is warranted. To assist the Government in making this determination, the contractor must provide the following information to the respective DLA Intelligence Personnel Security Office immediately upon receipt of the contract. This information must be provided for each contractor employee who will perform work on a Federally-controlled facility and/or will require access to Federally-controlled information systems:

(1) Full name, with middle name, as applicable, with social security number;

(2) Citizenship status with date and place of birth;

(3) Proof of the individual’s favorably adjudicated background investigation or NACI, consisting of identification of the type of investigation performed, date of the favorable adjudication, name of the agency that made the favorable adjudication, and name of the agency that performed the investigation;

(4) Company name, address, phone and fax numbers with email address;

(5) Location of on-site workstation or phone number if off-site (if known by the time of award);

and

(6) Delivery order or contract number and expiration date; and name of the contracting officer.

(d) The contracting officer will ensure that the contractor is notified as soon as a determination is made by the assigned or cognizant DLA Intelligence Personnel Security Office regarding acceptance of the previous investigation and clearance level.

(1) If a new investigation is deemed necessary, the contractor and contracting officer will be notified by the respective DLA Personnel Security Office after appropriate checks in DoD databases have been made.

(2) If the contractor employee requires access to classified information and currently does not have the appropriate clearance level and/or an active security clearance, the DLA Intelligence Personnel Security Office will relay this information to the contractor and contracting officer for further action. Investigations for contractor employees requiring access to classified information must be initiated by the contractor Facility Security Officer (FSO).

(3) The contracting officer will ensure that the respective DLA Intelligence Personnel Security Office initiates investigations for contractor employees not requiring access to classified information (i.e., IT or unescorted entry).

(4) It is the contractor’s responsibility to ensure…
