CONTINUATION SHEET SP8000-25-Q-0006 PAGE 7 OF 58 PAGES

Section B. Performance Work Statement (PWS) DuPont Nomex® Fiber Buffer

1. Purpose

1.1. The Government seeks the capability for defense contractors to access various Nomex® fibers on an expedited basis to support wartime mobilizations, military combat operations, and contingency support.

The accelerated release of material shall be achieved through strategic buffer(s) directly and exclusively developed, implemented, and managed by DuPont and Nomex® fiber spinners (collectively referred to as SUPPLIERS) qualified by DuPont.

1.2. Additionally, to prevent the issue of meeting minimum order quantities the government enables the suppliers to ask the government for the remainder of an order be added to the DLA buffer.

2. Background

2.1. Nomex® is the registered brand name of a flame-retardant (FR) aramid material developed by DuPont

Advanced Fiber Systems. Items made from this fiber is heat and flame resistant and provides significant protection from fire. End items made from Nomex® include flight suits, aircrew combat uniforms, jackets, gloves, and cold weather underwear. Nomex® can be solution-dyed in sage green, desert tan, and black;

the color is inherent to the fiber. Natural colored Nomex® can be printed.

2.2. Material availability of FR capable clothing and apparel is highly dependent on the flexibility of the supply chain to react to surges in demand. The overall production lead-time for end items with Nomex® material is over 180 days to include the production of fiber, spinning the fiber into yarn, weaving the yarn into fabric, finishing the fabric, and the sewing of the end item. The long lead-time and unpredictable demand of items made with Nomex® creates barriers for DLA to effectively support the Services during increased operational tempo contingencies.

2.3. Nomex® fiber availability is known to be a constraint in meeting Surge and Sustainment Planning Requirements (SSPR) for DoD. In 2024, the Warstopper Program Management Office (WPMO) studied the industrial base and determined Nomex® fiber is critical to Warfighter readiness and that ensuring adequate FR material for combat related apparel and accessories without delay is important for military operations.

3. Performance Requirements

3.1. Fiber buffers are required to be established to maximize the ability of the cut-and-sew industrial base to support Warfighter readiness as related to FR garments. Fiber buffers will be established with DuPont, the manufacturer of Nomex® fibers.

3.2. The suppliers shall have the manufacturing, shipping, and inventory control processes in place necessary to inventory, store, rotate, and replenish stock within established timeframes. A quality plan is required and should describe how the supplier maintains and/or provides product traceability, inspection, process controls, and corrective actions. In accordance with FAR 37.604, the supplier’s proposed quality plan may be used in the development of a government surveillance plan.

3.3. Potential Requirements for each material buffer are listed in Section 4 below.

4. Material Buffer Requirements

4.1. DuPont

4.1.1. The government is seeking for DuPont to manufacture, store, rotate, and ship selected Nomex® fiber to DuPont qualified yarn and thread spinners and twisters when government rated orders for Nomex® fiber are received by DuPont.

4.1.2. DuPont will use best practices to rotate inventory to maintain fiber age below 12 months from date of production.

4.1.3. The buffer stock of fiber shall be dyed and/or natural Nomex® fibers of type N301 Black, N302 Desert Tan, N303 Camo Tan, N303 Green short staple, N303 Tan short staple, N330 Natural, N462 Natural, T450 Natural, and T462 Natural to be determined on each task order.

CONTINUATION SHEET SP8000-25-Q-0006 PAGE 8 OF 58 PAGES

4.1.3.1. Additional forms of material, in color and/or type, may be asked for in follow-on Task Orders, in which case the availability and price will be negotiated at that time.

4.1.3.2. All material should be in a form such that it can be used for government rated orders of apparel and equipment having FR requirements.

4.1.4. During the contract’s base period, an example of a fiber buffer types and requirements is detailed in Table 1.

Fiber should be delivered into the DuPont’s segregated inventory at a rate to achieve the required buffer amount within 6 months from issuance of the first task order. For any quantity of fiber added to an already established buffer, the additional quantity will be delivered into the contractor’s segregated inventory at a rate not to exceed five months for any quantity greater than 35,000 pounds and not to exceed two months for any quantity of 35,000 pounds or less.

4.1.5 After 100% of a fiber’s buffer quantity is established, the inventory shall be managed in accordance with the rotation and replenishment requirements listed in paragraph 4.1.9, Section 5 and Section 6, below.

4.1.6 DuPont shall maintain traceability of fiber delivered to the buffer.

4.1.7 Each task order will detail the management fee for each billing period determined by the total fiber quantity held in the buffer.

4.1.8 Between task orders, the quantities of existing fibers, including any fiber not listed in paragraph 4.1.3, may change. The government knows this cannot happen instantly; however, the expectation is that for quantities under 35,000 lbs DuPont will have up to two months to get to the new quantity, unless DuPont can provide justification why it cannot meet this timeline and that justification is approved by the Contracting Officer Representative (COR), or directed otherwise by the COR.

4.1.8.1 For quantities over 35,000 lbs, Dupont will have up to 6 months to replenish the buffer.

4.1.9 DuPont must show a lead-time reduction of at least 90% compared to a quoted lead time for a non- rated order after one year’s inventory build-up.

4.1.10 The COR may establish by exception:

4.1.10.1 A monthly reserved quantity that would require COR approval for release per instruction provided by the COR; and/or

4.1.10.2 A limit on the total quantities released in a month to a single release or a span of multiple months;

and/or

4.1.10.3 The prioritization of any DoD contract requirement.

5. Inventory Rotation

5.1. The suppliers are responsible to rotate material during its ordinary business operations.

5.2. After a fiber or spool buffer reaches 100% of the designated quantity listed in table 1, suppliers can begin rotating inventory by fulfilling appropriately rated orders for authorized contracts.

5.3. Troop Support will provide a list of contracts authorized to draw from the buffer.

5.3.1. For the benefit of stock rotation, the established buffer stock can be used to fill orders from any Value Chain Supplier who provides an authorized end item contract number.

CONTINUATION SHEET SP8000-25-Q-0006 PAGE 9 OF 58 PAGES

5.3.2. It shall be assumed that any Value Chain Supplier providing an authorized contract number is authorized to order fiber on behalf of the end item contractor.

5.4. Suppliers can draw the buffer quantity down, regardless of percentage as long as the buffer does not reduce below two months inventory of any individual fiber type for non-surge DoD Defense Priorities and Allocations System (DPAS) rated orders. For orders that result in less than two months of buffer remaining, Dupont must coordinate approval with the contract COR.

5.5. DuPont may use buffer quantities to fill commercial orders if the fiber has been held in the buffer for more than 3 months and must notify the COR of its use and replenishment schedule.

5.5.1. DuPont must identify the fiber quantity by type available to release for commercial orders in the monthly status report.

5.5.2. All material that is sold from the fiber buffer must be documented in the monthly report.

5.5.3. Additionally, any orders going to DoD customers should be specifically highlighted and have a value showing how much lead time was saved by using the buffer.

5.6. Buffer stock shall be shipped within 3 business days after receiving an authorized order.

5.7. All material sales will be Business-to-Business and are not through Government Furnished Material (GFM). All sales will be at the contracted pricing (for those with existing contracts with the seller) or at the best available pricing (for those without an existing contract). No premium fees shall apply for using the buffer.

5.8. The buffer material can be used for a DO or DX rated order where Nomex® material would be applicable to the end item.

5.8.1. Suppliers cannot favor one company’s rated order over another’s in cases where multiple contracts need the same buffer material and there is not enough to follow DPAS rules for obligating the material. If questions arise reach out to the COR.

5.9. Suppliers are encouraged to use monthly phased material releases to maximize support to other manufacturers or to meet full material requirements as appropriate.

6. Inventory Replenishment

6.1. DuPont shall replace depleted buffer stocks to the agreed target buffer level as detailed in each annual task order.

6.2. Material used to backfill the buffer shall be replenished following guidelines outlined in 15 CFR 700.17(b).

6.3. Replenishment of the inventory sold to the commercial market must be accomplished immediately upon the sale.

6.4. Circumstances negatively impacting supplier capability to restock the buffer shall be reported in writing to the COR within 10 working days after the supplier becomes aware of such an impact.

6.4.1. The statement should include the root cause of the delay the fiber involved, the total replenishment requirement, the available replenishment quantity, and the expected time to completely replenish the fiber to the required level.

7. Inventory Release

7.1. The suppliers shall have a material release execution plan that successfully self-executes the buffer for vendors with DoD contracts using the following guidelines:

7.1.1. Demonstrate a system for identifying purchase request that are associated with DoD contracts.

7.1.2. Demonstrate a system for collecting the following data elements for each buffer request:

7.1.2.1. Buyer’s/requestor’s name,

7.1.2.2. DoD contract number

7.1.2.3. The Defense Priorities and Allocations System (DPAS) rating

7.1.2.4. Fiber production or Yarn Delivery lead time saved by using the buffer stock

7.1.3. Establish system for utilizing the buffer on a regular basis to meet DoD contract requirements.

8. Inventory Loss

8.1. The Suppliers are responsible for storage, rotation, accountability, and maintenance of the fiber inventories required under this contract.

8.2. The Suppliers are required to manage the inventory in a manner to eliminate the need to dispose of damaged material.

8.3. The Suppliers are responsible for any inventory loss. This includes, but is not limited to, expiration of shelf life, theft, vandalism, and deterioration from such things as improper storage, or damage resulting from any cause.

CONTINUATION SHEET SP8000-25-Q-0006 PAGE 10 OF 58 PAGES

Compensation to the Government will be replacement of the material into inventory.

9. Contract Management

9.1. Fees

9.1.1. The Suppliers shall receive two fees for contract performance, an Inventory Holding Fee and an Inventory

Management Fee. Both fees shall be paid on a quarterly basis beginning at the end of the first 3-month period of contract performance/delivery of fiber.

9.1.1.1. Inventory Holding Fee: A fee, covering the cost of money and any associated administrative costs related to the cost of money, for the build-up, replenishment, and storage of fiber inventory under this contract.

9.1.1.2. Inventory Management Fee: A fee covering the expenses incurred managing the fiber inventory under this contract.

9.2. Monthly Inventory and Transaction Report

9.2.1. Suppliers shall provide the COR a monthly status report NLT 10th day of the month that provides:

9.2.1.1. The beginning and ending quantity by material in pounds for DuPont for the previous month.

9.2.1.2. The material releases made during the reporting period to include:

9.2.1.2.1. Buyer/requestor Name

Appendix A: Contract Line-Item Number (CLIN) Structure The purpose of this strategic buffer is to ensure access to the material, not for the Government to own the material. The vendor will keep the title and custody of the material. As a result, the Government should only be paying for the carrying burden of the material, handling costs, and contract administration for the task orders awarded under this intended Indefinite Delivery Indefinite Quantity (IDIQ) contract. The Government intends to establish as a part of the IDIQ contract a fixed price-per-pound rate for NOMEX material: Listed in Table 1 above. These established, price-per-pound rates shall apply to all subsequent task orders issued against the IDIQ contract and will include—within the rates—the carrying costs, contract administration fee and/or overhead fee, and costs for the performance of all applicable services required by the contract performance work statement (PWS) for each of the types/colors. While there are a number of different ways to potentially calculate this, a few examples are shown below (the offeror is not required to utilize these specific methods to calculate rates):

Investment Total= Inventory Cost [cost per lbs * amount of material] - Inventory Value [Inventory Cost * COGS1] * 5% Management fee + $7.87% WACC2 [Inventory Value * WACC]=subtotal * ROIC3

Form Cost = [(Cost per lbs. + Value added due to processing) * Carrying Burden of inventory + flat rate per pound handling fee] contract administration fee normalized

The vendor is expected to rotate the material as rated orders come in; this cost should be accounted for in the price-per-pound rate. In the examples above, it would fall into the flat rate handling fee. Note that the Government will not pay a per-rotation fee under this contract; rather, the offeror will treat rotation(s) as a firm-fixed price fee incorporated into the proposed price-per-pound rate.

The offeror is required to complete the following portion of the document as a part of its price proposal. First, the offeror shall complete the UNIT PRICE and TOTAL AMOUNT within the tables for each of the Contract Line Item Numbers (CLINs) X001, X002, X003, and X004 (for the base and three option periods). This portion is based on current Government estimates of future requirements, which are subject to change. This portion is for evaluation purposes, as it represents an approximate, estimated overall contract value.

Next, below each CLIN table, the offeror is required to provide a Per-Pound Rate for each of the fiber and color types represented by the CLIN(s). The Government intends to establish these price-per-pound rates as a part of the IDIQ contract award, which shall then form the basis for pricing all subsequent task orders issued against the IDIQ contract.

D.2. The following clauses are hereby incorporated in full text:

FAR 52.212-2 Evaluation-Commercial Products and Commercial Services (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(1) In this Lowest Price Technically Acceptable (LPTA) acquisition, the following factors will be evaluated:

(i) Factor 1 – Technical Approach

(A) Subfactor A – Technical Approach Summary

(B) Subfactor B – Quality Control / Stock Rotation Plan

(C) Subfactor C – Lead Time

(ii) Factor 2 – Past Performance Acceptability

(iii) Factor 3 – Price

(2) The non-price evaluation factors for award represent those specific characteristics that are tied to significant RFP requirements. They are the uniform baseline against which each offeror’s proposal is evaluated allowing the Government to make a determination of acceptability.

(i) The non-price evaluation factor and subfactors for the determination of Technical Acceptability for this acquisition consist of the following:

CONTINUATION SHEET SP8000-25-Q-0006 PAGE 18 OF 58 PAGES

Factor 1 – Technical Approach

Subfactor A – Technical Approach Summary Subfactor B – Quality Control / Stock Rotation Plan Subfactor C – Lead Time

Evaluation Factor 1—with Subfactors A, B, and C—will be rated in accordance with the following table:

Technical Acceptable/Unacceptable Rating Method

Adjectival Rating Description Acceptable Proposal meets the requirements of the solicitation Unacceptable Proposal does not meet the requirements of the solicitation Each factor/subfactor will receive a rating of Acceptable or Unacceptable. If any factor/subfactor receives an Unacceptable rating, then the overall rating for technical acceptability is Unacceptable.

To be Technically Acceptable and eligible for award, the offeror must meet and be rated Acceptable for all of the requirements for the following factor and subfactors:

FACTOR 1 – TECHNICAL APPROACH

To be rated Technically Acceptable, the contractor shall submit with its offer a detailed narrative supporting each evaluation subfactor that demonstrates a comprehensive understanding of the nature and scope required. Each subfactor will be assigned a rating of “Acceptable” or “Unacceptable” based on whether the proposal meets the basic Performance Work Statement (PWS) requirements and standards, and satisfactorily addresses the subfactor evaluation criteria identified below. Technical sub-factors are equal in importance. To be rated as Acceptable overall for Factor 1 – Technical Approach, the proposal must be rated “Acceptable” for all subfactors.

SUBFACTOR A – TECHNICAL APPROACH SUMMARY

To be rated Technically Acceptable, the contractor shall submit a detailed narrative summarizing the offeror’s technical approach. This summary shall, at a minimum, outline the offeror’s approach to address the requirements of the PWS; demonstrating both a complete understanding of those requirements and of the NOMEX Strategic Buffer Objectives for this program. This summary shall not be a duplication of the PWS verbiage.

SUBFACTOR B – QUALITY CONTROL / STOCK ROTATION PLAN

To be rated Technically Acceptable, the contractor shall submit a detailed narrative summarizing the offeror’s Quality Control and Stock Rotation Plan. This document shall address the offeror’s ability to provide a Quality Control Process Surveillance and Testing Plan (QC Plan) in accordance with the requirements of PWS section 9.3 Quality Control. Failure to propose an acceptable QC Plan will result in an “Unacceptable” rating.

SUBFACTOR C – LEAD TIME

To be rated Technically Acceptable, the contractor shall submit a detailed narrative that address the offeror’s ability to successfully identify a committed maximum release time of material buffer order in accordance with the requirements of PWS section 7, Material Buffer Requirements. Failure to propose a committed maximum release time of a material buffer order will result in an “Unacceptable” rating.

(ii) The non-price evaluation factor for the determination of Past Performance Acceptability for this acquisition consist of the following:

Factor 2 – Past Performance Acceptability, a non-price evaluation factor, will be rated in accordance with the following table:

Past Performance Acceptable/Unacceptable Rating Method

Adjectival Rating Description Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown. (See note below)

CONTINUATION SHEET SP8000-25-Q-0006 PAGE 19 OF 58 PAGES

Unacceptable Based on the offeror’s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.

NOTE: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)).

Therefore, the offeror shall be determined to have unknown (or “neutral”) past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered “acceptable.”

The past performance evaluation results in an assessment of the offeror’s probability of meeting the minimum past performance requirements for this solicitation. The vendor shall identify its past performance information as requested herein. The Past Performance Acceptability assessment is based on recency, relevancy, and quality of historical contracts.

Past performance will be initially evaluated to determine whether the offeror’s present/past performance is recent, and relevant or not relevant to the effort to be acquired. Second, the past performance evaluation will determine how well the offeror performed on the prior contracts. To be Technically Acceptable, the offer must meet all of the following requirements:

FACTOR 2 – PAST PERFORMANCE ACCEPTABILITY

Past Performance shall be used as an evaluation factor within the LPTA selection process, unless waived by the PCO in accordance with FAR 15.304(c)(3)(iii). It shall be evaluated in accordance with FAR 15.305 and DFARS

215.305. However, the comparative assessment in FAR 15.305(a)(2)(i) does not apply. Therefore, past performance will be rated on an “acceptable” or “unacceptable” basis using the “Past Performance Acceptable/Unacceptable Rating Method” in the table above. In rating the past performance, the following will be considered:

(A) Aspects of Past Performance Evaluation. The past performance evaluation results in an assessment of the offeror’s probability of meeting the minimum past performance requirements. This assessment is based on the offeror’s record of recent and relevant past performance information that pertain to the products and/or services outlined in the solicitation requirements. The vendor shall identify its past performance information as requested in the solicitation. The basis of this assessment is from two aspects: 1) Recency and Relevancy and 2) Quality of Historical Contracts. In rating past performance, the following will be considered:

(1) Recency and Relevancy. The first aspect is to evaluate whether the vendor’s present / past performance is relevant or not relevant to the effort to be acquired. In establishing what is relevant for the acquisition, consideration shall be given to what aspects of a vendor’s contract history would give the most confidence that the vendor will satisfy the current procurement.

Common elements of relevancy include similarity of service / support, complexity, dollar value, contract type and degree of subcontract / teaming.

(2) Quality of Historical Contracts: The second aspect is to determine how well the vendor performed on present / past contracts. The past performance evaluation process gathers information from customers on how well the vendor performed those past contracts and includes history of successful completion of projects; history of producing high-quality reports and deliverables; commitment to customer satisfaction and history of staying on schedule and within budget. Past Performance information may be obtained from Past Performance Questionnaires, Federal Performance and Integrity Information System (FAPIIS), Contractor Performance / Assessment Reporting System (CPARS) or other sources available to the Government. The Past Performance evaluation process does not establish, create, or change the existing record and history of the offeror’s past performance on present / past contracts.

(B) To be rated Acceptable, the contractor shall submit at least three (3) but no more than five (5) previously awarded and completed contracts of similar size and scope that are deemed to…
