2025-01

Postaward Small Business Program Rerepresentation (Jan 2025)

(a) . As used in this clause-Definitions

Long-term contract means a contract of more than five years in duration, including options.

However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern-

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (d) of this clause.

(2) , as used in this definition, means business concerns, one of whom directly or Affiliates indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

(b) If the Contractor represented that it was any of the small business concerns identified in 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (f) of this clause or, if applicable, paragraph (h) of this clause, upon occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts-

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) If the Contractor represented its status as any of the small business concerns identified at 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (f) of this clause or, if applicable, paragraph (h) of this clause, for the NAICS code assigned to an order (except that paragraphs (c)(1) through (3) of this clause do not apply to an order issued under a Federal Supply Schedule contract at subpart 8.4)-

(1) Set aside exclusively for a small business concern identified at 19.000(a)(3) that is issued under an unrestricted multiple-award contract, unless the order is issued under the reserved portion of an unrestricted multiple-award contract ( e.g., an order set aside for a woman-owned small business under a multiple-award contract that is not set-aside, unless the order is issued under the reserved portion of the multiple-award contract);

(2) Issued under a multiple-award contract set aside for small businesses that is further set aside for a specific socioeconomic category that differs from the underlying multiple-award contract ( e.g., an order set aside for a HUBZone small business concern under a multiple-award contract that is set aside for small businesses);

(3) Issued under the part of the multiple-award contract that is set aside for small businesses that is further set aside for a specific socioeconomic category that differs from the underlying set-aside part of the multiple-award contract ( e.g., an order set aside for a WOSB concern under the part of the multiple-award contract that is partially set aside for small businesses); and

(4) When the Contracting Officer explicitly requires it for an order issued under a multiple-award contract, including for an order issued under a Federal Supply Schedule contract (see 8.405-5

(b) and 19.301-2(b)(2)).

(d) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code(s) assigned to this contract. The small business size standard corresponding to this NAICS code(s) can be found at https://www.sba.gov/document /support--table-size-standards.

(e) The small business size standard for a Contractor providing an end item that it does not manufacture, process, or produce itself, for a contract other than a construction or service contract, is 500 employees, or 150 employees for information technology value-added resellers under NAICS code 541519, if the acquisition-

(1) Was set aside for small business and has a value above the simplified acquisition threshold;

(2) Used the HUBZone price evaluation preference regardless of dollar value, unless the Contractor waived the price evaluation preference; or

(3) Was an 8(a), HUBZone, service-disabled veteran-owned, economically disadvantaged women-owned, or women-owned small business set-aside or sole-source award regardless of dollar value.

(f) Except as provided in paragraph (h) of this clause, the Contractor shall make the representation(s) required by of this clause by validating or updating all paragraphs (b) and (c) its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting writing within officer in the timeframes specified in paragraph (b) of this clause, or with its offer for an order (see paragraph (c) of this clause), that the data have been validated or updated, and provide the date of the validation or update.

(g) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (f) or (h) of this clause.

Jaclyn Evans, and at jaclyn.v.evans.civ@health.mil with a courtesy copy to the Contracting Officer, Mr. James Davis, at james.m.davis1.civ@health.mil prior to the solicitation closing date and time specified in Block 8 of the SF1449. Blocks 12, 17 (including SAM EUI and CAGE Code) and 30 AC shall be completed. Offers received after the date/time established in Block 8 of the SF1449 will be considered untimely and not eligible for award.

Offeror Questions and Clarifications: Any questions, comments, or clarifications concerning any aspect of the solicitation shall be submitted in writing via e mail to the Contract Specialist and Contracting Officer identified above no later than three (3) calendar days prior to the date specified in Block 8 of the SF 1449. Questions or clarifications submitted should identify the topic, and must reference the applicable section(s) of the solicitation (e.g., section, paragraph, and subparagraph) and RFQ number.

Proposal Content Requirements: Offeror shall submit their quotation as follows:

Administrative: Offerors shall include a copy of the completed SF1449, with blocks 12, 17, and 30 completed, including signature/date in block 30. The offer shall include a title page that reflects the Offeror's business name (include "Doing Business As", if applicable), full address, CAGE Code and SAM EUI number, full business address, phone number, and email of Offeror points of contact, a statement confirming the Offeror is willing to hold its prices firm for at least 90 days from the date specified for receipt of offers. To assist the Government with ordering, the offeror shall include the Contractor's Ordering Point of Contact information. Offeror shall acknowledge all amendments, if any are issued. Offeror shall be registered in the System for Award Management (SAM) with the appropriate NAICS Code and shall not have any Active Exclusions listed within SAM to be eligible for award, and must remain active in SAM through the life of the contract.

Factor 1- Technical: Offerors shall demonstrate that their proposal complies with the technical requirements described in the salient characteristics outlined in Attachment (1). Offerors shall address and be able to meet all requirements and specifications outlined in the solicitation to be considered. The technical quotation shall be addressed in sufficient written detail for the Government to determine if the offeror understands the aspects of the Government's requirement and that the offeror can fully meet all requirements. Offerors shall demonstrate the ability to meet the requirements of the solicitation via the submission of a written capability statement with their quote. Statements that the offeror understands, can or will comply with all specifications, or statements paraphrasing the specifications of parts thereof, or phrases such as "standard procedures will be used" or "well-known techniques will be used" will be considered unacceptable.

Insufficient explanations may result in your offer receiving an UNACCEPTABLE rating. The technical quotation shall not exceed 10 pages.

Factor 2- Pricing: Offerors shall complete the pricing, to include both unit pricing and extended price, for each of the contract line items. Offerors shall be registered and current in the System for Award Management (SAM) and shall not have any Active Exclusions listed within SAM to be eligible for award. The SAM internet web site is https://beta.sam.gov. Addendum to Evaluation - Commercial Product and Commercial Services

52.212-2 ADDENDUM

EVALUATION PROCESS:

Award will be made on a Lowest Price Technically Acceptable (LTPA) basis to the responsible offeror whose proposal meets or exceeds the acceptability standards. The Government will initially list proposals from lowest to highest price. The Government will evaluate the lowest priced proposal first. If that proposal is determined technically unacceptable, the Government will evaluate the next lowest priced proposal and continue in that manner until a proposal is rated Technically Acceptable. If a proposal is rated Technically Unacceptable, the Government will not evaluate any other factor. USING THIS PROCEDURE, THE GOVERNMENT MIGHT NOT

EVALUATE ALL PROPOSALS.

Award may be made without discussions with offerors (except communications conducted for the purpose of minor clarification). Therefore, each initial offer should contain the offeror's best terms from a technical and price standpoint. However, the Government reserves the right to conduct discussions if it is later determined by the Contracting Officer to be necessary.

The Government will award a Firm-Fixed-Price (FFP) Purchase Order resulting from this solicitation to the responsible quotation conforming to the solicitation that is the lowest price technically acceptable. Award will be on an all or none basis.

A written notice of award or acceptance of an offer will be furnished via e-mail to the successful offeror within the time for acceptance specified in the offer and shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer) unless a written notice of withdrawal is received before award.

The following evaluation factors shall be used to evaluate offers:

Factor 1: Technical Acceptability

Technical capability ratings reflect the Government's confidence in each offeror, as demonstrated in its submission, to meet the salient characteristics set forth in Attachment (1). The Government will make an independent judgment of the acceptability. To receive consideration for award, a rating of no less than "Acceptable" must be achieved in technical acceptability. The following adjectival ratings will be used in evaluating the offeror's technical capability quote:

(i) ACCEPTABLE:- To receive this rating, the offerors product shall meet the salient characteristics and required features set forth in the solicitation.

(ii) UNACCEPTABLE: An unacceptable rating will be assessed on any offeror that presents items that demonstrate any of the following:

Failure to meet each of the salient characteristics set forth in the solicitation.

Failure to provide sufficient detail for the Government to determine whether the item satisfactorily meets the requirements of this solicitation.

Technical proposal that exceeds ten (10) pages in length

Factor 2: Price

Quotes will be reviewed to determine fairness and reasonability of pricing, and an award will be made on a Lowest Price Technically Acceptable (LPTA) basis. Offeror's pricing must be determined to be fair and reasonable in order to be eligible for an award. Quotes must be submitted on time to the Contract Specialist, Jaclyn Evans, via email at jaclyn.v.evans.civ@health.

mil with a courtesy copy to the Contracting Officer, Mr. James Davis at james.m.davis1.civ@health.

mil. Potential contractors must be registered in the System for Award Management (SAM) to be eligible for award; the SAM website is http://www.sam.gov; a responsibility determination will be made prior to award in accordance with FAR 9.104-1.
