EXECUTIVE SUMMARY

Addendum to 52.212-1 – Instructions to Offerors – Commercial Items

1. The Army Contracting Command - Rock Island (ACC-RI) hereby issues Solicitation W519TC-23-Q-2227 for Vibration Testing Equipment and Installation. This solicitation will result in a Firm-Fixed Price contract. This solicitation is issued in accordance with FAR 12 (Acquisition of Commercial Items) and FAR Part 13 (Simplified Acquisition Procedures). The vibration system, chart recorder, and controller are restricted to Brand Name or Equal in accordance with FAR 13.501(a)(1)(ii).

2. The U.S. Government will evaluate quotes based on the Lowest Price Technically Acceptable (LPTA) quote.

Offerors shall submit sufficient information to enable the evaluators to determine your understanding of the requirements in each of the evaluated factors listed in the Instructions to Offerors and Evaluation Criteria. Offerors shall submit pricing within the CLIN level of the solicitaton at CLIN 0001, CLIN 0002, CLIN 0003, CLIN 0004, and CLIN 0005. Pricing will be evaluated from using the total price of CLINs 0001 through 0005. Proposed unit prices shall be limited to two (2) decimal places. Award will be made to the responsible, reponsive offeror whose quote is conforming to the solicitation, will be most advantageous to the Government, considering the techincal factors, price, and the price-related factors included in the solicitation. See paragraphs 12. Instructions to Offerors and 13. Evaluation Criteria below for further details.

4. Schedule. The contractor shall execute the requirements of this project in accordance with the following schedule.

Offeror’s shall complete contractor highlighted fill-ins at FAR 52.211-8 TIME OF DELIVERY (JUN 1997).

***The project completion and overall period of performance for this contract is 420 days after effective date of award. All work under this contract shall be completed by the end of the period of performance.

5. Progress Payments will be administered in conformance with the below schedule:

50% of CLIN 0001 – Acceptance of CDRL 0014 50% of CLIN 0002– Acceptance of CDRL 0013

The remaining payment of CLINs 0001 through 0005 shall be paid following project completion.

6. Note: FAR 52.225-1, Buy American--Supplies (JAN 2021) (41 U.S.C. chapter 83) is incorporated into the solicitation/contract.

7. Packaging and Delivery/Performance Information:

7. Notes:

a. Offeror is liable for ACCURACY of submitted quotes and for any incurred costs if quote was submitted erroneously.

b. Electronic Invoicing instructions shall be provided at time of award. A DD250 will be required.

c. Quotes submitted in response to this solicitation shall remain valid for 60 days and submitted eletronically to Carly Frye at carly.c.frye.civ@army.mil.

d. Offerors shall be registered in the System for Award Management (SAM) in order to be eligible for an award with the U.S. Government. Application to this site can be found under the following link:

ww.sam.gov. Failure to comply with SAM registration may deem a quote ineligible for award.

e. Offerors shall provide its CAGE Code.

f. Offerors shall provide its DUNS number.

9. Inspection and Acceptance is at destination. FOB is destination.

10. For the contract resulting from this solicitation, the payment will be made by DFAS, via Wide Area Workflow(WAWF).

11. Although the Government intends to award the resultant contract without discussions, the Government reserves the right to open discussions.

12. INSTRUCTIONS FOR OFFERORS:

1. GENERAL INSTRUCTIONS: These instructions are a guide for preparing your quote. These instructions generally describe the type and extent of information you should provide and address in your quote. You should include in the quote sufficient information to enable the evaluators to determine your understanding of the requirements in each of the evaluated factors. It is the U.S. Government's intent to award a single Firm-Fixed-Price (FFP) contract. A Lowest Price Technically Acceptable (LPTA) evaluation process and no trade-offs will be made.

The U.S. Government intends to evaluate quotes and award without discussions with offerors (except clarifications).

Therefore, the offerors initial response should contain the offerors best terms and price. However; the U.S.

Government reserves the right to conduct discussions if determined necessary by the Contracting Officer.

2. QUOTE SUBMISSION AND FORMAT: The offeror’s quote shall be prepared and authorized by a person regularly employed by the offeror. The quote should state the name of the person submitting the quote, the person’s position title, phone number, and email address. The quote should be prepared in a clear, legible, practical manner.

The signature on this solicitation, quote or contract should be the signature of: (a) a Corporate Officer (President, Vice-President, Treasurer, Secretary); or, (b) an individual authorized in writing by a Corporate Officer to bind the company to a legal documenting addition. The quote shall be written in English and should be specific and complete as described in these instructions.

Offerors must submit their quotes in electronic format prior to the closing date and time listed on the first page of this solicitation. Quotes may be emailed to the Contract Specialist listed below:

Failure to provide a complete quote package will result in the offer being determined non-responsive and your company will no longer be considered for award.

The quote shall remain valid for 60 days after submission, and be submitted in accordance with the following instructions and requirements pertaining to technical factors and price.

Technical Factors:

The quote shall be submitted in accordance with the following instructions and requirements pertaining to each of the two technical Sub--Factors, Experience and Project Plan

Factor 1: Experience:

The offeror shall provide no less than three (3) contract references for recent and relevant work that has been performed either as a Prime Contractor or a Subcontractor.

“Recent” is defined as a measure of time that has elapsed since the contract reference occurred and is generally expressed as a time period during which contract reference is considered relevant; for the purpose of this RFQ, “recent” is any contract under which any relevant performance, delivery, or corrective action has occurred within the three (3) years preceding this RFQ closing date, regardless of the original award date.

“Relevant” is defined as a contract for facility upgrades and repairs with work requirements that are of a similar scope as the work stated in Attachment 0001 – Statement of Work dated 19 April 2023. Relevant contracts can include work done for the Government (Federal, State, or Local) or the Commercial Industry.

For each reference, the contractor shall identify the contract number, customer/company name, the reference POC’s name, phone number, and email address. Please complete and return a copy of Attachment 0005 – Technical Factor 1 – Experience dated 21 April 2023.

Factor 2: Project Plan:

Each offeror’s quote must fully address all of the technical requirements of the Statement of Work in their own Project Plan. The Project Plan shall be a written plan that provides evidence that the offeror will meet the performance characteristics required in Attachment 0001 – Statement of Work dated 19 April 2023 and below:

i. The Contractor should describe what they intend to do in order to complete the removal of the current system, construct the new design, and install/integrate the new system, in sufficient detail and convey to the Government they understand the requirements.

ii. The Contractor shall describe how they plan to accomplish all requirements listed within 5.3 PERFORMANCE CHARACTERISTICS: Electrodynamic Vibration System.

iii. The Contractor shall describe how they plan to accomplish all requirements listed within 6.3 PERFORMANCE CHARACTERISTICS: Environmental Chamber.

iv. The Contractor shall describe their proposed Work Breakdown Structure and identify all sub-contractors and their responsibilities.

v. The Contractor shall include a training plan to describe how they intend to train the Pine Bluff Arsenal workforce.

The project plan, including the work breakdown instruction is to be limited to 50 pages. The U.S.

Government defines a page as a single sided, 8 ½” x 11” sheet, single line spacing, with no less than 12-point font, and page margins of 1” on top, bottom, and both sides of each page. The cover page and table of contents are not included within the page count. The only exceptions allowed for font size reduction are organization charts or other graphic illustrations. In those instances where font reduction is allowed, the U.S. Government requires that the font be no smaller than 10-point font. The U.S. Government will count the pages in the Project Plan and remove any pages beyond the maximum 50 page limit. The U.S.

Government will not consider any pages in the Project Plan over the 50-page maximum total in the evaluation. The USG will not consider the cover, title page, table of contents, or acronym lists in the Project Plan as part of the 50 page limit. The Project Plan pages shall be appropriately numbered.

Price:

a. Contract Line Item Number 0001 is Firm-Fixed-Priced (FFP) for this solicitation. The offerors shall enter a FFP for purchase of all equipment related to Electrodynamic Vibration System.

b. Contract Line Item Number 0002 is Firm-Fixed-Priced (FFP) for this solicitation. The offerors shall enter a FFP for procurement of all equipment related to the Environmental Chamber minus the CVA-8 Signal Conditioner. The CVA-8 Signal Conditioner shall be priced within CLIN 0003.

c. Contract Line Item Number 0003 is Firm-Fixed-Price (FFP) for the procurement of the CVA-8 Signal Conditioner.

d. Contract Line Item Number 0004 is the Firm Fixed-Price (FFP) for installation and labor of the Vibration System and the Environmental Chamber.

e. Contract Line Item Number 0005 is Firm-Fixed-Priced (FFP) for the procurement of any parts parts outside of the equipment needed for the Electrodynamic Vibration System and Environmental Chamber.

f. Contract Line Item Number 0006 is Not Seperately Priced (NSP).

g. Prices shall be submitted on a FOB Destination basis. All prices proposed will be binding and limited to two decimal places. Prices shall be valid for 60 days after date of quote. The U.S. Government reserves the right to require the submission of any data (i.e., certified cost or pricing data or data other than certified cost or pricing data) necessary to validate the reasonableness of a quote.

13. EVALUATION CRITERIA:

1. Basis for Contract Award: The U.S. Government plans to award a single Firm-Fixed-Priced (FFP) Contract utilizing the Lowest Price Technically Acceptable (LPTA) source selection procedures.

2. The evaluation factors include Technical (Acceptable/Unacceptable) and Price. In the event an offeror receives an unacceptable rating in Technical, it will result in the quote being determined non-responsive and will not be considered further for price evaluation. Award will be made to the offeror whose quote conforms to the Request for Quote (RFQ), and is determined to be technically acceptable and lowest price that is determined to be fair and reasonable.

3. The U.S. Government intends to evaluate quotes and award a purchase order without discussions with contractors (except clarifications). Therefore, the offeror’s initial quote should contain their best terms for technical and price.

However; the U.S. Government reserves the right to conduct discussions if determined necessary by the Contracting Officer.

4. TECHNICAL EVALUATION FACTORS:

Factor 1: Experience:

The Government will evaluate the Offeror’s recent and relevant references to determine if the Offeror has the experience necessary to successfully execute the requirements.

ACCEPTABLE: A quote that includes the following:

A minimum of 3 contracts determined to be both recent and relevant. In order to be acceptable, the quote must include all of the information required by the Instructions to Offerors for Experience section. The quote must include the completion of Attachment 0005 - Technical Factor 1 – Experience dated 21 April 2023 to be found acceptable.

UNACCEPTABLE: A quote that does not include the following:

A minimum of 3 contracts determined to be both recent and relevant are not provided and/or at least two deliveries/installations are not verified. The quote does not include all of the information required by the Instruction section. This quote does not include the completion of Attachment 0005 - Technical Factor 1 – Experience dated 21 April 2023.

Factor 2: Project Plan:

The quote must clearly communicate the technical capabilities of the offeror to perform the work required as described in Attachment 0001 – Statement of Work dated 19 April 2023. It must also clearly indicate the offeror has a thorough understanding of the requirements and is able and willing to devote the necessary resources to meet the requirements stated in the Statement of Work.

The U.S. Government will evaluate the offeror’s quote with the following definitions:

i. ACCEPTABLE: Plan written to provide evidence of and understanding of what they intend to do in order to complete the removal of the current system, construct the new design, and install/integrate the new system, in sufficient detail and convey to the Government they understand the requirements.

UNACCEPTABLE: Failure to provide a plan addressing an understanding of the requirements of what they intend to do in order to complete the removal of the current system, construct the new design, and install/integrate the new system, in sufficient detail and convey to the Government they understand the requirements.

ii. ACCEPTABLE: Plan written to provide evidence of understanding of the requirements in paragraph 5.3 PERFORMANCE CHARACTERISTICS – Electrodynamic Vibration System , Attachment 0001 – Statement of Work dated 19 April 2023.

UNACCEPTABLE: Failure to provide a plan addressing an understanding of the requirements of paragraph 5.3 PERFORMANCE CHARACTERISTICS – Electrodynamic Vibration System within Attachment 0001 – Statement of Work dated 19 April 2023.

iii. ACCEPTABLE: Plan written to provide evidence of understanding of the requirements in paragraph 6.3

– PERFORMANCE CHARACTERISTICS – Environmental Chamber, Attachment 0001 – Statement of Work dated 19 April 2023.

UNACCEPTABLE: Failure to provide a plan addressing an understanding of the requirements of paragraph 6.3 PERFORMANCE CHARACTERISTICS – Environmental Chamber within Attachment 0001 – Statement of Work dated 19 April 2023.

iv. ACCEPTABLE: The Contractor addressed their proposed Work Breakdown Structure and identified all sub-contractors and their responsibilities.

UNACCEPTABLE: Failure to provide a plan addressing an adequate Work Breakdown Structure and did not identify all sub-contractors and their responsbilities.

v. ACCEPTABLE: The Contractor addressed their training plan to describe how they intend to train the Pine Bluff workforce.

UNACCEPTABLE: Failure to provide a plan addressing an understanding of how the contractor plans to train the Pine Bluff workforce.

5. PRICE FACTOR:

The price will be evaluated but will not be assigned a rating. Only those offerors receiving a Technically Acceptable Rating will be considered further for a price evaluation.

The Total Evaluated Price (TEP) will be analyzed utilizing proposal analysis techniques to determine price reasonableness IAW FAR 13.106-3 Award and Documentation.

The U.S. Government anticipates using competition to determine price reasonableness. However, if adequate price competition is not received, the U.S. Government reserves the right to require the submission of any data other than certified cost and pricing data if necessary to validate the reasonableness of an offer.

Quotes will be evaluated on the total price quoted for Contract Line Item Number (CLIN) 0001 - 0005. All total CLIN prices will be summed together to determine the TEP. The quoted unit price is limited to two decimal places.

Prices shall be submitted on a FOB Destination basis. Ship to location is Pine Bluff Arsenal, Central Shipping and Receiving (CSRP), Pine Bluff, AR, 71602. The price will be binding. The U.S. Government reserves the right to require the submission of any data (i.e., other than cost or pricing data) necessary to validate the reasonableness of an offer.

Pricing shall be valid for 60 days after date of quote.

The U.S. Government intends to award to the responsive and responsible, lowest priced, technically acceptable quote.

SITE VISIT INFORMATION

A site visit will be coordinated to be held on 17 May 2022.

Location for the scheduled site visit is: Pine Bluff Arsenal, Building 34-110, Pine Bluff, AR 71602. A meeting location will be provided upon completion of pre-registration.

All visitors to Pine Bluff Arsenal must obtain an installation visitor badge prior to entering the installation.

It is recommended that you arrive at the Visitors Center at least 30 minutes prior to the site visit time.

All visitors shall pre-register with Carly Frye at carly.frye.civ@army.mil in order to attend the site visit. When registering, the following information is shall be submitted:

- First/Middle Initial/Last Name of Visitor (How your name reads on presented ID)

- Is the Visitor a U. S. Citizen? Yes/No

- Date in which the required Visitor Access Request Form was submitted.

- Date of Birth

While the site visit is not mandatory, is should be noted that a bidder may have extreme difficulty in formulating an accurate proposal for this project. During the site visit, contractors are urged to ask questions; however, all site visit questions should then be submitted in writing prior to COB 19 May 2023. Contractors shall only discuss this solicitation with the Contract Specialist listed in this solicitation. The Government will not be responsible for information that the contractor obtains on their own.

Each visitor will be required to wear at a minimum full coverage footwear and will be required to wear safety glasses for the site visit. Government reserves the right to refuse any visitor who does not properly adhere to the safety requirements listed.

DUE TO THE CURRENT CONDITIONS WITH COVID-19 THE SITE VISIT WILL BE CONDUCTED

UTILIZING THE FOLLOWING SOCIAL DISTANCING GUIDELINES IN ACCORDANCE WITH THE

CENTER FOR DISEASE CONTROL (CDC).

THE SITE VISIT WILL BE LIMITED TO 10 PEOPLE INCLUDING GOVERNMENT PERSONNEL. IF

NECESSARY MULTIPLE SITE VISITS WILL BE SCHEDULED AND YOU WILL BE NOTIFIED OF AN

ALTERNATE TIME.

ONLY ONE (1) REPRESENTATIVE FROM YOUR COMPANY IS ALLOWED TO ATTEND THE SITE VISIT.

ALL ATTENDEES MUST HAVE A FACE COVERING IAW CDC GUIDELINES.

ALL ATTENDEES AND GOVERNMENT PERSONNEL WILL REMAIN A MINIMUM OF 6 FEET APART AT

ALL TIMES.

SAFETY GLASSES ARE REQUIRED.

OPSEC

OPERATIONS SECURITY (OPSEC) REQUIREMENTS

AT Level I Training.

All contractor employees, including subcontractor employees, requiring access to Army installations, facilities, and controlled-access areas will complete AT Level I awareness training within [insert number of calendar days] calendar days after the contract start-date or effective date of incorporation of this requirement into the contract, whichever is applicable. The contractor will submit certificates of completion for each affected contractor employee and subcontractor employee to the COR or to the contracting officer, if a COR is not assigned, within [insert number of calendar days] calendar days after training is completed by all employees and subcontractor personnel. AT Level I awareness training is available online at https://atlevel1.dtic.mil/at.

Access and General Protection/Security Policy and Procedures.

Contractor and all associated sub-contractors employees shall provide all information required for background checks to meet installation access requirements to be accomplished by installation provost marshal office, director of emergency services, or security office. Contractor workforce must comply with all personal identification verification requirements (FAR clause 52.204-9, Personal Identity Verification of Contractor Personnel) as directed by DOD, HQDA, and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any individual facility or installation change, the Government may require changes in contractor security matters or processes.

For contractors that do not require CACs, but require access to a DOD facility or installation.

Contractor and all associated sub-contractors employees shall comply with adjudication standards and procedures using the National Crime Information Center Interstate Identification Index (NCIC-III) and Terrorist Screening Database (TSDB) (Army Directive 2014-05/AR 190-13), applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative), or at OCONUS locations, in accordance with status of forces agreements and other theater regulations.

iWATCH/iSALUTE Training.

The contractor and all associated subcontractors will brief all employees on the local iWATCH/iSALUTE program (training standards provided by the requiring activity ATO). This locally developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the COR.

This training will be completed within 30 calendar days after the contract is awarded and within 30 calendar days after new employees commence contract performance, with the results reported to the COR NLT 45 calendar days after the contract is awarded.

OPSEC Training. AR 530‐1 Operations Security , the contractor employees must complete Level I OPSEC Awareness training. New employees must be trained within 30 calendar days of their reporting for duty and annually thereafter.

Threat Awareness Reporting Program. For all contractors with security clearances. Per AR 381‐12 Threat Awareness and Reporting Program (TARP), contractor employees must receive annual TARP training by a CI agent or other trainer.

52.204-26 COVERED TELECOMMUNICATIONS EQUIPMENT OR SERVICES--REPRESENTATION (OCT

2020)

(a) Definitions. As used in this provision, “covered telecommunications equipment or services” and "reasonable inquiry" have the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for “covered telecommunications equipment or services”.

(c) Representations.

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (OCT 2018)

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in--

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management, which can be accessed via https://www.sam.gov (see 52.204-7).

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(Contracting Officer shall insert the significant evaluation factors, such as (i) technical capability of the item offered to meet the Government requirement; (ii) price; (iii) past performance (see FAR 15.304); and include them in the relative order of importance of the evaluation factors, such as in descending order of importance.)

Technical and past performance, when combined, are . (Contracting Officer state, in accordance with FAR 15.304, the relative importance of all other evaluation factors, when combined, when compared to price.)

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (DEC 2022)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business concern"--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

"Small disadvantaged business concern, consistent with 13 CFR 124.1002", means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

"Subsidiary" means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

"Women-owned small business (WOSB) concern eligible under the WOSB Program" (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.

(b) (1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.

(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov.
