Special Contract Requirements

SPECIAL CONTRACT REQUIREMENTS

DELIVERY ORDER PROCEDURES: FAR 16.505 will be used for Delivery Order Procedures. As requirements are identified, the government will issue a Fair Opportunity Proposal Request (FOPR) that will describe the government requirements, along with the required proposal response time. Delivery Orders issued hereunder are subject to the terms and conditions of this contract.

When the Government identifies a requirement, a FOPR will be issued. The FOPR will contain a list of the required weapons, accessories, ammunition and personal protective equipment required quantities and any special instructions. There are two selection approaches that the government may use when awarding a delivery order from a FOPR. The first being Lowest Price Technically Acceptable in which the responsible offeror with the lowest price technically acceptable offer. If there is a tie between prices, the Government will ask for best and final offer to all vendors. The lowest offeror will be the successful vendor. The second is to pursue a best value trade off in which the Government may trade off a technically acceptable lower-priced proposal for a technically acceptable higher-priced proposal in order to mitigate risk including quality of product, cost and delivery schedule. The FOPR will announce how the award will be made.

Note: Proposal preparation fees will not be provided to any competing MAC contractors.

ORDERING PROCEDURE

Delivery orders shall be issued on a Firm-Fixed Price (FFP) basis. The Contract Line Item Number (CLIN) structure on each delivery order will follow the CLIN structure of the IDIQ contract.

Delivery order competition for subsequent award is as follows:

Fair Opportunity Proposal Request (FOPR)

a. The KO will initiate the FOPR process by sending a FOPR letter to IDIQ contractors.

b. The FOPR Letter will include the following information:

1) Offer due date and offer submittal instructions

2) Identification and quantity of required weapons, accessories, ammunition and personal protective equipment

3) Period of performance

4) Any special instructions pertaining to the delivery order, if applicable

The Contractor's delivery order proposal shall be submitted to the CO on or before the time and date specified in the FOPR letter. Pricing on delivery order proposals shall be valid as indicated on the FOPR.

If no proposal or only one proposal is received, the Government, at its discretion, may revalidate the FOPR requirement. The validation process may include exchanges of information with some or all the Contractors to determine whether there are concerns about the FOPR requirement. Should the requirement be validated, the CO may reissue the FOPR package. After the Government revalidates the FOPR requirement, if only one proposal is received, the ordering CO will follow the procedures at

DFARS 215.371.

The Government reserves the right to pursue delivery orders using the best value method. Best value will be defined at the DO level when appropriate. A best value tradeoff, where performance is somewhat more significant than price, will be used to make the award decision for certain delivery orders. All proposals received in response to the FOPR will be evaluated for technical acceptability. Then, the delivery terms, period of performance and price will be considered. The best value will be determined using price performance tradeoff. The Government will consider making the award to a higher priced proposal that offers more favorable delivery terms and/or a shorter period of performance over a lower priced proposal with less favorable delivery terms and/or a longer period of performance. Once an apparent awardee is identified, the offeror will be assessed for responsibility, IAW FAR 9.104-1. Award will be made to the responsible offeror with a technically acceptable proposal that offers the best value to the Government.

OFF RAMP PROCEDURES

All Contractors are highly encouraged to submit a proposal for every FOPR under this contract. At a minimum, each Contractor shall propose on 80% of FOPRs with an acceptable proposal. The threshold is calculated each year on the anniversary date of the award. Not meeting this requirement is a valid reason for off-ramping. If a contractor is under dispute with the Government for any reason, the vendor cannot send proposals to future FOPRs until the dispute is settled.

NOTE: Terminations are not subject to off ramp/on ramp procedures and may be enforced at any time throughout the life of the IDIQ.

The Off-Ramp process under an IDIQ contract encompasses several methods by which the Government may exercise its right to remove a contractor from the pools of effective IDIQ contract awardees. For purposes of evaluating Off-Ramp methods the Government will review the contractor's performance for each anniversary year. Failure to meet the requirements listed below shall merit off-ramping from the IDIQ:

Failure to submit proposals in response to at least 80% of FOPRs over a twelve (12) month period of performance;

Failure of the prime contractor or subcontractors to maintain the required licenses;

Poor Delivery Order performance as evidenced by Contracting Officer notification. Examples include (but are not limited to): late, unexcused deliveries on two or more delivery orders; two or more notifications from the CO with concerns over delivery order performance; one or more "Less Than Satisfactory" Ratings in CPARS.

Failure to maintain the responsibility status as defined by FAR 9.104.

Failure to maintain appropriate licenses as outlined in this RFP.

The Government will provide a 15-day written notice if it intends to off-ramp an IDIQ contractor.

The Government reserves the right to off-ramp a contractor from the IDIQ prior to completion of ongoing delivery orders awarded prior to when the off ramp occurred. However, it is the Government's intent to maintain a strategic relationship with IDIQ contractor for the duration of the IDIQ order period.

PERFORMANCE PERIOD: Each FOPR issued will include a Government desired performance period. The contractor is encouraged to propose a shorter period of performance for any given Delivery Order to compete for the delivery order.

ANNIVERSARY DATE: Upon award of each IDIQ the effective date will mark the start of that individual IDIQ's anniversary date.

Contract Clauses

52.204-2 Security Requirements.

As prescribed in 4.404(a), insert the following clause:

Security Requirements (Mar 2021)

(a) This clause applies to the extent that this contract involves access to information classified "Confidential," "Secret," or "Top Secret."

(b) The Contractor shall comply with-

(1) The Security Agreement DD Form441), including the National Industrial Security Program Operating Manual (32 CFR part 117); and

(2) Any revisions to that manual, notice of which has been furnished to the Contractor.

(c) If, subsequent to the date of this contract, the security classification or security requirements under this contract are changed by the Government and if the changes cause an increase or decrease in security costs or otherwise affect any other term or condition of this contract, the contract shall be subject to an equitable adjustment as if the changes were directed under the Changes clause of this contract.

(d) The Contractor agrees to insert terms that conform substantially to the language of this clause, including this paragraph (d) but excluding any reference to the Changes clause of this contract, in all subcontracts under this contract that involve access to classified information.

(End of clause)

Alternate I (Apr 1984). If a cost contract for research and development with an educational institution is contemplated, add the following paragraphs (e), (f), and (g) to the basic clause:

(e) If a change in security requirements, as provided in paragraphs (b) and (c), results (1)in a change in the security classification of this contract or any of its elements from an unclassified status or a lower classification to a higher classification, or (2)in more restrictive area controls than previously required, the Contractor shall exert every reasonable effort compatible with the Contractor's established policies to continue the performance of work under the contract in compliance with the change in security classification or requirements. If, despite reasonable efforts, the Contractor determines that the continuation of work under this contract is not practicable because of the change in security classification or requirements, the Contractor shall notify the Contracting Officer in writing. Until resolution of the problem is made by the Contracting Officer, the Contractor shall continue safeguarding all classified material as required by this contract.

(f) After receiving the written notification, the Contracting Officer shall explore the circumstances surrounding the proposed change in security classification or requirements, and shall endeavor to work out a mutually satisfactory method whereby the Contractor can continue performance of the work under this contract.

(g) If, 15 days after receipt by the Contracting Officer of the notification of the Contractor's stated inability to proceed,

(1) the application to this contract of the change in security classification or requirements has not been withdrawn, or

(2) a mutually satisfactory method for continuing performance of work under this contract has not been agreed upon, the Contractor may request the Contracting Officer to terminate the contract in whole or in part.
