52.232-34 Payment by Electronic Funds Transfer-Other than System for Award Management. (Jul 2013)

Payment by Electronic Funds Transfer-Other than System for Award Management (Jul 2013)

(a) Method of payment.

(1) All payments by the Government under this contract shall be made by electronic funds transfer (EFT) except as provided in paragraph (a)(2) of this clause. As used in this clause, the term "EFT" refers to the funds transfer and may also include the payment information transfer.

(2) In the event the Government is unable to release one or more payments by EFT, the Contractor agrees to either-

(i) Accept payment by check or some other mutually agreeable method of payment; or

(ii) Request the Government to extend payment due dates until such time as the Government makes payment by EFT (but see paragraph (d) of this clause).

(b) Mandatory submission of Contractor's EFT information.

(1) The Contractor is required to provide the Government with the information required to make payment by EFT (see paragraph (j) of this clause). The Contractor shall provide this information directly to the office designated in this contract to receive that information (hereafter: "designated office") by the date when the contractor submit first invoice, using EFT Form established by DFAS. If not otherwise specified in this contract, the payment office is the designated office for receipt of the Contractor's EFT information. If more than one designated office is named for the contract, the Contractor shall provide a separate notice to each office. In the event that the EFT information changes, the Contractor shall be responsible for providing the updated information to the designated office(s).

(2) If the Contractor provides EFT information applicable to multiple contracts, the Contractor shall specifically state the applicability of this EFT information in terms acceptable to the designated office. However, EFT information supplied to a designated office shall be applicable only to contracts that identify that designated office as the office to receive EFT information for that contract.

(c) . The Government may make payment by EFT through either the Automated Clearing House (ACH) network, subject to the rules of the Mechanisms for EFT payment National Automated Clearing House Association, or the Fedwire Transfer System. The rules governing Federal payments through the ACH are contained in 31 CFR part

.210

(d) Suspension of payment.

(1) The Government is not required to make any payment under this contract until after receipt, by the designated office, of the correct EFT payment information from the Contractor. Until receipt of the correct EFT information, any invoice or contract financing request shall be deemed not to be a proper invoice for the purpose of prompt payment under this contract. The prompt payment terms of the contract regarding notice of an improper invoice and delays in accrual of interest penalties apply.

(2) If the EFT information changes after submission of correct EFT information, the Government shall begin using the changed EFT information no later than 30 days after its receipt by the designated office to the extent payment is made by EFT. However, the Contractor may request that no further payments be made until the updated EFT information is implemented by the payment office. If such suspension would result in a late payment under the prompt payment terms of this contract, the Contractor's request for suspension shall extend the due date for payment by the number of days of the suspension.

(e) Liability for uncompleted or erroneous transfers.

(1) If an uncompleted or erroneous transfer occurs because the Government used the Contractor's EFT information incorrectly, the Government remains responsible for-

(i) Making a correct payment;

(ii) Paying any prompt payment penalty due; and

(iii) Recovering any erroneously directed funds.

(2) If an uncompleted or erroneous transfer occurs because the Contractor's EFT information was incorrect, or was revised within 30 days of Government release of the EFT payment transaction instruction to the Federal Reserve System, and-

(i) If the funds are no longer under the control of the payment office, the Government is deemed to have made payment and the Contractor is responsible for recovery of any erroneously directed funds; or

(ii) If the funds remain under the control of the payment office, the Government shall not make payment and the provisions of paragraph (d) shall apply.

(f) . A payment shall be deemed to have been made in a timely manner in accordance with the prompt payment terms of this contract if, in the EFT and prompt payment EFT payment transaction instruction released to the Federal Reserve System, the date specified for settlement of the payment is on or before the prompt payment due date, provided the specified payment date is a valid date under the rules of the Federal Reserve System.

(g) . If the Contractor assigns the proceeds of this contract as provided for in the assignment of claims terms of this contract, the Contractor EFT and assignment of claims shall require as a condition of any such assignment, that the assignee shall provide the EFT information required by paragraph (j) of this clause to the designated office, and shall be paid by EFT in accordance with the terms of this clause. In all respects, the requirements of this clause shall apply to the assignee as if it were the Contractor.

EFT information that shows the ultimate recipient of the transfer to be other than the Contractor, in the absence of a proper assignment of claims acceptable to the Government, is incorrect EFT information within the meaning of paragraph (d) of this clause.

(h) . The Government is not liable for errors resulting from changes to EFT information provided by the Contractor's Liability for change of EFT information by financial agent financial agent.

(i) . The payment or disbursing office shall forward to the Contractor available payment information that is suitable for transmission as of the date of Payment information release of the EFT instruction to the Federal Reserve System. The Government may request the Contractor to designate a desired format and method(s) for delivery of payment information from a list of formats and methods the payment office is capable of executing. However, the Government does not guarantee that any particular format or method of delivery is available at any particular payment office and retains the latitude to use the format and delivery method most convenient to the Government. If the Government makes payment by check in accordance with paragraph (a) of this clause, the Government shall mail the payment information to the remittance address in the contract.

(j) . The Contractor shall provide the following information to the designated office. Evaluation Factors for Award 52.212-2 Evaluation- Commercial Products and Commercial Services. (Deviation Date)

(a) The Government will award a contract resulting from this solicitation to the responsible quoter whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate quotes:

(1) Price

(2) Past Performance

(b) A written notice of award or acceptance of a quote, mailed or otherwise furnished to the successful quoter within the time for acceptance specified in the quote, will result in a binding contract without further action by either party. Before the quote's specified expiration time, the Government may accept a quote (or part of a quote), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Addendum to FAR 52.212-2, Evaluation - Commercial Items

The following is inserted as new paragraph(d) of the provision:

(d) Basis for Contract Award: This is a competitive lowest price with acceptable past performance award conducted in accordance with (IAW) Federal Acquisition Regulation (FAR) Parts 12. By submission of its quote IAW the instructions provided in clause FAR 52.212-1, Instructions to Offerors - Commercial Items, the quoter accedes to all solicitation requirements, including terms and conditions and representations and certification. Failure to meet a requirement may result in a quote being determined unacceptable. Award will be made to the lowest Total Evaluated Price (TEP) quote with acceptable past performance. The evaluation process will include the following:

(1) Price: The Government will rank all quotes by TEP for Contract Line Item Number (CLIN) 0001. The price evaluation will document the fairness and reasonableness of the TEP. The Government reserves the right to perform price realism analysis. If the Government elects to perform a price realism analysis, the Government reserves discretion over the method within which it performs its price realism analysis. If the Government elects to perform a price realism analysis and finds a proposal unrealistic, the Government may withhold award to that quoter.

(2) Past Performance: The Government will evaluate past performance information (PPI) submitted from the lowest priced quoter under this acquisition. If the lowest priced quoter is determined to be Acceptable based on the below evaluation process, no other quoters need to be evaluated for past performance. In the event that the lowest quoter is determined to be Unacceptable, the quoter will be eliminated from consideration for award, and the Government will then evaluate the next low quoter's PPI. This process will continue until a quoter is found to have acceptable past performance.

Past performance evaluation considers each quoter's demonstrated recent and relevant record of performance in supplying products and services that meet the solicitation requirements as well as the quality assessment, based on contacting customers. In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the quoter's Past Performance quote and any information obtained from other sources available to the Government.

The Past Performance evaluation results in an assessment of the quoter's probability of meeting the solicitation requirements. Quoters must receive a past performance rating of Acceptable to be eligible for award.

Recency Assessment. An assessment of the PPI will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past 3 years from the date of issuance of this solicitation. PPI that fails this condition will not be evaluated.

Relevancy Assessment. The Government will conduct an evaluation of all recent PPI obtained to determine whether the products provided/services performed under those contracts relate to the products/services identified within the PWS. A relevancy determination of the quoter's PPI will be made based upon the aforementioned considerations. PPI does not need to be limited to standalone contracts; it is also acceptable to include assessments conducted as part of larger projects, such as the installation of an entire drinking water distribution system. In determining the relevancy of effort performed under individual past performance contracts, the Government will only consider the specific effort or portion consistent with that proposed by the prime contractor. PPI forms and information obtained from other sources will be used to establish the relevancy of past performance. The Government will assess relevancy for each recent PPI using the following definitions in the below.

PASTPERFORMANCE RELEVANCY RATINGS

Rating: Relevant

Definition: Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Rating: Not Relevant

Definition: Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Performance Quality Assessment. For each of the recent and relevant past performance information reviewed, the performance quality of work will be assessed based on the (i) Quality Assessment Criteria evaluated through using the comments from the contacted customers and (ii) the evaluation ratings in the Federal Past Performance Information Retrieval System (PPIRS), if available. The Government will assess the quality of each recent and relevant PPI using the following quality descriptions in the below.

Evaluation Ratings. As a result of the relevancy and performance quality assessments of the recent PPI evaluated, the Government will assess an integrated past performance evaluation rating as described in the table below.

Quality Assessment: Satisfactory (S)

Description: During the contract period, contractor performance is meeting (or met) contract requirements. For any problems encountered, contractor took effective corrective action.

Quality Assessment: Unsatisfactory (U)

Description: During the contract period, contractor performance is not meeting (or did not meet) some contract requirements. For problems encountered, corrective action appeared only marginally effective, not effective, or not fully implemented. Customer involvement was required.

Quality Assessment: Not Available (N)

Description: Quality and/or performance information is not available.

Evaluation Ratings. As a result of the relevancy and performance quality assessments of the recent PPI evaluated, the Government will assess an integrated past performance evaluation rating as described in the below.

Rating: Acceptable

Definition: Based on the offeror's performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror's performance record is unknown. (See note below.)

Rating: Unacceptable

Definition: Based on the offeror's performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror whose PPI is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. More recent performance will have a greater impact on the Past Performance rating than less recent effort.

Quoters are cautioned to submit sufficient information and in the format specified in FAR 52.212-1 of this solicitation. The Government intends to award a contract without further interchanges with quoters. Consequently, quoters are highly encouraged to quote their best quote in their initial submissions. However, the Government reserves the right to have interchanges with one, some, or all quoters, if it is determined advantageous for the Government to do so. This statement is not to be construed to mean that the Government is obligated to have interchanges with every quoter (note that FAR Part 12 evaluation procedures are not subject to FAR Part 15 procedures, therefore formal discussions are not applicable). A quoter may be eliminated from consideration without further interchanges if its quote is not among those considered most advantageous to the Government based on a best value determination.
