About this file

This is a Request for Proposals (RFP) for Training Product Maintenance and Presentation services for the Army Security Assistance Enterprise, specifically supporting the Deputy Assistant Secretary of the Army for Defense Exports and Cooperation (DASA DE&C).

The requirement involves designing, maintaining, and delivering training curriculum focused on Foreign Military Sales (FMS) case development, execution, management, and closure for a 2-star enterprise-level organization. Work will be performed primarily at Redstone Arsenal, AL; Aberdeen Proving Grounds, MD; Orlando, FL; New Cumberland, PA; Detroit, MI; and other CONUS and OCONUS locations as needed. The Government contemplates awarding a Firm-Fixed Price (FFP) contract with a not-to-exceed amount for Other Direct Costs (ODCs) and travel. This is a Total Set-Aside for 8(a) Small Business under NAICS code 611430 (Professional and Management Development Training), with a size standard of $15,000,000. The contract runs for a 12-month base period beginning October 1, 2026, through September 30, 2027, with four additional 12-month option periods and a 6-month option period under Revolutionary FAR Overhaul (RFO) FAR 52.217-8. The estimated award date is September 15, 2026.

The solicitation employs a two-phase evaluation process. Phase 1 (written submission due August 17, 2026 at 1:00 PM EST) requires offerors to demonstrate corporate experience in FMS training, identify key personnel with a maximum 2-page resume, and provide technical capability documentation for hosting and maintaining a secure, GovCloud-capable, Controlled Unclassified Information (CUI) online Learning Management System (LMS) supporting up to 3,000 students. Phase 2 consists of a Real-Time Evaluation Event (RTEE) with oral presentations and live, unrehearsed technical scenarios (August 27, 2026), where offerors will be assessed on technical acumen regarding FMS policy integration, critical timelines, multi-agency coordination, Blackboard LMS support, and customer focus with key personnel staffing continuity. Price proposals are due by the scheduled RTEE date and must include firm fixed price for labor, estimates of ODCs, and G&A fees. Evaluation factors are Phase 1 (Pass/Fail), Phase 2 Technical Approach (rated Outstanding/Good/Acceptable/Marginal/Unacceptable), and Price (evaluated for reasonableness and completeness but not adjectively rated). Non-price factors combined are more important than price. An OCI Mitigation Plan is required with Phase 2 submissions. The questions deadline is August 6, 2026 at 10:00 AM EST, with inquiries directed to ryan.t.baker24.civ@army.mil and salma.k.williamson.civ@army.mil. The proposal validity period is 180 calendar days minimum.

PHASE II SUBMISSION: Real-Time Evaluation Event (RTEE)

Phase II consists of a live, virtual Real-Time Evaluation Event (RTEE). Invited offerors must follow the instructions and be prepared to execute the agenda detailed in EXHIBIT 2: Phase II - Instructions for Real-Time Evaluation Event (RTEE).

This event will serve as the basis for the evaluation of the following factor:

• Factor 2: Technical Approach (Oral Presentation/ Live, unrehearsed technical scenario). This factor evaluates the Offeror’s technical approach via a live oral presentation. The Offeror’s designated personnel will respond to a series of unrehearsed technical scenarios. The Government will assess the demonstrated expertise and problem-solving capabilities in the following areas:

• Technical Acumen (policy integration, critical timelines, multi-agency coordination, Blackboard LMS): Assesses the Offeror’s unscripted ability to address complex issues related to FMS policy integration, critical case timelines, multi-agency coordination, and Blackboard LMS support. The evaluation will focus on the accuracy, depth, and immediate applicability of the Offeror's response.

• Customer Focus and Key Personnel (Staffing Continuity): Assesses the Offeror’s proposed methodology for ensuring service continuity. The evaluation will focus on the Offeror's plan to mitigate performance risk associated with the departure of Key Personnel, including the process for qualifying and transitioning replacements without service degradation.

Each offeror will be allocated a specific time slot. All events will be conducted virtually via Microsoft Teams.

Offerors will not be given scenarios in advance. Scenarios will be presented in real time to assess genuine capability, not rehearsed responses.

PRICE PROPOSAL SUBMISSION

Invited offerors for Phase 2 shall also submit their complete price proposal by the date and time of the scheduled RTEE. The price proposal shall include the firmed fixed price component of the offer and an estimate of the Other Direct costs and G&A fee structure.

The Price proposal shall consist of:

• Price Proposal Narrative, including a Table of Contents, Summary Section and Narrative Discussion

• Completed Price Proposal including Firm Fixed Price for Conference Execution, estimate of Other Direct Costs, and G&A fees.

To be considered for award, all Offerors must submit a completed Price Proposal as well as an accompanying Price Narrative. If an offeror proposes the use of subcontractors, and proprietary data will not be shared between the Prime and any Subcontractor(s), each Subcontractor’s price proposal may be submitted as a sealed volume directly to the Contracting Officer and Contract Specialist in accordance with the proposal submission instructions.

The price proposal shall consist of all information required to support proposed prices. Each Offeror shall conduct appropriate price analysis to establish the fairness and reasonableness of any proposed subcontract prices and shall include evidence of the results of these analyses in the Offeror’s price proposal.

a. All prices for this acquisition shall be stated in U.S. dollars, rounded and displayed to two decimal places.

b. The Government anticipates receiving competitive proposals and using competition to determine price reasonableness. However, the Government reserves the right to request certified cost or pricing data or data other than certified cost or pricing data necessary to determine price reasonableness if competition is not adequate for that purpose.

c. The Offeror's total evaluated price shall include Base Period, four 12-month Option Periods, and an additional 6-month Option Period in accordance with RFO FAR 52.217- 8.

d. The Pricing Template shall be completed as follows:

1. Signed proposals must indicate the total price for each Contract Line-Item Number

(CLIN).

2. Price Information: All information relating to the proposed price, including all required supporting documentation, must be in files separate and apart from those containing non-price information. Under no circumstances shall this information and documentation be included elsewhere in the proposal. Inclusion of pricing information within other proposal files will result in elimination from consideration.

3. The Government assumes price proposals represent the Offerors’ best efforts and might not request final proposal revisions from Offerors. The Offeror shall submit any additional information considered necessary to explain the proposed pricing with the initial proposal.

Organizational Conflicts of Interest (OCI) Mitigation Plan (Note: This is not a factor for evaluation)

The term “Organizational Conflicts of Interest” (OCI) is defined in RFO FAR 2.1; also see RFO FAR 9.502 (c). An “OCI” exists when an Offeror would face an actual or potential conflict of interest if it worked on the planned contract, due either to its other business interests or to the nature of the effort to be performed. However, organizational conflicts of interest are more likely to occur in contracts involving:

1) Management support services;

2) Consultant or other professional services;

3) Contractor performance of or assistance in technical evaluations; or

4) Systems engineering and technical direction work performed by a Contractor that does not have overall contractual responsibility for development or production.

Offerors are encouraged to make a preliminary disclosure to the Contracting Officer, prior to the due date for receipt of proposals, of any OCI issues the Offeror has identified. Such preliminary disclosure will allow the Contracting Officer more time to assess both the potential OCI and the Offeror’s proposed strategy to negate or mitigate the OCI. This assessment may be crucial since, per RFO FAR 9.504(e), the Contracting Officer may not award the contract to an Offeror with an OCI that the Offeror cannot negate or mitigate.

If the Offeror demonstrates to the Contracting Officer that there may be a possible conflict of interest arising out of an existing contract, the Contracting Officer shall take the necessary action to mitigate any conflict of interest that may be present. The Offeror agrees that the Government or an authorized representative may, up to three years after acceptance of all programmatic documentation to be delivered under this TO, restrict the Offeror’s future participation in any resulting program managed system acquisition action(s).

The Offeror shall submit with its Phase II Price Proposal, an OCI Mitigation Plan detailing the Offeror’s business practices, procedures, policies and internal controls as they pertain to Business Integrity and OCI. The Government will evaluate the apparent awardee’s OCI Mitigation Plan as part of the responsibility determination. An apparent awardee whose OCI Mitigation plan is found not to be acceptable, may not be deemed responsible and eligible to receive an award.

The Offeror’s OCI Mitigation Plan must explain how the Offeror will protect non-public information from unauthorized disclosure. The Offeror shall identify any current or potential OCIs for itself as well as any subcontractors, team members, subsidiaries or affiliates, and provide its plan to avoid or mitigate any potential or current OCI issues that may arise as a result of serving as the contractor for this requirement.

BASIS FORAWARD

GENERAL

The Government intends to award a single Firm-Fixed-Price (FFP) contract with a not-to-exceed amount established for Other Direct Costs (ODCs) to the responsible Offeror whose proposal, conforming to the solicitation, is determined to provide the best value to the Government, price and other factors considered. This is a best-value trade-off source selection. Proposals will be evaluated in accordance with RFO 12.203 Evaluation and RFO FAR 15.2. The Government will conduct comparative evaluations where offerors are compared to each other to select the contractor that is best suited and provides the best overall value to the Government.

Evaluation Process and Factors

The Government will evaluate proposals in two phases:

PHASE I EVALUATION

Factor 1: Phase 1 (Written Submission): This factor will be evaluated on a Pass/Fail basis in accordance with the criteria in EXHIBIT 1. Only offerors who receive a "Pass" rating will proceed to Phase 2.

The Government will evaluate the Phase I submission to ensure that the offeror has provided all requested information and that the evidence demonstrates compliance with all mandatory requirements.

Pass The offeror's submission is deemed acceptable for all requirements in the matrix. The offeror will be invited to participate in Phase 2.

Fail The offeror's submission is deemed not acceptable for one or more requirements. The offeror will not proceed to Phase 2.

PHASE II EVALUATION

The following factor will be evaluated for all offerors invited to Phase 2 based on their Oral Presentation/ Live, unrehearsed technical scenario responses.

Factor 2: Technical Approach

• Technical Acumen (policy integration, critical timelines, multi-agency coordination, Blackboard LMS)

• Customer Focus and Key Personnel (Staffing Continuity)

The Government's evaluation of the offeror's performance during the live technical scenarios will be based on the integrated assessment of the areas detailed below.

Rating Definitions

Rating Definitions Outstanding Proposal/Response indicates an exceptional approach and deep understanding of the requirements and contains multiple strengths. Team demonstrates master-level knowledge and a proactive approach.

Good Proposal/Response indicates a thorough approach and understanding of the requirements and contains at least one strength. The team demonstrates a depth of knowledge and anticipates follow-up questions.

Acceptable Proposal/Response meets the minimum requirements and indicates an adequate approach. The team demonstrates a functional understanding but lacks depth in some areas.

Marginal Proposal/Response has not demonstrated an adequate approach and understanding of the requirements. The team struggles with basic concepts and cannot demonstrate adequate knowledge.

Unacceptable Proposal/Response does not meet requirements of the solicitation and contains one or more deficiencies. The team shows a clear lack of knowledge.

Factor 3: Price

The Government will evaluate but not adjectively rate the price factor. The FAR requires that contracts are awarded at prices that are fair and reasonable. The KO is responsible for the determination of price reasonableness. The total evaluated Price (TEP) to be used in the award determination will be the total of ALL CLINS including all option year periods. The proposed price will not be adjectively rated. Each offeror’s proposal will be evaluated for price fairness and reasonableness, utilizing the analytical techniques and procedures prescribed in RFO 15.404- 1, Price Analysis. These techniques for evaluating an Offeror’s proposal may be used singly or in combination with others to ensure the proposed prices are fair and reasonable. The Government reserves the right to conduct price realism analysis as determined necessary by the Contracting Officer. The level of detail of the analysis conducted, and type(s) of analysis conducted will be determined by the contracting officer based on competition and other factors.

The Government intends to evaluate price reasonableness IAW RFO FAR Part 15.404-1(b), relying primarily upon competition. The Government expects adequate competition, and a comparison will be made of total evaluated prices received in response to the solicitation.

However, the Government reserves the right to require submission of certified cost or pricing data and/or data other than certified cost or pricing data from the Offeror adequate to determine the reasonableness of a proposal if competition was inadequate for that purpose.

Evaluation of Option to Extend Services. The Government will include an estimate for the Option to Extend Services under RFO FAR Clause 52.217-8 in the total evaluated price. For evaluation purposes, the Option to Extend Services will be calculated as one-half of the Offeror’s evaluated price for the last option period.

The Offeror's total price for the purpose of evaluation will include the price of all CLINs for the base period and all periods. Evaluation of options will not obligate the Government to exercise the options.

As part of the evaluation, the Government will review proposals to identify any significant unbalanced pricing found between pricing periods, quantity ranges, contract line items or sub-line items as applicable. In accordance with RFO FAR 15.404-6, i.e., Unbalanced Pricing, a proposal may be rejected if the KO determines the lack of balance poses an unacceptable risk to the Government.

The methods of evaluation noted above may include the use of information from sources such as,but not limited to, the Defense Contract Audit Agency (DCAA) and the Defense Contract Management Agency (DCMA).

The Government will use price analysis to determine price reasonableness. In the event price analysis cannot determine the proposed prices fair and reasonable, cost proposals will be required; however the proposal prices will be used for initial evaluations. The KO may use additional analysis techniques as determined necessary. These methods of evaluation may include the use of information/input from sources such as (but not limited to) other Government agencies and personnel. In accordance with DFARS clause 252.215-7008, the Government reserves the right to require Certified Cost or Pricing Data in the event that only one proposal is received in response to this solicitation.

Relative Importance of Factors

All non-price factors (Factors 1 and 2), when combined, are more important than Price (Factor 3). The Government is willing to pay a higher price for a technically superior proposal that offers significant advantages across the technical factors. However, the Government will not make an award at a price it determines to be unreasonable. As the merit of competing proposals becomes more equal, the Price factor may become a more determining factor in the award decision.

The Government will evaluate the offeror's proposed price for reasonableness and completeness.

1. Price Reasonableness: The Government will not conduct a detailed cost analysis as defined in RFO FAR 15.404-2. Instead, the Government will determine price reasonableness primarily through a comparison of the proposed prices received in response to this solicitation. The Government may also use other techniques, such as comparison to the Independent Government Cost Estimate (IGCE), to ensure the total evaluated price is reasonable.

2. Completeness: The Government will review the offeror's price submission to ensure that it is mathematically correct and that the offeror has provided pricing for all required elements of the solicitation.

An allotment schedule is set forth in paragraph (j) of this clause.

(b) For item(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Government's convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled "Termination for Convenience of the Government." As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit, and estimated termination settlement costs for those item(s).

(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the Contracting Officer in writing at least ninety days prior to the date when, in the Contractor's best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state

(1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded pursuant to this clause, for a subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractor's notification, or by an agreed substitute date, the Contracting Officer will terminate any item

(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled "Termination for Convenience of the Government."

(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraphs (b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.

(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph

(a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled "Disputes."

(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.

(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled "Default." The provisions of this clause are limited to the work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract is fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) and (e) of this clause.

(h) Nothing in this clause affects the right of the Government to terminate this contract pursuant to the clause of this contract entitled "Termination for Convenience of the Government."

(i) Nothing in this clause shall be construed as authorization of voluntary services whose acceptance is otherwise prohibited under 31 U.S.C. 1342.
