Dear Prospective Offerors:
The United States Agency Mission for International Development in Armenia (USAID/Armenia), is seeking proposals from qualified companies and organizations interested in implementing the “USAID Economic Foundations for a Resilient Armenia Activity” as described in this solicitation.

SECTION B - SUPPLIES OR SERVICES/PRICES
B.1 PURPOSE
The purpose of the USAID Economic Foundations for a Resilient Armenia Activity is to strengthen key economic actors within both the public and private sector to exercise economic stewardship, particularly to enhance Armenia’s economic security and ability to take advantage of periods of economic growth and navigate economic downturns, and ultimately build a more resilient Armenian economy.
The activity’s Theory of Change is: IF the Government of Armenia has the agency, tools, capacity, skills, and processes to exercise effective economic stewardship, and the private sector is better able to coordinate and cooperate amongst themselves to promote sector competitiveness and attract investment, THEN Armenia will be able to navigate key constraints in USAID’s targeted economic sectors of agriculture, high-tech, and tourism, thereby strengthening the resiliency of Armenia’s economy.
B.2 CONTRACT TYPE AND SERVICES
This is a FAR 16.102(b) combination award consisting of a Cost Reimbursement-Completion (CLIN 0001 and 0002) and a single-award Indefinite Delivery/Indefinite Quantity (IDIQ) type contract (CLIN 0003).
For the consideration set forth below, the Contractor must achieve the performance objectives and deliverables, or outputs described in Section C, Statement of Work, and Section F, and in accordance with the performance standards specified herein.
Under the Cost Reimbursement Completion portion (Completion portion) of the contract (CLIN 0001 and 0002), the Contractor must furnish all personnel, materials, equipment, supplies, facilities, services (except as expressly set forth in this contract as furnished by the Government) and perform all activities necessary for, or incidental to, the performance of work described in Section C.5 and other sections of the contract not specifically identified under CLIN 0003 as the IDIQ Supplemental Technical Assistance.
Under the IDIQ portion of the contract (CLIN 0003), the contractor must furnish additional technical assistance arising out of or related to the Completion portion of the contract, as required by Government-issued Task Orders. The services will be ordered in accordance with Section F.8 entitled “TASK ORDER ORDERING PROCEDURES AND ADMINISTRATION” and the IDIQ clauses in Section I.1. As this portion of the contract is not a stand-alone award, the Government is not required to state or order any minimum number of person-days as otherwise provided in FAR 16.504(a)(1)). The Other CLINs contained in this Contract provide sufficient consideration to make this a legally binding contract, and the Government has no obligation to fund or order under this CLIN.

(b) Within the estimated cost plus fixed fee specified in paragraph (a) above, the amount currently obligated and available for reimbursement of allowable costs incurred by the Contractor (and payment of fee) for

(c) Funds obligated hereunder are anticipated to be sufficient through _______ [ TBD ].
B.5 ESTIMATED COST, FIXED FEE, AND OBLIGATED AMOUNT FOR CLIN 0003
1. ESTIMATED COST AND FIXED FEE FOR CLIN 0003
A. The total estimated ceiling cost of this CLIN 0003 is $4,124,957, exclusive of the associated maximum fee of $____________. The total estimated ceiling cost and maximum fee is
2. FIXED FEE CEILING (Cost-Plus- Fixed-Fee Task Orders Only)
NOTE: The ceiling on fixed fee does not apply to Fixed-Price Task Orders.
(a) For each cost-reimbursement task order issued under this IDIQ, the Task Order Contracting Officer (TOCO) and Contractor agree to negotiate a set dollar amount for the fixed fee. In negotiating the fixed dollar amount for fee, the TOCO must consider the policies and factors for establishing fee in FAR 15.404-4 as well as any applicable USAID policy on establishing a fixed fee amount. In no event, however, may the amount of fixed fee in any individual task order exceed 10% percent of the task order’s estimated cost, excluding fee).
This fee ceiling is not applicable to Grants under Contracts (GUCs), if any, or other costs that have a separate fee ceiling established in the contract. The fixed fee ceiling applies to the prime contract and all cost reimbursement subcontracts.
(b) The Total Estimated Cost -Plus- Fixed- Fee for each Task Order must be negotiated in accordance with the terms of this contract.
(c) Fixed Fee Payment. For any Task Order issued under this Contract, at the time of each payment of allowable costs to the contractor, the USAID paying office ordinarily pays the contractor a percentage of fixed fees that directly corresponds to the percentage of allowable costs being paid. Two exceptions to paying fixed fee in this manner apply:
(1) If the TOCO determines that this method results in paying a disproportionately higher ratio of fixed fee than the percentage of work that the contractor has completed, then the TOCO may suspend further payment of any fixed fee until the contractor has made sufficient progress to justify further payment, up to the agreed percentage.
(2) Because the clauses entitled "Allowable Cost and Payment" (FAR 52.216-7) and "Fixed Fee" (FAR 52.216-8) are incorporated into this Contract, the terms and conditions of these clauses apply after total payments of fixed fee reach eighty-five percent (85%) of the total fixed fee.
(d) Separate Fixed Fee Ceiling Applicable To Grants Under Contracts (GUCs)
(1) In no event may the amount of fixed fee (if any) applicable to GUCs in any individual task order exceed _____ percent (Offeror proposes ceiling percentage) of the task order GUC cost.
B-4
3. OTHER DIRECT COST LIMITATIONS UNDER CLIN 0003
The estimated cost of this CLIN includes estimates for material, equipment, subcontracts, travel, and training required for performance of the total amount of work that can be ordered by the Government under this CLIN during the life of this contract. The amount of ordered Other Direct Costs will not exceed $1,000,000.00.
4. LEVEL-OF-EFFORT
A. In performing Government orders for Technical Assistance under the CLIN 0003, the Contractor is obligated to provide up to a maximum of 2,450 person-days.
B. The fee set forth in B.4. is based upon furnishing the level-of-effort specified in paragraph A. The total estimated cost and fixed fee will be established in the individual Government-issued Task Orders and must not exceed the amounts set forth in Section B.8. Supplemental Technical Assistance IDIQ CLIN 0003.
5. LABOR
(a) General
1. This Labor section applies only to cost reimbursement type task orders.
2. Central management costs will be handled through the following method:
The Contracting Officer has determined that a key (full-time) technical manager is not necessary or required to administer the basic IDIQ. Contractors will not be authorized to bill USAID directly for IDIQ management costs under this IDIQ or under task orders. Contractors must propose a centralized management structure that allows for recovery of IDIQ management costs as part of its indirect costs.
3. The workday and work week policies and method of accounting for paid absences including holidays for the contractor and major subcontractors is set forth under Salaries and Wages, (c) Part 3 - Proposed Costs of Section L.10 INSTRUCTIONS FOR THE PREPARATION OF THE
COST/BUSINESS PROPOSAL.
4. Compensation of personnel under the resulting task orders or any subcontracts thereto must be in accordance with AIDAR 752.7007 Personnel Compensation (July 2007) (See Section I.).
(b) Unburdened Ceiling Daily Rates (CDR)
(1) The task order rates must not exceed the ceiling daily rates set forth in the table below.
Each CDR for personnel listed below is “unburdened” and must only include salary costs or consulting rates of the individual providing the services.
The CDR for employees must not include the following:
● Payroll costs (fringe benefits, FICA, allowances, differentials, etc.);
● Indirect Costs applicable to labor; and
● Profit or fee, if any.
The CDRs set forth below are fixed for the contract period and are based on a productive eight (8) hour day, and apply to all subcontractors set forth in clause 52.244-2 in Section I. If a new subcontractor is proposed
B-5 for a specific task order on other than a fixed-price basis, the CDRs set forth below will apply, and the subcontract is subject to consent by the TOCO in accordance with FAR Part 44.
Actual salaries for all personnel will be negotiated under task orders and final approval is provided by the TOCO. The ceiling rates presented below do not constitute approval of final salary rates above the Contractor Salary Threshold (CST) (see ADS 302).
(2) The single unburdened ceiling daily rate for each labor category/group below represents the mid-level and senior level rate in each category/grouping. One unburdened ceiling daily rate for each labor category/grouping is included in the contract to provide more flexibility under task orders. If junior-level personnel are required under task orders, they must be proposed at rates below the unburdened ceiling daily rate.

(d) Subcontractor Rates.
The following provides guidance for various subcontracting arrangements:
(i) The Prime subcontracts with an approved subcontractor from the original IDIQ competition
The unburdened CDRs for the prime contract apply to the subcontractor.
(ii) The Prime contracts with a new subcontractor not yet approved The unburdened CDRs for the prime contract apply to the new subcontractor.
(iii) Prime subcontracts with a new subcontractor not yet approved and may or may not have a different cost accounting system that only processes fully burdened rates. Further, subcontractor proposes rates that are “above” the prime IDIQ rates.
The Prime may then include in its TO proposal, (i) the fully burdened rate proposed to the Prime by the Subcontractor, (ii) allocation of the Prime’s indirect costs in accordance with established accounting practices, and (iii) a reasonable profit. If the rates proposed to USAID, inclusive of the Prime’s allocable indirect costs and a reasonable profit are above the Prime’s unburdened CDRs, the Prime must disclose the amount of the indirect costs, and the amount of the proposed profit that were added to the Subcontractor’s proposed rates. A reasonable profit will be negotiated by the TOCO for the specific TO. The CDRs of the subcontractor must not exceed the prime’s CDRs in the IDIQ contract.
(e) LABOR (UNBURDENED CDR) RATE CHANGES
The labor rates are fixed for all contract years; however, the Contractor may
B-8 submit a proposal reducing the labor rates and/or indirect rates at any time during the life of this contract.
The Government will review these proposals and determine if the revised rates are realistic and in the best interests of the Government. If the rates are accepted, the Government will modify the contract by incorporating the new rates into the contract.
B.6 INDIRECT COSTS AND ADVANCE UNDERSTANDING ON CEILINGS
Pending establishment of revised provisional or final indirect cost rates, allowable indirect costs must be reimbursed on the basis of the following negotiated provisional or predetermined rates and the appropriate bases for prime contractors and their major subcontractors.

*Special Note: The un-shaded columns in the indirect cost table are the current approved indirect cost rates for the prime and major subcontractor(s).
The Contractor will make no change in its established method of classifying or allocating indirect costs that impacts this contract without the prior written approval of the Contracting Officer.
Reimbursement for indirect costs must be at final negotiated rates, but not in excess of ceiling rates specified above.
The Government must not be obligated to pay any additional amount associated with indirect costs above the ceiling rates established in the contract. This advance understanding must not change any monetary ceiling, cost limitation, or obligation established in the contract.
Note: For Fixed-priced Task Orders, the overhead ceilings serve as a basis for negotiation only.
Note: Contractors are allowed to recoup indirect costs (OH, G&A, etc.) as other direct costs if it is part of the contractor’s usual accounting procedures, consistent with FAR Part 31 and the contactor’s NICRA.
B-9
B.7 PAYMENT OF FIXED FEE
a) The Government will pay the Contractor for performing this contract the fixed fee specified in the Schedule.
(b) In accordance with FAR 52.216-8 Fixed Fee (JUN 2011), USAID reserves the right to withhold a reserve not to exceed $100,000. The Contracting Officer must release 75 percent of all fee withholds under this contract after receipt of an adequate certified final indirect cost rate proposal covering the year of physical completion of this contract, provided the Contractor has satisfied all other contract terms and conditions, and is not delinquent in submitting final vouchers on prior years’ settlements. The Contracting Officer may release up to 90 percent of the fee withholds under this contract based on the Contractor’s past performance related to the submission and settlement of final indirect cost rate proposals.
B.8 MULTI-YEAR CONTRACT AND CANCELLATION CEILING
This contract is considered non-severable, and is therefore a multi-year contract as defined in FAR 17.103.
Therefore, this contract is subject to the requirements of FAR 17.106.
A. Performance under this contract during the second and subsequent program years is contingent upon the appropriation of funds. All program years except the first are subject to cancellation. Cancellation shall occur by the dates specified below if the Contracting Officer:
1. Notifies the Contractor that funds are not available for contract performance for any subsequent program year; or
2. Fails to notify the Contractor that funds are available for performance of the succeeding program year.
B. Cancellation Ceiling:
This is a CPFF type contract where the Contractor is authorized to be reimbursed for all costs which are allowable in accordance with FAR 52.216-7, “Allowable Costs and Payment.” Therefore, the Contractor will not incur any costs which would have been amortized over the life of the contract should the contract be canceled in accordance with FAR 52.217-2.
The Government's liability for cancellation charges shall not exceed $TBD. This amount will be reduced in accordance with FAR 17.106-1(c)(1) at the conclusion of each program year, as follows:

SECTION C - DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK
C.1 INTRODUCTION
The USAID Economic Foundations for a Resilient Armenia (“USAID Economic Foundations”) activity will enhance Armenia’s economic security and ability to take advantage of periods of economic growth and navigate economic downturns. The activity will achieve this through three mutually reinforcing lines of effort that will aim to address underlying root causes of economic instability rather than reacting to manifestations of the latest crisis. The first line of effort will provide technical assistance to the government of Armenia (the government) partners that addresses both needed technical capabilities and institutional challenges. The second will work in target sectors to strengthen sector-level coordination and collaboration to enhance competitiveness. The third will identify and support the productive use of financial capital by Armenian businesses through catalytic investments in the targeted sectors. Collectively, these approaches will strengthen Armenia’s capacity for economic stewardship and the competitiveness of the private sector.
C.2 BACKGROUND
Armenia’s economic security is undermined by structural challenges in the systems and institutions responsible for economic stewardship. The government needs greater capacity to formulate and implement effective, evidence-based economic policy that promotes the development of a stable, equitable, and predictable environment for businesses and investors. The private sector needs greater capacity to both collaborate ‘internally’ (independent of government) to exercise economic stewardship and collaborate ‘externally’ with the government and other stakeholders to drive greater growth. These problems combined lead to poor cooperation between the public and private sectors in addressing intractable issues that no single entity can address on its own. In addition, the low levels of productive use of financial capital, caused by risk-averse lending institutions, the quality of the proposed investment projects, and challenges in pursuing viable investment projects, further constrain growth.
In recent years Armenia has faced several crises that have tested its economic resilience. The spread of COVID-19 in March 2020 led to an economic contraction, particularly in the tourism sector. The hostilities over Nagorno-Karabakh in the fall of 2020 was another economic shock. While 2021 saw relatively strong economic growth, the sanctions against Russia are now the latest shock to hit the Armenian economy. This activity will increase the country’s resiliency to precisely these kinds of crises and expand the country’s ability to maximize growth in-between these crises.
Government Capacity
Armenia’s peaceful political transition in 2018 shifted power to a new government that aspires to achieve an “economic revolution.” While the Armenian government has outlined long-term, aspirational goals, citizens increasingly want to see defined, targeted, and immediate changes that respond to their needs.
