52.212-1 INSTRUCTIONS TO OFFERORS - COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES.

(SEP 2023)

52.212-2 EVALUATION - COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES. (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Technical Approach Past Performance

Technical and past performance, when combined, are approximately equal in importance when compared to price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced.

Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

Addendum to 52.212-1:

(b) Submission of Offers: The government intends to award a firm-fixed-priced (FFP) contract with a 12-month base period and four, one-year option periods to a responsible offeror for the Integrated Pest Management (IPM) services as described in the attached Performance Work Statement (PWS).

The following instructions are provided to ensure sufficient information necessary for the Government to fully understand and evaluate the quote.

b. All quotes shall be valid for at least 120 days from the date offers are due.

c. The Government will evaluate the quote using only the information provided with the quote.

Failure of an offeror to submit information sufficient to evaluate the offer, or submitting information that does not follow the guidelines as stipulated herein, may render the quote ineligible for award.

d. Contractors shall insert their proposed total price in accordance with the pricing instructions contained herein and within Attachment 3, Pricing Workbook.

Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(a) Prohibition. See FAR 4.2102.

a. This FAR provision contains TWO separate prohibitions. The prohibitions are similar, but have different applications:

i. Prohibition 1 (see FAR 4.2102(a)(1)):

1. Agencies are prohibited from procuring or obtaining, extending or renewing a contract to procure or obtain any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception applies or the equipment or services are covered by a waiver.

2. This prohibition applies to the use of covered telecommunications equipment or services in the performance of work under any Federal contract resulting from this solicitation.

3. This prohibition flows down to all subcontracts and other contractual instruments resulting from this solicitation at all levels.

ii. Prohibition 2 (see FAR 4.2102(a)(2)):

1. Agencies are prohibited from entering into a contract, extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system or critical technology as part of any system, unless an exception applies or the covered telecommunications equipment or services are covered by a waiver.

2. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether the use is in performance of work under a Federal contract.

3. This prohibition does not flow down to subcontracts and other contractual instruments resulting from this solicitation.

b. The general difference between the two prohibitions is as follows. No covered telecommunications equipment may be used in the performance of a federal government contract at any level (absent an exception). Federal prime contractors may not use covered telecommunications equipment at all, in any line of business (absent an exception). Subcontractors on a federal contract may not use covered telecommunications equipment to perform a subcontract to a federal contract (absent an exception) but may use covered telecommunications equipment for efforts and lines of business unrelated to the subcontract to a federal contract. This synopsis is provided as a plain language aid and does not modify or waive any FAR provisions or clauses. Contractors with questions about the specific applicability of the two provisions to their situation should seek legal advice. Contractors are responsible for compliance with the specifics of FAR 4.2102 notwithstanding anything in this synopsis.

(b) Waivers

The granting of waivers is discretionary.

j. In accordance with FAR 52.204-7, Offeror must be registered in the System for Award Management (SAM) and have a Commercial and Government Entity (CAGE) Code. The Government may determine an offeror, who is not registered in SAM at the time of the close of the solicitation, to be ineligible for award.

PURPOSE: These instructions prescribe the format of quotes and describe the approach for the development and presentation of the quote data. They are designed to ensure the submission of information essential to the understanding and comprehensive validation of quotes. Offerors are cautioned to follow the instructions carefully.

4. QUOTE CONTENTS: Offeror's quote shall consist of four separate Volumes as follows:

a. Volume I: General Documents - An authorized official of the firm shall sign the Quote and all amendments and certifications requiring original signature. A representative of the firm authorized to commit the firm to contractual obligations must sign the offer’s quote, including adding any Discount Terms, if applicable. Additionally, a representative shall sign blocks 8, 15a, 15b, and 15c on page 1 of any applicable SF 30 amendments. In doing so, the contractor agrees to the contract terms and conditions as written in the solicitation, amendments, and attachments.

The Quote shall include all applicable clause fill-ins to include, but not limited to 52.209-7 and 52.212-3.

b. Volume II: Technical Factor - The offeror’s quote shall not simply rephrase or restate the Government’s requirements, but shall demonstrate an ability to execute the requirements without introducing unacceptable risk. The technical quote shall be comprised of the following:

Technical Approach:

The offeror shall submit a comprehensive technical quote that demonstrates logical and feasible methods for meeting the requirements (including any Section 508 requirements) described in the Performance Work Statement Tasks 5.1 through 5.6 while also considering the requested deliverables and schedule associated with each task.

If the offeror is proposing subcontractors, the offeror shall clearly identify what aspects of the work will be performed by the prime and what aspects of the work will be performed by each subcontractor in its technical approach.

Labor mix and level of effort (labor categories and number of hours for each labor category). Offerors shall include identification of Key Personnel as well as documentation supporting their qualifications. Offerors are cautioned not to include pricing in the labor mix/level of effort matrix submitted with the technical quote.

c. Volume III: Past Performance - The offeror shall submit the following information/documents:

A completed chart providing the information required by the Past Performance Information chart in Attachment 2 – Past Performance. The chart shall reflect all relevant past performance performed in the three-year period immediately preceding submission of the quote and all work currently being performed. If the offeror has more than 5 relevant past performance references, then the offeror shall provide the most recent 5 references. As an attachment to the chart, the offeror shall provide a narrative describing the past performance references that reflect the most relevance to the services being obtained under the contract to be awarded. The narrative shall clearly establish the relevancy of the past performance to the current requirements. (Narratives shall not exceed 1 page per reference.)

If the offeror is proposing to subcontract (or use joint ventures/ partners, or other entities other than the prime contractor to perform) more than 20% of the contract value, the offeror shall submit a separate chart and narrative described for past performance above, for the proposed subcontractor(s).

If past performance for the offering firm does not exist, the Offeror may substitute past performance of key personnel that will be performing major aspects of the work under any resulting contract. If the Offeror chooses to make such a substitution, the offeror must clearly identify the substituted key personnel by name and title proposed. Only the past performance of Key Personnel overseeing the entirety of the proposed project will be considered in substitution for the firm’s past performance under this factor.

d. Volume IV: Price - The offeror shall submit fully burdened firm-fixed-prices for all labor categories. Offerors shall submit prices that are consistent with the requirements set forth in the Statement of Work.

The Offeror shall complete Attachment #3 –Pricing Workbook, per the attachment’s instructions. The offeror shall identify all possible labor categories envisioned for performance throughout the life of the contract. The offeror shall then identify a price per hour labor rate for each respective labor category. The offeror shall propose a unit price for each year of performance (Base, Option Periods (OP) 1 – 4).

Quotes received without a completed Attachment #3 –Pricing Workbook will be considered non-compliant and may not be considered for contract award. Any documentation furnished to support the Pricing attachment is to be provided in a format chosen by the offeror that is easily traceable to the attachment.

Unit Prices. The unit prices proposed shall be all inclusive of wages, fringe benefits, overtime and/or shift differential, overhead, general and administrative expenses, profit, material handling, subcontract handling, and any phase-out costs. A detailed breakout of these costs may be requested. If the offeror proposes annual cost of living increases, the offeror must support the proposed increases with historical and relevant market index information.

Summarize all significant pricing assumptions, scope limitations, exceptions and /or qualifications of the Price Quote.

All unit pricing shall be submitted via Attachment #3 – Pricing Workbook.

ADDENDUM TO 52.212-2:

1. BASIS FOR AWARD: This solicitation for IPM training services will use FAR Part 12/13 – Acquisition of Commercial Items/Simplified Acquisition Procedures and best value trade-off process. Thus, the Government may award to other than the lowest priced offeror or other than the offeror with the highest rated technical quote. Each offeror’s total evaluated price will be traded off against the offeror’s non-priced portion of the offer, to determine the overall best value to the Government, if needed. The Government will award a contract resulting from this solicitation to a responsible offeror (as defined in FAR 9.1) whose offer conforming to the solicitation will be the most advantageous to the Government, price and non-price factors, technical and past performance, considered. Technical and past performance, when combined, are approximately equal in importance when compared to price.

The Government expects to award a Firm-Fixed Priced contract with a twelve-month base period and four, one-year Option Periods as a result of this RFQ.

2. EVALUATION METHODOLOGY: The Government will evaluate the non-price factors relative to risk level of successful contract performance. The evaluation will use adjectival ratings to express the risk level identified. The following rating will be used for the technical factor:

Excellent/Very Low Risk – An excellent quote is characterized as follows: The proposed approach indicates an exceptionally thorough and comprehensive understanding of the contract and program goals, resources, schedules, and other aspects essential to performance of the program. In terms of the specific factor (or significant subfactor), the quote contains one or more strengths and no weaknesses, significant weaknesses or deficiencies. The risk of unsuccessful contract performance is very low.

Good/Low Risk – A good quote is characterized as follows: The proposed approach indicates a thorough understanding of the contract and program goals and the methods, resources, schedules, and other aspects essential to the performance of the program.

Weaknesses, if any, are not significant and no deficiencies exist. Risk of unsuccessful performance is low.

Fair/Medium Risk – A fair quote is characterized as follows: The proposed approach indicates an adequate understanding of the contract and program goals and the methods, resources, schedules, and other aspects essential to the performance of the program.

There are no deficiencies, but one or more significant weaknesses or a combination of many weaknesses exist that increase the risk of unsuccessful performance. The risk of unsuccessful performance is medium.

Marginal/High Risk – A marginal quote is characterized as follows: The proposed approach indicates a superficial or vague understanding of the contract and program goals and the methods, resources, schedules, and other aspects essential to the performance of the program. The quote has multiple significant weaknesses and weaknesses but no deficiencies. The risk of unsuccessful contract performance is high.

Unsatisfactory/Very High Risk - An unsatisfactory quote is characterized as follows:

The proposed approach indicates a lack of understanding of the contract and program goals and the methods, resources, schedules, and other aspects essential to the performance of the program. One or more deficiencies or a combination of significant weaknesses exist sufficient to indicate a lack of understanding of the requirements. The risk of unsuccessful contract performance is very high.

The following ratings will be used to evaluate the Past Performance factor:

Rating Definition

Excellent/Very Low Risk/Very High Confidence

Offeror provided sufficient quantity of recent, very relevant, high quality references for the prime contractor and significant subcontractors.

Good/Low Risk/High Confidence The combination of recent references provided for the prime contractor and significant subcontractors were of sufficient relevancy and quality to assure performance of the contract requirements.

Satisfactory/Medium Risk/Some Confidence

The combination of recent references provided for the prime contractor and significant subcontractors provides some assurances of future performance, but some risk exists (e.g. overreliance on substantial subcontractors).

Neutral/Unknown Risk/Neutral Confidence

Offeror had no prime or substantial subcontractor references that met the recency test or stated they had no recent, relevant past performance.

Poor/Very High Risk/Low Confidence

Offeror had poor references for the prime or substantial subcontractor or provided insufficient references to obtain a higher rating.

Unsatisfactory/Very High Risk/Very Low Confidence

Offeror failed to address the factor or references were recent and relevant but indicated unsatisfactory performance.

With regard to the technical factor the following definitions are what evaluation findings of Strength, Weakness, Significant Weakness, and Deficiency will be comprised of:

STRENGTH – The quote demonstrates capability, expertise, or knowledge which greatly increases the likelihood of the offeror’s successful contract performance.

WEAKNESS – A flaw in the quote that increases the risk of unsuccessful contract performance.

SIGNIFICANT WEAKNESS – A flaw in the quote that appreciably increases the risk of unsuccessful contract performance.

DEFICIENCY – A material failure of a quote to meet a Government requirement or a combination of significant weaknesses in a quote that increases the risk of unsuccessful contract performance to an unacceptable level.

Additionally, the government retains the right to incorporate any performance or capabilities proposed above mandatory minimums into a PWS addendum at time of award, as applicable.

The Government will evaluate the Price Factor for reasonableness and balance but will not assign a rating.

3. EVALUATION APPROACH: Offer Compliance: The Government will compare the Offeror's offer to the RFQ submittal criteria in Addendum to 52.212-1 in order to perform a compliance review. The compliance review will include verification that the offer submittal is in compliance with the requirements outlined in 1. Delivery of Quotes, 2. Detailed Quote Instructions, 3. Quote Contents, and 4. SAM registration. Failure to provide offers in accordance with the instructions specified herein may render the offer non-compliant and may not be further evaluated for award.

Technical Factor:

Technical Approach: The government will evaluate the following regarding the proposed Technical Approach: offeror’s approach used in addressing the areas of importance listed in the addendum to 52.212-1. The evaluation will determine:

o How the offer demonstrates logical and feasible methods for meeting the requirements described in the PWS tasks 5.1. through 5.6. and meeting the performance objectives outlined with the solicitation;

o How well the project schedule demonstrates:

A clear understanding of the required operations and HUD requirements;

and Realistic timeframes for performing the PWS tasks and associated deliverables identified in the Instructions to Offerors.

o If the quote includes subcontractors, how well the proposed approach delineates the technical responsibilities between the prime and subcontractor(s) and the impact that relationship has on the overall chances of successful contract performance.

o How well the proposed labor mix is based upon reasonable assumptions and is consistent with the requirements set forth in the Statement of Work and the proposed technical approach.

Past Performance:

In evaluating Past Performance, the Government will address four components – recency, relevancy, quality, and sufficiency. This factor’s primary emphasis is to assess the past performance of the proposed prime contractor (or in the case of joint ventures or some other teaming arrangement, the primary member of the team) or that of substituted key personnel.

However, if significant subcontracting/use of other teaming arrangements is anticipated, the past performance history of the proposed subcontractors/other team members must also be evaluated.

All references will be first assessed for recency and HUD will consider only references performed within the three years immediately prior to submission of the offer;

Of those determined to be recent, HUD will assess the degree of similarity in scope and value the past performance efforts submitted have to the solicitation requirements to determine relevancy.

HUD will then assess relevant past performance efforts for quality;

HUD’s overall assessment will be based upon sufficiency of high quality past performance and risk of nonperformance.

The final rating under this factor will encompass the totality of the information provided, including completeness, relevancy, and the depth, breadth, and quality of only relevant past performance for the proposed prime contractor and proposed subcontractor/team members or substituted key personnel. The final rating will range from Excellent (High Confidence) to Unsatisfactory (Low Confidence). Offerors that have addressed the factor and have no relevant past performance history by the prime, any subcontractors/team members, or substituted key personnel will be rated as Neutral (Neutral Confidence). Offerors that fail to address the factor will be determined to have not complied with the solicitation requirements and will receive the lowest possible rating.

HUD is not restricted to evaluating the information provided by the offeror or the surveys provided by references and may utilize information obtained from any source. HUD will obtain additional information from the Government’s Past Performance Information Retrieval System (PPIRS), if available.

Price:

The price quote will be evaluated for reasonableness and balance.

Reasonableness: The reasonableness of the total price proposed will be evaluated as follows:

On the basis of adequate price competition, by comparing the proposed prices among offers; and/or;

Comparing proposed prices to the Independent Government Cost Estimate to ensure that prices are reasonable for the results to be achieved; and/or

Comparison of proposed prices to valid historical prices paid, whether by the Government or other than the Government, for the same or similar items, adjusted for material differences and differing terms and conditions, quantities and market and economic factors; and/or

Use of parametric estimating methods/application of rough yardsticks (such as dollars per pound or per horsepower, or other units) to highlight significant inconsistencies that warrant additional pricing inquiry; and/or

Comparison with competitive published price lists, published market prices of commodities, similar indexes, and discount or rebate arrangements; and/or

Comparison of proposed prices with prices obtained through market research for the same or similar items; and/or

Analysis of data other than certified cost or pricing data provided by the offeror at the request of the Contracting Officer.

Balance: The Government will review the proposed prices for balanced pricing. This review will ensure that the price of labor categories is not significantly over or understated as indicated by the application of price analysis techniques. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price for one or more labor categories is significantly over-or under-stated as indicated by the application of price analysis techniques. The Government may determine that an offer is unacceptable if the out-year prices or individual labor categories are significantly unbalanced. The Government will analyze quotes to determine whether they are unbalanced with respect to separately priced line items. Offers that are determined to be unbalanced may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

For purposes of evaluating the price of exercising the potential 6-month extension of services using the clause at FAR 52.217-8, 50% of the final option year (six months) value will be added to the total proposed amount for evaluating pricing only, this amount will not be included in the total aggregate value of the resulting contract. This addition is for evaluation purposes only.
