ADDENDUM TO SPECIFICATION
CONSUMPTION TAX EXEMPTION PROCEDURES ON PURCHASE OF GOODS AND SERVICES BY
THE UNITED STATES ARMED FORCES IN JAPAN [JAPANESE LAW NO. 108, 1988]
(a) The Consumption Tax Law (Law No. 108, 1988) was enacted in the Diet of Japan on 24 December 1988, and applied from April 1, 1989. The Government of Japan (GOJ) and the United States Government (USG), in accordance with paragraph 3, Article XII, of the "The Agreement Under Article VI of the Treaty of Mutual Cooperation And Security Between Japan And The United States of America Regarding Facilities And Areas And The Status of United States Armed Forces In Japan" (SOFA), have agreed upon procedures for exempting the United States from the Consumption Tax on the following transactions upon appropriate certification:
(1) Goods and services purchased in Japan for official purposes of the U. S. Armed Forces by the U. S. Armed Forces or its authorized procurement agencies;
(2) Goods and services purchased in Japan, by persons, including corporations, who are designated by the USG in accordance with the provisions of paragraphs 1 and 2, Article XIV of the SOFA (Article XIV Contractors), solely for the purpose of performing the business of construction, maintenance or operation under the contract for construction, etc., for use by the U. S. Armed Forces, or film and gasoline purchased in Japan by Article XIV Contractors solely for the Business activities described above.
(b) The underlying objective is to obtain the full amount of the exemption from the tax on U.S. Forces procurements immediately at the time of purchase, and at the same time give the Contractor a proof of purchase document, acceptable to GOJ tax authorities, which he/she can present to the tax authorities to obtain a tax credit and/or refund for tax already collected and paid by previous sellers.
(c) By the submission of their offer, the offeror certifies that Japanese consumption tax is not part of the bid price, nor will it be a part of any subsequent modification to the contract. Procedures for Contractors to obtain a consumption tax credit are described in a handbook that may be obtained from the Procuring Contracting Office.
GOVERNMENT REPRESENTATIVES
The contract will be administered by an authorized representative of the Contracting Officer. In no event, however, will any understanding or agreement, modification, change order, or other matter deviating from the terms of the contract between the Contractor and any person other than the Contracting Officer be effective or binding upon the Government, unless formalized by proper contractual documents executed by the Contracting Officer prior to completion of this contract. The authorized representative as indicated hereinafter:
_______The Contracting Officer’s Representative (COR) will be designated by the Contracting Officer as the authorized representative of the Contracting Officer. The COR is responsible for monitoring performance and the technical management of the effort required hereunder, and should be contacted regarding questions or problems of a technical nature.
___X___The designated Contract Specialist will be the Administrative Contracting Officer's representative on all other contract administrative matters. The Contract Specialist should be contacted regarding all matters pertaining to the contract or task/delivery orders.
_______The designated Property Administrator is the Administrative Contracting Officer's representative on property matters. The Property Administrator should be contacted regarding all matters pertaining to property administration.
CONCILIATION
a. Any disagreement arising under this contract which is not resolved by the parties to this contract may be submitted to the U.S.-Japan Joint Committee for Conciliation in accordance with paragraph 10, Article XVIII, of the Status of Forces Agreement under Article VI, of the Treaty of Mutual Cooperation and Security between Japan and the United States of America.
b. Recourse to the Joint Committee for Conciliation for resolving disputes is available in addition to the procedures set forth in the Contract Disputes Act of 1978 and the Disputes Clause of this contract, 52.233-1. A request for conciliation by the Joint Committee, however, shall not toll the time periods allowed under the Contract Disputes Act for appealing a contracting officer's final decision to either the Armed Services Board of Contract Appeals or U.S. Court of Federal Claims.
c. Upon filing a request for conciliation with the Joint Committee, the Contractor shall immediately notify the Contracting Officer in writing of the request.

Offerors are responsible for submitting files in the format specified consistent with requirements stated elsewhere in this solicitation. Files that cannot be opened, or are otherwise missing the required content are the responsibility of Offerors.
It is an Offeror’s responsibility, when transmitting its quotation electronically, to ensure the quotation’s timely delivery by transmitting the quotation sufficiently in advance of the time set for receipt of quotations to allow for timely receipt by the Government no later than the date and time stated in the solicitation. Offerors shall allow adequate time to upload files, which may be slower for non-DoD users, and to avoid other technical difficulties that may be encountered. An Offeror risks the late receipt and rejection of a quotation where it delays transmitting its quotation until the last few minutes before the time set for receipt of quotations. It is the responsibility of the Offeror to confirm receipt of quotations. Quotations that are received after the stated date and time in the solicitation shall be treated as late submissions and will not be considered except under facts and circumstances allowed by the Federal Acquisition Regulation (FAR).
8. LATE QUOTATIONS

FAR 9.104 requires prospective contractors to demonstrate, among other things, that they have adequate financial resources to perform the contract or ability to obtain them, capability to comply with the required performance schedule, a satisfactory performance record, and be otherwise eligible to receive an award under applicable laws and regulations. The pre-award survey is not a part of the technical evaluation. The Government may make a pre-award survey of an offeror to determine whether such offeror is qualified and capable of performing the contract. The preaward survey will involve examination of the bidder's financial and technical status and understanding of the contract requirements. The following are examples of the information that, upon request, the offeror shall be required to provide in writing to the pre-award survey team. Requested information shall be forwarded within three days of request. Failure to provide requested information, or a determination, after review of the information, of the offeror’s nonresponsibility, may result in rejection.
a. Summary of the Offeror’s experience in providing the requested services required by the specifications.
b. Current financial statements and data.
c. Past performance record of prior contracts for similar work, and the names and addresses of individuals with the organization issuing the contract who may be contacted for information concerning the Contractor’s performance.

52.212-2 Evaluation - Commercial Items NOV 2021
EVALUATION FACTORS FOR AWARD
This is a solicitation for commercial items and is issued as a Request for Quotation (RFQ) in accordance with FAR
13.106. Written quotes are required (oral offers will not be accepted). Submission of quotes must be in accordance with FAR 52.212-1, Instructions to Offerors, Commercial Items. The Government will award a Purchase Order on the basis of the lowest priced offer. Since award of the Purchase Order will be based on initial responses, offerors are highly encouraged to quote their most advantageous pricing in their initial response. Award of the Purchase Order will be made using the Simplified Acquisition Procedures in accordance with FAR 13.106-2 and FAR 13.106- 3(a).
Basis for Award: The Government will award a Purchase Order resulting from this solicitation to the responsive and responsible offeror whose quote conforming to the solicitation (i.e., meets all identified minimum mandatory characteristics identified for each item specified in Attachment 1: SPECIFICATION – MANDATORY CHARACTERISTICS for Each Item being Purchased under this Solicitation) will be most advantageous to the Government at the lowest price. The following factor shall be used to evaluate quotes: price alone.
1. The Government reserves the right to eliminate from consideration from award any or all quotes at any time prior to award of the contract that do not conform to the solicitation; to negotiate with offerors in the competitive range; and to award a Purchase Order to the responsible offeror submitting the lowest price quote that conforms to the solicitation (i.e., meets all minimum mandatory requirements specified in Attachment 1: Specification – Mandatory Characteristics for each item being purchased under this solicitation).
2. The Government intends to evaluate the quotes and award a Purchase Order without discussions with offerors (except clarifications as described in FAR 15.306(a)). The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary.
3. The Government intends to evaluate each offeror’s past performance history in the Supplier Performance Risk System (SPRS) for the Federal supply class (FSC) and product or service code (PSC) of the supplies being purchased, in accordance with DFARS 213.106-2. In the case of a supplier without a record of relevant past performance history in the SPRS for the FSC or PSC of the supplies being purchased, the supplier may not be evaluated favorably or unfavorably for its past performance history.
SUBMISSION REQUIREMENTS & BASIS OF EVALUATION
(i) RFQ Submittal Requirements: The Offeror shall complete and submit the following in the order shown below:
a. Standard Form (SF) 1449 (Solicitation/Contract/Order for Commercial Items). Offeror shall complete blocks 17a, 30a, 30b, and 30c, and Item No. 0001 of Section SF 1449—Continuation Sheet. Quotations shall be priced in Japanese Yen ONLY with no decimals. Quotations not priced in Japanese Yen or Japanese Yen with decimals will be considered non-responsive and will not be evaluated.
b. Acknowledgements of Amendments (SF30), if any.
c. Completed Attachment 1: SPECIFICATION – MANDATORY CHARACTERISTICS for Each Item being Purchased under this Solicitation.
d. Completed Representations and Certifications of SF 1449.
Note: The failure of an Offeror to complete and submit all of the aforementioned items (i.e., a, b, and c) will result in the Offeror’s quote being deemed non-responsive and ineligible for further consideration for award.
Submission of item d is strongly encouraged to facilitate responsibility assessment per FAR 9.104-1 and validate eligibility to receive an award.
(ii) Basis of Evaluation: The Government will evaluate price per Item No. that conform to the solicitation (i.e., meet all minimum mandatory requirements specified in Attachment 1: Specification – Mandatory Characteristics for each item being purchased under this solicitation) to determine fairness and reasonableness in accordance with FAR 13.106-3(a). Analysis will be performed by one or more of the following techniques to ensure a fair and reasonable price:
(1) Comparison of proposed prices received in response to the RFQ.
(2) Comparison of proposed prices with the IGCE (Independent Governent Cost Estimate).
(3) Comparison of proposed prices with available historical information.
(4) Comparison of market survey results.
Deviations from the RFQ minimum/mandatory requirements set forth in the RFQ and Attachment 1:
SPECIFICATION – MANDATORY CHARACTERISTICS for Each Item being Purchased under this Solicitation are NOT allowed and an offeror's quote that deviates from the RFQ minimum/mandatory requirements will be determined non-responsive and not eligible for award.
AWARD OF PURCHASE ORDER
In accordance with FAR 13.004 (Legal effect of quotations) the Government intends to award a Purchase Order, to the responsive and responsible offeror submitting the lowest priced quotation. The solicitation does not commit the Government to make any award. The Government may cancel this solicitation or any part of it at any time. The Contracting Officer reserves the right to reject any and all quotations and to waive any information, or minor irregularities in quotations received.
Per FAR 13.004, an order is not a binding contract until the offeror accepts the Government’s order either in writing by signing the SF1449 block 30a to 30c or by furnishing the supplies or services ordered or by proceeding with the work to the point where substantial performance has occurred.
