SECTION A – EXECUTIVE SUMMARY

Executive Summary:

The Multiple Award Construction Basic Order Agreement (BOA) is put in place as an agreement for terms and conditions in accordance with FAR 16.703. This is not a contract; it is an agreement of terms and conditions that will be utilized to provide multiple disciplines in general construction categories and may involve design services for execution of a broad range of sustainment, restoration, and modernization construction projects affecting real property at Tinker Air Force Base (TAFB), OK. Effective ordering period is five (5) years from the effective date of this BOA award with annual updates.

The Government will procure the BOA requirements utilizing the multi-phase procurement process outlined below. Phase One, Competition for BOA Holders: A Pre-Solicitation Notice was published under Invitation Number FA8137-20-R-0084 on 22 November 2020. A potential offeror is not precluded from submitting an offer in Phase Two if it did not provide a submission in response to Phase One Note: this Phase will not be repeated. Contracting Officers belonging to AFMC AFSC/PZIOC, Tinker AFB, OK are authorized to issue orders hereunder.

Annual revisions will be accomplished IAW FAR 16.703(c)(2) and shall be limited to adding/changing requirements based on statutes, Executive Orders, FAR and FAR supplements that have changed since the inception of the BOA. During the annual review, additional clauses mandated by statute or Executive Order, shall be incorporated by unilateral modification.

Additional clauses not mandated by statute or Executive Order, shall be incorporated only by the mutual written agreement of the parties of this BOA and shall be accomplished by modification to the basic BOA and not incorporated on an order.

This BOA shall be changed only by modifying the agreement itself and not by individual orders issued under it. Modifying the BOA shall not retroactively affect orders previously issued under

it. Except as otherwise agreed, these standard terms and conditions set forth in this agreement shall be the only terms and conditions applicable to the orders issued IAW the BOA and FAR

16.703. No waiver, alteration or modification of these terms and conditions shall be binding upon the contractor unless implemented via a bilateral modification. All orders not rejected by Contractor within thirty (30) days following issuance of the order are hereby accepted based solely on the terms and conditions of this BOA unless bilaterally executed.

Basic Ordering Agreement Phases:

In Phase One, Competition for BOA Holders, the PCO will post an annual synopsis of all known and emergent requirements, for 30 days, and issues a subsequent BOA Invitation, which will result in proposals to be evaluated on an acceptable/unacceptable basis with consideration given to technical and past performance factors. The Government will evaluate all responses in accordance with the published criteria, and advise each offeror in writing whether they will be invited to participate in the resultant acquisition or, based on the information submitted, they are unlikely to be a viable competitor (including a general basis for that opinion) which will result in an issuance of multiple BOAs.

In Phase Two, Competitive Requirement/Order Process within BOA Holder Pool, the PCO issues competitive Order Proposal Requests (OPRs) for a specific requirements. Depending on the magnitude of construction, the OPR will either be solicited as a small business set-aside or full and open competition amongst BOA holders. Orders will be evaluated IAW stated criteria in the OPR. All orders above $10M will be subject to FAR Part 15, Contract by Negotiations and source selection procedures. The government will strictly adhere to the ordering procedures outlined in the BOA statement of work (SOW).The orders will be awarded for each requirement.

Any requirement less than $25M will be executed on a competitive basis, restricted as a small business, set-aside to those small businesses holding a BOA.

Terms and Conditions:

Contracting Officers shall issue orders in compliance with the terms and conditions of this BOA.

The following terms and conditions should be addressed, where applicable, in orders received under this BOA:

1. Scope of Work

2. Purchase Request Number

3. Buyer Name/Email

4. Price – to be determined fair and reasonable based upon the applicable dollar threshold and evaluation means in accordance with FAR 15.4.

5. Period of Performance

6. Accounting Appropriation/Accounting Data

7. Contract and Order Number in accordance with DFARS 204.7004

8. Identification of the disbursing office (Pay By) in accordance with the Contract

9. Identification of the Administration Office

Contract Type and Pricing:

Pricing information will only be required at the Order level. Orders may vary in contract type from Firm-Fixed-Price, Cost, or a combination of both. The contractor shall adhere to the prices proposed and agreed to in each individual order issued against the BOA. The contractor is not authorized to begin work on an order issued against the BOA until prices have been established.

In the event that the Contracting Officer requires work to begin prior to establishment of pricing, failure to reach agreement on price may be disputed under the Disputes clause.

Submission of Questions:

All questions on the BOA Invitation, Statement of Work (SOW), and additional attachments, for the BOA requirement should be sent directly to the Contracting Officer via email at Joseph.Sachleben.1@us.af.mil and the Contract Specialist via email at Ashley.Brink@us.af.mil.

Please use the following email subject line: BOA FA8137-21-R-0022 RFP Questions. Questions are due by COB 14 May 2021. The Offeror must provide: Point of Contact (POC) Name;

Offeror Name; Reference RFP document; paragraph number; page number; and applicable question. The Offeror shall submit a new email with each submission of questions. The Government will not answer any questions or comments that are not in compliance with this format.

The Government is not obligated to provide responses to any questions submitted by Offerors, but will consider them and incorporate changes into the BOA Invitation as deemed necessary. If the Government does provide responses to questions, the answers will be posted on FBO.

Submission of Proposals:

Proposals will be submitted in accordance with Section L of this invitation.

Additional Information:

The execution of a BOA does not guarantee that the Government will place future contracts or orders with the offeror.

This Invitation includes clauses in attached Provision and Clauses Matric that may apply to future Order requirements. The clauses included in this BOA Invitation do not require Offeror input. The Order Proposal Requests (OPRs) will provide all required provisions and clauses applicable to that specific requirement.

The BOA Execution Business Rules are located in Section C of this Invitation. The BOA Execution Business Rules will apply to BOAs and Order competitions.

Offerors should review the narrative titled "Small Business Provisions, Joint Ventures, and Subcontracting" located in Section C for additional details regarding Small Business Administration (SBA) size eligibility standards.

The closing date and time for the BOA Invitation is identified on page one (1) of the Invitation.

Offerors interested in submitting a proposal must respond to the Invitation by the closing date and time.

NOTE: Offerors must first submit a proposal in response to this BOA Invitation in order to compete and be considered for award for ANY of the upcoming MAC BOA Orders that will be released within the year.

Only Air Force Tinker AFB Contracting AFSC/PZIOC is authorized to execute, modify, and undertake annual reviews of BOAs resulting from this Invitation.
