About this file
This is a proposed contract agreement template between the City and County of San Francisco Office of Contract Administration and an HPE authorized reseller for the provision of networking hardware equipment, software, and related support services. The solicitation, issued as Invitation for Bids (IFB) OCA | TC 91116, seeks qualified suppliers to provide Enterprise Infrastructure, Data Center, and Networking Equipment manufactured by Hewlett Packard Enterprise, along with associated software licenses, software-as-a-service (SaaS) applications, maintenance and support services. The contract is a term agreement with indefinite quantities, allowing City departments to purchase goods and services as needed during the contract period. The agreement is subject to Board of Supervisors approval and requires filing of Ethics Forms 126f2 and 126f4 due to the contract value exceeding $100,000 in a fiscal year. The contract includes a base term with City holding the option to extend the agreement for an additional two-year period at City's sole discretion through formal modification.
The contract structure establishes a not-to-exceed amount with pricing based on a schedule detailed in Appendix B, with payment terms of Net 30 days from service delivery or invoice receipt, whichever is later. The agreement is exempt from Chapter 14B of the San Francisco Administrative Code Local Business Enterprise (LBE) subcontracting participation requirements because it is classified as primarily for commodities. Contractor must maintain commercial general liability insurance of $1,000,000, commercial automobile liability of $1,000,000, workers' compensation in statutory amounts with $1,000,000 employer's liability limits, technology errors and omissions liability of $10,000,000 per claim, and cyber and privacy liability insurance of $20,000,000 per claim. The contract incorporates mandatory City requirements by reference, including compliance with applicable laws and regulations, and requires Contractor to provide annual usage reports detailing all goods delivered. City reserves the right to terminate the agreement for convenience upon thirty days' notice or for cause with a ten-day cure period, and may withhold payments if Contractor fails to perform or maintain required insurance coverage.

Nondisclosure. City agrees that it shall treat the Licensed Software with the same degree of care as it treats like information of its own, which it does not wish to disclose to the public, from the date the Licensed Software is Accepted by City until the license is terminated as provided herein. The obligations of City set forth above, however, shall not apply to the Licensed Software, or any portion thereof, which:

City’s sole obligation to Contractor is payment for deliveries made prior to the cancellation date. City shall give Contractor ten (10) calendar days’ notice prior to any cancellation. City will purchase the required replacement item from any source and in the manner as determined by Purchasing. If a contracted item has been discontinued by the manufacturer or is deemed temporarily unavailable, Contractor shall search the marketplace and find an acceptable equal substitute in the time required for delivery and at the Agreement price. If City is required to pay a price that exceeds the price agreed upon by this Agreement, the excess price will be charged to and collected from Contractor (or sureties on its bond, if bond has been required); or, the City may terminate the Agreement for default; or, the City may return deliveries already made and receive a refund.
Safety Data Sheets. Where required by law or by City, Contractor will include Safety Data Sheets (SDSs) with delivery for applicable items. Failure to include the SDSs for such items will constitute a material breach of contract and may result in refusal to accept delivery.
Warranty for Goods. Contractor warrants to City that the manufacturer’s warranty and service will be passed on to the City at the time of delivery.
Assignment. The Goods delivered by Contractor are personal in character.
