About this file

This is a Term Agreement contract document issued by the Greenwood Metropolitan District (GMD), a public entity in South Carolina, establishing the standard terms and conditions for procurement of products and services. The agreement outlines a three-year initial contract term with the option for two additional one-year renewal periods, subject to approval and written agreement by both parties. The contract covers Railroad Boring Services on Briarwood Road, with sealed responses required to be submitted via the District's eProcurement Portal at https://procurement.opengov.com/portal/gmdsc prior to 4:00 pm on Tuesday, October 27, 2026. The contract will commence and continue through dates to be specified upon execution by both parties, with all work performed under the contract subject to the specifications and scope of services detailed in related contract documents.

Compensation is structured as a firm fixed amount not to exceed a specified dollar value for the initial contract term, with payment contingent upon receipt of a Purchase Order from GMD and submission of invoices following completion of work in conformance with contract specifications. GMD reserves the right to amend, reduce, or cancel any Purchase Order at its sole discretion and makes no guarantee of minimum work volume. The contractor must maintain continuous insurance coverage including $1,000,000 automobile liability, $1,000,000 comprehensive general liability with $2,000,000 aggregate, $1,000,000 umbrella liability, and South Carolina statutory workers' compensation coverage, with GMD named as an additional insured on all policies except workers' compensation. Payment obligations are contingent upon appropriation of lawfully available funds by the GMD Commission, and GMD retains the right to terminate the contract for convenience with thirty days' written notice or immediately for material breach. The contractor must comply with all federal, state, and local laws, maintain independent contractor status, and participate in federal employment verification requirements.
