B.2 SINGLE AWARD TASK ORDER CONTRACTS (SATOC)

Quantities listed are estimated only and are not guarantees.

This is a Fixed Price 5-year Indefinite Delivery Indefinite Quantity (IDIQ) Contract. Accordingly, funds are not obligated on this contract at award; rather, funds are obligated via task orders issued against the contract. Task orders shall only be issued by a warranted VA Contracting Officer (CO). VA CO will issue task orders to the contractor authorizing services via Standard Form 1449. Each task order shall clearly identify the dollar amount authorized under the individual task order and the period of performance of the individual task order. When a task order period of performance is completed, additional services shall not be provided unless a new task order is issued in accordance with this IDIQ.

The minimum dollar amount guaranteed under this contract for the performance period of five years is $1,000.00. The maximum dollar amount or contract ceiling for this contract is $275,000.00. The maximum amount is not guaranteed. The combined total of all orders placed against this contract cannot exceed the maximum amount/ceiling of this contract.

Statement of Work (SOW) for Laundry Contingency Due to Emergencies or Repairs

1.0 General

1.1 Background

The mission of the Hershel “Woody” Williams VAMC is to provide patient care. The mission of the on-premises Laundry Facility is to provide clean textiles to the Hershel “Woody” Williams VAMC, located in Huntington, West Virginia. This acquisition is for Drycleaning and Laundry Services (except Coin Operated) for the linen being laundered at the Hershel “Woody” Williams VAMC located at 1540 Spring Valley Drive, Huntington, West Virginia, 25704.

1.2 Objective

At Hershel “Woody” Williams VAMC we want to ensure our Veterans have clean, fresh, and sanitary linen always, even during disruptions in laundry operations. Clean linen is essential to supporting the health, comfort, and dignity of our Veterans, while also maintaining infection control standards. Contractor required to provide uninterrupted, quality service to the patients in the event of production disabling repairs or renovations to the laundry plant and/or equipment.

1.3 Scope of Work

Establish a 5-year Indefinite-Delivery, Indefinite-Quantity (IDIQ) contract to provide laundry services for the Hershel “Woody” Williams VAMC during emergencies and/or times of equipment repair. Only the Contracting Officer has the authority to make changes to the terms and conditions of the contract and that changes will be made by written agreement by both parties in accordance with FAR 52.212-4(c). The contractor shall provide all equipment, material, labor, supplies, and supervision to properly clean the soiled linen in compliance with any standard, ruling or regulations of the Joint Commission. It is intended that services shall include all processes necessary for the laundering of the textiles even though every step involved is not specifically mentioned. All work shall be performed under sanitary conditions. After processing, laundered textiles shall be in serviceable and sanitary condition. This will be a Firm-Fixed-Price (FFP) Purchase Order based on the clean weight of laundered textiles, where the contractor is responsible for following all regulations/guidelines of OSHA, VA, National Association of Institutional Laundry Managers (ALM), and/or any other pertinent federal or state references concerning the cleaning and laundering of linen. The C&A requirements do not apply, and a Security Accreditation Package is not required.

1.4 Period of Performance

The period of performance of the 5-year Indefinite-Delivery, Indefinite-Quantity (IDIQ) contract is from February 1, 2026 through January 31, 2031.

1.5 Place of Performance

Services will be provided at the contractor’s laundering facility.

2.0 Government Responsibilities

2.1 The Government may provide transportation of laundry textiles to the contractors’ laundering facility, if drop-off is selected.

2.2 The Government will provide textiles in a dry soiled manner to the laundering facility in linen carts presorted and unfolded.

2.3 The Government will provide transportation of the clean folded textiles from the laundering facility, if pick-up is preferred.

2.4 The Government will provide a Linen inventory of all textiles being transported to the laundering facility.

2.5 The Government will weigh each linen cart being transported to the laundering facility.

2.6 The Government will witness the weighing of each linen cart at drop off and pick up and record the weight for accuracy.

3.0 Contractor Responsibilities

3.1 The Contractor will be responsible for providing pickup and transportation of laundry textiles to the contractors’ laundering facility.

3.2 The Contractor is responsible for weighing each linen cart as it is received and storing linen carts until picked back up by the government.

3.3 The Contractor will provide all manpower, utilities, space and chemicals needed for laundering services.

3.4 The Contractor is responsible for cleaning, drying, ironing, folding and covering the textiles prior to placing them in the linen carts for pickup.

3.5 The Contractor shall process soiled linens (general and surgical), uniforms, scrubs, blankets, sheets, pillowcases, towels, washcloths, mops, rags and other general or surgical linens.

3.6 The Contractor shall package the linen in the same linen cart it was processed out of.

3.7 The Contractor shall weigh linen carts with Government present to verify the clean weight being returned. This weight will be placed on the laundry inventory list that accompanied the linen from the Government facility.

3.8 The Contractor shall have linen carts sorted, filled, covered and ready for pickup by the government within 48 hours from the time they were received.

3.9 The Contractor will be paid on a monthly basis in arrears when services are used. The price will be based on per clean pound of the linen.

4.0 Specific Requirements/Tasks

4.1 The Contractor will furnish all labor, cleaning chemicals, utilities, and equipment.

4.2 The Contractor will ensure that the employees are properly supervised during their work tour.

4.3 The Contractor will ensure that employees are properly trained in laundering procedures, including basic bacteriological concepts and the proper use of chemicals, detergents and equipment they use.

4.4 The Contractor will perform all services in accordance with the Occupational Safety and Health Administration (OSHA) and the National Association of Institutional Laundry Managers (ALM).

4.5 The term "security incident" means an event that has, or could have, resulted in unauthorized access to, loss or damage to VA assets, or sensitive information, or an action that breaches VA security procedures. The Contractor/sub shall immediately notify the COR for the contract, of any known or suspected security/privacy incidents or any unauthorized disclosure of sensitive information to which the contractor/sub has access.

4.6 All tasks accomplished by Contractor personnel will be performed to preclude damage or disfigurement to government linen. The Contractor will report any damage to these items caused by Contractor personnel to the Contract COR. The government is not held responsible for the Contractors equipment or belongings that are lost, stolen, or damaged.

4.7 The Contractor shall be fully responsible for any repairs and all damage to VA property, which results from the activities, negligence, or carelessness of its employees or subcontractors.

4.8 In case of disputes between the COR and contractor, the contractor shall notify the Contracting Officer, in writing as soon as possible, to avoid any delay in conflict resolution. If the Contacting Officer is not notified in writing within thirty (30) days of the date of the incident, the incident shall be considered to have been resolved to the satisfaction of the contractor.

4.9 No work, outside the scope of the contract will be performed by the Contractor without prior approval from the COR. No work will be performed by the Contractor on the following Federal holidays without prior approval of the COR: The eleven (11) holidays observed by the government are: New Years' Day, Martin Luther King Birthday, President's Day, Memorial Day, Juneteenth, Independence Day, Labor Day, Columbus Day, Veterans Day, Thanksgiving Day, Christmas Day, and any other day specifically declared by the President of the United States to be a national holiday. When a legal holiday falls on a Saturday, the preceding Friday is observed as a holiday by U.S. Government agencies. When a legal holiday falls on a Sunday, the following Monday is observed as a holiday by U.S. Government agencies. The VA will not pay any additional costs for work performed by the Contractor on Federal Holidays if the Contractor elects to work on those days.

4.10 The Contractor shall furnish all materials / supplies necessary to perform the tasks specified in this contract.

4.11 The contractor shall furnish all equipment and tools necessary to perform the work defined in the contract. All equipment must comply with all safety standards, including OSHA.

4.12 All Government linen carts must be stored separately.

5.0 Packaging

5.1 All general, surgical, specialty linen, uniforms and patient clothing shall be placed onto clean carts and covered. Cart covers shall cover the exposed area of the linen cart. All items shall be neatly stacked in such a manner then an accurate visual inventory can be taken. All like items shall be placed in the same cart. If there is a cart room for additional linen, the linen must be separated with a clean white sheet. General, surgical, and specialty linen items shall be folded, stacked, and hung, as follows:

5.1.1 Items to be folded with two (2) primary folds, three (3) cross folds and stacked:

a. Regular bed sheets

b. Surgical sheets

c. Bath Blankets

d. Surgical linens

5.1.2 Items to be folded with (2) primary folds and stacked:

a. Pillowcases

b. Pajama Jackets

c. Scrub Jackets

5.1.3 Items to be French folded with one (1) cross fold and stacked:

a. Towels

5.1.4 Items to be French folded in thirds and stacked in stacks:

a. Patient gowns

b. Pajama tops

5.2 Fitted sheets and Laundry Bags shall be placed in laundry bags unfolded, 25 count per bag.

6.0 Supporting Documents

6.1 Furnished Materials — All labor, materials, and equipment to perform the job. When "furnish", "provide", "install', or similar term is used it shall mean a complete installation, ready for use. The Contractor shall supply all parts, equipment, material, and labor to perform the work described above. The work will include all items as described in the Scope of Work listed above.

6.2 Government Furnished Materials and Services. Government furnished property, if any, will be identified and will only be used for the performance of this contract unless otherwise authorized by the Contracting Officer. The Contractor shall, at all times, take any and all steps necessary for maintenance and preservation of all Government-furnished property. The Contractor shall comply with all reasonable requests of the Contracting Officer to enclose, or specifically protect, Government-furnished property.

6.3 Qualifications of Key Personnel— Contractor employees should be knowledgeable of standards associated with this type of work.

6.4 Supervision/Communications. At all times during the performance, the Contractors Superintendent (if applicable) shall be available by cellular phone. Prior to beginning any work, the contractor shall supply the COTR with the telephone number for the Superintendent. The 's "Competent Person" that meets OSHA training guidelines, is capable of making decisions and acting on behalf of the shall be physically located on site at all times during performance of the contract. If the Contractors Competent Person is absent from the job site for an extended period of time, the COTR may send all /sub- employees off the job.

6.5 The Contracting Officer's Representative (COR) is responsible for the inspection of the work called for in this job. The Contracting Officer's Representative will be identified in the task order by name, telephone number and location. Inspections made by the COR are for the sole benefit of the Government and do not relieve them of any quality control responsibilities.

C.2 52.216-18 ORDERING (AUG 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from 02/01/2026 through 01/31/2031.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor’s fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor’s email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

C.3 52.216-19 ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor—

(1) Any order for a single item in excess of $50,000.00;

(2) Any order for a combination of items in excess of $275,000.00; or

(3) A series of orders from the same ordering office within 365 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 1 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

C.4 52.216-22 INDEFINITE QUANTITY (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 01/31/2031.

C.5 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

“Evaluations of Options" For purposes of award of this Contract, the Government intends to evaluate the option to extend services under FAR 52.217-8 as follows: The evaluation will consider the possibility that the option can be exercised at any time and can be exercised in increments of one to six months, but not for more than a total of six months during the life of the contract. The evaluation will assume that the prices for any option exercised under FAR 52.217-8 will be those rates in effect under the contract each time an option is exercised under this clause. The evaluation will therefore assume that the addition of the price or prices of any possible extension or extensions under FAR 52.217-8 to the total price for the basic requirement and the total price for the priced options has the same effect on the total price of all proposals relative to each other, and will not affect the ranking of proposals based on price, unless, after reviewing the proposals, the Government determines that there is a basis for finding otherwise. This evaluation will not obligate the Government to exercise any option under FAR 52.217-8.

C.6 52.232-19 AVAILABILITY OF FUNDS FOR THE NEXT FISCAL YEAR (APR 1984)

Funds are not presently available for performance under this contract beyond 01/31/2027. The Government's obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond 01/31/2027, until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer.

***Workers in this classification may be entitled to a higher minimum wage under Executive Order 14026 ($17.75 per hour) or 13658 ($13.30 per hour). Please see the Note at the top of the wage determination for more information. Please also note that the minimum wage requirements of Executive Order 14026 and 13658 are not currently being enforced as to contracts or contract-like instruments entered into with the federal government in connection with seasonal recreational services or seasonal recreational equipment rental for the general public on federal lands. The minimum wage requirements of Executive Order 14026 also are not currently being enforced as to any contract or subcontract to which the states of Texas, Louisiana, or Mississippi, including their agencies, are a party.

Note: Executive Order (EO) 13706, Establishing Paid Sick Leave for Federal Contractors, applies to all contracts subject to the Service Contract Act for which the contract is awarded (and any solicitation was issued) on or after January 1, 2017. If this contract is covered by the EO, the contractor must provide employees with 1 hour of paid sick leave for every 30 hours they work, up to 56 hours of paid sick leave each year. Employees must be permitted to use paid sick leave for their own illness, injury or other health-related needs, including preventive care; to assist a family member (or person who is like family to the employee) who is ill, injured, or has other health-related needs, including preventive care; or for reasons resulting from, or to assist a family member (or person who is like family to the employee) who is the victim of, domestic violence, sexual assault, or stalking. ALL OCCUPATIONS LISTED ABOVE RECEIVE THE FOLLOWING BENEFITS:

HEALTH & WELFARE: $5.55 per hour, up to 40 hours per week, or $222.00 per week or $962.00 per month

HEALTH & WELFARE EO 13706: $5.09 per hour, up to 40 hours per week, or $203.60 per week, or $882.27 per month*

*This rate is to be used only when compensating employees for performance on an SCA-covered contract also covered by EO 13706, Establishing Paid Sick Leave for Federal Contractors. A contractor may not receive credit toward its SCA obligations for any paid sick leave provided pursuant to EO 13706.

VACATION: 2 weeks paid vacation after 1 year of service with a contractor or successor, 3 weeks after 8 years, and 4 weeks after 15 years. Length of service includes the whole span of continuous service with the present contractor or successor, wherever employed, and with the predecessor contractors in the performance of similar work at the same Federal facility. (See 29 CFR 4.173)

HOLIDAYS: A minimum of eleven paid holidays per year: New Year's Day, Martin Luther King Jr.'s Birthday, Washington's Birthday, Memorial Day, Juneteenth National Independence Day, Independence Day, Labor Day, Columbus Day, Veterans' Day, Thanksgiving Day, and Christmas Day. (A contractor may substitute for any of the named holidays another day off with pay in accordance with a plan communicated to the employees involved.) (See 29 CFR 4.174)

THE OCCUPATIONS WHICH HAVE NUMBERED FOOTNOTES IN PARENTHESES RECEIVE THE FOLLOWING:

1) COMPUTER EMPLOYEES: This wage determination does not apply to any individual employed in a bona fide executive, administrative, or professional capacity, as defined in 29 C.F.R. Part 541. (See 41 C.F.R. 6701(3)). Because most Computer Systems Analysts and Computer Programmers who are paid at least $27.63 per hour (or at least $684 per week if paid on a salary or fee basis) likely qualify as exempt computer professionals under 29 U.S.C. 213(a)(1) and 29 U.S.C. 213(a)(17), this wage determination may not include wage rates for all occupations within those job families.
