This document is a Records Management Obligations clause establishing federal contracting requirements for handling, maintaining, and protecting government records created or received by contractors during contract performance.

The clause applies to all contractors whose employees create, work with, or handle federal records in any form or medium. Federal records are defined under 44 U.S.C. § 3301 and include all recorded information made or received by a federal agency under federal law or in connection with public business. The definition specifically includes VASTLHCS records and deliverables but excludes personal materials. Contractors must comply with the Federal Records Act, NARA regulations (36 CFR Chapter XII Subchapter B), the Freedom of Information Act, and the Privacy Act of 1974. All data created for government use becomes federal property subject to these laws and must be managed according to agency records schedules. Electronic records require accompanying technical documentation for understanding and use. Contractors are prohibited from removing, destroying, or alienating records without written concurrence from the Head of the Contracting Activity; willful destruction is subject to penalties under 18 U.S.C. § 2701. Contractors must immediately notify the Contracting Officer of any inadvertent disclosures, establish security safeguards for sensitive information, and return or destroy records only as authorized. The government owns all rights to data and records produced under the contract. All contractor employees handling records must complete agency-provided records management training, including initial and annual refresher training. The contractor must incorporate these requirements into all subcontracts with written acknowledgment and remains responsible for subcontractor compliance.
