SERVICES (NOV 2023)
(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights—
(1) Within a reasonable time after the defect was discovered or should have been discovered; and
(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.
(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.
(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at Federal Acquisition Regulation (FAR) 52.233-1, Disputes, which is incorporated herein by reference.
The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.
(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.
(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.
(g) Invoice.
(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include—

(x) Electronic funds transfer (EFT) banking information.
(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.
(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer—System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer—Other Than System for Award Management), or applicable agency procedures.
(C) EFT banking information is not required if the Government waived the requirement to pay by

(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.
(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(B) Affected contract number and delivery order number, if applicable;
(C) Affected line item or subline item, if applicable; and
(D) Contractor point of contact.
(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.
(6) Interest.
(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period as fixed by the Secretary until the amount is paid.

In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. This contract is required to procure a shielded x-ray cabinet with similar physical characteristics to the X- RAD 320, to replace our existing X-RAD320 which is non-functional and beyond repair. This system is required for our research program. Our research program requires a system that can deliver T doses of radiation to living biological (research) specimens, including cells in culture and small animals.
Irradiation of specimens is a common technique required for many studies performed in immunology-focused research laboratories. A shielded X-ray cabinet provides these radiation doses through the use of safer gamma x-rays rather than an isotopic source like cesium gamma irradiation.
3. Scope.
This contract covers the procurement, shipping, and installation of a new shielded x-ray cabinet with similar physical characteristics to the X-RAD 320. We require a firm-fixed contract. The contractor shall provide all necessary equipment, labor, materials and supervision to cover the procurement, shipping, and installation of the shielded x-ray cabinet, as well as decommissioning and removal of the existing unit (X-RAD 320).

• Adjustable multi-position shelf
• Filter/collimiator holder, filter recognition
• (2) beam conditioning filters
Required options:
• Dose measurement and control
• Programmable motorized shelf
• Adjustable variable collimator
• 2 standard filters: (1) in vitro and (2) small animal

5. Performance Monitoring (if applicable).
VA Portland Health Care System (VAPORHCS) will inspect the equipment after delivery to ensure it meets the salient characteristics and requirements. Annual performance monitoring will also be completed, and staff will be encouraged to provide VAPORHCS with status updates on the equipment, and if there are any issues to address. Applicable VAPORHCS staff will also attend the annual servicing and be present to review any issues with the vendor.
6. Security Requirements.
The contractor employees shall not have access to VA sensitive or computer information and will not require routine access to VA Facilities. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary.
The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. E.4 52.212-2 EVALUATION—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES
(a) Evaluation factors. The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate offers:
(1) Price
(2) Technical or Quality
(3) Past Performance
(b) Evaluation Approach. The Government will evaluate quotations using the comparative evaluation process outlined in RFO 12.203 (c) (2), where quotations will be compared to one another to determine which provides the best benefit to the Government. The Government reserves the right to consider a quotation other than the lowest price that provides additional benefit(s). Quotations may exceed minimum requirements of the solicitation. The Government reserves the right to select a quotation that provides benefit to the Government that exceeds the minimum requirements of the solicitation but is not required to do so. Each response must meet the minimum requirements of the solicitation. These evaluation procedures are not subject to part 15 or 14. The Government is not requesting or accepting alternate quotations. The evaluation will consider the following:
(a) Price: Contractor shall submit pricing on Section B.2 (Price/Cost Schedule); firm fixed unit pricing shall include all labor, overhead, profit, materials, and associated costs of the like to provide required supplies and installation services. Pricing shall not be handwritten on Section B.2 (Price/Cost Schedule) to ensure they are legible. Pricing will be priced as a total all-inclusive for the items listed in Section B.2 - CLIN 0001, 0002, 0003, 0004, etc. The quoted price from the offeror shall not exceed the stated contractor’s price schedule. The offeror agrees to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of offers. Offers received that do not comply may be found non-compliant and removed from evaluation. The Government will evaluate the price by adding the total of all line-item prices. The Total Evaluated Price will be that sum.
(b) Technical or Quality: The quotation will be evaluated to the extent to which it can meet and/or exceed the Government’s requirements as outlined in the solicitation to include technical capability and based on the information requested in the instructions to quoters section of the solicitation. Vendor’s quoted proposal shall conform to the Statement of Work including salients contained therein listed in Section D.1. The government will evaluate in accordance with the Statement of Work/Solicitation based on information furnished by the offeror or identified in the offer and reasonably available to the Contracting Officer. The Contracting Officer is not responsible for locating or obtaining any information not identified in the offer. Offerors shall provide written verification at the time of offer of authorization by the manufacturer to provide the end item or a statement that the offeror is the manufacturer provided at the time of offer. Failure to meet a requirement may result in an offer being determined technically unsuitable.
(c) Past Performance: The past performance evaluation will assess the relative risks associated with a quoter’s likelihood of success in fulfilling the solicitation’s requirements as indicated by the quoter’s record of past performance. The past performance evaluation may be based on the contracting officer’s knowledge of and previous experience with the supply or service being acquired; Customer surveys, and past performance questionnaire replies; Contractor Performance Assessment Reporting System (CPARS) at http://www.cpars.gov/; or any other reasonable basis.
The Government reserves the right to obtain past performance information from any available source and may contact customers other than those identified by the Offeror when evaluating past performance.
If an offeror has no record of relevant past performance record or if information is not available, they will not be rated favorably or unfavorably.
http://www.cpars.gov/ http://www.cpars.gov/
By submission of its offer, the Offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or sub-factors.
Offerors must read the solicitation entirely to ensure compliance with the solicitation requirements. Offers received that do not comply with the terms and conditions of the solicitation and/or have missing documentation may be considered non-compliant and may be removed from evaluation.
(d) Notice of award. A written notice of award or acceptance of an offer furnished to the successful
Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
