1.This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) subpart 12, Simplified Acquisition Procedures for Certain Commercial Items as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested and a written solicitation will not be issued. This requirement will be evaluated using the comparative evaluation process outlined in FAR part 12, where quotations will be compared to one another to determine which provides the best benefit to the Government.

B.4 PERFORMANCE WORK STATEMENT (PWS)
VISN 16 Secure DICOM Image Sharing Solution
1. Purpose: The Department of Veterans Affairs (VA), South Central Veterans Integrated
Service Network (VISN 16), seeks a contractor-provided solution and services to enable secure, bi-directional exchange of medical imaging (DICOM) and associated reports with community care partners, supporting timely access to patient data and reducing manual compact disc (CD) based workflows.
2. Background: Under the Mission Act, large numbers of Veterans obtain imaging studies outside of VA while continuing care inside VA. VISN 16 requires an outcome-driven solution that securely locates, retrieves, reconciles, and shares imaging and reports with community providers and internal VA systems.
3. Scope: The Contractor shall provide all software, configuration, integration, training, and support necessary to deploy a secure image location, exchange, and import capability across
VISN 16. Government anticipates deploying the Cerner electronic medical record system at all sites in the future. Cerner annual support agreement shall provide integration and migration services if/as necessary to migrate the connectivity from Veterans’ Health Information Systems and Technology Architecture (VistA) to the Cerner platform. Contractor’s solution shall meet or exceed Health Insurance Portability and Accountability Act (HIPAA) / Health Information
Technology for Economic and Clinical Health Act (HITECH), requirements for Protected Health
Information. Awarded contractor shall be responsible for establishing communications with community care partners to facilitate their voluntary onboarding.
3.1. Contractor must provide annual maintenance and support services for all covered VISN
16 facilities. This support and service agreement shall include on-going training and outreach services.
3.2. Contractor shall identify and describe with technical quote any existing national
Memorandum of Understanding (MoU), (MOU/ISA are national by nature)/ Interconnection
Security Agreement (ISA), Business Associate Agreement (BAA) applicable to healthcare exchanges, (contractor shall be responsible post award for establishing BAA) and established site‑to‑site (S2S) connections the Offeror currently maintains that would accelerate onboarding or connectivity for VISN 16. The Government will evaluate this experience and disclosure for risk, schedule realism, and maturity of security governance.
3.3. Contractor shall describe with technical quote its approach and prior experience integrating private‑sector imaging facilities (hosting, HL7, DICOM connectivity), including the Offeror’s typical cost model (what is included in the base price vs. separately priced). The
Government will evaluate the Offeror’s proposed cost/technical approach for reasonableness and scalability.
3.4. Contractor’s solution shall search private sector facilities on the Network for the patient, retrieve clinically relevant prior images and documents, reconcile the priors, and store the priors in VistA Imaging and PACS.
3.5. Contractor’s solution shall attempt to automatically find the correct patient in VistA /
CPRS and reconcile the outside data with the correct patient identification/ medical record number. If a distinct match is not found, the outside data can be held for manual review by staff in a worklist.
3.6. The Contractor’s solution shall allow the Radiology department to search the commercial imaging providers located within the VISN 16 service area, locate prior medical images and reports, and retrieve them to the Veterans Affairs where they can be inducted to VA systems using a quality assurance step. In addition, the system must automatically match patient IDs to update the patient’s medical record number with the VA medical record number, when possible. Further, the system must generate a non- Veterans Affairs order through VistA/
CPRS and update the inbound studies with the VA accession number for reconciliation in
PACS using a the designated HL7/DICOM interface interface deployed to each VistA.
4. Performance Objectives: The contractor shall achieve the following performance outcomes:
o Automated image retrieval from community partners.
o Accurate patient-matching using multi-factor identifiers.
o Bi-directional DICOM image sharing with auditing.
o Interoperability with Veterans Health Information Systems and Technology
Architecture o (VistA) Imaging and Commercial Picture Archiving and Communication System
(PACS).
o Automated pre-fetching based on health level seven (HL7) messages.
o The solution shall interoperate with VistA (including CPRS and VistA Imaging), the
VistA Imaging Importer, the enterprise commercial PACS, VA-provisioned DICOM routers, VA-deployed viewers/tools (e.g., Joint Legacy Viewer, QA tools), and
Windows operating systems, and shall support future migration to Cerner as directed by VA.
o Enable Radiology to find, retrieve, and QA‑import prior images/reports from VISN
16 community providers into VA systems.
o Auto‑match external studies to the correct VA Medical Record Number (MRN);
create a non‑VA order in VistA/CPRS (via VistA Imaging) to assign a VA accession;
update inbound studies for reconciliation in PACS; queue unmatched cases to a QA worklist; support staging via VA DICOM routers.
o Increase import efficiency for radiology exams into VistA Imaging and the enterprise
PACS.
o Enable encrypted site‑to‑site exchange of medical images/reports within a federated provider network using FIPS 140‑validated cryptography.
o Community partner onboarding.
o Enable secure exchange with private-sector facilities designated as ‘Trusted’ by the local system administrator, consistent with the access control policies in the PWS.
o Provide ongoing technical support to VISN 16-designated community care partners within the scope of the contracted support plan.
5. Brand Name or Equal salients: Any commercially available image exchange solution meeting all of the following:
Salient Characteristics
a) Bi-directional DICOM Image Exchange o Supports send and receive of DICOM files (with embedded or accompanied reports) between VA facilities and external community providers, under secure and auditable protocols.
b) Automated Discovery & Retrieval o Supports both targeted and broadcast image queries for VA patients, with pre-fetch capability triggered by appointment or order data (e.g., HL7 ORM
(Order Message) / SIU (Scheduling Information Unsolicited).
c) Minimum Performance Standards o ≥ 95% of targeted image queries returned within 24 hours.
o ≥ 85% of broadcast queries returned within 48 hours.
d) Accession & Patient Matching o Employ multi-factor matching (≥ four data attributes); provide a user-resolvable worklist when auto-match is inconclusive.
o ≥ 98% overall matching accuracy.
e) VistA and Commercial PACS Integration o Successfully import into VistA Imaging and the VISN 16 enterprise PACS
(currently Philips/Carestream Vue, version as deployed) o Support DICOM-compatible interfaces and reconciliation of accession numbers, contractor controlled components shall not exceed 4 hours of unscheduled downtime per site per month.
f) Audit Logging & Retention o Immutable audit trail for all send/receive events, with retention capability of at least 6 years.
g) Security and Compliance o FIPS 140-3 validated cryptography.
o If cloud-based, solution must be FedRAMP-authorized/approved at the appropriate moderate/high level.
h) Onboarding and Scalability o Onboard new community partners (e.g., imaging centers, hospitals) within 60 days of VA designation. Approximately there are 25 to 30 partners per site of community care providers.
o Pricing shall include onboarding support for VISN 16-designated community partners. Offerors may propose reasonable limits or tiers (e.g., annual onboarding capacity or complexity tiers) in the cost/price narrative for implementation; the
Government will evaluate for adequacy and best value.
6. Security & Compliance: The solution shall comply with VA Directive 6500, HIPAA) /
HITECH, Federal Information Processing Standards (FIPS) 140-3 validated cryptography, Section 508 accessibility, and VA Office of Information and Technical Reference Model (VA
OIT TRM) requirements (current version being used 26.6). Contractor shall submit with technical quote that all specific product and software version offered is approved in TRM before contract award.
7. Implementation Timeline: Contractor shall fully implement at all VISN 16 sites within 150 calendar days after award.
8. Deliverables: Project plan, Interface Control Document (ICD), security artifacts, training materials, acceptance reports, and performance reporting.

10. Invoicing: Invoices shall be submitted electronically via the Financial Services Center
Mandatory Electronic Invoice System, on a monthly basis. Invoices must include, at a minimum, the following information: Contractor name, purchase order number, period of service the billing covers, and a list of equipment items covered during the stated period of performance. This requirement is in accordance with VAAR Clause 852.232-72 Electronic

11. Contract Changes: Only the Contracting Officer (CO) may authorize changes; changes executed bilaterally consistent with FAR 52.212‑4(d). The COR may provide technical guidance but cannot alter price, quantity, or performance requirements.
12. Period of Performance: One twelve-month base period and four one-year ordering periods.
13. Hours of Coverage: Coverage is Monday-Friday, 8:30am–5:30pm, excluding federal holidays.
14. Federal Holidays: The Government hereby provides notice, and Contractor hereby acknowledges receipt that Government personnel observe the listed days as holidays:

15. Government Furnished Equipment/Information: Contractor will receive access to required government systems and equipment.
16. Brand-Name or Equal: The Government provides salient physical, functional, and performance characteristics to assist contractors in proposing solutions that meet the
Government’s requirement. An “equal” product must conform to all salient characteristics to be acceptable for award, per FAR 11.104 and provision FAR 52.211‑6.
17. Annual Maintenance & Support (AMS): The Contractor shall provide Annual
Maintenance & Support (AMS) for all Imagex software and associated modules deployed at
VISN 16 facilities.
17.1 Software Maintenance (Core & Modules): Contractor annual maintenance must include but not limited to:
o Bug fixes, patches, and hotfixes required to maintain operational performance.
o Security updates, including vulnerability remediation consistent with VA cybersecurity requirements.
o Minor version updates and incremental enhancements that do not require re-licensing.
o Support for DICOM, HL7, and FHIR connectivity updates necessary to maintain interoperability.
17.2. Technical Support Services: Contractor support must include but not limited to:
o Helpdesk / technical support, available at Government business hours or 24x7 if required by the contract.
o Incident management, diagnosis, and resolution support for:
o Image ingestion failures o Routing errors o Connectivity issues o Automation failures o Support via phone, email, and vendor portal.
o Escalation paths with defined response and resolution times (SLAs).
-P1 (Critical): response ≤ 1 hour, target resolution ≤ 4 hours
-P2 (High): response ≤ 4 hours
-P3 (Normal): response ≤ 1 business day
17.3. Connectivity Maintenance (VA–Community Links): Annual Maintenance shall include but not limited to:
o Maintaining bi-directional connections with private sector imaging partners.
o Ensuring connectivity endpoints remain active, secure, and validated.
o Troubleshooting image exchange failures between VA and community facilities.
o Supporting additional partner connections when required by the VA.
o Maintain ≥ 99.9% uptime for all exchange endpoints supporting VISN-16.
o Resolve partner connectivity failures within 8 business hours, unless external partner constraints cause delay.
17.4. Automation Maintenance: Contractor shall maintain all automation functions, including:
o Automated record linkage workflows.
o Automated prefetch of prior images and reports.
o Automated exchange triggering tied to orders or appointment scheduling.
o Ensuring automation rules continue functioning after system updates.
17.5. System Performance & Optimization: AMS must include: Ongoing performance tuning, such as improving:
o Transfer speeds o Prefetch efficiency o Record linking accuracy o Maintaining database and routing rule configurations.
o Optimizing exchange performance across all 8 facilities.
17.6. Documentation & Reporting: Contractor shall provide:
o Release notes for all updates.
o Monthly or quarterly status reports including:
o Tickets opened/closed o System uptime o Exchange volume metrics o Updated user/administrator documentation when features change.
17.7. Training Updates: Contractor shall provide annual refresher or update training sessions for twenty four (24)VA staff. Contractor shall provide updated training materials when functionality changes.
17.8. Annual AMS Review & Roadmap: Contractor shall conduct an annual review with
VISN-16 Contracting Office Representative (COR)/leadership and provide:
o Summary of all AMS activities performed;
o Trends on automation effectiveness (prefetch accuracy, record matching accuracy);
o Recommendations for improving network participation, performance, and automation;
o Updated compatibility plan for VistA → Cerner migration alignment per section
All AMS services described in Section 17 shall be included in the VISN-16 enterprise annual maintenance and support rate proposed by the Contractor, with no separate pricing beyond the annual CLINs.
B.5 CONTRACTOR PERFORMANCE ASSESSMENT REPORTING SYSTEM
(CPARS)
(a) FAR 42.1502 directs all Federal agencies to collect past performance information on contracts. The Department of the Department of Veterans Affairs (VA) has implemented
Contractor Performance Assessment Reporting System (CPARS) to comply with this regulation.
One or more past performance evaluations will be conducted in order to record your contract performance as required by FAR 42.15.
(b) The past performance evaluation process is a totally paperless process using CPARS. CPARS is a web-based system that allows for electronic processing of the performance evaluation report.
Once the report is processed, it is available in the Past Performance Information Retrieval
System (PPIRS) for Government use in evaluating past performance as part of a source selection action.
(c) We request that you furnish the Contracting Officer with the name, position title, phone number, and email address for each person designated to have access to your firm's past performance evaluation(s) for the contract. Each person granted access will have the ability to provide comments in the Contractors portion of the report and state whether or not the
Contractor agrees with the evaluation, before returning the report to the Assessing Official. The report information must be protected as source selection sensitive information not releasable to the public.
(d) When your Contractor Representative(s) (Past Performance Points of Contact) are registered in CPARS, they will receive an automatically generated email with detailed login instructions.
Further details, systems requirements, and training information for CPARS are available at http://www.cpars.csd.disa.mil/. The CPARS User Manual, registration for Online Training for
Contractor Representatives, and a practice application may be found at this site.
(e) The Assessing Official will complete an interim or final past performance evaluation and the report will be accessible at http://www.cpars.csd.disa.mil/. The Contractor Representative has the option to provide comments on the evaluation, indicate if they concur or do not concur with the evaluation, sign, and then return the evaluation to the Assessing Official. The Contractor
Representative has a total of 60 days following the Assessing Official’s evaluation signature date to send comments. If the Contractor Representative sends comments within the first 14 days following the Assessing Official’s signature date and the Assessing Official or Reviewing
Official closes the evaluation, the evaluation will become available in PPIRS-RC within 1 day.
On day 15 following the Assessing Official’s evaluation signature date, the evaluation will become available in PPIRS-RC with or without Contractor Representative comments and whether or not it has been closed by the Assessing Official or Reviewing Official. If no
Contractor Representative comments have been sent and the evaluation has not been closed, it will be marked as “Pending” in PPIRS-RC. If the Contractor Representative sends comments at any time prior to 61 days following the Assessing Official’s evaluation signature date, those comments will be reflected in PPIRS-RC within 1 day. On day 61 following the Assessing
Official’s evaluation signature date, the Contractor Representative will be “locked out” of the evaluation and may no longer send comments.
(f) The following guidelines apply concerning Contractor Representative use of the past performance evaluation:
(1) Protect the evaluation as "source selection information." After review, transmit the evaluation by completing and submitting the form through CPARS. If for some reason you are unable to view and/or submit the form through CPARS, contact the Contracting
Officer for instructions.
(2) Strictly control access to the evaluation within your organization. Ensure the evaluation is never released to persons or entities outside of your control.
(3) Prohibit the use of or reference to evaluation data for advertising, promotional material, pre award surveys, responsibility determinations, production readiness reviews, or other similar purposes.
SECTION C - CONTRACT CLAUSES
ADDENDUM to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL
PRODUCTS AND COMMERCIAL SERVICES
Clauses that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.
The following clauses are incorporated into 52.212-4 as an addendum to this contract:
C.1 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 Days.
The specified rates under this clause will be those in effect under the contract each time an option is exercised under this clause.

C.2 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR
2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30
Days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 Days days before the contract expires. The preliminary notice does not commit the
Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed Five (5) Years.

C.3 52.222-90 ADDRESSING DEI DISCRIMINATION BY FEDERAL
CONTRACTORS (DEVIATION APR 2026)
(a)Definitions. As used in this clause—
Program participation means membership or participation in, or access or admission to: training, mentoring, or leadership development programs; educational opportunities; clubs; associations; or similar opportunities that are sponsored or established by the contractor or subcontractor.
Racially discriminatory diversity, equity, and inclusion (DEI) activities means disparate treatment based on race or ethnicity in the recruitment, employment (e.g., hiring, promotions), contracting (e.g., vendor agreements), program participation, or allocation or deployment of an entity's resources.
(b) In connection with the performance of work under this contract, the Contractor agrees as follows:
(1) The Contractor will not engage in any racially discriminatory DEI activities;
(2) The Contractor will furnish all information and reports, including providing access to books, records, and accounts, as required by the Contracting Officer, for purposes of ascertaining compliance with this clause;
(3) In the event of the Contractor's or a subcontractor's noncompliance with this clause, this contract may be canceled, terminated, or suspended in whole or in part, and the Contractor or subcontractor may be declared ineligible for further Government contracts;
(4) The Contractor will report any subcontractor's known or reasonably knowable conduct that may violate this clause to the Contracting Officer and take any appropriate remedial actions directed by the
Contracting Officer; and
(5) The Contractor will inform the Contracting Officer if a subcontractor sues the Contractor and the suit puts at issue, in any way, the validity of this clause.
(6) The Contractor recognizes that compliance with the requirements of this clause are material to the
Government's payment decisions for purposes of 31 U.S.C. 3729(b)(4).
(c) The Contractor must include the substance of this clause, including this paragraph (c), in subcontracts at any tier, including those for commercial products and commercial services, except those where the place of delivery or performance is outside the United States.

C.4 52.240-91 SECURITY PROHIBITIONS AND EXCLUSIONS (NOV 2025)
(DEVIATION)
(a) Definitions. As used in this clause—
American Security Drone Act-covered foreign entity means an entity included on a list that the Federal
Acquisition Security Council (FASC) develops and maintains and publishes in the System for Award
Management (SAM) at https://www.sam.gov (section 1822 of Pub. L. 118-31, 41 U.S.C. 3901 note prec.).
Backhaul means intermediate links between the core network, or backbone network, and the small subnetworks at the edge of the network (e.g., connecting cell phones/towers to the core telephone network). Backhaul can be wireless (e.g., microwave) or wired (e.g., fiber optic, coaxial cable, Ethernet).
Covered application means the social networking service TikTok or any successor application or service developed or provided by ByteDance Limited or an entity owned by ByteDance Limited.
Covered article, as defined in 41 U.S.C. 4713(k), means:
(1) Information technology, as defined in 40 U.S.C. 11101, including cloud computing services of all types;
(2) Telecommunications equipment or telecommunications service, as those terms are defined in section 3 of the Communications Act of 1934 (47 U.S.C. 153);
(3) The processing of information on a Federal or non-Federal information system, subject to the requirements of the Controlled Unclassified Information program (see 32 CFR part 2002); or
(4) Hardware, systems, devices, software, or services that include embedded or incidental information technology.
Covered foreign country means The People’s Republic of China.
Covered telecommunications equipment or services means— https://www.sam.gov
(1) Telecommunications equipment produced by Huawei Technologies Company or ZTE Corporation
(or any subsidiary or affiliate of such entities);
(2) For the purpose of public safety, security of Government facilities, physical security surveillance of critical infrastructure, and other national security purposes, video surveillance and telecommunications equipment produced by Hytera Communications Corporation, Hangzhou Hikvision Digital Technology
Company, or Dahua Technology Company (or any subsidiary or affiliate of such entities);
(3) Telecommunications or video surveillance services provided by such entities or using such equipment; or
(4) Telecommunications or video surveillance equipment or services produced or provided by an entity that the Secretary of Defense, in consultation with the Director of National Intelligence or the Director of the Federal Bureau of Investigation, reasonably believes to be an entity owned or controlled by, or otherwise connected to, the government of a covered foreign country.
Critical technology means—
(1) Defense articles or defense services included on the United States Munitions List set forth in the
International Traffic in Arms Regulations under subchapter M of chapter I of title 22, Code of Federal
Regulations;
(2) Items included on the Commerce Control List set forth in Supplement No. 1 to part 774 of the
Export Administration Regulations under subchapter C of chapter VII of title 15, Code of Federal
Regulations, and controlled—
(i) Pursuant to multilateral regimes, including for reasons relating to national security, chemical and biological weapons proliferation, nuclear nonproliferation, or missile technology; or
(ii) For reasons relating to regional stability or surreptitious listening;
(3) Specially designed and prepared nuclear equipment, parts and components, materials, software, and technology covered by part 810 of title 10, Code of Federal Regulations (relating to assistance to foreign atomic energy activities);
(4) Nuclear facilities, equipment, and material covered by part 110 of title 10, Code of Federal
Regulations (relating to export and import of nuclear equipment and material);
(5) Select agents and toxins covered by part 331 of title 7, Code of Federal Regulations, part 121 of title 9 of such Code, or part 73 of title 42 of such Code; or
(6) Emerging and foundational technologies controlled pursuant to section 1758 of the Export Control
Reform Act of 2018 (50 U.S.C. 4817).
FASC-prohibited unmanned aircraft system means an unmanned aircraft system manufactured or assembled by an American Security Drone Act—covered foreign entity.
FASCSA order means any of the following orders issued under the Federal Acquisition Supply Chain
Security Act (FASCSA) requiring removing covered articles from executive agency information systems or excluding one or more named sources or named covered articles from executive agency procurement actions, as described in 41 CFR 201-1.303(d) and (e):
(1) The Secretary of Homeland Security may issue FASCSA orders that apply to civilian agencies, to the extent not covered by paragraph (2) or (3) of this definition. This type of FASCSA order may be referred to as a Department of Homeland Security (DHS) FASCSA order.
(2) The Secretary of Defense may issue FASCSA orders that apply to the Department of Defense
(DoD) and national security systems other than sensitive compartmented information systems. This type of FASCSA order may be referred to as a DoD FASCSA order.
(3) The Director of National Intelligence (DNI) may issue FASCSA orders that apply to the intelligence community and sensitive compartmented information systems, to the extent not covered by paragraph (2) of this definition. This type of FASCSA order may be referred to as a DNI FASCSA order.
Information technology, as defined in 40 U.S.C. 11101(6)—
(1) Means any equipment or interconnected system or subsystem of equipment, used in the automatic acquisition, storage, analysis, evaluation, manipulation, management, movement, control, display, switching, interchange, transmission, or reception of data or information by the executive agency, if the equipment is used by the executive agency directly or is used by a contractor under a contract with the executive agency that requires the use—
(i) Of that equipment; or
(ii) Of that equipment to a significant extent in the performance of a service or the furnishing of a product;
(2) Includes computers, ancillary equipment (including imaging peripherals, input, output, and storage devices necessary for security and surveillance), peripheral equipment designed to be controlled by the central processing unit of a computer, software, firmware and similar procedures, services (including support services), and related resources; but
(3) Does not include any equipment acquired by a Federal contractor incidental to a Federal contract.
Intelligence community, as defined by 50 U.S.C. 3003(4), means the following—
(1) The Office of the Director of National Intelligence;
(2) The Central Intelligence Agency;
(3) The National Security Agency;
(4) The Defense Intelligence Agency;
(5) The National Geospatial-Intelligence Agency;
(6) The National Reconnaissance Office;
(7) Other offices within the Department of Defense for the collection of specialized national intelligence through reconnaissance programs;
(8) The intelligence elements of the Army, the Navy, the Air Force, the Marine Corps, the Coast Guard, the Federal Bureau of Investigation, the Drug Enforcement Administration, and the Department of
Energy;
(9) The Bureau of Intelligence and Research of the Department of State;
(10) The Office of Intelligence and Analysis of the Department of the Treasury;
(11) The Office of Intelligence and Analysis of the Department of Homeland Security; or
(12) Such other elements of any department or agency as may be designated by the President, or designated jointly by the Director of National Intelligence and the head of the department or agency concerned, as an element of the intelligence community.
Interconnection arrangement means arrangements governing the physical connection of two or more networks to allow the use of another’s network to hand off traffic where it is ultimately delivered (e.g., connecting a customer of telephone provider A to a customer of telephone company B) or sharing data and other information resources.
Kaspersky Lab-covered article means any hardware, software, or service that—
(1) Is developed or provided by a Kaspersky Lab-covered entity;
(2) Includes any hardware, software, or service developed or provided in whole or in part by a
Kaspersky Lab-covered entity; or
(3) Contains components using any hardware or software developed in whole or in part by a Kaspersky
Lab-covered entity.
Kaspersky Lab-covered entity means—
(1) Kaspersky Lab;
(2) Any successor entity to Kaspersky Lab, including any change in name, e.g., “Kaspersky”;
(3) Any entity that controls, is controlled by, or is under common control with Kaspersky Lab; or
(4) Any entity of which Kaspersky Lab has a majority ownership.
National security system, as defined in 44 U.S.C. 3552, means any information system (including any telecommunications system) used or operated by an agency or by a contractor of an agency, or other organization on behalf of an agency—
(1) The function, operation, or use of which involves intelligence activities; involves cryptologic activities related to national security; involves command and control of military forces; involves equipment that is an integral part of a weapon or weapons system; or is critical to the direct fulfillment of military or intelligence missions, but does not include a system that is to be used for routine administrative and business applications (including payroll, finance, logistics, and personnel management applications); or
(2) Is protected at all times by procedures established for information that have been specifically authorized under criteria established by an Executive order or an Act of Congress to be kept classified in the interest of national defense or foreign policy.
Roaming means cellular communications services (e.g., voice, video, data) received from a visited network when unable to connect to the facilities of the home network either because signal coverage is too weak or because traffic is too high.
Sensitive compartmented information means classified information concerning or derived from intelligence sources, methods, or analytical processes, which is required to be handled within formal access control systems established by the Director of National Intelligence.
Sensitive compartmented information system means a national security system authorized to process or store sensitive compartmented information.
Source means a non-Federal supplier, or potential supplier, of products or services, at any tier.
Subsidiary means an entity in which more than 50 percent of the entity is owned directly by a parent corporation or through another subsidiary of a parent corporation.
Substantial or essential component means any component necessary for the proper function or performance of a piece of equipment, system, or service.
Unmanned aircraft means an aircraft that is operated without the possibility of direct human intervention from within or on the aircraft (49 U.S.C. 44801(11)).
Unmanned aircraft system means an unmanned aircraft and associated elements (including communication links and the components that control the unmanned aircraft) that are required for the operator to operate safely and efficiently in the national airspace system (49 U.S.C. 44801(12)).
(b) Prohibitions on providing or using specific products or services in performance of contract. Unless a waiver or exception applies, the Contractor is prohibited from providing any products or services to the
Government or using in the performance of the contract any of the following:
(1) A covered application on any information technology owned or managed by the Government, or on any information technology used or provided by the Contractor under this contract, including equipment provided by the Contractor’s employees (section 102 of Division R of the Consolidated Appropriations
Act, 2023 (Pub. L. 117-328));
(2) A Kaspersky Lab-covered article (Section 1634 of Division A of the National Defense
Authorization Act for Fiscal Year 2018 (Pub. L. 115-91));
(3) Covered telecommunications equipment or services used as a substantial or essential component of any system, or as critical technology as part of any system (paragraphs (a)(1)(A) of section 889 of the
John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232)). This does not prohibit contractors from providing—
(i) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Prohibition on unmanned aircraft systems manufactured or assembled by American Security Drone
Act—covered foreign entities.
(1) Prohibition. The Contractor is prohibited from—
(i) Delivering any FASC-prohibited unmanned aircraft system, which includes unmanned aircraft
(i.e., drones) and associated elements (sections 1823 and 1826 of American Security Drone Act of 2023, within the National Defense Authorization Act for Fiscal Year 2024, Pub. L. 118-31, Div. A, Title XVIII, Subtitle B, 41 U.S.C. 3901 note prec.);
(ii) On or after December 22, 2025, operating a FASC-prohibited unmanned aircraft system in the performance of the contract (section 1824 of Pub. L. 118-31); and
(iii) On or after December 22, 2025, using Federal funds to procure or operate a FASC-prohibited unmanned aircraft system (section 1825 of Pub. L. 118-31).
(2) Procedures. The Contractor shall search SAM for the FASC-maintained list of American Security
Drone Act—covered foreign entities before proposing, or using in performance of the contract, any unmanned aircraft system. Also, the Contractor shall ensure any effort or expenditure associated with a
FASC-prohibited unmanned aircraft system is consistent with a corresponding exemption, exception, or waiver determination expressly stated in the contract.
(3) Exemptions, exceptions, and waivers. The prohibitions in paragraph (c) of this clause do not apply where the agency has determined an exemption, exception, or waiver applies, and the contract indicates that such a determination has been made. See sections 1823 through 1825 and 1832 of Public Law 118-31 for statutory requirements pertaining to exemptions, exceptions, and waivers.
(d) Prohibition on using or providing specific products or services or conducting certain transactions regardless of connection to contract.
(1) Certain telecommunications and video surveillance equipment, systems, or services.
(i) Unless an applicable waiver has been issued by the Government, the Contractor cannot use any equipment, systems, or services that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system
(paragraph (a)(1)(B) of section 889 of the John S. McCain National Defense Authorization Act for Fiscal
Year 2019 (Pub. L. 115-232)).
(ii) This prohibition applies to using covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. This does not prohibit the contractor from using—
(A) A service that connects to the facilities of a third party, such as backhaul, roaming, or interconnection arrangements; or
(B) Telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Office of Foreign Assets Control Restrictions.
(i) Except as authorized by the Office of Foreign Assets Control (OFAC) in the Department of the
Treasury, the Contractor shall not acquire, for use in the performance of this contract, any supplies or services if any proclamation, Executive order, or statute administered by OFAC, or if OFAC’s implementing regulations at 31 CFR chapter V, would prohibit such a transaction by a person subject to the jurisdiction of the United States.
