(vi) Description of Requirement. The U.S. Department of Agriculture (USDA) Natural Resources

Conservation Service (NRCS) requires title abstract and settlement services to obtain title search, title commitment, post survey updates, final title policy, and closing services for acquisitions of conservation easements on behalf of the United States of America, acting by and through the Natural

Resources Conservation Service (NRCS), U.S. Department of Agriculture (USDA) in South Dakota.

(vii) Date(s) and Period of Performance. The anticipated period of performance for this requirement will be five (5) years, dates: to be provided at award.

(viii) The provision at 52.212-1, Instructions to Offerors—Commercial Products and Commercial Services

(Sept 2023), applies to this acquisition. The following addenda also applies.

Addenda to Provision FAR 52.212-1:

For simplified acquisitions, the word quote or quoter is substituted in the provision for the word offer or offeror.

(a) The Government intends to award a BPA consisting of Firm Fixed Price line items for Title and

Closing Services for the USDA NRCS South Dakota Conversation Easement Programs over a five

(5) year ordering period. Each quoter shall submit a quote that clearly and concisely describes and defines the quoter’s response to the requirements of this solicitation as outlined in the SOW. The use of general or vague statements such as “standard procedures will be used” will not satisfy this requirement. Any quote that does not comply with these instructions may be considered non-responsive and rendered ineligible for award.

(b) Quotes shall consist of three volumes, as follows:

Volume 1 – Technical Narrative

Volume 2 – Past Performance

Volume 3 – Pricing

1. Submit Technical Narrative that demonstrates your company’s experience and ability to complete the requirements of this solicitation. The Technical Narrative shall be no more than 5 pages and address the items below.

• Is your company licensed to conduct Title Abstract and Settlement in the state identified for this requirement? Provide your license or certification.

• Describe the approach to provide Title Abstract and Settlement (Closing) services and how your company will meet the timelines identified in Attachment A, Statement of Work.

• Will your company be subcontracting title work to local county companies? If yes, describe how you plan to ensure subcontractors meet the timelines identified in Attachment A, Statement of Work. Describe your process if the subcontractor cannot provide documentation timely.

• Describe how your company handles escrow services, including 1031 exchanges. Provide a sample of the contract utilized for this service between the client and your company.

• Describe the circumstances if your company rejected to complete work already begun.

• Describe the circumstances if your company ever submitted a claim for additional work not contemplated in the SOW.

• Provide three samples of a commitment and policy issued by the company for a federal client. A sample from an agricultural land sale would be preferable. If your company has not worked on a federal contract, please provide three samples of a commitment and policy the company issued for an agricultural land sale.

• Provide a statement on if your company accepts the purchase card/credit card as a method of payment.

2. Submit Past Performance. The Past Performance shall be no more than 3 pages and include:

• A summary of at least three (3) examples of services performed within the past five (5) years that are of similar size/scope and complexity of this requirement. Evidence includes:

1. applicable customer name,

2. size of project (in acres),

3. contract dollar values,

4. description of work performed,

5. period of performance, and

6. name, telephone number and e-mail address of the person who can verify your experience/performance.

3. Submit Completed Price Schedule (Attachment B) in excel format. The quoters must provide a firm-fixed price quote with any and all discounts applied.

(ix) The provision at FAR 52.212-2, Evaluation-Commercial Products and Commercial Services applies to this solicitation.

Addenda to Provision FAR 52.212-2:

Basis for Award and Evaluation Criteria

Award will be made to the quoter that is deemed responsive and responsible in accordance with the FAR, whose quote conforms to the solicitation requirements, and whose quote, judged by an overall assessment of the evaluation criteria and other considerations specified in this solicitation is most advantageous to the

Government based on the factors contained in this solicitation on the basis of the Lowest Price Technically

Acceptable rationale for selection.

a. Technical Narrative – The Government will evaluate the technical narrative as to how well it addresses the questions in Addenda to Provision FAR 52.212-1 and Attachment A. The narrative should adequately describe the quoters experience and plans for executing the work including resources and personnel available to complete the requirements and not be a restatement of the RFQ requirements nor copy the language in Attachment A. Quoter must provide proof of license to perform title work in the state of South Dakota for the company and the potential subcontractor(s).

b. Past Performance – The Government will evaluate the Quoter’s submitted past performance information for conservation easements completed within the last five (5) years or is ongoing for relevancy to this requirement based on similar size/scope and complexity.

c. Pricing – The Government will evaluate pricing to determine reasonableness once quote have been determined technically acceptable by the Government. Missing or incomplete pricing data may result in the quote no longer being considered. Pricing that is unrealistically low or high may be considered as indication that the Quoter does not possess the understanding of the requirement or the requisite technical capability to successfully perform the work.

The technical narrative will receive one of the ratings defined below.

Rating Description

Acceptable Quote clearly meets the minimum requirements of the solicitation and responses leave the evaluator with little or no uncertainty as to the understanding of the work, capability to successfully perform the work, or capability to effectively manage the work effort.

Unacceptable Quote does not clearly meet the minimum requirements of the solicitation and responses leave the evaluator with uncertainty as to the understanding of the work, capability to successfully perform the work, or capability to effectively manage the work effort.
