1.0 GENERAL
The Corpus Christi Regional Transportation Authority, hereinafter referred to as “CCRTA”, is seeking qualified firms to provide solid waste collection and disposal services, including the furnishing and servicing of containers, at the following locations:
• Staples Street Center (Administration Building) - 602 N. Staples, Corpus Christi, TX 78401 o Staples Street Center Parking Lot (2 containers) (8 Cubic Yds)

This Agreement also includes a recycling program as specified in Section 3.2.
2.0 PROJECT MANAGER
Whenever the term "Project Manager" is used in this document, it means CCRTA's authorized representative, Mr. Thomas Jimenez, Facilities Building Manager, who may be reached at 361-688-9928 or tjimenez@ccrta.org, or other CCRTA Facilities personnel designated to act as CCRTA’s representatives.
3.0 DEFINITION OF WASTE MATERIAL
3.1 The waste material to be collected and disposed of by the Contractor is solid waste generated by the CCRTA. Excluded materials include radioactive, volatile, highly flammable, explosive, biomedical, infectious, toxic, or hazardous materials. Tires are excluded. The term "hazardous material" includes, but is not limited to, any waste listed or characterized as hazardous by the United States Environmental Protection Agency or an applicable Texas agency pursuant to the Resource Conservation and Recovery Act, as amended, or other applicable federal, state, or local laws, ordinances, and regulations. Title to accepted waste material transfers to the Contractor when the material is loaded into the Contractor’s collection vehicle. Title to and liability for excluded waste remains with CCRTA.
3.2 The recyclable material currently collected under this Contract consists of flattened cardboard. Cardboard is placed in the designated “cardboard only” container at the Operations Facility. The recycling container must be emptied and serviced one (1) day per week, on the same day as one of the regularly scheduled solid waste collection days.
mailto:tjimenez@ccrta.org
4.0 LIABILITY FOR EQUIPMENT
The Contractor retains ownership of and is responsible for maintaining all Contractor-furnished containers and equipment in safe, serviceable condition.
CCRTA will exercise reasonable care of the containers while they are located on CCRTA property and will be responsible for damage caused by CCRTA’s negligent or intentional acts. The Contractor is responsible for ordinary wear and tear, equipment defects, and damage occurring during collection, loading, transport, maintenance, or repair, or caused by Contractor personnel. Any claim for CCRTA-caused damage must be documented and submitted to the Project Manager for review before repair or replacement charges are assessed.
5.0 EQUIPMENT
5.1 The Contractor must furnish metal disposal containers, including plastic bin lids, in the sizes and quantities identified in the Price Schedule. The recycling container must be clearly designated for cardboard only and designed to accept flattened cardboard. All Contractor-furnished containers remain the property of the Contractor and must be removed at no additional cost to CCRTA upon expiration or termination of the Agreement, unless otherwise directed in writing by CCRTA.
5.2 At the commencement of the Agreement, all containers must be new or refurbished to a like-new condition at the Contractor’s expense. Containers must be maintained in safe and proper working order and kept clean, sanitary, and presentable throughout the Agreement term. A container that requires replacement or repair because of ordinary wear, equipment failure, or damage for which CCRTA is not responsible under Section 4.0 must be repaired or replaced by the Contractor at no additional cost to CCRTA.
5.3 Within forty-eight (48) hours after notification by the Project Manager, the
Contractor must move or relocate a container within an existing CCRTA site or between service locations identified in this Contract. Relocation to a new location outside the existing Contract scope must be authorized in writing by the CCRTA Procurement Department in accordance with Section 10 of the Standard Service Terms and Conditions.
6.0 SUPERVISION AND ACCEPTANCE OF WORK
The Contractor must provide all scheduled collection, hauling, disposal, recycling, container maintenance, and related services in accordance with the Contract.
Missed or incomplete pickups; spills or debris resulting from the Contractor’s operations; failure to return containers to their designated locations; damaged, unsanitary, or improperly maintained containers; or failure to meet the required service schedule will be considered deficiencies. The Contractor must promptly correct deficiencies identified by the Project Manager at no additional cost to
CCRTA. The Project Manager is responsible for coordinating and approving pickup dates and routine service scheduling.
7.0 RATE ADJUSTMENT
Except as expressly provided in this Section, the prices set forth in the Price Schedule will remain fixed for the term of the Agreement. Landfill or tipping fees and state-mandated disposal or flow fees may be adjusted only to reflect documented increases or decreases imposed by the disposal facility or applicable governmental authority after the Agreement start date. Before any adjustment is applied, the Contractor must provide written notice and supporting source documentation showing the prior rate, new rate, effective date, and calculation of the requested adjustment. No markup or administrative fee may be added to a pass-through adjustment unless expressly included in the Price Schedule. Any decrease must be passed through to CCRTA. No adjustment will become effective unless authorized in writing by the CCRTA Procurement Department through an Agreement Modification or Change Order.
8.0 FEES
8.1 The quoted unit prices must include all costs necessary to perform the scheduled services, including container furnishing and rental, collection, hauling, disposal, labor, vehicles, fuel, equipment, maintenance, overhead, profit, permits, licenses, and other charges, except for adjustments expressly permitted under Section 7.0.
9.0 SCHEDULE
Solid Waste Collection and Disposal Services must be performed at the service frequency identified for each location and container in the Price Schedule. The Contractor must adhere to the scheduled collection days coordinated with the Project Manager and promptly notify the Project Manager of any delay or missed service. Any change in service frequency that affects Agreement pricing must be authorized in writing by the CCRTA Procurement Department.
10.0 BILLING AND SUPPORTING DOCUMENTATION
The Contractor must establish and maintain a separate account for each CCRTA transit facility: the Operations Facility located at 5658 Bear Lane and the Staples Street Center (Administration Building) located at 602 N. Staples Street. Each facility must be assigned its own unique account number for billing purposes.
The Contractor must submit a separate monthly rolling billing statement for each CCRTA facility. All billing statements must comply with the invoicing, supporting documentation, and payment requirements set forth in Section 3, Invoices and Payments, of the Standard Service Terms and Conditions.
The Contractor must provide service records sufficient to verify all collection, hauling, and disposal services billed to CCRTA. In the event of a conflict, Section 3 of the Standard Service Terms and Conditions controls.
11.0 COMPETENCY OF BIDDERS
CCRTA may conduct a pre-award inspection of a Bidder’s facility. Only Bidders that are regularly engaged and appropriately licensed in the business of providing the services described in this Request for Quotes, and that have sufficient financial capacity, equipment, personnel, and organization to satisfactorily perform the Agreement, will be considered for award. In determining responsibility, CCRTA may consider available evidence of the Bidder’s financial, technical, and other qualifications, including similar experience, references, and past performance with CCRTA or other customers. A documented record of nonperformance or poor performance may be considered in determining the Bidder’s responsibility.
12.0 SILENCE OF SPECIFICATIONS
The apparent silence of these specifications as to any detail, or the omission of a detailed description concerning any point, will not relieve the Contractor of the obligation to follow generally accepted commercial practices and provide equipment, materials, and workmanship suitable for the intended purpose. Any ambiguity, inconsistency, or omission identified before quote submission should be submitted to CCRTA through the solicitation question-and-answer process.
CCRTA’s written interpretation will control.
STANDARD SERVICE TERMS AND CONDITIONS
1. SERVICE STANDARDS.
The Contractor must perform all work set forth in the specifications in a “first class” manner, consistent with all applicable regulations and industry standards. All work must be performed to the reasonable satisfaction of the CCRTA, and any defective or substandard performance must be promptly remedied.
2. TAX EXEMPTION
CCRTA is a political subdivision of the State of Texas and is exempt from applicable state and local sales and use taxes. Bidders must not include taxes from which CCRTA is exempt in their quoted prices. Upon request, CCRTA will provide documentation of its tax-exempt status.
3. INVOICES AND PAYMENTS.
3.1 Submission of Monthly Rolling Billing Statements
The Contractor must submit a proper, comprehensive, itemized monthly rolling billing statement electronically to CCRTA’s designated Accounts Payable mailbox at AccountsPayable@ccrta.org by the fifteenth (15th) day of the following month.
The Contractor must submit a separate monthly rolling billing statement for each CCRTA transit facility:
• Operations Facility – 5658 Bear Lane, Corpus Christi, Texas 78405; and
• Staples Street Center (Administration Building) – 602 N. Staples Street, Corpus Christi, Texas 78401.
Each CCRTA facility must be assigned a unique account number by the Contractor for billing and account identification purposes. Each monthly rolling billing statement must include all charges applicable to that facility and all required documentation supporting the charges.
3.2 Rolling Billing Statement Requirements
To be considered a proper monthly rolling billing statement for payment, all charges must be undisputed, and each billing statement must clearly identify the applicable CCRTA facility and include:
• Invoice Number;
• Invoice Date: The first day of the applicable billing month;
• Billing Period;
mailto:AccountsPayable@ccrta.org
• Due Date: In accordance with the payment terms established in Section 3.7;
• Agreement Number;
• Service Location;
• Account Number: The unique account number assigned by the Contractor to the applicable CCRTA facility;
• Previous Balance: The total outstanding balance carried over from the immediately preceding billing cycle;
• Payments Received & Credits: An itemized list of all payments, adjustments, or credits applied to CCRTA’s applicable account during the current billing cycle, including the dates applied;
• Current Charges: A detailed breakdown of new charges for the current billing cycle, including the applicable container size and service information; and
• Total Amount Due: The net sum of the Previous Balance, minus Payments
Received and Credits, plus Current Charges.
3.3 Delineation of Current Charges
The Contractor must submit one monthly rolling billing statement for each CCRTA facility. The “Current Charges” section of each statement must clearly identify the charges applicable to each container and include:
• Container Size: Identify each container as either a 6-yard or 8-yard metal disposal container.
• Service Schedule: Identify the contracted collection frequency applicable to each container.
• Recycling Designation: Clearly identify the 6-yard container designated for recycling.
• Container Rental Fee: Identify the applicable fixed monthly container rental fee. Container rental fees customarily billed in advance must identify the applicable rental period.
• Collection, Hauling, and Disposal Charges: Identify the applicable contracted charge for each container/service in accordance with the Price Schedule. Charges billed in arrears must correspond to actual services rendered during the preceding calendar month.
3.4 Verification Requirements for Charges Billed in Arrears
To validate service-based charges billed in arrears, the Contractor must attach or electronically link verifiable service records to the monthly rolling billing statement, including:
• Specific dates, timestamps, and CCRTA locations of each container pickup or service.
• The applicable container size, 6-yard or 8-yard, associated with each service.
• Identification of the 6-yard recycling container, when applicable.
• The applicable Agreement Number.
3.5 Proration of Mid-Month Rental Charges
If a 6-yard or 8-yard metal disposal container is delivered, removed, or exchanged at any designated CCRTA location during a billing cycle, the Container Rental Fee for that specific container will be prorated on a daily basis.
• Calculation: The daily rate will be calculated by dividing the applicable monthly rental fee by the exact number of calendar days in that month.
• Application: CCRTA will only be billed for the number of days the container was physically present and available for use at the designated CCRTA location.
Mid-month removals will result in a credit applied to the next monthly rolling billing statement.
3.6 Mandatory Submission Format
To support proper sorting, automated tracking, timely routing through CCRTA’s document management system, and verification of authentic vendor invoices, the Contractor must submit each monthly rolling billing statement electronically in PDF format. The email subject line must use the following standardized format:
[VENDOR NAME] - [INVOICE NUMBER] - [BILLING MONTH/YEAR]
3.7 Statutory Payment Window
Payment by CCRTA will be governed by Chapter 2251 of the Texas Government Code. CCRTA’s payment terms are Net 45. The forty-five (45) day payment period will begin on the later of:
• The final day of the applicable service month; or
• The date CCRTA receives a correct and proper monthly rolling billing statement.
For monthly services billed in advance, performance of the applicable monthly service will be considered complete on the final day of the applicable billing month for purposes of calculating the payment period.
No late fees, penalties, or interest will accrue or be payable except as expressly authorized by applicable law.
3.8 Method of Payment
CCRTA’s standard method of domestic disbursement is Automated Clearing House (ACH). The Finance Department is responsible for safeguarding sensitive financial information received from Contractors and ensuring its appropriate and timely destruction.
To establish ACH payment, the Contractor must:
• Submit a signed CCRTA ACH Authorization Form in a secure digital format to AccountsPayable@ccrta.org. The form may be obtained from the Accounts Payable Specialist at 361-903-3581 or requested by email at AccountsPayable@ccrta.org.
• Submit a signed IRS Form W-9 dated within the same calendar year in which the procurement authority is issued. The W-9 must accompany the CCRTA ACH Authorization Form.
3.9 Invoice Status and Billing Correspondence
All invoice status inquiries and other correspondence regarding billing or payment must be submitted electronically to AccountsPayable@ccrta.org
4. TOOLS, EQUIPMENT AND SUPPLIES.
Except for consumables expressly identified in the Scope of Work as being provided by CCRTA, the Contractor must provide all tools, equipment, supplies, materials, employees, management, and other items or services necessary to perform the Agreement.
5. ESTIMATED QUANTITIES.
The container quantities and service frequencies identified in the Scope of Work and Price Schedule are provided for quote evaluation and Contract administration.
The Contractor must honor the unit prices set forth in the Price Schedule (Attachment A) for the duration of the Agreement unless otherwise modified in writing by CCRTA.
6. LIABILITY INSURANCE COVERAGE.
The Contractor must maintain and provide, at their own cost, the following insurance coverages for the duration of this Agreement, with policy limits no less than the specified amounts:
• Commercial General Liability Insurance: a minimum policy limit of $1,000,000.
mailto:AccountsPayable@ccrta.org
• Automobile Liability Insurance: a minimum combined single limit of
$1,000,000, required only if the Contractor uses motor vehicles to perform the services outlined in this Agreement.
• Contractual Liability Insurance: this insurance must cover the
Contractor's indemnification obligations as specified within this Contract.
The required insurance coverage must meet the following requirements, as applicable:
• Licensing and Ratings: The insurance companies must be licensed to operate in Texas and have an "A-" or higher rating from the A.M. Best insurance rating guide.
• Additional Insured: CCRTA must be named as an additional insured on the Commercial General Liability and Automobile Liability policies, as applicable to the services performed under this Contract.
• Proof of Coverage: A certificate of insurance proving these coverages must be given to the CCRTA before work begins and must be kept up to date for the entire length of the contract.
• Notice of Cancellation: The Contractor must provide CCRTA with written notice of cancellation or nonrenewal of required insurance coverage in accordance with the applicable policy provisions and endorsements.
• Policy Copies: The Contractor must promptly provide copies of the full insurance policies to CCRTA if requested in writing after the contract is awarded.
7. INDEMNIFICATION.
7.1. Indemnification and Defense. CONTRACTOR will indemnify and hold harmless CCRTA, its officers, and employees (the "Indemnified Parties") from all claims, costs, and liabilities (including reasonable attorney fees and expert witness fees) arising out of or in connection with any negligent act or omission of the CONTRACTOR. This obligation will not apply to the extent that such claims or losses arise from the negligence or willful misconduct of the Indemnified Parties. CONTRACTOR will, at its own expense, defend the Indemnified Parties against any such claims, even if groundless or fraudulent. Nothing in this provision will be construed as a waiver of CCRTA’s sovereign or governmental immunity, nor will it be construed as an agreement by CCRTA to indemnify CONTRACTOR for its own negligence. CCRTA’s liability for any claim is limited to the extent provided by the Texas Tort Claims Act (Tex. Civ. Prac. & Rem. Code §101.001 et seq.).
7.2. Waiver of Consequential Damages. Neither party will be liable to the other for special, incidental, or consequential damages (such as lost profits or business interruption). However, this waiver does not apply to third-party claims falling within the scope of the indemnity obligations in Section 7.1.
8. INDEPENDENT CONTRACTOR.
At all times during the term of this Contract, the Contractor will act as an independent contractor and not as an employee, agent, partner, or representative of CCRTA. All persons employed or engaged by the Contractor to perform services under this Contract will be solely under the Contractor’s direction and control. The Contractor is solely responsible for the supervision, compensation, benefits, and performance of its employees and personnel. Nothing in this Contract creates an employment relationship between CCRTA and the Contractor or any of the Contractor’s employees or personnel.
9. ASSIGNMENT.
The Contractor must not assign or subcontract any of its rights, duties, or obligations under this Contract without prior written consent of the CCRTA. The Contractor is entitled to assign, pledge, or encumber its right to receive payments under this Contract pursuant to security interests created in conformity with the Uniform Commercial Code so long as the CCRTA will never be obligated to negotiate with any such third party in respect to compliance with the terms and conditions of this Contract. Any such assignment, pledge or encumbrance will be limited by any rights of offset by the CCRTA for damages or claims arising under this Contract or any other obligation owed by the Contractor to the CCRTA.
10. MODIFICATIONS AND CHANGE ORDERS.
(SERVICES)
10.1 Right to Request Changes
The CCRTA reserves the right, at any time, to make changes within the general scope of this Contract. Such changes may include revisions to the scope of services, service schedules, staffing requirements, deliverables, reporting requirements, locations, or the method and manner of performance. All changes must be authorized in writing by the CCRTA Procurement Department through a formally executed Change Order or Contract Modification.
10.2 Change Order and Modification Procedure
For any requested change, the Contractor must submit a written proposal within a reasonable timeframe identified by the CCRTA. The proposal must include sufficient detail to allow the CCRTA to evaluate the proposed adjustment, including any impacts to pricing, staffing, schedule, level of effort, or performance requirements.
To ensure that any adjustment is fair and reasonable, the CCRTA reserves the right to require supporting documentation, including but not limited to:
• Labor classifications, hourly rates, and estimated labor hours;
• Material, equipment, or subcontractor costs, if applicable;
• Documentation supporting any proposed increase or decrease in compensation; and
• Any additional information necessary for the CCRTA to perform a cost analysis or price analysis.
The CCRTA reserves the right, at its sole discretion, to perform a cost analysis or price analysis to verify that the proposed pricing adjustment is fair, reasonable, and in the best interest of the CCRTA.
10.3 Equitable Adjustments
If a Change Order or Contract Modification results in an increase or decrease in the Contractor’s cost of performance or the time required to perform the services, an equitable adjustment may be made to the Contract price, delivery schedule, or both, subject to written approval by the CCRTA.
No adjustment will be binding unless authorized through a fully executed written Change Order or Contract Modification issued by the CCRTA Procurement Department.
10.4 Credits and Unused Funds
If any Change Order, allowance, reimbursable item, or negotiated amount results in unused funds or cost savings, such amounts must be credited back to the CCRTA through a final reconciliation or Contract Modification, as applicable.
10.5 Non-Binding Oral Instructions
Oral explanations, directives, approvals, or instructions regarding changes to the Contract are non-binding. The Contractor will not perform work outside the original scope of services unless and until a written Change Order or Contract Modification has been fully executed by the CCRTA.
11. TERMINATION.
The CCRTA has the right to terminate for default all or any part of its Contract if the Contractor breaches any of the terms hereof or if the Contractor becomes insolvent or files any petition in bankruptcy. Such right of termination is in addition to and not in lieu of any other remedies which the CCRTA may have in law or equity, specifically including, but not limited to, the right to sue for damages or demand specific performance. The CCRTA additionally has the right to terminate this Contract without cause by delivery to Contractor of a “Notice of Termination” specifying the extent to which performance hereunder is terminated and the date upon which such termination becomes effective.
12. ADVERTISING.
The Contractor must not advertise or publish, without the CCRTA’s prior consent, the fact that it has entered this Contract, except to the extent necessary to comply with proper requests for information from an authorized representative of the federal, state, or local authorities.
13. GRATUITIES.
No gratuities in the form of entertainment, gifts, or otherwise, will be offered or given by the Contractor, or any agent or representative of the Contractor, to any officer or employee of the CCRTA with a view toward securing a contract or securing favorable treatment with respect to a contract.
14. EQUAL OPPORTUNITY.
The Contractor agrees that during the performance of this Contract it will:
14.1 Treat all applicants and employees without discrimination as to race, color, religion, sex, national origin, marital status, age, or disability.
14.2 Identify itself as an “Equal Opportunity Employer” in all help wanted advertising or requests.
The Contractor will be advised of any complaints filed with the CCRTA alleging that the Contractor is not an equal opportunity employer. The CCRTA reserves the right to consider such complaints in determining whether to terminate any portion of this Contract for which the services have not yet been performed, and for which purchase orders or authorities to deliver have not been issued. However, the Contractor is specifically advised that no equal opportunity employment complaint will be the basis for denial of payment for any services already completed or for termination of this Contract for which a purchase order or authority to deliver has been issued.
15. ENFORCEABILITY.
This Contract will be interpreted, construed, and governed by the laws of the State of Texas and will be enforceable in a court of competent jurisdiction in Nueces County, Texas. The Contractor must comply with all applicable federal, state, and local laws and regulations in performing under this Contract.
16. NOTICES.
Notices will be given to the parties by delivering or mailing such notice to the addresses set forth in the Contract documents, or at such other addresses as the parties may designate to each other in writing.
17. INTERPRETATION.
This writing is intended by the parties as a final expression of their agreement and is intended also as a complete and exclusive statement of the terms thereof. No course of prior dealings between the parties and no usage of the trade will be relevant to supplement or explain any term used herein, and acceptance of a course of performance rendered under this Contract will not be relevant to determine the meaning of this Contract even though the accepting party has knowledge of the performance and opportunity for objection.
18. FORCE MAJEURE.
Definition: Excusable Delay (Force Majeure)
An "Event of Force Majeure" is an occurrence that is beyond the reasonable control of the affected party, could not have been reasonably anticipated, and occurs without the fault or negligence of the party claiming the event. Subject to these criteria, Force Majeure includes:
• Acts of God, earthquakes, floods, hurricanes, or unusually severe weather conditions;
• War, hostilities, riots, or civil unrest;
• Epidemics, pandemics, or government-mandated quarantines;
• Freight embargoes or industry-wide shortages;
• Subcontractor/Supplier Delay: Failure of a subcontractor or supplier to perform, provided that: (i) the delay arises from an Event of Force Majeure as defined herein; and (ii) the delay is without the fault or negligence of both the Contractor and the subcontractor/supplier.
Exclusions
Economic hardship, changes in market conditions, or insufficiency of funds do not constitute an Event of Force Majeure. An Event of Force Majeure does not excuse an obligation to make a payment required under this Contract.
Notice of Delay & Duty to Mitigate If an Event of Force Majeure delays the Contractor, the Contractor must provide written notice within five (5) business days of the occurrence. Such notice must demonstrate that the delay was beyond the Contractor’s reasonable control and materially affects the Contractor’s ability to perform the required services. The Contractor must continuously and diligently carry out all obligations not prevented by the event and use all reasonable efforts to mitigate the duration and impact of the delay.
Sole Relief: Extension of Time The sole and exclusive remedy for an Event of Force Majeure will be an extension of the time for performance. The Contractor will be excused from performance only for the duration and to the extent that performance is actually prevented. No claim for damages or additional compensation will be made by either party for delays resulting from an Event of Force Majeure.
