About this file
This is a Request for Quote (RFQ) 2514 issued by the Washington State Department of Ecology's Air Quality Program for a temperature-controlled ambient air monitoring shelter with a meteorological tower. The RFQ seeks to purchase two 20-foot x 8-foot x 8-foot enclosures connected by a rooftop walkway and an attached 10-meter meteorological tower, to be delivered to Jefferson Park in Seattle by October 1, 2025. The bid is due on June 4, 2025, by 5:00 P.M., and the project is part of a broader renovation to relocate the existing air monitoring site. The shelter will be a temporary, movable structure designed to support federal air monitoring networks including National Core (NCore), Chemical Speciation Network (CSN), and other monitoring programs.
The solicitation includes specific technical requirements for the enclosures and tower, with a standard of quality specified as CAS 9001 for the enclosures and Aluma T-135 for the meteorological tower. The RFQ includes provisions for a 5% bid preference for vendors who do not require employees to sign mandatory arbitration clauses, and emphasizes compliance with "Build America, Buy America" requirements for federally funded projects. Bidders must submit detailed specifications, references, and certifications, including wage laws and workers' rights certifications. The award will be made to the lowest responsive and responsible bidder, with Ecology reserving the right to award on an all-or-nothing basis and to evaluate bids considering potential administrative cost reductions.

k. Exceptions: Bidder is to identify any exceptions and any proposed alternatives said to meet or exceed minimum specification requirements and include supporting documentation with their bid. Ecology will review any exceptions and supporting documentation in determining whether or not the proposed alternative will be acceptable. The decision as to whether or not the proposed alternative will be acceptable is at the sole discretion of Ecology. Any bid not acceptable to Ecology will be deemed non-responsive thus ineligible for award.
l. Changes: Any modifications or contingencies submitted by the Bidder may not be accepted at the sole discretion of Ecology. o. Minimum Requirements: Ecology reserves the right to determine at its sole discretion whether a Bidder’s response to a RFQ requirement is sufficient to pass. However, if all Bidders fail to meet any single RFQ requirement, Ecology may reject all bids and cancel the RFQ or waive the particular requirement from the RFQ’s requirements for responsiveness.
p. PCBs Avoidance: Polychlorinated biphenyls, commonly known as PCBs, have adverse effects on human health and the environment. Accordingly, the State of Washington (RCW 39.26.280) through its procurements of goods is trying to minimize the purchase of products with PCBs and to encourage vendors to sell products and product packaging without use of PCBs.

A five (5%) percent discount of the bid evaluation cost for a Bidder who qualifies for the preference will be used, (e.g., Bidder A bid $100 and Bidder B bid $98, but only Bidder A qualifies for the preference, thus Bidder A evaluation price is discounted to $95.) Any vendor may submit a Complaint.

a) The solicitation unnecessarily restricts competition.
b) The solicitation evaluation or scoring process is unfair or flawed.
c) The solicitation requirements are inadequate or insufficient to prepare a response.

e) Vendor’s complaint may not be raised again during the protest period.
f) Agency complaint process does not include an appeal process.
Protest Process Before Final Award:
The purpose of a protest process is to allow unsuccessful Bidders, after the announcement of the Apparent Successful Bidder, to raise issues related to the evaluation process as set out in the solicitation or how the process was executed. THE FOLLOWING TERMS AND CONDITIONS APPLY IN ACCORDANCE WITH WASHINGTON STATE LAW, WHICH ARE HEREBY INCORPORATED BY REFERENCE.
1. ACCEPTANCE: This Purchase Order expressly limits acceptance to the terms and conditions stated in this Purchase Order and these Additional Terms and Conditions. Any terms proposed by Supplier are objected to and hereby rejected, unless otherwise provided in writing by ECOLOGY.
2. CHANGES: No alteration in any of the terms, conditions, delivery, price, quality, quantities, or specifications of this Purchase Order will be effective without prior written approval of the Washington State Department of Ecology (ECOLOGY).
3. PRICES: If price is not stated on this Purchase Order, it is agreed that the goods shall be billed at the price last quoted or paid, or the prevailing market price, whichever is lower.
4. ADD-ON: By mutual written agreement, additional quantities of items may be purchased within 12 months of the date of award provided the original purchase price, terms, conditions, and specifications remain the same. Add-on purchases shall be submitted to the Supplier using a Purchase Order and shall reference the original contract number or Purchase Order.
5. DELIVERY DATE: With respect to delivery under this Purchase Order, time is of the essence, and this Purchase Order is subject to termination for failure to deliver as specified. Acceptance by ECOLOGY of late performance with or without objection or reservation shall not waive the right to claim damage for such breach nor constitute a waiver of the requirements for the timely performance of any obligation remaining to be performed by Supplier.
6. HANDLING: No charges will be allowed for handling, including, but not limited to, packing, wrapping, bags, containers, or reels, unless otherwise stated herein.
7. SHIPPING INSTRUCTIONS: Unless otherwise specified, all goods are to be shipped prepaid, FOB Destination. Where shipping addresses indicate room numbers, Supplier shall make delivery to that location at no additional charge. Where specific authorization is granted to ship goods FOB shipping point, Supplier agrees to prepay all shipping charges and route as instructed, or if instructions are not provided, route by cheapest common carrier and bill ECOLOGY as a separate item on the invoice for said charges. Each invoice for shipping charges shall contain the original or a copy of the bill indicating that the payment for shipping has been made. It is also agreed that ECOLOGY does not accept COD shipments.
8. RISK OF LOSS: Regardless of FOB Point, Supplier agrees to bear all risks of loss, injury, or destruction of goods and materials ordered herein which occur prior to delivery. Such loss, injury, or destruction shall not release Supplier from any obligation hereunder.
9. REJECTION: All goods or materials purchased herein are subject to written approval by ECOLOGY. Any rejection of goods or materials resulting because of nonconformity to the terms and specifications of this Purchase Order, whether held by ECOLOGY or returned will be at Supplier’s risk and expense.
10. PAYMENTS AND ASSIGNMENTS: Invoices will not be processed for payment until items invoiced are received. ECOLOGY will not honor drafts nor accept goods on a sight draft basis. Furthermore, the provisions or monies due under this Purchase Order shall only be assignable with prior written approval of ECOLOGY.
11 PURCHASING CARD OPTION: ECOLOGY encourages Suppliers to accept payment via the State Purchasing Card (VISA card).
12. CASH DISCOUNT: In the event ECOLOGY is entitled to a cash discount, the period of computations will commence on the date of delivery or receipt of a correctly completed invoice, whichever is later. If an adjustment in payment is necessary due to damage, the cash discount period shall commence on the date final approval for payment is authorized. If a discount is made part of this Purchase Order but the invoice does not reflect the existence of a cash discount, ECOLOGY is entitled to a cash discount with the period commencing on the date it is determined by ECOLOGY that a cash discount applies.
13. TAXES: Unless otherwise indicated, ECOLOGY agrees to pay all State of Washington sales or use tax. No charge by Supplier shall be made for Federal excise taxes, and ECOLOGY agrees to furnish Supplier, upon acceptance of items supplied under this Purchase Order, with an exemption certificate.
14. IDENTIFICATION: All invoices, packing lists, packages, shipping notices, instruction manuals, and other written documents affecting this Purchase Order shall contain the Purchase Order number. Packing lists shall be included with each shipment pursuant to this order, indicating the contents of each package therein.
15. INFRINGEMENTS: Supplier agrees to protect and save harmless ECOLOGY against all claims, suits, or proceedings for patent, trademark, copyright, or franchise infringement arising from the purchases, installation, or use of goods and materials ordered and to assume all expenses and damages arising from such claims, suits, or proceedings.
16. LIENS, CLAIMS, and ENCUMBRANCES: Supplier warrants and represents that all the goods and materials ordered herein are free and clear of all liens, claims, or encumbrances of any kind.
17. NONWAIVER BY ACCEPTANCE OF VARIATION: No provision of this Purchase Order or the right to receive timely performance of any act called for by the terms and conditions shall be deemed waived by a waiver by ECOLOGY of a breach thereof as to any particular transaction or occurrence.
18. WARRANTIES: Supplier warrants that items supplied under this Purchase Order conform to specifications herein and are fit for the purpose for which such goods are ordinarily employed, except that if a particular purpose is stated, the material must then be fit for the particular purpose.
19. SAVE HARMLESS: Supplier shall protect, indemnify, and save ECOLOGY harmless from and against any damage, cost, or liability for any injuries to persons or property arising from acts or omissions of Supplier, his employees, agents, or subcontractors, howsoever caused.
20. TERMINATION: In the event of a breach by Supplier of any of the provisions of this Purchase Order, ECOLOGY reserves the right to cancel and terminate this Purchase Order forthwith upon written notice to Supplier. Supplier shall be liable for damages suffered by ECOLOGY resulting from Supplier’s breach of this Purchase Order.
21. DEFAULT: ECOLOGY may terminate this Purchase Order, without penalty or further liability, upon not less than thirty (30) days prior written notice to Supplier, if Supplier defaults on any provision of this Purchase Order and fails to cure such default within that thirty (30) day period, or such longer period, as may be reasonably determined by ECOLOGY, if Supplier is diligently working to cure the default.
22. NON-DISCRIMINATION LAWS: The Supplier shall comply with all federal and state non-discrimination laws, regulations, and policies. In the event of the Supplier’s non-compliance or refusal to comply with any non-discrimination law, regulation, or policy, this Purchase Order may be rescinded, canceled or terminated by ECOLOGY in whole or in part, and the Supplier may be declared ineligible for further Purchase Orders with ECOLOGY.
23. ANTI-TRUST: Supplier and ECOLOGY recognize that in actual economic practice, overcharges resulting from anti-trust violations are in fact borne by ECOLOGY. Therefore, Supplier hereby assigns to ECOLOGY any and all claims for such overcharges.
24. COMPLIANCE WITH ALL LAWS: Supplier agrees to observe all applicable current federal, state, and local laws, rules, and regulations affecting performance under this Purchase Order
25. CONFORMANCE: If any provision of this Purchase Order violates any statute or rule of law of the state of Washington, it is considered modified to conform to that statute or rule of law.
26. CHOICE OF LAW AND VENUE: This Purchase Order and the rights of the parties hereunder shall be governed by and construed in accordance with the laws of Washington State. Any action arising from this Purchase Order shall be brought in Thurston County Superior Court, Washington State.
27. ATTORNEY FEES: In the event of controversy, claim, or dispute arising out of this Purchase Order for which the Supplier is adjudged to be at fault, Supplier shall pay to ECOLOGY all attorney fees, costs and expenses incurred by ECOLOGY in connection therewith.
28. BRANDS: When a particular brand is specified, it shall be construed solely for the purpose of indicating the standard of quality, performance, or use desired. Brands of equal quality, performance, and use shall be considered, provided Supplier specifies the brand and model and submits descriptive literature. Any bid containing a brand which is not of equal quality, performance, or use specified must be represented as an alternate and not as an equal. Failure to do so shall be sufficient reason to disregard the bid.
29. GIFTS: The Supplier shall comply with all applicable sections of the State Ethics law, Revised Code of Washington 42.52, which regulates gifts to State officers and employees. Under that statute, any State officer or employee who has or will participate with the Supplier regarding any aspect of the order involving the purchase of goods or services is prohibited from seeking or accepting any gift, gratuity, favor or anything of economic value from the Supplier. Neither the Supplier nor any agent or representative shall offer anything of economic value as a gift, gratuity or favor directly or indirectly to any such officer or employee.
30. STATE FISCAL YEAR END CLOSURE REQUIREMENTS (RCW 43.88): Any claim for payment as a result of actual costs incurred on or before June 30 of any current State fiscal year shall be submitted to ECOLOGY no later than 30 calendar days following the close of the State's fiscal year. The State fiscal year closes on June 30. Failure to comply with these requirements may delay, or cause denial of, payments for services rendered, at the sole discretion of the State.
31. FINAL PAYMENT: Final Payment of any balance due the Supplier of the gross amount earned will be made promptly upon its verification by ECOLOGY after the completion of the services under this Purchase Order, contingent, if applicable, upon receipt of all goods, supplies, and documents that are required to be furnished under this Purchase Order. Acceptance of such Final Payment by the Supplier shall constitute a release of all claims for payment, which the Supplier may have against ECOLOGY unless such claims are specifically reserved in writing and transmitted to ECOLOGY by the Supplier.
32. ENTIRE AGREEMENT: This Purchase Order, including referenced exhibits, represents all the terms and conditions agreed upon by the parties. No other statements or representations, written or oral, shall be deemed a part hereof.
