SECTION B –

SUPPLIES OR SERVICES AND PRICES/COSTS

B.1 SCOPE OF SERVICES

The Contractor shall provide Waste Management services for the U.S. Embassy in Paris in accordance with Section C - Description/ Specifications/Work Statement of this contract. The period covered by this contract is for one base year and two years option as addressed in Section F.

B.2 TYPE OF CONTRACT

This is an indefinite-delivery, indefinite-quantity (IDIQ) type contract with firm-fixed unit price under which may be placed task orders.

B.3 PRICING

B.3.1 General

a) The Contractor shall provide the services described in Section C at the rates detailed in Exhibit 2

b) The quantities are estimates only and are not guaranteed by this contract. See B.4 below for contractual minimum and maximum quantities.

c) The Government may issue task orders requiring services described in Section C. Except as specified in the Delivery-Order Limitations clause or in B.4, there is no limit on the number of orders that may be issued.

d) The rates shall include all direct and indirect costs, insurance (see FAR 52.228-4 for any cost of Workers’ Compensation and War-Hazard Insurance, and FAR 52.228-5- This insurance shall not be a direct reimbursement), overhead and profit in the prices. The prices shall include all expenses and materials required to complete the work.

e) The Government will make payment in local currency, Euros (€).

f) Value Added Tax (VAT) is not included in the CLIN rates. Instead, it will be priced as a separate Line

Item in the contract and on Invoices. Local law dictates the portion of the contract price that is subject to VAT; this percentage is multiplied only against that portion. It is reflected for each performance period. If applicable, the VAT applied to this contract is 20%.

4 | P a g e 6 7

g) Adjustment of fuel surcharge costs.

Fuel is a significant element in the collection of waste prices for each period of performance. Fuel prices have experienced high volatility over the past years. Therefore, this contract shall include a provision to cover potential fuel surcharges resulting from an increase of more than 40% of the base professional fuel price reference (((PFn/PFo)-1) x 100). This adjustment shall only be applicable to this contract if professional fuel prices experience an increase of more than 40% from the base fuel price reference.

This contract shall use the November 2024 professional fuel price of 1.3514 € / Liter from the “Comité National Routier” (CNR), which is the organization governing regulations in terms of road transportation, as the base price reference.

The potential fuel surcharge shall be calculated as follows:

Fuel surcharge = collection cost x ((PFn/PFo)-1) x 0.20).

New Professional fuel price = PFn Professional fuel price reference = PFo = 1.3514/ Liter

The base fuel price is from the “Comité National Routier” and is adjusted on a monthly basis under the “prix gazole pompe moyenne mensuelle”. It is shown as a price per liter and is linked to the CNR professional gas index.

CLIN (contract line item) 024 shall cover any fluctuations based on the above clause. This CLIN contains a bulk amount and is the maximum amount allowable to cover these adjustments in a 12-month contract period.
