Throughout this Agreement, the terms ‘Contractor’ and ‘BPA Awardee’ are used interchangeably.

B. DEFINITIONS

“(BPA- Blanket Purchase Agreement)” is an Agreement, not a contract or purchase order. It is like a charge account that sets forth terms and conditions prior to an actual purchase. The Government is not obligated to purchase any definite amount under this BPA. If a need arises, an authorized representative of the Government may issue an order following the procedures outlined in the BPA. If the BPA holder accepts the order, then a binding contract between the Government and BPA holder will exist for that specific order.”

"CO (Contracting Officer) " the U.S. Government's authorized agent for dealing with contractors and has sole authority to solicit proposals, negotiate, award, administer, modify, or terminate contracts and make related determinations and findings on behalf of the U.S. Government.

"Government" means the Government of the United States of America unless specifically stated otherwise.

"Ordering Officer" means the Contracting Officer of the U.S. Embassy, “Services” means the services performed, workmanship, and equipment furnished or utilized in the performance of the “Contractor” is a person or company that performs work on a contract basis.

“BPA Awardee” company in which the BPA will be award.

“BPA Callers “is the government employes responsible to place a BPA Call “Vendors” “BPA Call” is a call against an existing blanket purchase agreement to request a service or product provided under the established agreement.

“BPA Holder” prospective awardee company point of contact.

An authorization list will be included in your BPA and will identify each person, by name or position title, which can place calls against the BPA. If a person is not an "authorized caller", he/she CANNOT place calls.

BPA Holder. Shall designate a Project Manager who shall be the Contractor’s point of contact. The Project Manager shall be responsible for managing the Contractor’s work under this contract and ensuring a smooth and effective operation. The Contractor’s Project Manager and telephone number are:

The vendors (BPA holders) interested in this business opportunity shall be prepared to accept BPA terms, conditions, and clauses, by signing and returning a copy of the BPA-Setup to the U.S. Embassy Contracting Officer.

The BPA holder shall designate a Project Manager or an Account Representative who shall be the BPA holder’s point of contact for the purpose of BPA orders and invoices resulting from the orders.

Any purchase made under a BPA will be based on mutually agreed upon prices obtained either in writing or orally by telephone or personal contact at the time the Government’s need for the goods and/or service arises by an ordering official/authorized caller.

· Management. The Contractor shall provide the appropriate management effort to ensure that all services required under this agreement are performed in accordance with the terms of the agreement.

In addition, the Contracting Officer has determined that the Israeli Trade Act applies to this acquisition. Unless otherwise specified, this trade agreement applies to all items in the Schedule. The Contractor shall deliver under this contract only domestic end products except to the extent that, in its offer, it specified delivery of foreign end products in the provision entitled “Buy American—Free Trade Agreements—Israeli Trade Act.” If the Contractor specified in its offer that the Contractor would supply an Israeli end product, then the Contractor shall supply an Israeli end product or, at the Contractor's option, a domestic end product.

The term refers to a product offered for purchase under a supply contract, but for purposes of calculating the value of the end product includes services (except transportation services) incidental to the article, provided that the value of those incidental services does not exceed that of the article itself.

(c) Delivery of end products. 41 U.S.C.chapter 83 provides a preference for domestic end products for supplies acquired for use in the United States. In accordance with 41 U.S.C.1907, the domestic content test of the Buy American statute is waived for an end product that is a COTS item (see 12.505(a)(1)), except that for an end product that consists wholly or predominantly of iron or steel or a combination of both, the domestic content test is applied only to the iron and steel content of the end product, excluding COTS fasteners. In addition, the Contracting Officer has determined that FTAs (except the Bahrain, Korea (Republic of), Morocco, Oman, Panama, and Peru FTAs) and the Israeli Trade Act apply to this acquisition. Unless otherwise specified, these trade agreements apply to all items in the Schedule. The Contractor shall deliver under this contract only domestic end products except to the extent that, in its offer, it specified delivery of foreign end products in the provision entitled "Buy American-Free Trade Agreements-Israeli Trade Act Certificate."
