Offerors must acknowledge receipt of this amendment by identifying this amendment number and date of the amendment on each copy of the proposal submitted. Failure to receive your acknowledgement may result in the rejection of your proposal. Except as provided herein, all terms and conditions of the solicitation remain unchanged and in full force and effect.

BUSINESS QUESTIONS

1) Can foreign companies be subcontractors?

ANSWER: Yes, foreign companies may be subcontractors.

2) What percent effort is required of the principal investigator(s)?

ANSWER: It is at the discretion of offerors to propose the proper percentage of effort for any principal investigators involved. However, please see page 73 of the solicitation document that states, "OFFERORS SHOULD ASSURE THAT THE

PRINCIPAL INVESTIGATOR, AND ALL OTHER PERSONNEL PROPOSED,

SHALL NOT BE COMMITTED ON FEDERAL GRANTS AND CONTRACTS

FOR MORE THAN A TOTAL OF 100% OF THEIR TIME."

3) I would like to know if the program officer has discretion in determining the percent effort required for the principal investigator. My prior experience with the NIAID SBIR program indicated that there is some latitude, but I don’t know if your specific program is different.

ANSWER: When responding to the solicitation, it is at the discretion of offerors to propose the percentage of effort for any principal investigators.

4) I anticipate that intellectual property will be created as a consequence of this research. It is unclear to me how much disclosure is required to the general public. Is there written guidance on this topic?

ANSWER: Please see Article C.3. and the cited FAR clause in this section, 52.227-

11. Also, please see "Leadership Plan" on page 74 of the solicitation. If intellectual property is involved, the offeror must submit a Leadership Plan.
